7 7 Conditions of Participation CUSTOMBIKE-SHOW Motorcycle fair for custoized and exclusive bikes and accessories Participation at the Custobike-SHOW trade fair is governed by the General Ters and Conditions for Exhibtion and the following Conditions of Participation, as well as suppleentary organisatorial and technical exhibitor inforations/regulations supplied to the exhibitor prior to the event. 1. Passes Each exhibitor receives free passes according to the stand area: : 4 passes : 6 passes > : 10 passes Fee for each additional pass: 25,00 plus legal VAT 9. Registration deadline Noveber 15th 2017 or prior if all intended surfaces are occupied. Assignent of the available space is ade in accordance to the receipt of the registration. Any applications/registrations received after Noveber 15th 2017, can only be considered to the extent that there is still exhibtion area available in the specific trade sector. 10. The type of stand depends on the planned layout; exhibitors have no entitleent to a certain type of stand or size, however where possible the requests of exhibitors will be et. The stand rental fee covers: Rental of the stand area during ties of assebly, exhibition and disantling, the general electric ligthing of the exhibiton halls and general cleaning of circulation areas, as well as general security services. Resounding Coluns and Wall Portrusions are coponents of the assigned stand surface an do not reduce the rent. Liiting walls of the stand are not contained int the surface rented. 11. Payent ters 25 % of payent is due two weeks after receipt of the confiration of order. The residue is payable till 15th october Bills issued after the 15th october 2017, are due in full iedately. Deadline for applications is the 15th noveber All payents ust quote the billing nuber. All invoices ust be paid in full to the exhibitor to finally reserve the space assigned. 12. Modifications The organizer reserves the right to ove, liit or change in their diension the area ordered by the exhibitor and ade available to the exhibitor. This does not entitle the exhibitor to withdraw fro the rental contract. 13. Co-exhibitors and representants of third party copanies Co-exhibitors are copanies which appear on the stand of the exhibitor with their own staff and exhibits. It ust be clear even without spatial divide that this exhibitor is independent. Sharing exhibitors will only be aditted, if the questions on the applica-tion for for sharing exhibitors have been fully copleted and the conditions for participation at the event are et. Sharing exhibitors are subject to the sae conditions as exhibitors. 14. Exhibition catalog Each exhibitor receives a free standard entry in the exhibiton catalog, as well as a PR-article in the exhibition catalog. The organizer, the Huber Verlag GbH & Co. KG expressly state, that apart fro the printers coissioned to produce the catalog for the exhibition, no third party has been ordered or authorised to produce exhibitor registers, in particular registers after the fair has been held. Any such offers ade to exhibitors are without the approval of the organiser.

8 8 15. Insurance Exhibitors are obliged to arrange for adequate insurance protection theselves. It is recoended to sign an exhibition policy to cover transports and risks associated with the exhibition. The organizers are responsible for the general third party liability risk of the event. They will sign a third party liability insurance policy for personal injury and daage for the event. 16. Design of the stand It is not peritted to stick on, nail into, paint or otherwise daage any floors, walls, coluns, installation and fire protection equipent as well as any other fixtures of the halls. Any daage is to be borne by the exhibitors and will be invoiced to the. Any coluns and installation, fire protection and escape equipent are part of the assigned stand area and ust be accessible at all ties. Besides, the technical guidelines of the fair center Bad Salzuflen ust be observed at all ties. 17. Rescission 5 of the general fair conditions will be suppleented as follows: The provision of 25% of the rental as copensation for costs are to be read as a lup su copensation. 18. Place of jurisdiction Place of jurisdiction is Mannhei. However, the organizers are entilted to ake their clais at the court of justice in the place where the exhibitor is registered. 9 9 General fair conditions 1. Application The stand shall be booked using the application for. The applicant is bound by application for seven days after the closing date for applications given in the Conditions of participation CUSTOMBIKE-SHOW and not longer than six weeks prior to the opening of the exhibition if authorization has not been granted in the eantie. If an application is received later or after the closing date for applications, the applicant shall be bound by a fortnight. 2. Acknowledgeent With this application, the applicant acknowledges the General Ters and conditions, the Conditions of participations CUSTOMBIKE-SHOW, applying to the particular exhibition, and the doiciliary rights as binding upon itself and all persons eployed by the exhibitor. All statutory, labour and trade regulations are to be observed, particularly those concerning environental protection, fire safety, accident prevention, copany identification and price labelling. 3. Adission The right to adit exhibitors and individual exhibits is incubent solely on exhibition anageent if necessary with the assistance of the exhibitors advisory board or the exhibition coitee. The organizer is entitled to liit the nuber of registered exhibits and to alter the aount of registered floor space if conceptionally necessary. The organizer ay exclude individual exhibitors and supplier fro the exhibition for legitiate reasons, such as lack of space. The organizer ay restrict exhibition adission to particular exhibitors, supplier or visitor groups should this be required to serve the purpose of the exhibition. The exclusion of copeting exhibitors ay not be requested or confired. The contract between the organizer and exhibitor is considered concluded upon receipt of the adission confiration or invoice by the exhibitor. Granted adission ay be cancelled if the conditions required for such adission are not or no longer fulfilled. The exhibition anageent is entitled to terinate the contract iediately should the exhibitor reain in default despite two previous default notices. In such a case, 25% of the stand rent shall be charged to cover any resulting expenses. Should justified coplaints or objections be ade in connection with exhibited erchandise or the business practice of a participating copany, the exhibition anageent is entitled and authorized to act in the interest of all concerned and reedy the proble accordingly. Moreover, the exhibition anageent has the right to cancel existing contracts for subsequent exhibitions due to the non-fulfilent of fundaental conditions laid down in the contract. The exhibition of non-aditted, unregistered or used erchandise is prohibited. 4. Changes Force ajeure Unforeseen events aking the planned realization of the exhibition ipossible and for which the organizer is not responsible entitle the latter to a) Cancel the exhibition prior to its opening. If cancellation takes place ore than 6 weeks but not ore than 3 onths prior to the opening date, 25% of the stand rent will be charged to cover costs. If cancellation takes place in the last 6 weeks prior to the opening date, the contribution towards expenses shall be raised to 50%. Furtherore, any expenses incurred at the exhibitor s request shall be paid as well. If the exhibition ust be closed on account of force ajeure or by an official order, stand rent and all the costs to be borne by the exhibitor are to be paid in full. b) Postpone the date of the exhibition. Exhibitors who can prove that the exhibition will then coincide with another exhibition for which the exhibitor already have a fir booking ay be released fro the contract. c) Shorten the duration of the exhibition or break it off. Exhibitors are not entitled to be released fro the contract. Nor will any reduction in the stand rent be allowed. In all cases, the organizer shall ake decisions of such serious nature in cooperation with the appointed coittees or exhibitors or advisory boards and give notice as early as possible. Clais for daages are barred for both parties in all cases. 5. Widthdrawal Should the organizer exceptionally perit the withdrawal fro the contract after the confiration of the exhibitor s application or adission, 25% of the rent shall be charged as well as any expenses incurred by the exhibitor out of existing orders upon the request of the exhibitor. In this case, the exhibitor has the right to prove that no or little daage has been caused to the organizer. Application for rescission of the contract ust be ade in writing. It shall be deeed to be legally binding only if the organizer also gives its consent in writing. The exhibition anageent ay ake such rescission depend on a subsequent rental to another exhibitor. Rental to a new exhibitor corresponds to a release fro the contract for the original exhibitor, but the latter shall pay any difference between the actual and the original rent, plus any contributions payable pursuant to paragraph 1. If the stand cannot be rented to any other exhibitor, the exhibition anageent is entitled to ove another exhibitor to the unoccupied stand or to fill the stand in soe other anner. The original holder is not entitled to clai any reduction in the stand rent. Any costs incurred for decoration or filling the unoccupied stand shall be borne by the original holder. 6. Stand assignent Stands shall be assigned by the exhibition anageent on the basis of the concept and thee of the exhibition. The date of receipt of the application is irrelevant. Special requests shall be taken into consideration where possible. The exhibitor shall be notified in writing of the location of the stand. As a rule, notification hereof is given in connection with the adission confiration and hall and stand nuber. Coplaints ust be ade in writing within 8 days of receipt of notification. The exhibitor is obliged to accept a inial reduction in assigned floor space, where this is required for technical reasons. The reduction ay be a axiu of 10 c in width and length respectively and does not constitute reasons for rent reduction. This does not apply for prefabricated stands or syste stands that have been expressly registered as such. A stand ay only be relocated for andatory reasons. The exhibition anageent is obliged to offer the respective exhibitor an equivalent stand floor space. The exhibitor is entitled to cancel the contract without utual indenification within two days after notification. The withdrawal shall be ade in writing. The above provision does not apply to stands that are oved a few etres in the sae hall. The exhibition anageent reserves the right to alter the location of entrances, exits, eergency exits and passages where this considered necessary. The exhibition anageent is obliged to notify exhibitors in writing of any alterations referring to the location, size or type of stand. 7. Subletting, co-exhibitors, assignent of a stand to a thrid party, sale on behalf of third parties The exhibitor is not authorized to sublease or relinquish, in whole or in part, the assigned stand to a third party. Moreover, the exhibitor is not entitled to exchange the assigned stand or accept orders on behalf of other copanies without the consent of the exhibition anageent. Authorized co-exhibitors are obliged to pay a fee. Unauthorized subleasing or transfer of the stand to a third party shall result in a surcharge of 50% of the stand rent to be paid by the exhibitor, where the exhibition anageent has not requested the subtenant to vacate the stand. Order books have to contain the addresses of both supplier and stand tenant, except the exhibitor is using its own order books. The order for has to show which exhibitor and purchasing copany concluded the purchase order. 8. Joint and several liability If several exhibitors rent a stand together, each of the is jointly and severally liable. In the application, they shall nae an authorized representative and the exhibition anageent need only negotiate with the latter. Notices to the authorized representative naed in the application shall be deeed to be notices to the exhibitor or exhibitors (in the case of joint stands). 9. Rental fees and expenses The rental fees for stands and surcharges for corner, head and block stands are shown in the Conditions of participations CUSTOMBIKE-SHOW. The exhibitor shall be infored in advance, if so requested, of the costs of supply systes to be installed at its request and of other subsidiary services, e. g. gas, water, electric power supplies. 10. Ters of payent a) Due date: Invoiced aounts shall be paid punctually, naely 50% within 30 days of invoiced date, the reainder by 6 weeks prior to the opening date, unless otherwise agreed in writing or otherwise specified in the conditions of participations CUSTOMBIKE-SHOW. Invoices issued later than 6 weeks prior to the opening date shall be due iediately infull. b) Default: Interest shall be charged at a rate of 3% above the discount rate deterined by the ECB (European Central Bank) fro due date. The exhibition anageent has the right to dispose of stands whose exhibitors have not heeded repeated default reinders at its own discretion. Moreover, the exhibition anageent ay refuse to issue exhibitor passes and refuse the exhibitor the use of the stand (see Ite 5).

10 10 c) Lien: The organizer holds a lessor lien for all unfulfilled obligations and resulting expenses and applies to all exhibits brought to the exhibition. The organizer is not liable for accidental daage or loss of goods covered by the lien and has the right to sell such goods upon written notification hereof. It is assued that the exhibitor is the sole proprietor of the goods concerned. 11. Design and outfitting of the stand During the exhibition the nae and address of the exhibitor shall be displayed in an easily recognizable for. The exhibitor is responsible for outfitting his stand, within the scope of any instructions on the part of the organizers with respect to a standardized for of construction. The guidelines issued by the exhibition anageent should be adhered to ensure an unified appearance. If the exhibitor sets up its own stand, one ay be required to subit easured drawings, for approval prior to coencing work. The use of pre-fabricated and odule-syste stands should be expressly stated in the application. The nae of the firs coissioned to execute the design and construction work on the stand shall be subitted to the exhibition anageent. Stand boundaries ay not be crossed under any circustances. The prescribed height of the stand ay not be exceeded without the expressly written consent of the exhibition anageent. The exhibition anageent is authorized to request the reoval or alteration of exhibition stands whose installation has not been approved or does not confor to exhibition requireents. Should the exhibitor fail to coply with this written request within 24 hours, the exhibition anageent is entitled to reove or alter the stand at the exhibitor s expense. If it is necessary to close the stand for the sae reason, the exhibitor is not entitled to clai reiburseent of the stand rent. 12. Declaration of renunciation of plagiaris for exhibitors at the CUSTOMBIKE-SHOW Exhibitors of the CUSTOMBIKE 2010 assure that the exhibited products, goods and the objects in exhibition or up for sale are not in breach of any intellectual property rights. It is prohibited to sell, pass on or exhibit plagiaris and counterfeits of any kind. ( 444 BGB) Disclaier The exhibitors only take the responsibility according to civil and penal law for all products, goods or objects in exhibition or up for sale which are exhibited by the for sale, pass on and exhibition. The organizer (Huber Verlag GbH & Co. KG) does not assue any liability! 13. Advertising In any for whatsoever, particularly the distribution of printed aterials and the addressing of visitors, is peritted only within the stand. The use of loudspeaker systes, usical perforances and fil or slide projection any kind of -even for advertising purposes -requires express approval, and notice ust be given well in advance. Deonstrations involving achines, acoustic equipent, projection equipent and odes, even for advertising purposes, ay be restricted or prohibited after perission if such deonstrations are considered a disruption of the general order of the exhibition. If the organizer operates a loudspeaker syste, the exhibition anageent reserves to pass on announceents. 14. Construction The exhibitor is obliged to coplete the construction of the stand within the deadline specified in the Conditions of participations CUSTOMBIKE-SHOW. If construction has not been coenced at noon the day before the opening of the exhibition, the organizer has the right to dispose of the stand at its own discretion. Moreover, the exhibitor is liable to the exhibition anageent for the agreed stand rental fee and any other incurred expenses. Under no circustances the exhibitor is entitled to daage clais. Coplaints concerning the location, size or type of stand ust be ade in writing to the exhibition anageent before stand construction has coenced and no later than one day after the specified coenceent date. All aterials used for construction ust be fireproof. 15. Stand supervision The exhibitor shall outfit its stand with the registered exhibits for the duration of the exhibition, and, unless the stand has been expressly rented purely for representation, the latter shall eploy trained personnel. The exhibition anageent is responsible for keeping the exhibition preises, halls and passages clean. The exhibitors are responsible for cleaning the stands and shall perfor this work daily after the exhibition is closed. The exhibitor is requested to avoid and to seperate the waste. Additional costs for sewage and refuse disposal are charged to the cause. 16. Disantling No stand ay be vacated, in whole or part, prior to the closing of the exhibition. Exhibitors violating this provision shall be charged with a fine of 50% of the stand rent. Exhibits ay not be reoved after the terination of the exhibition, if the exhibition anageent has asserted its lien right. Notification hereof shall be given to the representatives of the stand proprietor present at the stand during the exhibition. The reoval of exhibits despite notification shall be considered as a violation of the lien. The exhibitor is liable for any daage to the floor, walls and aterials leased or lent to the exhibitor by the exhibition anageent. The exhibition floor space used by the exhibitor shall be left in its original condition not later than the deadline specified to copletely vacate this area. Any ounted aterials, foundations, excavated areas and resulting daage are to be copletely reoved and/or repaired. Otherwise the exhibition anageent is entitled to have this work carried out at the expense of the exhibitor. Further daage clais reain unaffected. Exhibition stands which are not disantled until the specified deadline or left exhibits are reoved at the expense of the exhibitor. The exhibitis are stored with non-warranty of the organizer at the exhibition forwarding reover. 17. Utilities General illuination shall be provided at the organizer s expense. If connections are desired, this shall be stated in the application. Installation and consuption shall be at the exhibitor s expense. In the case of ring cables, costs shall be shared on a pro rata basis. All installation work up to the stand outlet ay be perfored only by firs approved by the exhibition anageent. These firs will be coissioned to perfor such work through the exhibition anageent and with its approval, and they shall present their stateents for installation and consuption directly to the exhibitors in copliance with the price guidelines issued by the exhibition anageent. Terinals and equipent that do not coply with the relevant regulations - in particular VDE regulations - or whose consuption is higher than reported, ay be reoved fro the exhibition preises at the exhibitor s expense or put out of order. The stand tenant shall be liable for all daage caused by the use of unregistered terinals, or by installations that have not been executed by the approved installation firs. The exhibition anageent is not liable for interruptions or fluctuations that ay occur in the power, water, gas and air pressure supplies. 18. Security The grounds and the halls shall be generally guarded by the organizers without liability for losses or daage. The exhibitor is solely responsible for supervising and guarding its stand, also during construction and disantling periods. Special guards ay be eployed only with the consent of the exhibition anageent. 19. Liability The organizer is not liable for daage to exhibits or stand equipent or any consequential daage. Liability is liited to intentional daage and gross negligence, where proof that the daage has been incurred by the organizers has been provided. The organizer accepts no liability for theft, loss or daage by third parties of the ites brought in, especially for exhibition and stand equipent of the exhibitors. The stand fee does not include any insurance for brought in ites. The exhibitor is liable for any daages caused by hi, his eployees, his contract partners or by his exhibits and equipent to persons or things. 20. Insurance Exhibitors are strongly advised to insure their exhibits accordingly and acquire liability insurance at their own expense. 21. Photographs, drawings, fils Professional photographs, drawings and fils ay only be ade on the exhibition grounds by authorized copanies or individuals. 22. Doiciliary rights The exhibition anageent is the legal occupant of the exhibition preises. It ay issue rules of the house. Exhibitors and their eployees ay enter the preises and the halls only one hour prior to the opening of the exhibition. They have to leave the halls and preises of the exhibition at the latest one hour after closing tie. It is prohibited to reain on the preises overnight. Furtherore, it is prohibited to enter the fair halls with running engines or to start engines at the stalls without an exception perit of the fair anageent. 23. Clause of forfeit Exhibitors clais against the organizers that have not been subitted in writing at the latest within 2 weeks after terination of the exhibition are forfeited. 24. Aendents Agreeents that deviate fro the General Fair Conditions for CUSTOMBIKE-SHOW and Conditions of participations CUSTOMBIKE-SHOW are only effective when confired in writing. 25. Court of jurisdiction The court of jurisdiction is at the doicile of the organizer, even in cases where clais are pressed by way of suons, unless otherwise provided in the Conditions of participations CUSTOMBIKE-SHOW. 26.
