1 Boss Revolution Retailer Rewards Program Terms and Conditions (updated September 25, 2015) I. Overview The Boss Revolution Retailer Rewards Program (the Program ) is a loyalty program sponsored by IDT Domestic Telecom, Inc., 550 Broad Street, Newark, NJ ( IDT ) and administered by The Maritz Rewards Studio ( Administrator ) through which eligible Boss Revolution retailers can earn Boss Revolution Reward Points ( BR Points ) for selling Boss Revolution products and services from their Boss Revolution Account on the Boss Revolution Retailer Portal at (the Portal ). Retailers can redeem their BR Points for various prizes and products (collectively, Rewards ). The following terms and conditions (collectively, Terms ) contain important information regarding the Program. Please read the Terms carefully. The Terms are a binding agreement between each participating retailer and IDT and will govern your participation in the Program. By participating in the Program you acknowledge and agree to be bound by (1) these Terms, (2) the terms and conditions regarding your Boss Revolution Account posted on the Portal (the Portal Terms ) and (3) the terms, restrictions and conditions of the Administrator regarding the administration and fulfillment of the Program posted on the Portal and/or the Rewards website (collectively, Administrator Terms ). Both the Portal Terms and the Administrator Terms are incorporated into these Terms. IDT reserves the right to modify these Terms at any time without notice to you, so it is important to check the Terms periodically. Additionally, the Administrator may modify the Administrator Terms at any time without notice to you, so you should periodically check the Administrator Terms as well. Enrollment or participation in the Program and/or redemption of BR Points is considered acceptance of these Terms, the Portal Terms and the Administrator Terms and any future modifications thereto. IDT, in its sole and absolute discretion, may, with or without notice, cancel, change, suspend or modify the Program, any aspect or condition of the Program (including eligibility requirements) and/or the Rewards, including the availability of any Reward. II. Eligibility Only authorized Boss Revolution retailers whose retailer account is in good standing may enroll and participate in the Program. In addition, in order to participate in the Program a retailer must: enroll in the Program by logging into the Portal, clicking on the ENROLL NOW page/button and following the enrollment instructions; and be a legal resident/entity of the United States, District of Columbia, Guam, Puerto Rico, or the U.S. Virgin Islands.

2 IDT in its sole discretion will determine if a retailer s account is in good standing. Boss Revolution retailers that are eligible to enroll in the Program and do enroll in the Program are referred to as Members. One Program account per Member. III. Member Levels Upon enrollment in the Program each Member will be placed by IDT into one of three Member levels: Gold, Silver or Bronze. Thereafter a Member s level will be assessed each calendar quarter by IDT, which assessment shall be based on sales of Eligible Products (as defined below) via the Portal as follows: GOLD LEVEL: Members who have sold at least $6,000 worth of Eligible Products via the Portal during the last quarter; SILVER LEVEL: Members who have sold at least $600 worth of Eligible Products via the Portal during the last quarter; or BRONZE LEVEL: Members who are enrolled in the Program but do not meet either the Gold or Silver levels. The total sales amount shall be based on (i) the face value of the amount (for Pinless, IMTU, DMTU, Call Me and e-gift transactions) or (ii) the amount of fees collected by IDT (for Money Transfer, Bill Payment, GPR and Virtual Visa transactions). Only sales made through the Member s Boss Revolution Retailer Account on the Portal will count towards the Member level threshold. IV. Earning BR Points Members can earn BR Points by selling Eligible Products (as defined) via Eligible Methods (as defined) through Eligible Channels (as defined). Only sales made through the Member s Boss Revolution Retailer Account on the Portal will earn the Member BR Points. Credit card transactions and hard card top ups are excluded. Eligible Channels = Retailer Portal, Retailer IVR, Retailer App and Boss Revolution Kiosks installed at a Member location. All API channels are excluded. Promotional balances and taxes are excluded from face value amount and amount of fees collected. V. BR Points General BR Points can only be redeemed for Rewards by the Member and cannot be used to purchase any other items, including Boss Revolution products. BR Points have no cash value and may not be to another party. BR points cannot be pooled or combined with the BR Points of another account. BR Points may not be purchased or sold and are non-refundable. BR Points will not be granted for any refunded, void or unpaid Eligible Product transactions. Members can check their BR Points balance on their account page on the Portal. Redemption A Member may not redeem any of its BR Points until the Member has accumulated 1,000 BR Points, at which time all of the Member s BR Points will become available 3

4 for redemption. A Member may only redeem BR Points if at the time of redemption its retailer account is in good standing. Members may redeem BR Points for Rewards via the Administrator s on-line catalog or by contacting the Administrator s customer service center. Expiration and Inactivity BR Points expire two years from the date they were earned. In addition, IDT reserves the right to expire all of a Member s accumulated BR Points if the Member sells less than $25 worth of Eligible Products during any calendar quarter. Changes IDT reserves the right to suspend, terminate, revalue and/or modify any of the aspects of the BR Points including value, structure and list of Eligible Products. Credited to Account BR Points will be credited to a Member s account within one day of the sale of an Eligible Product, except for Bill Pay transactions for which the BR Points will be credited two days after the transaction has settled. Members are responsible for verifying that their BR Points are credited to their account. Any discrepancies or disputes regarding BR Points must be reported to IDT and the Administrator in writing within sixty days of date of activity. VI. Administrator The Program is administered by the Administrator. The Administrator is responsible for redeeming BR Points, Reward ordering, fulfillment and shipping and the overall management of the Program, including customer service, returns and cancellations. All participants in the Program must comply with the Administrator Terms. For Member customer service call VII. Miscellaneous IDT reserves the right to terminate any Member s participation in the Program at any time with or without notice if IDT suspects that the Member is engaging in fraud, tampering with the Program, violating these Terms, acting in an unsportsmanlike or disruptive manner, acting with intent to annoy, harass or abuse any other person, or engaging in any activity deemed in the sole discretion of IDT to be generally inconsistent with the operation of the Program. Any costs incurred IDT in so doing shall be the responsibility of the Member. Termination will result in a loss of all accumulated BR Points and the loss of all other Program benefits. In lieu of termination, IDT may at its sole discretion deduct Bonus Points from your account, but permit you to continue participating in the Program. All Eligible Product sales are subject to verification by IDT. By participating in the Program, all persons agree to abide by the terms of these Terms and by any and all decisions of IDT, which are final and binding on all matters pertaining to these Terms and/or the Program. Any information or disclosure authorized by IDT concerning the Program is incorporated into these Rules. If there is any inconsistency between 4

5 any advertising material regarding the Program and these Terms, then these Terms shall control. By participating in the Program, each person agrees to release and hold IDT and its parent entities, subsidiaries, affiliates, partners, and their respective officers, directors and employees harmless from any and all liability for injuries (including personal injury), losses, damages, rights, claims and actions of any kind in connection with the Program and/or use of any Rewards. The Program is void where prohibited by law. The Maritz Reward Studio Terms and Conditions Maritz and its subsidiaries and divisions provide their services to you subject to the following terms and conditions. While you are visiting and shopping this site (or any customized versions thereof), you must accept these conditions. Please read them carefully. LAWS AND REGULATIONS User access to and use of this website is subject to all applicable federal, state and local laws and regulations. Award and gift offers are void where prohibited by law. The laws of the state of Missouri, without regard to principles of conflict of laws, will govern use of this website, any transactions and any dispute of any sort that might arise between you and Maritz. Maritz reserves the right to change elements or terms of use of any program, including, but not limited to, award or gift offerings, at any time without notice. If an award or gift offering is discontinued, reasonable efforts will be made to offer a substitute of equivalent quality. All award and gift offerings are subject to availability. Maritz may make model substitutions of equivalent value without advance notice when necessary. VIOLATIONS OF TERMS AND CONDITIONS Maritz reserves the right to seek all remedies available at law and in equity for violations of these terms and conditions, including the right to block access from a particular Internet address to the website. ACCESS TO PASSWORD PROTECTED/SECURE AREAS Access to and use of password protected and/or secure areas of the website is restricted to authorized users only. Unauthorized individuals attempting to access these areas of the website may be subject to prosecution.
