1 <Date> Ambassador Volunteer Agreement IGLTA Ambassadors are engaged members of IGLTA and represent the organization locally in communities worldwide in a positive and professional manner. Volunteer Ambassadors are appointed by IGLTA staff and help market LGBT travel, organize IGLTA Member Networking Events and connect IGLTA with local LGBT travel businesses, media, tourist offices and travelers. Ambassadors represent IGLTA at local travel trade shows and assist with new membership development, retention of current members and serve as the primary IGLTA contact for members in their local area. IGLTA Ambassadorship is a one-year commitment, running from convention to convention. Candidates must meet the following requirements: At least one year as the primary contact person of an IGLTA business member in good standing Attendance at a minimum of at least one IGLTA Annual Global Convention prior to applying Residency in the country of appointment Fluency, both written and spoken, in English as well as in the native language of the country of appointment The following agreement outlines the roles and responsibilities of both IGLTA and the appointed Ambassador. This agreement is between the following parties: International Gay & Lesbian Travel Association 1201 NE 26 th Street, Suite 103 Fort Lauderdale, FL, 33305, USA Hereinafter referred to as IGLTA ; A n d : <Ambassador Name> Hereinafter referred to as The Ambassador. The two parties agree to the Ambassador Appointment as outlined on the following pages of this agreement. I G L T A Ambassador Volunteering Agreement Page 1 o f 8
2 Ambassador Appointment Agreement Term of agreement: The date of this agreement is effective <Date> and it is valid through to the IGLTA Annual Global Convention in <Year>. At the end of the term of this agreement, a review will be conducted by a member of the IGLTA staff. If IGLTA determines that the Ambassador has successfully fulfilled their duties and responsibilities to IGLTA under this agreement, and has dutifully upheld the IGLTA Code of Conduct, this agreement may be renewed. The intent of the Ambassador program is to rotate these volunteer positions with various members to ensure the organization remains active and fresh in their country. The Ambassador agrees to fulfill the following responsibilities during the term of this agreement: Volunteering o The Ambassador agrees to dedicate personal time to IGLTA on a volunteer non-paid basis. However new members brought in by the AMB are paid with commission. o The Ambassador agrees and commits to engage with IGLTA members and potential members, even if competitors, for the good of the association. Networking o The Ambassador agrees to organize a minimum of 1 (one) IGLTA Member Networking Reception in the local city, region, state or country represented by the Ambassador prior to the <Date> Annual Global Convention. IGLTA Member Networking Receptions bring together local members, potential members, Global Partners and local media for networking and socializing. Ambassadors are encouraged to call upon the local membership for help and support in sponsoring member-networking events (i.e. asking a local hotel or restaurant to host a member networking event). Receptions should be organized at no cost. The Ambassador is not expected to assume any financial burden of hosting a Member Networking Reception. IGLTA will not reimburse the Ambassador for any costs of hosting a Member Networking Reception. IGLTA can provide the Ambassador with direction and ideas for hosting a complimentary and successful reception. Membership development & service o The Ambassador agrees to communicate on a regular basis no less than once per quarter with members in the community to keep them engaged and to encourage membership renewal o The Ambassador agrees to respond to member questions regarding IGLTA operations & membership in a timely and professional manner o The Ambassador agrees to help grow and develop local IGLTA membership in the country or region represented based on the following individual goal: Individual Goal: 10% annual growth Trade fairs, seminars, conferences o The Ambassador agrees to represent and promote IGLTA at local trade fairs, seminars, conferences etc. Ambassador agrees to coordinate and request collateral material from IGLTA HQ a minimum of six weeks prior to the event. Confidentiality Agreement o The Ambassador hereby agrees to sign and abide by the IGLTA Pledge of Confidentiality (Appendix A, attached). I G L T A Ambassador Volunteering Agreement Page 2 o f 8
3 Code of Conduct o The Ambassador hereby certifies to have read and understood the IGLTA Code of Conduct (Appendix B, attached) and agrees to uphold said code. PayPal account o The Ambassador agrees to setup a PayPal account and to provide IGLTA with account information in order to facilitate the payment of membership commissions. (tony.warner@iglta.org) Communication o IGLTA will communicate to the AMB via and/or a private Facebook group. For the program to be successful, Ambassadors should check their IGLTA on a regular basis. IGLTA agrees to provide the Ambassador with the following during the term of this agreement: IGLTA Membership o One (1) annual General Membership per AMB with profile on IGLTA website for the Ambassador s company (whether the Ambassador be direct owner or employee of said company) Includes contact information, description, logo, photos, hyperlink, links to social media, videos, etc. o IGLTA logo usage o All other membership benefits as outlined on the IGLTA website: o In the event the Ambassador leaves the company during the term of appointment, the company s membership will remain active until its usual anniversary date, at which time the company will have the opportunity to renew its IGLTA membership at normal membership rates in effect at the time of renewal. IGLTA address o IGLTA will addresses for the Ambassador in the following formats: firstname.lastname@iglta.org and country@iglta.org o The Ambassador agrees to send and receive s at this address when conducting official IGLTA business. Ambassador also agrees to use this address only for official IGLTA business and not for personal purposes IGLTA Annual Global Convention o Based upon performance, IGLTA may extend the Ambassador a discounted registration rate to attend the regularly scheduled IGLTA Annual Global Convention occurring within the period covered by this agreement. Profile on the IGLTA Ambassador Listing Page o IGLTA will create a profile on the IGLTA Ambassador Listing Page at the following address: o The Ambassador agrees to provide IGLTA with a business appropriate headshot, bio and contact information and hereby agrees that this information may be displayed on the IGLTA website and in IGLTA collateral material, including but not limited to: presentations, web properties, brochures, press releases, newsletters and other communications. IGLTA Business Cards o Upon request, IGLTA will provide the Ambassador with IGLTA Business cards personalized with the Ambassador s name and contact information. If the AMB is able to cover the cost to print locally, IGLTA HQ will provide the graphic design via . I G L T A Ambassador Volunteering Agreement Page 3 o f 8
4 IGLTA Collateral o IGLTA will provide the Ambassador with any available collateral items to help promote the Association and drive membership. o All collateral requests must be made at least six (6) weeks prior to the event. AMB Commissions o Commissions are paid when the AMB is engaged and held an instrumental influence in obtaining the membership or renewal, as well as potential sponsor. o To receive commission for new members or renewing members, the AMB must provide the business names they have contacted quarterly to IGLTA (Tony.Warner@iglta.org). In order to be compliant with nonprofit laws in the USA, IGLTA will not provide commissions beyond one quarter past transaction. o IGLTA pays 5% commission of cash paid to IGLTA for convention sponsors. The commission is paid within one quarter after cash payment is received from sponsor. o IGLTA agrees to pay commission to the Ambassador for new memberships according to the following commission structure*: MEMBERSHIP TYPE MEMBERSHIP FEE COMMISSION PAID Small Business (1-50 emp.) $335 $50 Medium Business ( emp.) & Small CVBs (1-10 emp) $825 $75 Large Business ( emp.) & Large CVBs (11+ emp) $1355 $100 Corporate Membership (201 Plus employees) $2760 $200 Travel Agencies (1-5 emp); Latin America, Asia, GALTA Members $245 $35 (Australia), Africa (1-50 emp) and/or any other special rate of $245. Travel Agencies (6+ emp); Latin America, Asia, GALTA $455 $50 Members (Australia), Africa (large business 50+ emp) and/or any other special rate of $455. CVB/Tourism Offices (1-10 staff) $825 $75 CVB/Tourism Offices (11+ staff) $1325 $100 Associate Membership $99 $15 Renewals: All Business Memberships $25 Renewals: Associate Memberships $15 *Membership fees and commissions rates are accurate as of January 1 st, 2017, and are subject to change. Fees: It is understood by both parties that the role of IGLTA Ambassador is on a volunteer basis. In consideration of the mutually beneficial nature of this Ambassador Appointment Agreement, both parties agree that the benefits provided by each party are similarly equal in value and are therefore provided on the basis of an exchange. Other than Commission payments as outlined above, IGLTA will not provide monetary compensation to the Ambassador in consideration for the personal time volunteered to fulfill the role of Ambassador. Termination: Unless otherwise specified or terminated prior to its regular end date, this agreement shall automatically terminate on the date specified in the section Term of Agreement above. IGLTA reserves the right to terminate this agreement, effective immediately, in the event the Ambassador is deemed to be in breach of agreement or not upholding the IGLTA Code of Conduct. Additional Notes: The Ambassador may not assign, appoint or otherwise transfer any rights under this agreement without the prior written consent of IGLTA. Any attempted assignment by the Ambassador without the prior written consent of IGLTA will be voided by IGLTA.

6 Confidentiality:. The terms of this agreement shall be deemed and remain confidential between the parties. (Appendix A) Governing law:. This agreement shall be governed by the laws of the state of Florida and shall be subject to the jurisdiction and venue of the courts in the state of Florida. 8 Appendix A INTERNATIONAL GAY & LESBIAN TRAVEL ASSOCIATION PLEDGE OF CONFIDENTIALITY This is to certify that I,, a volunteer Ambassador of The International Gay & Lesbian Travel Association, understand that any information (written, electronic, verbal or other form) obtained must remain confidential. This includes all information about members, sponsors, employees and other associate organizations, as well as any other information otherwise marked or known to be confidential. I understand that any unauthorized release or carelessness in the handling of this confidential information is considered a breach of my duty to maintain confidentiality. I further understand that any breach of my duty to maintain confidentiality could be grounds for immediate dismissal and/or possible liability in any legal action arising from such breach. 9 Appendix B of IGLTA Bylaws IGLTA Professional Code of Conduct The International Gay and Lesbian Travel Association, Inc., hereafter referred to as IGLTA, is the world's leading travel trade association committed to growing its members' gay and lesbian tourism business through education, promotion, and networking. The following Professional Code of Conduct, as approved by the board of Directors of IGLTA, are general rules which apply to member's conduct with respect to professional ethics and decorum in meetings and especially, when serving in any capacity as a member, ambassador, representative or voice of IGLTA. As a member, and by your appointment as IGLTA Ambassador, you must agree to recognize the following rules, and honor the Professional Code of Conduct as follows: Each member will conduct business with honesty, integrity, and fairness with respect to customers, clients, employees, and business associates alike. In the conduct of IGLTA meetings and events, each member will adhere to the highest standards of decorum, mutual respect and professional integrity. Each member will be accessible and accountable to customers or clients and make every reasonable effort to act in the customers' or clients' best interest and benefit. Each member will protect their customers' or clients' confidentiality to the extent that is ethically and legally applicable. Each member will not discriminate as to sex, race, color, religion, national origin, age, disability status, sexual orientation, gender identity or gender expression. Each member will be responsible at all times for the truthful and non-deceptive advertising or promotion regarding his/her business and its products or services. Each member will conduct business with strict adherence to the laws and regulations of the state and country where incorporated and in accordance with business or professional codes adhered to within the travel industry. Furthermore, all members agree to conduct business in accordance with generally accepted ethical business practices. The Board of Directors on behalf of IGLTA, acting in accordance with the By-Laws of the IGLTA reserves the right to revise our Professional Code of Conduct at any time.
