This Sweepstakes is administered by The Chivery, LLC ( Administrator ) and will be conducted under the supervision of Administrator. ACCEPTANCE OF RULES. By entering this Sweepstakes, you fully and unconditionally accept and agree to these Rules and all decisions made by Administrator, which are final and binding on all matters related to the Sweepstakes. ELIGIBILITY TO ENTER. This Sweepstakes is only open to permanent legal U.S. residents of the United States and the District of Columbia, who are at least 21 years old as of the beginning of the Sweepstakes Period (defined herein), the exception being residents of Florida, New York, or Rhode Island, to whom this Sweepstakes is not open. By entering this Sweepstakes, you represent that you are at least 21 years of age. TIMING OF SWEEPSTAKES. 2 HOW TO ENTER. YOU MAY ONLY ENTER THIS SWEEPSTAKES 1 TIME. There is no purchase necessary to enter. You may enter using one of the following methods: 1. Current Chive Box Subscribers: If you are currently a Chive Box subscriber, you will be automatically entered into the Sweepstakes. 2. New Chive Box Subscribers: To enter this Sweepstakes as a new Chive Box subscriber, subscribe to a Chive Box during the Sweepstakes Period. All new Chive Box subscribers during the Sweepstakes Period will be entered into the Sweepstakes. 3. Free Alternate Method of Entry: Alternatively, to enter this Sweepstakes using the Free Alternate Method of Entry, without subscribing to a Chive Box, visit and follow the instructions for the free alternate method of entry. All information submitted during any method of entry must be complete and accurate, or your entry will be disqualified. You may only enter this Sweepstakes on behalf of yourself; you may not enter this Sweepstakes on behalf of any other person. The owner of the address used to subscribe to the Chive Box or entered at the point of the free method of entry will be deemed the entrant into Sweepstakes. You may be required to show proof of ownership of your account used to enter this Sweepstakes. If you qualify for entry into the Sweepstakes, but wish to opt-out from entry and withdraw yourself from participation and the chance to be a Winner, please contact Administrator at help@thechivery.com and Administrator will arrange to withdraw you from entry into the Sweepstakes. WINNER SELECTION 1 Grand Prize winner (the Grand Winner ), 10 Second Place Prize winners (the Second Place Winners ), and 100 Third Place Prize winners (the Third Place Winner ) will be selected by random chance drawing from all eligible entries validly received during the Sweepstakes Period (the Grand Winner, Second Place Winners, and Third Place Winners are collectively referred to as Winners or each a Winner ). Odds of winning depend on the total number of eligible entries received. The Grand Winner will be the eligible entrant who is randomly selected first by Administrator from all eligible entrants; the Second Place Winners will be the next 10 eligible entrants randomly selected by Administrator from the remaining eligible entrants; and the Third Place Winners will be the next 100 eligible entrants randomly selected by Administrator from the then-remaining eligible entrants. PRIZES Grand Prize. 1 Grand Winner will be awarded the following Grand Prize:

Round trip coach airfare for the Winner and a guest to Jacksonville, Florida (see limitations below). Ground transportation for the Winner and guest from the Jacksonville Airport to the hotel accommodations in St. Augustine, Florida. 1 hotel room accommodation the Winner and a guest for 2 night s stay in St. Augustine, Florida, coinciding with the Tournament. 1 ToonSquad jersey signed by Bill Murray (as seen in the movie Space Jam ). The approximate retail value of the Grand Prize is $3,900. PRIZE RESTRICTIONS. ALL PRIZES ARE SUBJECT TO THE FOLLOWING RESTRICTIONS, AS APPLICABLE: General Restrictions. All Prizes are non-transferable and have no cash redemption or substitution value, except that Administrator, in its discretion, reserves the right to change, substitute, or replace any Prize at any time with one of greater or comparable value if any part of the Prize becomes unavailable for any reason. Administrator will not be responsible for or replace any lost or stolen Prizes. To be awarded and claim a Prize, the potential Winner must meet all eligibility requirements, comply with these rules, and be ready, willing, and able to claim the Prize. No more than the stated number of Prizes will be awarded. The actual retail value of a Prize may be different from the stated approximate retail value due to location, market conditions, changes in values/rates for Prize components, or for other similar reasons; if so, Winners will not be entitled to receive any difference in value. All unclaimed Prizes or unused portions of a Prize will be forfeited in their entirety. ALL PRIZES ARE AWARDED AS IS. ADMINISTRATOR DOES NOT MAKE AND DISCLAIMS ANY AND ALL REPRESENTATIONS AND WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, RELATING TO THE PRIZE, INCLUDING WITHOUT LIMITATION, ALL WARRANTIES OF MERCHANTABILITY AND/OR FITNESS FOR A PARTICULAR PURPOSE OR THAT ANY PRIZE WILL BE FREE FROM ERRORS OR DEFECTS.

4 Additional Grand Prize Restrictions. THE GRAND PRIZE IS SUBJECT TO THE FOLLOWING ADDITIONAL RESTRICTIONS: Excluded Travel Expenses. ALL COSTS NOT EXPRESSLY STATED HEREIN ARE NOT INCLUDED IN THE GRAND PRIZE AND ARE THE SOLE RESPONSIBILITY OF THE GRAND WINNER, INCLUDING BUT NOT LIMITED TO, MEALS AND BEVERAGES, ADDITIONAL FEES CHARGED BY AIRLINES OR HOTELS, GROUND TRANSPORTATION WITHIN ST. AUGUSTINE, PERSONAL CHARGES, GRATUITIES AND TAXES. Guest Restrictions. The Grand Winner has the opportunity to bring a guest to participate in the Grand Prize. However, the guest has no right to the Grand Prize himself/herself; instead, the Grand Winner s Prize includes the opportunity to bring a guest with him/her. The Grand Winner may choose to not bring a guest and, if so, the Grand Prize will apply only to the Grand Winner and the Grand Winner will not receive any additional prizes, substitutions, difference in value, or other consideration of any kind as a result of his/her decision not to bring a guest. Air Transportation Limitation. If either the Grand Winner or his/her guest will be traveling to the Tournament from a destination that is less than 200 miles from the Tournament location, Administrator reserves the right to substitute air transportation with ground transportation for that individual, and that individual will not receive any additional prizes, substitutions, difference in value, or other consideration of any kind. Changes. Administrator is not responsible for any cancellations, delays, or changes in dates, times, location, events, schedule, or any other changes with respect to the Grand Prize. If any part of the Grand Prize is canceled or changed, or if the Grand Winner or guest is unable to attend for any reason, the Grand Winner will not receive any additional prizes, substitutions, difference in value, or other consideration of any kind. It is Grand Winner s sole responsibility to stay informed about the details of the Tournament and flight and travel itineraries, including any changes thereto or cancellations thereof. The Grand Prize is offered as an all or nothing Prize; no portion of the Grand Prize may be used independently of the entire Grand Prize. Compliance with Third Party Terms. To participate in the Grand Prize, the Grand Winner and his/her guest (if applicable): (a) must be eligible to travel to the Grand Prize, as determined by the applicable travel authority or travel provider; (b) must comply with and be subject to all terms of tickets and reservations (such as airline tickets and hotel reservations), required documentation, instructions, and protocols (including, but not limited to, trip itinerary, changes, protocols and requirements to gain access, screenings, or background checks) related thereto; and (c) is required to carefully read and understand the terms of all third party tickets and reservations. Failure to comply with any of the foregoing will result in forfeiture of the Grand Prize by the Grand Winner, and the Grand Winner will not receive any additional prizes, substitutions, difference in value, or other consideration of any kind. Conduct. If the Grand Winner and/or guest engages in behavior at any time that Administrator, or its representatives determine, in their discretion, is obnoxious, threatening, illegal, or intended to annoy, abuse, threaten or harass any other person or themselves, Administrator reserves the right

5 to terminate the Grand Prize, in whole or part, and the Grand Prize will be forfeited by the Grand Winner, without any substitution, reimbursement, or other consideration. NOTIFICATION OF WINNER. After selection of the potential Winners, Administrator will contact each potential Winner by including correspondence within the potential Winner s Chive Box, by at the address provided at entry, or by other method reasonably sufficient to notify the potential Winner that he/she is a potential Winner and to arrange for the potential Winner to claim the Prize. All Winners and any guests of the First Place Winner are required to provide Administrator with their names, residential addresses, telephone numbers, addresses, and must present valid government-issued photo ID (such as license or passport) upon Administrator s request. ALL POTENTIAL WINNERS MUST RESPOND TO ADMINISTRATOR BY MARCH 30, 2018 TO CLAIM THEIR PRIZE. IF ANY POTENTIAL WINNER DOES NOT RESPOND BY THAT DATE, HE/SHE WILL AUTOMATICALLY FORFEIT HIS/HER OPPORTUNITY TO WIN THE PRIZE. WINNERS MUST MEET ALL ELIGIBILITY REQUIREMENTS AND COMPLY WITH THESE TERMS TO WIN THE PRIZE. 6 Any person attempts to exceed the limit of number of entries into the Sweepstakes by any method, including but not limited to, using multiple addresses or accounts or robotic entries; A Winner or potential Winner refuses, declines, or is not ready, willing, or able to accept and claim the Prize, in accordance with these Rules; Administrator is unable to deliver the Prize for any reason; or As may be required by any governmental agency with authority over sweepstakes regulation. LICENSE TO ENTRIES. By entering this Sweepstakes, you grant Administrator a non-exclusive, perpetual, worldwide, royalty-free, sub-licensable and transferrable right and license to use, modify, copy, publicly perform and display, exhibit, and otherwise exploit, in any and all media now known or later devised, all works of authorship, material, content, or other intellectual property submitted by you in connection with this Sweepstakes (collectively, Material ), in connection with this Sweepstakes and any products, services, and advertising or promotional material related to the Sweepstakes, without any further compensation, consideration, notice to, or approval by, you. TAXES AND FORMS. RELEASE. IF YOU ARE NOT A CALIFORNIA RESIDENT, BUT ARE A RESIDENT OF A STATE WITH A PROVISION SUBSTANTIALLY COMPARABLE TO THAT OF SECTION 1542 OF THE CALIFORNIA CIVIL CODE, YOU EXPRESSLY WAIVE THE BENEFITS OF THE APPLICABLE LAWS OF ANY STATE OR OTHER JURISDICTION WHICH ARE SUBSTANTIALLY COMPARABLE TO SECTION 1542 OF THE CALIFORNIA CIVIL CODE, AND ALL PROVISIONS OF THESE RULES APPLICABLE TO SECTION 1542 WILL APPLY WITH FULL FORCE AND EFFECT TO YOUR STATE S COMPARABLE PROVISION. LIMITATION OF LIABILITY.
