1 ENTERTAINER RULES & REGULATIONS Notice to Entertainers: You must initial each line to indicate your understanding and acceptance, and submit this document with your application. The following Rules and Regulations (the "Rules") of the operations will be STRICTLY ENFORCED. Please retain a copy of these Rules for your future reference. 1. The Urban Market will provide a public address system, 10 x 10 tent (with weighted legs and three walls), a folding table and chair. Additional equipment must be requested by the entertainer prior to the service agreement being signed. initials 2. The Entertainer is to provide the Urban Market with the requirements of their performance at the time the service agreement is signed. Last minute requests will not be accommodated. initials 3. The day-to-day market administration is coordinated by the Urban Market team. The team is responsible for approving applications, assigning stalls, collecting fees, enforcing these rules, and other matters related to the operation of the Market. In this regard, the Urban Market team may issue warnings or cancel approvals. initials 4. Entertainers are responsible for ensuring that they have the proper licences and permissions associated with their performance(s). initials 5. Entertainers can sell merchandise at the market with approval from the market manager. initials Day of the Event: 1. Advanced stall assignments are at the sole discretion of the Urban Market team. Stall assignments will be decided based on market mix as well as other factors including, but not limited to vendor attendance, customer traffic, construction, special events, etc. The Urban Market team has the sole right to make adjustments to the market layout as they see fit. initials 2. The Urban Market is a RAIN OR SHINE outdoor market. Set up begins two hours before the market opens and all Entertainers must be ready to perform by no later than five minutes past the opening time. initials 3. The service agreement will outline the performance time(s). Entertainers are expected to perform until the end of the agreed time frame. Early performance end times will result in a $25 fee to the Urban Market. Equipment take down occurs after agreed time frame. initials 1 P a g e

2 4. Only approved vendors, entertainers or community groups may participate in the Urban Market. Vendors, entertainers or community groups MAY NOT loan, give, sublease or license the stall(s) assigned to them, including to other vendors, entertainers or community groups. initials 5. The Market may be shut down at any time for safety reasons, including but not limited to weather conditions, at the sole discretion of the Urban Market team. Fees are non-refundable. initials 6. Entertainers may not sell any items to the public before opening at the signal of the Urban Market team. Entertainers may sell to other Vendors prior to opening. initials 7. All Entertainer vehicles must be turned off during unloading and loading. Once unloaded, Entertainers must park their vehicle off-site prior to setting up their stall. initials 8. Entertainers must be neat and clean in appearance and must conduct themselves in a professional manner at all times. Any complaints received concerning unprofessional conduct including the use of profane language, smoking, cleanliness of the Entertainer or Entertainers performance, etc., may be considered grounds for dismissal from the Market. Insubordination, the consumption of alcohol or drugs, and fighting during the Market will be cause for immediate dismissal. No warnings are required. Service fees will not be paid. initials 9. Entertainers shall ensure that their stalls and any vehicles, equipment or other items brought on the Market site are operated in an entirely safe manner and do not create or present any health or safety concern for other vendors or visitors to the Market, including young children. initials Cancelation or Changes: 10. Cancellation Policy: Cancellation must be by phone or to the Urban Market team at or. a. Entertainers must cancel any booked time and/or stall before Friday at 12 p.m. prior to the Market day to not be considered a late cancellation. initials b. No-shows, early closures or late cancellations will result in the requirement to pay to the Urban Market $50 in damages. These fees must be paid in full before the Entertainer can participate in any future Market. initials c. Any Entertainer who is absent; no-show or late cancellation; two or more Market days in a season will receive a warning and may not be allowed to return to the Market. Requests for exceptions must be made in writing to the Urban Market team outlining the reasons therefore. initials 11. Entertainers may request additional Market dates or a longer set by to the Urban Market team, an additional service agreement is to be signed. initials 2 P a g e

3 Other: 12. Any Entertainer complaints concerning the Market, its rules, operations or other concerns must be made in writing to the Urban Market team. Any complaints that an Entertainer believes have been unsatisfactorily resolved by the Urban Market team, after providing the Urban Market team with a reasonable time to respond and resolve the complaint, can be referred in writing to the Community Services Department, Regional Municipality of Wood Buffalo, to the attention of: Manager, Community Strategies. initials 13. Entertainers are responsible to ensure that they comply with all applicable federal, provincial and municipal laws at all times, including but not limited to health and safety. Entertainers are responsible to ensure that they hold and maintain in good standing all required licences and permits for their operations and performance. initials 14. Entertainers are fully responsible for any violations or unsafe circumstances that arise from their performance, or their participating in the Market, including any damages, injuries or loss of life. initials 15. Entertainers must be at least 18 years of age or accompanied by an adult. initials 16. Entertainers are asked to share and repost social media content on their own social media accounts, if available. initials 17. PHOTO RELEASE: I agree to give permission to the Urban Market team to promote my business via social media and other advertising methods related to the Urban Market and take pictures of me and my products/performance, to use in advertising and/or promotion of the Urban Market. initials I am eligible, have read, understood and agree that I will comply with all the Rules outlined above and as may be amended from time to time. 5 ENTERTAINER WAIVER & INDEMNITY AGREEMENT I/We (print name or corporate name if incorporated), hereafter referred to as the "Entertainer", agree: 1. at all times to comply with all applicable federal and provincial legislation, municipal bylaws, the rules outlined in the Entertainer Rules and Regulations, and any additional conditions of Market approval, each as may be amended from time to time (together, the "Rules"); 2. to indemnify and save harmless the Regional Municipality of Wood Buffalo (the "RMWB") and its elected officials, directors, officers, agents, contractors and employees in respect of: (a) all claims for bodily injury or death, property damage, other loss or damage; and (b) any loss of or damage to any equipment, facilities, vehicles or property at or in connection with the Market, arising howsoever out of the Entertainer's participation in the Market or from the conduct or any act or omission of the Entertainer or any agent, employee, contractor, invitee or licensee of the Entertainer or anyone else for whom the Entertainer is in law responsible, and in respect of all reasonable costs, expenses and liabilities incurred by the RMWB and any of its elected officials, directors, officers, agents, contractors and employees (including without limitation legal fees and disbursements on a solicitor-and-his-own-client basis) in connection with or arising out of all such claims, losses or damage, including the expenses of any action or proceeding pertaining thereto; 3. to indemnify and save harmless the RMWB and its elected officials, directors, officers, agents, contractors and employees in respect of any loss, costs, expense or damage suffered or incurred by the RMWB arising from any breach or non-performance by the Vendor of any of its covenants or obligations as outlined in the Rules; 4. the foregoing obligations to indemnify the RMWB shall survive the expiration or earlier termination of the Entertainer 's participation in the Market; and 5. that the RMWB and elected officials, directors, officers, agents, contractors and employees are not responsible for any loss or damage whatsoever that may be suffered by the Vendor or any agent, employee, contractor, invitee or licensee of the Entertainer or anyone else for whom the Vendor is in law responsible in the course of or in relation to the Market or with respect to the Vendor's application to sell products at the Market.
