1 VOLUNTARY RECOGNITION AGREEMENT AND COLLECTIVE AGREEMENT TillS MEMORANDUM OF AGREEMENT made as of the J. _ day of March 2018 BETWEEN: LOURENCO & BOTELHO INC. (hereinafter called "the Employer") -and- LABOURERS' INTERNATIONAL UNION OF NORTH AMERICA AND LABOURERS' INTERNATIONAL UNION OF NORTH AMERICA, ONTARIO PROVINCIAL DISTRICT COUNCIL and its affiliated Local Unions 183, 247, 493, 506, 527, 607, 625,837, 1036, 1059 and 1089 (hereinafter called "the Union") WHEREAS the Union is entitled to represent employees of the Employer; AND WHEREAS the parties desire to enter into a Voluntary Recognition Agreement on the terms set out below; AND WHEREAS the Union is a designated Employee Bargaining Agency with respect to construction labourers in the I. C.I. sector of the Construction Industry and a current Collective Agreement was signed between the Construction Labour Relations Association of Ontario; Ontario Masonry Contractors Association of Ontario; Industrial Contractors Association of Canada; Waterproofing Contractors Association of Ontario; Concrete Floor Contractors Association of Ontario (Employer Bargaining Agency) and the Labourers' International Union of North America; the Labourers' International Union of North America, Ontario Provincial District Council on behalf of its affiliated Local Unions 183,247,493, 506, 527, 607, 625, 837, 1036, 1059 and 1089 (Employee Bargaining Agency) effective from May 1, 2016 to April 30, 2019 (hereinafter the "Provincial ICI Agreement"); AND WHEREAS the Union is party to a Collective Agreement between the Utility Contractors' Association of Ontario and the Labourers' International Union of North America, Ontario Provincial District Council and its affiliated Local Unions 183, 493, 506, 527, 607, 625, 837, 1036, 1059 and 1089 effective May 1, 2016 to April 30, 2019 (the "Provincial Utility Agreement");

2 NOW THEREFORE the parties agree as follows: L The Company recognizes the Union as the exclusive bargaining agent for the following bargaining units: a. All construction labourers, including masons' or bricklayers' tenders, plasterers and plasterers' apprentices and all employees engaged in cement finishing, waterproofmg or restoration work and all employees engaged in the industrial, co=ercial and institutional sector of the construction industry in the Province of Ontario; and b. All construction labourers in the employ of the Company in all other sectors of the construction industry outside the ICI sector in the Province of Ontario. 2. The Employer and the Union hereby acknowledge and agree to recognize, observe and be bound by all of the terms, conditions, provisions (both monetary and nonmonetary of the Provincial ICI Collective Agreement, including any amendments and renewals thereof, as if the same was made between the Union and the Employer. The Employer hereby acknowledges that it is in possession of and is familiar with all the terms, conditions and provisions (both monetary and nonmonetary) of the Provincial ICI Collective Agreement. 3. The Employer and the Union hereby acknowledge and agree to recognize, observe and be bound by all of the terms, conditions, provisions (both monetary and nonmonetary) of the Provincial Utility Collective Agreement, including any amendments and renewals thereof, as if the same was made between the Union and the Employer. The Employer hereby acknowledges that it is in possession of and is familiar with all the terms, conditions and provisions (both monetary and non-monetary) of the Provincial Utility Agreement. 4. The Employer and the Union hereby acknowledge and agree to recognize, observe and be bound by all of the terms, conditions, provisions (both monetary and nonmonetary) of any other accredited Collective Agreement of the Union in the non ICI sectors of the Province of Ontario. 5. In the event any of the terms, conditions, provisions (both monetary and nonmonetary) and appendices of the Collective Agreements referred to above are in any way altered, added to or amended by the parties thereto, then the parties to this Memorandum of Agreement shall be bound by the same as if original parties thereto, and this Collective Agreement shall be deemed to be amended accordingly as if the same was made between the Union and the Employer. The Employer hereby acknowledges that it is in possession of and is familiar with all of the terms, conditions and provisions of the Provincial Collective Agreements referred to above. The Employer shall execute such documents as may be presented to it by the Unions in order to confirm and acknowledge such intention.

The parties agree that the implementation and application of the Provincial Utility Agreement shall be subject to transitional provisions, as set out in the Memorandum of Agreement attached as Schedule "A". IN WITNESS THEREOF, each of the parties hereto has caused this Memorandum of Agreement to be signed by its duly authorized representatives as of the date and year first written above. 4 SCHEDULE "A" TO THE VOLUNTARY RECOGNITION AGREEMENT MEMORANDUM OF AGREEMENT BETWEEN: LOURENCO & BOTELHO INC. -and- (hereinafter called "the Employer") LABOURERS' INTERNATIONAL L"NION OF NORTH AMERICA AND LABOURERS' INTERNATIONAL UNION OF NORTH AMERICA, ONTARIO PROVINCIAL DISTRICT COUNCIL and its affiliated Local Unions 183, 247, 493, 506, 527, 607, 625, 837, 1036, 1059 and 1089 (hereinafter called "the Union") WHEREAS the parties have entered into a voluntary recognition agreement (the "VRA") which binds the Employer to the Collective Agreement between the Utility Contractors' Association of Ontario and the Union (the "Provincial Utility Agreement"); AND WHEREAS the parties wish to provide for certain transitional provisions with respect to the application ofthe Provincial Utility Agreement; NOW THEREFORE the parties agree as follows: 7. The parties agree that these transitional provisions shall only apply with respect to and limited to maintenance and facility work that has already been approved and for which the Employer already appears on the list of contractors for Hydro Ottawa. 8. As a transition period upon co=encement until January I, 2020, the Union agrees that the Employer may pay to its employees while working in Local 527's geographical area an amended hourly rate of pay as follows: a. Effective i=ediately until April 30, 2018, the Employer may pay to its employees the hourly wage rates in the Provincial Utility Agreement for May I, 2016;

5 b. Effective May 1, 2018 until April 30, 2019, the Employer may pay to its employees the hourly wage rates in the Provincial Utility Agreement for May 1, 2017; c. Effective May 1, 2019 until April 30, 2020, the Employer may pay to its employees the hourly wage rate in the Provincial Utility Agreement for May 1, 2018; 9. During this transition period, all other terms and conditions of the Provincial Utility Agreement shall fully apply. 10. The parties agree that on May 1, 2020, the Employer shall apply the full terms of the Provincial Utility Agreement, including wage rates. 11. The Union agrees to reduce the initiation fee charged to current employees of the Employer who join the Union to $ and Monthly Dues to $30.00 per individual as per the attached list. 12. There shall be no reduction in wages with the introduction of this collective agreement.
