1 Visa Dubai Shopping Festival 2019 Emirates NBD Promotion Terms & Conditions Participants in the Visa/Emirates NBD Dubai Shopping Festival 2019 (the Promotion ) will be deemed to have accepted these Terms and Conditions ( Terms & Conditions ) and the privacy policy available at ( Privacy Policy ) and agreed to be bound by them when participating in any element of this Promotion. 1. Promotion Overview Spend AED500 or more with participating merchants on your Emirates NBD Visa card on any day during the Dubai Shopping Festival ( DSF ) for a chance to win a Infiniti QX50 Autograph edition worth 216,000AED (the Grand Prize ) also Spend AED500 or more with participating merchants on your Emirates NBD Visa card on any day during the Dubai Shopping Festival ( DSF ) for a chance to win a AED5,000 shopping voucher. In addition, participants who spend AED 1,000 on their Emirates NBD Visa card in the UAE on selected spend categories each week will have a chance to win a related experience courtesy of Visa and Emirates NBD. The Promotion opens at 00:01 (+4 GMT) on 26 December 2018 and closes at 23:59 (+4 GMT) on 2 February 2019 (the Promotion Period ). The start and end dates for particular offers may vary, as set out in these Terms & Conditions or otherwise communicated by the Promoter. 2. Eligibility 2.1 All persons aged 21 or over, who, at the time of participating possess full legal capacity and hold a valid Emirates NBD Visa credit, debit, prepaid, or commercial card will be eligible to participate in the Promotion ( Eligible Participants ). Otherwise eligible participants between the ages of 16 and 21 may be required to furnish parental consent before he or she may participate and/or claim the offer. 2.3 Employees, officers, directors, agents and managers of, together with any other persons specified by law (including immediate family members) as being too closely related to, Visa group companies, BBDO, Starcom, Proximity, Emirates NBD or any third party involved in the Promotion, are non-eligible participants. 2.4 Eligible Participants automatically lose their eligibility to participate in the Promotion upon violation (or attempted violation) of these Terms & Conditions or the spirit of these Terms & Conditions. 3. How to participate 3.1 Daily Spend Offer (a) Eligible Participants must spend a minimum of AED500 with participating merchants in the UAE on their Emirates NBD Visa card on a single day (0:01 +4 GMT to 23:59 +4 GMT) during the Promotion Period (the Minimum Daily Spend ). (b) Once the Minimum Daily Spend has been reached, Eligible Participants will be automatically entered into a prize draw where a winner will be selected at random for

2 each day of the Promotion Period. There will be 39 winners in total. Each winner will be awarded an AED5,000 shopping voucher (the Daily Spend Prize ). Use of the Daily Spend Prize will be governed by separate terms and conditions, which each winner should review carefully. (c) The draw for the Daily Spend Prizes will take place on 20 and 12 February (d) Winners will be notified by the Promoter by phone call and/or by Weekly Spend Offer (a) Eligible Participants must spend 1,000 AED on the category of goods/services set out below during the relevant week (the Minimum Weekly Spend ) in order to qualify. The prize draws for the Weekly Spend Prizes set out above will take place on 20 and 12 February 2019.

3 (e) There will be five winners in total and the prizes available for each week are set out in the table above (together the Weekly Spend Prizes ). Use of the Weekly Spend Prizes will be governed by separate terms and conditions, which each winner should review carefully. (f) Winners will be notified by the Promoter by phone call and/or by The Grand Prize 4. Each random draw will take place under the supervision of a representative from an authorised UAE government agency. 4.2 All terms and conditions, product and service guarantees, warranties, and other consumer rights in relation to the Daily Spend Prize and the Weekly Spend Prizes (together, the Prizes ) will remain between the provider of the relevant prize and the winner. No cash alternatives will be offered. 4.3 An Eligible Participant can only win once during the Promotion Period. 5. Collection and Use of Personal Information 5.1 Eligible Participants may be required to provide personal information to the Promoter in order to take part in this Promotion, including to claim prizes. By providing their personal information, Eligible Participants consent to the Promoter and its appointees using his or her personal information to the extent necessary for the effective conduct of the Promotion, which may include the passing of such personal information to third parties, as well as to parties outside the United Arab Emirates. The Promoter will ensure that the Eligible Participant s personal data is encrypted for international transfer purposes. Eligible Participants nonetheless acknowledge that such countries may not have data protection laws which are neither equivalent nor stricter than those of the Eligible Participant s country of residence and consents to such transfer. Any information shared by participants with the issuing bank (Emirates NBD) as part of this promotion may also be subject to the respective bank s privacy policy. Participants warrant, acknowledge and confirm to have accepted Emirates NBD s privacy policy as a result of their ongoing relationship with the bank.

4 5.2 In the event of any conflict between these Terms & Conditions and the Privacy Policy, the Privacy Policy shall prevail. 6 General 6.1 The Promoter is not responsible for the lost opportunity in entering the Promotion should an Eligible Participant not be entered into the draw for any reason. 6.2 The Promoter does not accept responsibility for network, computer, hardware and/or software failures of any kind, which may restrict or delay the sending or receipt of your entries. 6.3 The Promoter is only responsible for the cost of the Prize. The winners should keep in mind that there may be additional expenses and procedures associated with Prize acceptance and use. These are all the sole responsibility of the winner, including, without limitation, all federal, state, local, county, provincial, and other taxes (including income and withholding taxes), transport costs, luggage fees, travel visa applications and fees, travel documents, insurance, meals, incidentals, in-room charges, telephone calls, beverages, gratuities, and any other costs, expenses and procedures. 6.4 In case any prize involves travel, the winner is solely responsible for determining and complying with all applicable international/domestic travel procedures and restrictions. This includes obtaining travel insurance, travel visas and documents to allow travel to/from any destination. Promotor will not be held responsible for a winner s travel visa. Promoter is not responsible for any lost opportunity to travel to a particular destination if the winner or any of his or her travel companions (if any) is unable for any reason to enter a particular country, or the resulting costs of the winner needing to change his or her travel plans for any reason. 6.5 Visa, BBDO, Proximity, Starcom, Emirates NBD, and associated companies will not be responsible for any loss or damage suffered by the winner or any other person in connection with the Promotion, or in the use of a prize. As such, participants agree to indemnify the Promoter (and its officers, employees and agents) against, and hold the Promoter harmless from, any damages, liabilities, losses, or expenses incurred arising directly or indirectly out of the participant's participation in the Promotion, the participant's use or acceptance of the prize, the participant's breach of these Terms & Conditions or the participant's negligent or fraudulent act or omission in relation to the Promotion. 6.6 The Promoter retains the right to null and void any entry where it suspects that the entry may be fraudulent. 6.7 The Promotion is governed by the laws of the Emirate of Dubai and such Federal Laws of the United Arab Emirates as are applicable to the Emirate of Dubai. 6.8 The Promoter is not liable to any taxation of any kind arising from or that may occur from the winner s nationality or country of residence, and will not be held responsible to make any tax payments of any kind relating to the Prizes. Winners will be liable to make all necessary tax payments and to make any necessary notifications to the appropriate authorities relating to acceptance of the Prizes and subsequent dealing with the Prizes. 6.9 To the extent permitted by law, the Promoter reserves the right to change the Terms & Conditions for this Promotion at any time, with or without notice. Any changes to the Promotion or these Terms & Conditions will be posted on
