1 Hotel Azure InstaMoment Contest OFFICIAL RULES The Hotel Azure InstaMoment Contest (the "Contest") is sponsored by Hotel Azure Tahoe, located at ; Tahoe Bowl, and Bear Beach Cafe (the "Sponsors"). There is one Grand Prize to be awarded. Chances of winning depend on the total number of eligible entries received. This contest is in no way sponsored, endorsed, or administered by, or associated with Instagram. No purchase necessary to participate. Who May Enter: Guests who have stayed at Hotel Azure within one (1) month before the date of entry and may not previously have won an award in any photo contest. Contest is open only to individuals who have reached the age of majority in their jurisdiction of residence at the time of entry, Employees of Hotel Azure and International Land Group DE, Inc., and their affiliated companies, advertising and promotion agencies, subsidiaries and affiliates, and their immediate family members (spouse, parent, child, sibling and their respective spouses, regardless of where they live) or persons living in the same households of such employees, whether or not related are not eligible. CONTEST IS VOID WHERE PROHIBITED. Timing: The Contest is open from July 1, 2018 to September 30, 2018 at 11:59 AM PST (the "Contest Period"). How To Enter: To enter the Contest, Eligible entrants shall complete the following steps: 1. Become a follower We will be selecting the winners and the results are final and binding. 2. Like the Contest image posted to the Instagram Profile. 3. In the comments section of the Contest image, tag two friends; and 4. Take and Tag your favorite picture of your recent stay at Hotel Azure with #HotelAzureTahoe. If you do not have an Instagram account, sign up for your FREE account at Remember your Instagram profile must be set to public in order to compete. 1

2 Each entry must comply with the following requirements (the Photograph Requirements ): Photographs must be in digital format. Only online entries will be eligible. No print or film submissions will be accepted for entry into this Contest. Photographs must have been taken during your recent stay at Hotel within one (1) months before the date of entry and may not previously have won an award in any photo contest. Photographs that include sculptures, statues, paintings, and other works of art will be accepted as long as they do not constitute copyright infringement or fraud; provided that entrants must be prepared to provide a release form as described below in "Release". When photographing the work of others, it must be as an object in its environment and not a fullframe close up of another person's art. The photograph, in its entirety, must be a single work of original material taken by the Contest entrant. By entering the Contest, entrant represents, acknowledges and warrants that the submitted photograph is an original work created solely by the entrant, that the photograph does not infringe on the copyrights, trademarks, moral rights, rights of privacy/publicity or intellectual property rights of any person or entity, and that no other party has any right, title, claim or interest in the photograph. The photograph must not, in the sole and unfettered discretion of Hotel, contain obscene, provocative, defamatory, sexually explicit, or otherwise objectionable or inappropriate content. Watermarks are not acceptable and will result in disqualification of the photo. Valid Entries: Any use of electronic device to enhance or alter entrants' odds of winning will count as a fraudulent entry. Entries that are fraudulent are not permitted and will be declared invalid. All entries become the property of the Sponsors and will not be acknowledged or returned. Receipt of entries for the random draw will not be acknowledged, and proof of submission of an entry will not be deemed proof of receipt. By entering the Contest, each entrant acknowledges that he/she is voluntarily providing personal information to Sponsor, with full knowledge that Sponsor will use such information for marketing purposes and creation of a database of prospects for its hotels and services and agrees to be bound by the Official Rules of the Contest as stated herein and to have his or her name and if provide, to be displayed on Sponsor s Instagram page and/or websites and used by Sponsor for any purpose at any time, without any fee or other form of compensation and each entrant is conclusively deemed 2

3 to have waived and disclaimed is or her right to claim any such fee or compensation for use of the winner s name and likeness. Entries and data collected in entry form are conclusively deemed voluntarily provided and become, upon entry, the exclusive property of the Sponsor and will not be returned. The Sponsor reserves the right to delete any entries or remove participants that are in violation of the Official Rules. By participating in the Contest, entrants agree to be bound by these Official Rules. Grand Prize Draw: There will be one (1) grand prize winner of the Contest. The Sponsor will randomly select one (1) winner ( Winner ) from all Valid Entries on Instagram. Sponsor reserves the right to not award a prize, if, in their sole discretion, they do not receive a sufficient number of eligible and qualified valid Entries, or to extend the contest Period if the Contest does not receive a sufficient number of Valid Entries, as determined by Sponsor in their sole discretion. Eligible Winner will be notified by direct message on Instagram within seven (7) days after the Contest Period has ended. Winner is required to respond within three (3) days following transmission of that prize notification that the winner is accepting their prize. In order to be verified the Grand Prize winner, the selected entrant must: o Respond to the prize notification or telephone call within three (3) days of transmission; o Sign a declaration stating that he/she: has read, understands and complies with the Official Rules; releases and discharges the Sponsor; and Consent to the announcement of the winner's name and the use by or on behalf of the Sponsor of the winner's name and/or photograph and/or video for advertising and promotional purposes, without any further compensation to the winner. Should the selected entrant fail to comply with any of the requirements contained in these Official Rules, the Grand prize will be automatically forfeited and another entrant will be selected and the initially selected entrant will be disqualified and will have no recourse towards the Sponsor or anyone involved in the Contest. Return of any prize notification as "undeliverable" may result in disqualification, and an alternate winner may be selected. The Grand Prize: 3

4 One (1) Prize will be awarded. The Grand Prize is valued at One Hundred Eighty Dollars ($180 USD) and is for one winner and a travelling companion will consist of: $100 Hotel Azure Tahoe Gift Voucher $50 Bear Beach Café Gift Voucher $30 Tahoe Bowl Gift Card The winners must be able to redeem their respective Grand Prize before the end of the 2018 season, and is subject to availability. If the winners are not able to redeem the Grand Prize during this time the prize will be forfeited and no alternative prize will be awarded. Accommodation at Hotel Azure Tahoe is subject to availability and normal hotel terms and conditions, alternate room style may be provided based on hotel availability. Any expenses not specifically mentioned above as part of the Grand Prize shall be the sole responsibility of the winner. The Grand Prize does not include any expenses related to meals, pre- and post-travel arrangements, hotel incidentals (parking, phone, laundry, spa treatments, etc.), gratuities or any applicable taxes, which are the sole responsibility of the winner. Activities are subject to availability, weather conditions and operating times of each activity provider. All components of the prize must be taken together. Any portion of the Grand Prize not accepted or redeemed by a winner will be forfeited and is non-transferable and not for re-sale. Winner and travel companion must travel on the same itinerary. Winner and travel companion are responsible for all necessary travel documents. The Sponsors reserves the right to substitute prizes in whole or in part with a prize of equal or greater value in the event a prize is not reasonable available at its discretion. All elements of the Grand Prize are non-transferable, non-exchangeable, not for re-sale and non-refundable. The grand Prize winners are not entitled to receive any payment for any possible difference between the actual value of the Grand Prize and the estimated value of each of the Grand Prize. Grand prizes must be accepted as awarded. No cash alternatives, substitution or transfers of the Grand Prizes will be allowed. Other Matters: The Contest is subject to all applicable federal, state and local/municipal laws and is void where prohibited by law. If any provision of these Official Rules is found by any court of competent jurisdiction to be unenforceable, all other provisions will remain in full force and effect. By entering entrants also agree that the Hotel may use the photographs and each Entrant s name, photograph, likeness, personal data, (see below) and/or voice in any 4

5 publicity or advertising relating to the Contest or future promotions without compensation or approval (except where prohibited by law). Entrants agree that personal data, especially name and address, may be processed, shared, and otherwise used for the purposes and within the context of the Contest and any other purposes outlined in these Official Rules. The data may also be used by Hotel in order to verify the participant's identity, postal address, and telephone number or to otherwise verify the participant's eligibility to participate in the Contest. Participants have the right to access, review, rectify, or cancel any personal data held by Hotel by writing to Hotel at Attn: Marketing Department, 3300 Lake Tahoe Boulevard, South Lake Tahoe, CA Personal data will be used by Hotel and its affiliates exclusively for the purposes stated herein. The Sponsors will not, under any circumstances, be responsible for, or liable to any entrant or any other person for: o any erroneous lost, damaged, late, incomplete, misdirected, deleted, defective, or altered Contest registrations, regardless of the cause, including, but not limited to, failure of the Site; o any failure of any reason whatsoever of the selected entrant to receive a prize notification; o any changes in addresses after Contest registrations are submitted; and o any computer, online, telephone, or technical malfunctions or errors that may occur, regardless of the cause. ACKNOWLEDGEMENT OF RISKS AND WAIVER OF LIABILITY: Contestant acknowledges that there are risks of personal injury, illness and possible loss of life, and risks of damage to or loss of personal property, which may result from participating in this contest. Contestant voluntarily enters (the "Contest") and assumes all of these risks. Contestant, as a condition of entry, agrees to indemnify, defend and hold harmless Hotel Azure and affiliated companies, their vendors, their advertising, promotion and public relations agencies, co-sponsoring companies and their affiliates and agencies, and all officers, directors, employees and agents of the aforesaid entities, from any and all claims and costs, including attorneys fees, relating to, arising from or in connection with participation in this contest or the receipt or use of any prize. In so doing, contestant releases and indemnifies the aforesaid entities and individuals from liability for injuries or damages of any kind arising from or in connection with participation in this contest or the receipt or use of any prize. In no event shall Hotel Azure, be liable to a contestant for acts or omissions arising out of or related to the Contest or that Contestant's participation in the contest. 5

6 If for any reason the Contest is not capable of being conducted as intended by the Sponsors, including due to computer viruses, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other cause that corrupts or interferes with administration, security, fairness, integrity or proper conduct of the Contest, the Sponsor may, at its sole discretion, disqualify any entrant responsible for such misconduct and cancel, terminate, modify or suspend the Contest. Should tax liability arise, then it will be the responsibility of the winner to notify their own Government's relevant tax department. The Sponsor takes no responsibility or liability for taxation or for any other costs incurred in connection with the prizes received in this Contest. Decisions of the Sponsors are final and binding. By entering the Contest, participants consent to the Sponsors' collection, use and the disclosure of the personal information provided in the Contest registration for the administration of the Contest and any future promotions or offers provided by the Sponsors, including posting of the winner's name on the Sponsors website, and in aggregated, non-personal form in order to create reports regarding Contest entrant demographics and consumer habits, which reports the Sponsors may disclose to others. The Sponsors will use the entrant's personal information only for identified purposes, and protect the entrant's personal information in manner that is consistent with The Hotel Azure Privacy Policy at: Entrants may write to the Sponsor and request that their information be removed from the Sponsor's records.
