1 Terms and Conditions for Distributor (Companies contract with distributor) The Applicant is required to read thoroughly and understand the Terms and Conditions, Policies, Code of Ethics and Business Opportunity of the Company as given below. The Application Form is considered as an authentic and legally binding document. This contract in between the Applicant (herein after referred to as Distributor) and ASYLUM AYURVEDA PRIVATE LIMITED (hereinafter for the sake of brevity referred to as Company). If the Applicant agrees to adhere and abide by the condition mentioned hereunder and in the Website named he / she shall become a Distributor on registration with company without payment of any fees. 1) The Applicant should have completed minimum 18 years of age and shall be competent to enter into contract as provided in the Indian Contract Act ) To become eligible to be entitled for commission which independent distributor shall get after selling the product he will have to make first purchase of any product which he is willing to purchases from ASYLUM AYURVEDA PRIVATE LIMITED payable at Nagpur. 3) If the Applicant is the Partnership Firm / Private Limited Company, then the Applicant has to provide all necessary documents pertaining to the Partnership / Company during the registration of Distributorship and at any point of time. 4) While placing orders for any of the Products available with the Company, he / she will have to pay the cost of the Product by way of crossed Demand Draft favouring ASYLUM AYURVEDA PRIVATE LIMITED. payable at Nagpur or the amount may be deposited in the account of the company. 5) The Applicant shall fill in the Form overly fully and properly and duly signed by the Applicant. 6) The Company under no circumstances will accept any payment in cash.

2 7) Once the payment is made for any purchases of Products including acquiring Distributorship, it will be refunded back only under genuine and exceptional circumstances. 8) The Company has not authorised any Official, Officer or Distributor of the Company to receive any amount in cash on behalf of the Company towards the Distributorship fee, or any cost of the Product, as the case may be. 9) If anybody makes any payment in cash, it will be at his / her own risk and under no circumstances, will the Company be answerable or responsible for such unauthorised cash payment and to indemnify the same. 10) The Distributor will be eligible for facilitation fees or income only as per the volume of the business done by him / her that is also subject to the eligibility norms formulated by the Company. The Company does not assure any facilitation fees or income to the Distributor on merely account of his / her joining the Company. 11) The independent Distributor will not be an Agent, or Employee of the Company. His /her position being so, he / she cannot bind the Company, in any manner nor he / she has any authority to bind the Company or to represent or speak on behalf of the Company. 12) The Company will approve the Distributorship by issuing official receipt and an online registration, which will carry the Password and Identification No. known as Track ID. As chosen by the Applicant himself / herself, this Track ID has to be quoted by the Distributor in all his / her transactions and correspondence with the Company. The Track ID once allotted cannot be altered at any later point of time. 13) The Company will, in no case entertain and receive any communication without Track ID. 14) The Company will provide cooling off period of 15 day s besides these 15 days company will not entertain any request for any Product / Package change once the payment is made. 15) The payment been released as facilitation fees / income to the Distributor, Distributor has to register the PAN NO. Details with the Company, else the Company reserves the right to block the Track ID and disallow / hold the facilitation fee / income at any point of time. 16) Trimming, Processing Charges will be deducted as per Company Norms. TDS will be deducted as formulated by the concern Government. 17) In case if Partnership Distributorship / Distributorship are in name of the Firm or the Pvt. Ltd. Company, then the Distributor has to submit all relevant partnership deeds and relevant MOU.

3 18) All individual Distributors should adhere to the rules and regulation formulated by the Organisation and if any of the Distributors is found guilty of not observing the same, then he / she will be terminated from the Distributorship offered by the Company. 19) The Company reserves all the rights to terminate a Distributor on being payment of his dues on company if that distributor is creating nuisance for company and not fallowing system established by it. 20) Once a Distributor is terminated, he / she cannot enter any of the ASYLUM AYURVEDA PRIVATE LIMITED premises, meeting location and his / her facilitation fee / income will be stopped immediately. 21) The Distributor shall always behave and act in a dignified manner befitting the status of Distributors of a reputed and leading Marketing Company of the Country. 22) The Distributor shall bear true faith all and allegiance to the Company and shall uphold the integrity and decorum of the Company and, shall maintain good relations with other Distributors and other Clients. 23) The Distributor shall not compel or mislead any person with any false statement / promise to join the Company or to purchase any Product. 24) It is mandatory for all distributor to wear I-card allotted by company while performing any of the business activity relating to company. 25) The Company will not be answerable for any promise, assurance given by any Distributor to any person, unless it is in accordance with the approved business plan and terms of the Company. Hence, the Applicant shall go through the Website and the Brochures and Notices issued by the Company. Through this Company sources, he / she will fully inform himself / herself on all these matters. 26) The Applicant / Distributor shall ensure that all the information furnished to the Company is correct and properly entered and any request for correction furnished by the Distributor as to his /her sponsor or placement detail will not be entertained, once payment statements are processed. 27) The delivery of the Product will be given to Business Associates of purchase within 21 (21 days including working days, holidays will not be calculated) days from the date of payment or receipt of order whichever is later, all goods will be dispatched only from Company Head Office or Authorized Franchisee. For any delay to the delivery of the Products due to negligence of Distributor like for giving wrong address, he / she shall be responsible for same and Company shall have no liability concerning the delay. If delay s due to negligence of company then company shall take responsibility of it.

4 28) The Company without any prejudice to the interest of Independent Distributors reserves the right to modify the Terms and Conditions, Product, Scheme, Business and Polices, giving prior notice through its website and it will be binding on all Distributors of the Company. 29) The Distributor may discontinue Distributorship by submitting to the Company his / her Resignation in writing specifying there in the reason for such discontinuation. The Applicant agrees that, only after fully satisfying and fully understanding the Business Concept, he enters into this Agreement and the Applicant shall not raise any dispute or claim with the Company in future with regards to the Business Concept. 30) The Company is not responsible or will be level for any losses aggregated due to natural disturbance like natural calamites (food, typhoon and fire etc.) or social disturbances (like riots etc.) economic disturbances or political disturbances. 31) In case any Product is not available in the stock at the time of any joining by any party of Potential Distributor, the Company will make available such Product as soon as possible, but he / she can join the Distributorship and as soon as the Product is available, it will be made available to him / her. 32) The Company s unique business plan enables masses to gain through interconnected system and in no way indulges in money circulation. Hence if any Distributors found propagating such thing, then he / she will be removed from Distributorship with immediate effect and all the losses from his / her behaviour shall have to be bounced by him / her. 33) The Terms and Conditions above mentioned shall be governed in accordance with the law in force in the territories of India. Dispute, if any arises, shall be a subject to the exclusive jurisdiction of the Court of Nagpur. 34) If any disputes or differences arise between the parties here to touching the business or interpretation of any Terms and Conditions or as to facilitation fees, income etc., relating to the business of the Company, the same shall be referred to arbitration and shall be governed by the Arbitration and Conciliation Act, Read over by me / to me and agreed by me. I will bear true faith and allegiance to the Company and shall maintain the integrity and decorum of the Company to which I am about to join as an Independent Distributor. 2. I will bear utmost honesty and uprightness to the Distributors and the Prospective Distributors and to other Clients of the Company; I also swear that I will not indulge in any kind of unfair means to promote my business as a Distributor. 3. I have fully understood and am convinced of the Terms and Conditions with the norms of the Company. 4. I am made to understand that being a freelance Independent Distributor; I will not be an Agent or an Employee of the Company. Hence I have no authority to bind the Company or to speak on its behalf. 5. I declare that I have not been given any assurance or promise by the Company or its Senior Level Distributors as to any income on account of the initial payment made by me. However I am made to understand that I will be eligible for income / facilitation fees, depending upon the volume of business done by me as per Terms. 6. Under any circumstances, I fully agree that the value of the package offered to me will be at a higher side than the amount paid by me. 7. I will not promote the Business of other Companies in the Office, Premises and Meeting Hall or wherever the activities of the Company take place. 8. I will not misguide or induce any one dishonestly to join the Company. I hereby agree and adhere to the Terms and Conditions stipulated along with the Application Form and as mentioned above and agree to do Distributorship business.

6 9. I hereby agree to submit all disputes to arbitration as provided in the Terms and Conditions of the Company.
