2 QUOTATION FOR MOORING MEN SERVICES TO WORK AT GOZO CHANNEL (OPERATIONS) LIMITED - GCOL Q 06/ Scope and purpose of this call 1.1 Introduction 1.2 Gozo Channel (Operations) Limited is seeking Quotations for Mooring Men services to work at Gozo Channel (Operations) Limited. 1.3 Applicants shall submit their bid as per the stipulated format in Forms 1 to and also all documents/certificates as specified in Technical Specifications clause 3.9 and as per Bidders Technical Offer (Organisation and Methodology) of this document. 1. Each application submitted in response to this call for Quotation must clearly indicate the details of the applicant as per the attached documentation. 2. Bid Process 2.1 Method of Submission Applicants are required to complete and submit the following documents (as per attached forms in Forms 1, 2, 3 and ) and all documents/certificates as specified in Technical Specifications clause 3.9 and as per Bidders Technical Offer (Organisation and Methodology) of this document. a. Documents should be closed in a sealed envelope, with the Document No and the Description of the Document clearly marked on them and deposited in the quotation box, (Gozo Channel (Operations) Limited, The Brokerage, Level 2, St. Martha Street, Victoria, Gozo) by the time and date set for the submission of applications. Late Submissions will not be accepted Each document must be duly signed by the applicant. In the case of a registered company this must be signed by an authorized representative of the company By submitting a bid the applicant shall be deemed: 2

3 i. To have understood and accepted all the contents of this document; ii. To be in a position to carry out all the services included in the quotation; and iii. To have accepted the conditions, payment terms and requirements under which the services required would be contracted It is the applicants sole responsibility to read and understand the whole document, and submit their application in accordance therewith. 2.2 Award of Quotation Gozo Channel (Operations) Limited reserves the right to reject any offer. Moreover, Gozo Channel (Operations) Limited reserves the right to cancel the whole Quotation procedure and reject all bids. Gozo Channel (Operations) Limited reserves also the right to initiate a fresh call for Quotation. In the event of a Quotation procedure s cancellation, bidders will be notified by Gozo Channel (Operations) Limited. Cancellation may occur where: the Quotation procedure has been unsuccessful, namely where no qualitatively or financially worthwhile bid has been received or there has been no response at all; the economic or technical parameters of the Quotation have been fundamentally altered; exceptional circumstances or force majeure render normal performance of the Quotation impossible; all technically compliant Quotation/s exceed the financial resources available and there have been irregularities in the procedure, in particular where these have prevented fair competition. In no circumstances will Gozo Channel (Operations) Limited be liable for damages, whatever their nature (in particular damages for loss of profits) or relationship to the cancellation of a Quotation, even if Gozo Channel (Operations) Limited has been advised of the possibility of damages. The publication of a contract notice does not commit Gozo Channel (Operations) Limited to implement the programme or project announced Gozo Channel (Operations) Limited shall not be bound to select any application, and will not accept responsibility for any expense or loss which may be incurred by any applicant. In so doing Gozo Channel (Operations) Limited shall not be liable to give any reason whatsoever Subject to Clause and 2.2.2, Gozo Channel (Operations) Limited will issue a Letter of Acceptance/Contract in favour of the selected bidder. 3

4 3. Technical Specifications 3.1 Gozo Channel (Operations) Limited invites offers for the provision of Mooring men services to work at Gozo Channel (Operations) Limited. 3.2 This service is required for a period of six (6) months starting from last date of signing of contract. 3.3 Rates for these Mooring men services are as follows: (i) (ii) (iii) (iv) (v) Rates from Monday to Saturday not less than Euro 9.23 per hour excluding VAT of which the basic hourly rate of Euro 6.6 is to be paid by the Contractor to his employees. Public Holidays Euro per Mooring men per hour excluding VAT. Sundays including overtime on Sundays and Public Holidays Euro per hour excluding VAT. Overtime Rate Monday to Saturday excluding Public Holidays Euro 9.96 per hour excluding VAT. Hours requested within this quotation document are only estimates and the Contracting Authority reserves the right to increase and/or decrease the number of hours for this contract based on the same rates as indicated within this document. By doing so, the Contracting Authority will not be liable to any damages, fines or expenses on the part of the awarded bidder. 3. Prospective bidders are to confirm with their offer, that if they are awarded the contract they will employ the current employees of the current service provider as per Transfer of Business Regulations (Form 2). The current number of individuals being employed as mooring men is twenty-nine (29). 3.6 All offers are to be submitted in Euro ( ). 3.7 The contract will be awarded to the bidder submitting the offer with the Best Price/Quality Ratio (BPQR) in accordance with the below. Each technical offer will be evaluated in accordance with the award criteria and the associated weighting as detailed in the evaluation grid of this quotation document (Article 3.9). No other award criteria will be used. The award criteria will be examined in accordance with the requirements as indicated in the Technical Specifications.

5 The (BPQR) is established by weighing technical quality against price on a 60/0 * basis respectively. This is done by multiplying; the technical scores awarded to the offers by 0.60 the financial scores awarded to the offers by The evaluation process At this step of the evaluation process, the Evaluation Committee will analyse the administratively-compliant quotations technical conformity in relation to the published Specifications. When evaluating technical offers, each evaluator awards for each criterion/sub -criterion a score out of a maximum of 100 in accordance with the technical criteria and any sub-criteria as outlined in the evaluation grid (Article 3.9). The score given to the criterion/ sub-criterion (out of 100) will be multiplied by the weighting indicated against each criterion/sub-criterion. If thresholds are set for each/any of the criteria/sub-criteria by setting a value out of 100, those offers that do not obtain the set threshold for the individual criterion /sub-criterion will be eliminated*. Quotations must achieve an average technical score of 60%**. The average technical score is arrived at by adding the individual weighted scores of each evaluator divided by the number of evaluators. Those quotations that do not obtain the minimum set average technical score will be eliminated. The offer achieving the highest technical score will be awarded 100% of the technical weight. The other offers will be awarded scores in proportion to the offer with the highest technical score as per below formula; Technical score = Average Technical Score of the Respective Offer x Technical Weight Highest Average Technical Score The financial offers for quotations which were not eliminated during the technical evaluation (i.e., those which have achieved an average technical score of (60)%** or more and/or those which have achieved the set threshold for individual criterion/sub-criterion) will be evaluated. The Evaluation Committee will also check that the financial offers contain no arithmetical errors. The offer with the lowest price will be awarded 100% of the financial weight. The other offers will be awarded scores in proportion to the offer with the lowest price as per below formula; Financial score = Lowest Priced Offer x Financial Weight Financial Offer of the Quotation Being Considered The BPQR will be awarded to the offer that has obtained the highest score after adding the respective technical and financial scores as visualised below; 5

Contract Management and Operations A detailed description of the following: i) Proposed measures to ensure: a) Timekeeping. (Presentation of timekeeping templates showing the Rostering Methodology being used, including the duties performed. Provide draft template being used by the supervisor to show that adequate level of services were achieved). ii) An explanation of the risks and assumptions affecting the execution of the contract including contingency plans in the event of emergencies. The contingency plan is to include but shall not be limited to provisions for the following: i) Mooring men who need to be replaced during their shift due to sickness or any other cause such as (ii) Industrial actions affecting the Service Provider s workforce (Show how the use of resources will ensure the timely delivery of the tasks as per specifications of the quotation Document). iii) Mooring men staff that may not arrive in time to their place of work due to breakdown of public transportation system (Show how the use of resources will ensure the timely delivery of the tasks as per specifications of the quotation Document). b) Reporting mechanisms/procedures used during service 8

9 - Draft monthly reports including timesheets to illustrate the number of hours rendered in Mooring men services per location for the respective month. (Provide a draft draft monthly report on the hours worked). c) Proposed measures to ensure remote support to Mooring Men deployed at the Gozo Gozo Channel (Operations) Ltd. throughout the provision of the services including proposed methodology to ensure the expected level of service. Bidder is to ensure periodic inspections and Supervision (at least two times a week to ensure that his employees are performing the required duties as outlined in the quotation document. Copy of inspection report is to be submitted monthly by the Contractor to the Contracting Authority). Social Aspect Proof of Good Working conditions (economic operator to include measures taken In favour of the employee): Evidence that the bidder is an Equal Opportunities employer in line with the Equality Mark or equivalent (Certificate to be provided). Proof that the bidder meets the legal requirements for the employment of disabled persons. (Certificate to be provided) Declarations and relative proof re the following must be submitted: That bidder employee s wages are paid by direct credit That bidder employees are provided with a payslip That bidder employees have written contracts of employment That bidder employees are covered by an Insurance Cover That bidder employees are paid additional bonuses That bidder employees are given transport allowance That bidder employees are entitled to Family Friendly measures That bidder employees have a Collective Agreement in place and being applied (to be proven through the copy of the collective agreement) be A confirmation employees can sign for Trade Union membership (freedom of employees to join any trade union) Health and Safety resources (Quality assurance systems employed by the contractor to ascertain a good/safe working environment). 10 IN THESE CONDITIONS: The words 'Company' or 'GCOL' shall mean Gozo Channel (Operations) Limited; The word 'Successful bidder' or awarded Contractor shall mean any person or body corporate whose offer for the quotation has been accepted: OTHER OBLIGATIONS OF THE SUCCESSFUL BIDDER (i) The Successful bidder is to observe and abide by all the reasonable instructions, safety and emergency orders, and time limits given and set by the Company. (ii) The Successful bidder shall further be required to obtain an insurance policy covering all risks to his/her employees that are to be employed under this contract. (iii) The recording of the daily attendance of the Contractor s employees shall be through the system employed by Gozo Channel which consists of a palm reader. Attendance verification systems may be introduced during the execution of the contract. (iv) Uniforms and safety equipment are to be provided by the awarded Contractor. However, prior to their deployment, such uniforms and safety equipment have to be approved by Gozo Channel. Results to be achieved by the Contractor 1. The timely and regular provision of employees, as and when required, to work as Mooring men at Gozo Channel (Operations) Limited at Mgarr and Cirkewwa Terminals, to perform the above-mentioned services and to ensure that GCOL operations are efficiently maintained to the satisfaction of the Contracting Authority; 2. To provide employees who are qualified, physically fit for work; who are of good moral character and who have a clean police conduct. Gozo Channel reserves the right to request a copy of police conduct for each and every employee provided by the awarded contractor. 3. Proper supervision and inspection of Mooring men deployed, at least two 10

11 times a week and a Copy of inspection report is to be submitted monthly by the Contractor to the Contracting Authority. SECURITY AND SAFETY The Successful bidder shall abide by all and any directives and/or instructions issued by the Company which, in its sole and absolute discretion are required for the provision and maintenance of adequate security and safety on the ferries and terminals. ASSIGNMENT AND TRANSFER OF RIGHTS (i) Save as provided above, the Successful bidder shall be expressly prohibited from assigning, transferring or subcontracting all and/or any of its rights and obligations under this Agreement by any title whatsoever other than that provided for under this Agreement. GOVERNING LAW/JURISDICTION This Agreement shall be governed by and construed in accordance with the laws of Malta. OTHER CONDITIONS a. The Successful bidder shall have all the necessary licenses and permits covering its operations for the supply of the service requested from all the local authorities. b. The Successful bidder undertakes to ensure that the services used in connection with this agreement is in conformity with, and in no way contravenes all the relevant laws of Malta at all times. 11

12 c. An indicative quantity of up to a maximum of twenty-nine (29) full time mooring men (working 0 hours per week) or equivalent are being requested through this call for quotation. Mooring men provided by the Contractor shall be required to work day and/or night, seven days a week inclusive of Public Holidays and Weekends (on a roster shift basis). As clearly indicated above, the quantity requested will be ordered, according to the exigencies of Gozo Channel (Operations) Ltd. Mooring Men will be based and perform duties at Mgarr and Cirkewwa Terminals. The Contractor shall, without entitlement to any contribution from Gozo Channel (Operations) Limited, be responsible for the payment of all salaries, wages, statutory bonuses, overtime compensation and all and any dues or fees payable to the Employees in connection with their performance of the Mooring men services for Gozo Channel (Operations) Limited. The Contractor shall also be responsible for the payment of personal income taxes and social security contributions (if payable) to the local authorities on behalf of the Employees. The Contractor shall hold Gozo Channel (Operations) Limited harmless against any claims in respect of the wages, salaries, bonuses or other emoluments payable to the Employees for work provided to Gozo Channel (Operations) Limited. Contractor shall also hold Gozo Channel (Operations) Limited harmless against any claims made by any competent authority in Malta for the payment of amounts due by way of income tax or social security contributions in relation to the employment of the Employees. Gozo Channel (Operations) Limited shall have the right at any time to request Contractor to remove any Employee from Gozo Channel (Operations) Limited premises if Gozo Channel (Operations) Limited, in its reasonable discretion, deems that any such Employee is unsuitable to perform the tasks entrusted to him, in the event that any such Employee has misbehaved in any manner or if the Employee is otherwise unsuitable for employment in such an environment. In the event of any such request being made by Gozo Channel (Operations) Limited, the Contractor shall have the right to request a meeting with Gozo Channel (Operations) Limited which shall be held within not more than three working days from the day of which the request for removal of the Employee was made by Gozo Channel (Operations) Limited. In any such event, Gozo Channel (Operations) Limited representative shall meet with the Contractors representative to explain the reasons for the request for the removal of the Employee and, unless the Contractor provides an adequate explanation/reasons which satisfy Gozo Channel (Operations) Limited (acting in good faith) that the removal of the Employee is not required, the Contractor shall implement any such request forthwith and shall within not later than five working days replace any such Employee removed with another Employee satisfactory to Gozo Channel (Operations) Limited. In the event that the Contractor fails to comply with its obligation to replace any Employee removed pursuant to this clause within the time period set forth in this clause, the Company shall pay to Gozo Channel (Operations) Limited a penalty for mere delay of Euro (Two Hundred and Fifty Euro) for each day of delay for each mooring men. 12

13 The Contractor shall use commercially reasonable efforts to keep Employee turnover at a minimum and shall ensure that Employee turnover does not adversely impact the provision of the Mooring men services. Moreover, it is the Contractors sole responsibility to provide replacement personnel (mooring men) were sickness and/or leave occurs. Failure to provide such replacement personnel (mooring men) in such situations will reason in a fined being imposed by Gozo Channel (Operations) Limited against the Contract of Euro (two hundred and fifty hundred Euro s) per day per employee. The Contractor shall ensure that any Employees, working in specific areas as dictated by Gozo Channel (Operations) Limited, who are not available to provide the Mooring men services as a result of sick leave, leave or other absence are promptly replaced by other Employees. The Contractor shall abide by the Employment and Industrial Relations Act. Gozo Channel (Operations) Limited may request further information on any matter related to employment conditions should this be considered necessary. Job Description The main duties/responsibilities of bidders personnel performing mooring men duties are: To ensure an efficient service by assisting passengers, particularly the disabled; passengers fully informed of any problems affecting them, particularly delays and offering assistance at all times; by using crowd control measures when necessary; To assist in the allocation of vehicles to lanes; To assist in the measuring and weighing of vehicles as required; To handle ropes, securing/letting go of vessel during berthing/unearthing movements; To check boarding passes and tickets as necessary; To check that passengers and vehicles pay the correct fare; To perform general maintenance duties of the terminal and surroundings; To collect/deliver parcels and mail to terminal/office; To load/unload the baggage trailer and tow on/off board and pass relative paperwork involved to the Chief Officer; To maintain the tow truck and ensure that the units are correctly prepared and any mechanical problems reported. To keep a check on hazardous cargo. 13

14 To prevent and discourage theft and damage to company vessels and premises; To perform irregular inspections and rounds; To report any findings to the Terminal Duty Manager; To carry out the duties of security within terminal areas when required; To ensure a high level of service throughout; To perform any other duties that may be assigned from time to time. Direct Guidance/Supervision: Under the direct supervision of the Terminal Duty Manager and/or Terminal Officer/Co-ordinator, who will be available to give guidance and direction as required. INDEMNITY The Successful bidder further agrees to protect, indemnify and hold harmless Gozo Channel (Operations) Limited from claim/s made against Gozo Channel (Operations) Limited, interrelated or operated companies and their shareholders, directors, officers, agents, contractors, and employees from and against all claims, demands and causes of action of every kind and character arising from the application of this agreement. In the event of any claims being made against the Company in respect of which the Successful bidder is liable under this condition, the Successful bidder shall be notified thereof by the Company and could, at the Successful bidder's own expense, conduct any negotiations or litigation that may arise thereafter. NON-OBSERVANCE Should the Successful bidder fail to abide by the terms or conditions of the eventual Agreement, or should he commit a serious breach of the said Agreement, the Company shall be entitled to terminate the Agreement forthwith by simple letter served on the Successful bidder, and Successful bidder shall be liable to pay the Company by way of penalty the sum equivalent to the annual contractual rate. TERMINATION Further to the General Conditions, termination shall also take place by the Contracting Authority (i.e. Gozo Channel (Operations) Limited) if the same Contracting Authority ceases to operate its service for which this contract is needed. In these circumstances the Contracting Authority apart from being able to terminate the contract shall not be liable to incur additional any damages, expenses or any costs whatsoever. This invariably includes that 1

15 the Contracting Authority would not be held liable for damages or extra costs by the contractor in connection with the termination of service. The Contracting Authority reserves the right to terminate the contract by giving fifteen days notice in writing to the awarded contractor. The Contracting Authority would not be held liable for any damages or extra costs by the contractor in connection with the termination of service. Terms of Reference.1 Bidders are requested to submit their financial offer as requested excluding VAT (as specified in Form )..2 Bidders are requested to also submit the following documentation: i. Bidders are to submit a filled-in Details of Bidder form (as specified in Form 1) ii. Bidders are to submit a filled-in Minimum Hourly Workers cost form (as specified in Form 2). iii. iv. Bidders are to submit a filled-in Declaration concerning Exclusion grounds (as specified in Form 3). All Documents/certificates as specified in Technical Specifications clause 3.9 and as per Bidders Technical Offer (Organisation and Methodology) of this document..3 The provisions of this contract are without prejudice to the obligations of Gozo Channel (Operations) Limited in terms of the Freedom of Information Act (Cap. 96 of the Laws of Malta). Gozo Channel (Operations) Limited, prior to disclosure of any information to a third party in relation to any provisions of this contract which have not yet been made public, shall consult the contractor in accordance with the provisions of the said Act, pertinent subsidiary legislation and the Code of Practice issued pursuant to the Act. Such consultation shall in no way prejudice the obligations of Gozo Channel (Operations) Limited in terms of the Act.. In carrying out his/her obligations in pursuance of this contract, the contractor shall ensure the application of the principle of gender equality and shall thus inter alia refrain from discriminating on the grounds of gender, marital status or family responsibilities. Contractors are to ensure 15

16 that these principles are manifest in the organigram of the company where the principles aforementioned, including the selection criteria for access to all jobs or posts, at all levels of the occupation hierarchy are amply proven. In this document words importing one gender shall also include the other gender. 5. Communication 5.1 Any query/clarification request must be sent to address by not later than three (3) working days prior to the closing date for the submission of the Quotation. All clarifications will be posted by the Contracting Authority within a reasonable time on its website and will be made available to all interested parties. 5.2 No bid can be altered after the closing date. 5.3 Clarification notes will constitute an integral part of the Quotation documentation, and it is the responsibility of bidders to visit this website and be aware of the latest information published online prior to submitting their bid. 5. Bidders will be requested to either clarify/rectify any incorrect and/or incomplete documentation, and/or submit any missing documents within five working days from notification. Rectifications are free of charge. 6. Submission, closing date, opening of submissions 6.1 Bidders are to present their offers on the prescribed forms as per 6.2 i; ii; iii; iv and v below together with all documents/certificates as requested in Technical Specifications clause 3.9 and as per Bidders Technical Offer (Organisation and Methodology). Only bids submitted in the stipulated format will be considered. 6.2 Interested Parties, when submitting their offer are expected to provide a complete and comprehensive response to this call. Comprehensive Response should include the following: i. Details of Bidders as per FORM 1 below; 16

17 ii. Minimum Hourly Workers Cost as per FORM 2 below; iii. Declaration concerning Exclusion Grounds as per FORM 3 below; iv. Financial Offer as per FORM below; v. All Documents/certificates as specified in Technical Specifications clause 3.9 and as per Bidders Technical Offer (Organisation and Methodology) of this document. 6.3 The closing date for this call for quotation is Tuesday 10 th April 2018 at a.m. 6. Bids are to be deposited in the Quotation Box, Accounts Department, Gozo Channel (Operations) Limited, The Brokerage, Level 2, St. Martha Street, Victoria, Gozo. It is the responsibility of the bidder to ensure that submissions are deposited in the Quotation Box ahead of the closing date and time. Bids will be opened in public session after the closing date and time of the call for quotations at Gozo Channel (Operations) Limited, The Brokerage, Level 2, St Martha Street, Victoria, Gozo. They will draw up a Summary of Quotations Received which will be published on the notice board at Gozo Channel (Operations) Limited Victoria Office. 7. Bid Evaluation Criteria 7.1 Award Criteria The contract will be awarded to the bidder submitting the offer with the Best Price/Quality Ratio (BPQR) The final selection shall be in the sole discretion of Gozo Channel (Operations) Limited. Any bidder or candidate concerned shall have the right to make a complaint to the Public Contracts Review Board in accordance with regulation as stipulated within the Public Procurement Regulations (Part IX of the Public 17
