KG (catering, booth catering, booth parties) Important note: Your order is not deemed to have been received until we provide you with an order confirmation. Renting equipment is only possible in combination with our catering. A fixed transport charge of net per delivery is agreed. Further deliveries are possible. Beverages are sold on commission base. The minimum order is 10 items for food and 1 crate for drinks. Returning beverages is only possible in whole crates. Incomplete crates, single bottles or kegs cannot be redeemed Per original crate, we charge a redemption fee of Unreturned empties will be charged. Breaking and loss will be charged at cost price. Organic food orders require a lead time of 2 weeks. Booth catering is restricted to the NürnbergMesse exhibition site. Deliveries cannot be made to restaurants or congress rooms at the exhibition center. We will be pleased to make you a separate offer for catering services in the conference rooms of the exhibition. Food is charged according to the quantity ordered and can only be cancelled up to one week before the exhibition starts. Complaints, especially concerning food, must be notified to the person responsible for booth catering on the very same day. Later complaints cannot be accepted since they can no longer be traced back. At the end of the exhibition, rented equipment must be sorted and ready for pickup by the customer, otherwise we will charge costs for sorting. Returning packaged food items like coffee, sugar and milk is not possible. Please notify us of your correct invoice address before the exhibition starts. We charge a processing fee of for issuing new invoices due to incorrect invoice data. Failure to meet deadlines will be charged with a cancellation fee. After the trade fair we will deduct the invoice amount from your credit card and send you the invoice by post (mail). For companies with registered offices outside Germany, orders must be paid by credit card in advance upon receipt of the order confirmation/ invoice. If it is not possible to deduct the invoice amount from the specified credit card not later than a week before the trade fair begins, the order will be cancelled. These general business terms apply to all deliveries, services and offers of the company Lehrieder-Catering-Party-Service GmbH & Co. KG (Lehrieder), Messezentrum 1, Nürnberg, represented by the managing directors Jürgen Lehrieder, René Lehrieder and Dr. Nadine Cauers-Lehrieder. They also apply without renewed agreements likewise for future business relations with the customer so long as no general business terms are made apart of these represented by the managing directors. 2. Customers in these general business-terms are consumers and entrepreneurs. Consumers are natural person(s), concluding in this legal transaction for a purpose intended in the commercial aspect of self-employed professional activity. Entrepreneurs, however, are natural or legal persons or legally responsible partnerships acting at completion of contract as part of their business or profession. 3. Differing, conflicting or additional terms and conditions of customers will not, even with knowledge on the side of Lehrieder, be part of the contract. Exceptions only apply if their application has been approved in whole or in certain parts specifically by the company Lehrieder in writing. 2 Contract conclusion 1. A valid contract with the customer begins with an offer and an acceptance of the offer. Silence of the Firm Lehrieder towards an order means that there is no acceptance even if it is an entrepreneur with whom Lehrieder already has maintained or is currently maintaining business relationships. 2. The customer s orders are binding within 14 days. Within this period of time the Firm Lehrieder can accept the order with the effect of a contract conclusion. Offers made by Lehrieder lose their effectiveness if they are not previously revoked; 14 days after receipt by the customer. 3 Compensation 1. The prices contained in offers and other written or oral statements by the company Lehrieder are stated in Euros ( ) and are subject to VAT. Delivery of goods are possible. Unless any other agreement between the parties effected, a delivery fee of 30,00 per trip in the city of Nuremberg applies. Outside the city limits of Nuremberg the cost of delivery by truck (LKW) is 1,30; small transporter 1,00; by car (PKW) 0,75 per kilometer driven. These amounts are subject to appropriate and common package- and waste disposal costs. 2. The customer is obliged to confirm the exact number of participants of an event to be delivered by Lehrieder in writing, no later than 4 days prior the event. If these numbers significantly (based on the number of participants and/or the required food and/or drinks) differ from the original contractual arrangements, Lehrieder can claim the customer s approval for a contract amendment to consent a paid compensation at a corresponding and common extent. 3. Lehrieder reserves (aside the rules under 2.) the right to increase the agreed prices to a reasonable extent for services to be delivered more than 4 months after the contract For transactions with consumers this happens only proportionally to the extent in which the costs for required products and working time for services to be accomplished by Lehrieder increase according to the first sentence. On request, the cost increase can be disclosed and proven to the customer. In case of a corresponding increase, the consumer is entitled to cancel the contract with the result of 4 No. 2 of these General Terms and Conditions. 4. On dispatching the service from Lehrieder, the customer may pay the agreed price by COD, by invoice or by credit card. In immediate acceptance of the service, cash payment is possible.lehrieder is only obliged to ship/ deliver the goods purchased by the customer upon receipt of full payment (plus any packaging and shipping costs), unless in individual cases cash on delivery or otherwise have been agreed. 5. For deliveries and/or services made by Lehrieder on invoice, payment without discount must be made within eight days after receipt. After this period, from that date the customer has to pay the default interest at the usual bank overdraft charges to a bank account even without a reminder of the company Lehrieder; if he is a consumer however at least 5% above the current base rate of the European Central Bank on his monetary obligation; if he is an entrepreneur at least 8% above the current base rate of the European Central Bank on his monetary obligation. Toward entrepreneurs Lehrieder furthermore reserves to prove higher default damages. The same applies to the advance payments respectively stated due dates as mentioned in section The customer s right for compensation only applies for recognized or legally established counterclaims by Lehrieder. The customer, if he is a consumer, can only exercise a lien if his counterclaim is based on the same contract. Entrepreneurs have a right of retention only in case of undisputed or legally established counterclaims. 7. During events, Lehrieder will charge beverages by actual consumption. The customer has the right to check the consumption during and immediately after the event and for this purpose to be shown the empties of present Lehrieder employees. If he does not make use of this option, the fees charged by Lehrieder are considered as drinks consumed by the customer. The customer has the right to refute the correctness of the consumption data and the billing. 4 Right to withdraw from the contract 1. Lehrieder is entitled to withdraw from the contract if the withdrawal is justified by an objective reason the sense of a vast and creditable interest. This is particularly the case: a) Breach of contract by the customer, including damage of Lehrieder s propertyand in case of the customer s default b) In case of impossibility of providing the contractual services, such as force majeure, strikes and natural disasters, and in case of a lack of Lehrieder s self supply. The latter applies for contracts with consumers only if Lehrieder has just made a separate order relating to the contract and this 8

9 Lehrieder Terms and conditions. stamp and authorized signature hedging transaction has not (or not in time) been fulfilled by their supplier. c) In circumstances which arise legitimate doubts about the creditworthiness of the customer; especially at the initiation of bankruptcy proceedings. An obstacle of substitutionary to Lehrieder does not entitle them to terminate the contract. An obstacle of substitutionary to Lehrieder does not entitle them to terminate the contract. In case of permanent unavailability of the due services, Lehrieder will notify the customer immediately upon receiving knowledge thereof and refund the compensation. 2. In case of withdrawal from the contract by the customer up to 4 weeks before the event/delivery, he is obliged to compensate Lehrieder a reimbursement of 10%, up to 1 week prior to the event/delivery 25%, less than 1 week 50%, and less than 2 business days prior to the event/delivery 100% of the order total, but at least Lehrieder s expenses incurred until at full amount. The customer is allowed to prove that the calculated specific amount is significantly lower than the lump sum. 3. Withdrawal Conditions: A customer who is a consumer ( 1, Nr. 2) may withdraw his contract declaration within one month without indication of reasons in writing (e.g. letter, fax, ) or, if the goods are delivered before lapse date, by returning the goods. The term begins upon receipt of this instruction in text form, however not before receipt of the goods to the consumer (in case of recurring deliveries of similar goods not before receipt of the first partial delivery), and not before fulfilling the information duties of the company Lehrieder according to 312c paragraph 2 BGB in conjunction with 1 paragraphs 1, 2 and 4 BGB InfoV as well as their obligations according to 312e paragraph 1 sentence 1 BGB in conjunction with 3 BGB InfoV. The revocation period shall be deemed observed if the goods or matter are returned/notice of revocation is given in time The cancellation or items shall be sent to: Fa. Lehrieder Messezentrum Nürnberg Telefax-Nr.: info@lehrieder.de In case of an effective withdrawal, the mutually received services and any benefits (e.g. interest rates) must be surrendered. If the consumer cannot or can only partly or only in worsened condition return the received services, he is obliged to provide an appropriate compensation. For the surrender of things this does not apply if the deterioration of the goods results exclusively from their examination (as would the consumer in a retail store have been able to). For any deterioration due the proper use of the item, the consumer is not obliged to pay a compensation. Transportable items are returned at the risk of the company Lehrieder. The consumer has to bear the cost of the return if the delivered goods comply with the ordered goods and if the price of returning the item does not exceed 40,00, or if at a higher price of item at the time of the revocation he has not yet given an appropriate compensation or a contractually agreed partial payment. Otherwise the return is free for him. Items which cannot be shipped will be collected from the consumer. Obligations to reimburse payments must be fulfilled within 30 days. For the consumer the term begins with sending the cancellation or the goods, for Lehrieder with its receipt. - End of withdrawal conditions - 5 Transfer of Risk 1. For entrepreneurs, the risk of accidental loss and accidental deterioration of the goods begins with the handover, at forwarding transactions with delivering the items to the forwarder, the carrier or any person or company designated to dispatch the goods to the customer. 2. If the customer is a consumer, the risk of accidental loss and accidental deterioration of the goods, including forwarding transactions, begins only with the transfer of the goods to the customer. 3. In any case, the risk of accidental loss and accidental deterioration of the goods passes to the customer if he is in delay of acceptance. 6 Warranty - complaint obligations - Limitation period 1. The customer has to investigate the goods concerning deficiencies of their type and nature immediately upon receipt. a) If the customer is a consumer, he has to notify Lehrieder about any obvious defects not later than 14 days after delivery or the collection of the goods. Hidden defects must be claimed within 2 years after delivery. Otherwise warranty claims by the customer are excluded. b) If the customer is an entrepreneur, he has to notify Lehrieder about any defects immediately after delivery/collection. An initially not noticeable defect must be claimed as soon as it shows up. If the Contractor does not claim these defects, the goods shall be considered approved with regard to these deficiencies, and warranty claims are excluded. c) The customer has to immediately inform Lehrieder about apparent deficiencies on food products (foods and beverages) after collection/delivery/ service, and promptly report hidden defects of food products upon discovery. Otherwise, just as little warranty claims apply to the customer as to deficiencies which are caused by improper storage or handling by the customer after transfer of risk. d) For wines, naturally occurring secretions such as crystals, depot or cream of tartar represent no lack of quality. 2. For entrepreneurs, Lehrieder warrants defects of the goods at their own discretion by subsequent performance, i.e. repair or replacement delivery. Other claims of the entrepreneur are excluded. If the customer is a consumer, in case of a defect first remedy by repair or supply of conforming goods at his discretion are made. Lehrieder is entitled to reject the type of remedy chosen by the customer if it is only possible with disproportional costs, and any other kind of remedy remains without significant disadvantages for the consumer. If the remedy fails, i.e. two attempts of repair or replacement fail, the customer can claim a reduction of compensation or withdraw from the contract. Withdrawal is not possible for only minor defects. 3. If the customer is a consumer, the limitation period for the preceding claims is two years from the delivery/collection of the goods. For entrepreneurs, the limitation period is one year from delivery/collection of the goods. 4. If acceptable to the customer, Lehrieder reserves the right to replace individual services and products by such of a similar nature and quality in equal amounts. Customary deviations - particularly in shape, color and/or weight - are to be accepted by the customer. For wines vintage variations are possible. Customer claims of warranty rights or breach of contract are excluded in this context. 7 Liability - Limitation of Liability 1. If the customer is a consumer, the liability of the company Lehrieder in minor negligence is limited to the foreseeable immediate typical average 9

The same applies for minor negligence by vicarious agents, representatives and employees of Lehrieder. Claims of the consumer due to delayed service by Lehrieder are - if they are not based on intent or gross negligence - limited to a capacity of 5% of the order value or the offer sum. This does not apply if the service of the company Lehrieder became unattractive or worthless for the customer due to the delay. 2. For entrepreneurs, claims for damages are excluded if no intentional or gross negligence or failure to act exists. This is regardless of the nature of the breach and with the inclusion unlawful acts. At violation of contractual obligations Lehrieder is liable for any negligence, but only to the extent of the foreseeable damage. There is no claim by the customer (who is an entrepreneur) for loss of earnings, claims by third parties, or other indirect or consequential damages, except if a precisely guaranteed condition has been set forth by Lehrieder in order protect the customer against such damage. The above disclaimer applies to employees, representatives and vicarious agents of the company Lehrieder. 3. The in 1 and 2 included disclaimers and limitations apply as little for claims based on fraudulent behavior of the company Lehrieder as for the liability for claims based on the product liability Act, for guaranteed quality features as well as damages resulting from violation of life, body or health. 4. Compensation claims by the customer due a defect expire within one year after delivery/collection of the goods, except the claim is based on a fraudulent act of the company Lehrieder. data. For all business relations between the customer and Lehrieder, including these terms and conditions, only the law of the Federal Republic of Germany applies. The provisions of the UN Sales Convention do not apply. 2. If the customer is an entrepreneur, businessman, a legal entity under public law or public special assets, the seat of the company Lehrieder is the exclusive venue for any directly or indirectly from the contract resulting disputes. The same applies in case that the customer has no general jurisdiction in Germany or if his residence o r habitual residence at the time of institution of legal proceedings is not known and can not be ascertained with reasonable means. 3. If any provision of the contract with the customer and / or these Terms and Conditions are or become wholly or partly invalid, the validity of the remaining provisions shall not be affected. The wholly or partially invalid provision shall be replaced by one that serves the contract, the provisions of these terms and condition and the will of the partners, and guarantees the objected economic success the most. 5. The customer is liable for any damage to equipment on operating leases which he has rented or has been licensed to use for events. In case of damage or loss he must compensate the costs of replacement of the same or equivalent item or the professionall repairing towards Lehrieder. 8 Reservation of ownership 1. Lehrieder retains the title to the delivered goods (reserved goods) until fulfillment of all claims that are is entitled against the customer now or in the future. 2. In case of access by public enforcement authorities or other third parties to the reserved goods, the customer agrees to refer to the property of the company and to immediately notify Lehrieder. Other costs arising to Lehrieder shall be reimbursed by the customer. 3. In case of withdrawal from the contract through the company Lehrieder according to 4 No. 1, the customer is obliged to immediately return the reserved goods. A right of lien can only be exercised within the preset specifications in 3 No Privacy Policy 1. According to 33 BDSG, Lehrieder claims that for the conclusion of the contract and its settlement, personal data is collected and stored in machine-readable form only to the extent necessary to enter into this contractual relationship, and to optionally bring about and process changes. 2. The customer has the right to request instant information by the company Lehrieder to the purpose and scope as well as other recipients of their 10
