ELIGIBILITY: The OPTIC 2017 Promotion (the Promotion ) is open only to those who are legal permanent residents of the 50 United States, the District of Columbia, or Canada (excluding residents of the province of Quebec) and the age of majority in their state/province or territory/residence at the time of entry (the Entrant ). Employees of Lindblad Expeditions, LLC. (the Sponsor ) and B&H Photo Video, their respective affiliates, subsidiaries, contractors, distributors, corporate partners, advertising and promotion agencies, including, but not limited to National Sweepstakes Company, LLC located at 80 Rockwood Place, Ste 104, Rochester, NY (the Promotion Administrator ), suppliers and their immediate family members (parents, children, siblings or spouse, regardless of where they live, or persons living in same household, whether related or not) and any others engaged in the development, production, execution or distribution of this Promotion (collectively the Promotion Entities ) are not eligible to participate in the Promotion. The Promotion is void in Quebec, Puerto Rico, outside of the 50 United States and District of Columbia and where restricted or prohibited by law. 2. AGREEMENT TO OFFICIAL RULES: By participating, Entrant agrees to be fully unconditionally bound by these Official Rules, and represents and warrants that he/she meets the eligibility requirements set forth herein. In addition, Entrant agrees to accept the decisions of the Sponsor as final and binding as it relates to the Promotion. 3. PROMOTION DATES: The Promotion will start at 12:00am ET on May 4, 2017 and ends at 11:59pm ET on June 7, 2017 (the Promotion Period ). 4. HOW TO ENTER: There are three (3) ways to enter the Promotion; however, regardless of the method of entry used to enter there is a limit of one (1) entry per person for the entire Promotion. A. Entry Card at the Event: Visit the Sponsor s Event Booth at the 2017 OPTIC event held from June 4, 2017 to June 7, 2017 to obtain an Official Entry Card (the Entry Card ) from a Sponsor Representative. Upon receipt of the Entry Card, Entrant must complete all required fields on the Entry Card in its entirety to include: full name, mail address, phone number, and address. Then, the Entrant must deposit the completed Entry Card into the Entry Card submission box ("Submission Box") provided at the Sponsor s Booth at the same Event during the start and end times for that Event in order to receive one (1) entry into the Promotion. In the event that the supply of Entry Cards is depleted at the Sponsor s Event Booth, Entrant may enter by submitting a 3 x5 index card hand-printed with full name, mail address, phone number, and and drop it into the Submission Box to receive one (1) entry into the Promotion. B. URL via Livestream during the Event: Attend the livestreaming event and receive a unique URL at the time of the event. Then, click on the unique URL to be directed to the Online Entry Form (the Entry Form ) and complete all required fields on the Entry Form in its entirety, which include: full name, mail address, phone number, and address. Then, click Continue to receive one (1) entry into the Promotion. C. Online: Entrant must visit (the Website ) during the Promotion Period and complete the Entry Form in its entirety and click the Submit button. Upon clicking the Submit button, Entrant will receive one (1) entry into the Promotion.

2 Neither the Sponsor nor Promotion Entities will verify receipt of entries for Entrants. All entries submitted become the sole property of Sponsor and will not be returned. No mechanically or programmatically reproduced entries are permitted. Entries are null and void and will be rejected if not obtained through authorized legitimate channels or if any part is altered, defaced, counterfeited, mutilated or tampered with in any way. Neither Sponsor nor any Promotion Entity is responsible for any online entry that is lost, late, misdirected or undeliverable, whether due to system errors, omissions, interruption, deletions, defects, delay in operations or transmissions, theft or destruction or failures, faulty transmissions or other telecommunications malfunctions, entries not received resulting from any hardware or software failures of any kind, lost or unavailable network connections, failed, incomplete or garbled computer or telephone transmissions, typographical or system errors and failures, faulty transmissions, technical malfunctions, or otherwise. Any attempt by an Entrant to obtain more than one (1) entry per person by using multiple/different identities and/or any other methods will void all of that Entrant s entry and that Entrant may be disqualified from the Promotion. 5. PRIZE: One (1) prize of a trip for prize winner and one (1) travel companion (prize winner and travel companion must be 18 or older or the age of majority) on an expedition journey to Alaska (the Expedition ). The Expedition includes: i) seven (7) nights lodging aboard the National Geographic Sea Lion (one (1) Category 1 cabin) for the Exploring Alaska s Coastal Wilderness expedition, and iv) ground transportation from the Juneau airport to the ship and from the ship to the Sitka airport. Airfare is not included as part of the Expedition prize. Prize winner must see PRIZE CONDITIONS below. Total Approximate Retail Value ( ARV ) of the Expedition is $11,780 USD. All travel, accommodations and activity elements shall be selected solely at the Sponsor's discretion. Prize winner and prize winner's travel companion must travel together on the same itinerary and must complete travel on the dates provided by the Sponsor. In the event that the prize winner and prize winner's travel companion cannot travel within one (1) year of the award date, prize winner will forfeit their right to the Expedition. Sponsor will need to check availability of travel dates prior to booking travel. 6. PRIZE CONDITIONS: Final departure date based upon availability by Sponsor. Expedition is inclusive of: i) all meals and non-alcoholic beverages onboard or on land as appropriate within Alaska, and ii) shore excursions and sightseeing activities during the Expedition. Cabin booking and confirmation cannot be made until 45 days prior to sailing. Prize does not include: i) roundtrip airfare from prize winner s residence to Juneau, Alaska and return from Sitka, Alaska, ii) baggage, accident, or cancellation insurance; items of a personal nature, such as alcoholic beverages, internet access, laundry, spa treatments, wellness amenities, voyage DVD, gift shop merchandise, etc.; passport, visas or immigration expenses; extensions; travel protection plan or travel insurance, gratuities to ship s crew at prize winner s discretion. Prize winner and his/her travel companion must ensure that all their travel papers, including a valid passport, visa and any other required government-approved travel documents are in good order and are valid prior to and for the duration of the trip and must sign the Paperwork detailed in rule 11 below and travel on the same itinerary. Prize is subject to certain restrictions and exact travel times, and arrangements are subject to availability and blackout periods. The Promotion Entities are not responsible for any cancellations, delays, diversions or substitutions, or any act or omission outside if their reasonable control with respect to the prize. Prize winner and travel companion must comply with all check-in requirements, including, but not limited to, the presentation of a major credit card. If the prize winner elects to travel by him/herself without a travel companion, no additional compensation will be awarded. If the prize winner elects to travel or participate in the prize with more than one (1) travel companion, such additional travel companion(s) shall be responsible for any and all costs associated with his or her election to join the Expedition and there is no guarantee that additional spaces will be available for such additional travel companions. No changes will be made to travel details once any element(s) of the travel arrangements have been booked, except at Sponsor s sole discretion. Lost or stolen tickets, or certificates or similar items, or any other component of the prize, once they are in the prize winner s possession, will not be replaced. Travel is

3 subject to capacity controls, availability, blackout dates and certain other restrictions, all of which are subject to change. Travel must be roundtrip. Any unclaimed and/or unused prize or element thereof will be forfeited by and will remain the property of Sponsor. No refund or compensation will be made in the event of the cancellation or delay of any flight. Travel is subject to the terms and conditions set forth in these Official Rules. In the event the prize winner and/or his or her travel companion(s) engage in behavior during prize travel and/or other applicable experience that (as determined by Sponsor in its sole discretion) is obnoxious or threatening, illegal or that is intended to annoy, abuse, threaten or harass any other person, or that in any way disparages or adversely affects the reputation, image, and/or customer goodwill of Sponsor or any of Sponsor s services, products, trademarks, service marks, or logos, Sponsor reserves the right to terminate the prize or other applicable experience early, in whole or in part, and send prize winner and/or his or her travel companion(s) home with no further obligation or compensation whatsoever to prize winner or his/her travel companion(s). In the event prize winner or any travel companion engages in behavior during travel and/or other applicable experience that (as determined by Sponsor in its sole discretion) is illegal, tortious, or subjects prize winner or travel companion(s) to arrest or detention, Sponsor shall have no obligation to pay any damages, fees, fines, judgments or other costs or expenses of any kind whatsoever incurred by prize winner or travel companion(s) as a result of such conduct. SPONSOR SHALL HAVE NO LIABILITY FOR ANY PERSONAL INJURIES, DEATH, PROPERTY DAMAGE, OR OTHER DAMAGES OR EXPENSES RESULTING FROM OR ARISING OUT OF ANY TRAVEL RELATED TO THE PRIZE OR ANY OTHER ASPECT OF PRIZE WINNER S OR ANY TRAVEL COMPANION S ACCEPTANCE OR USE OF THE PRIZE. 7. PRIZE RESTRICTIONS: No more than one (1) prize as set forth in these Official Rules will be awarded. The specifics of the prize shall be solely determined by the Sponsor. The prize must be accepted as awarded. No cash or other prize substitution permitted except at Sponsor's discretion. The prize is nontransferable unless permitted at the Sponsor s sole discretion. Any and all prize related expenses, including without limitation any and all federal, state, municipal and/or local taxes shall be the sole responsibility of the prize winner. Sponsor reserves the right to substitute a prize of equal or greater value if the advertised prize is unavailable for any reason beyond our control. Prize winner consents to Sponsor s use of prize winner's name, likeness, biographical information, image, and/or voice and other indicia of persona for purposes of advertising, promotion, publicity and trade without additional compensation, notification, permission or approval unless prohibited by law. TN residents will not be required to sign a publicity release as a condition of winning a prize. Prize winner will be issued an IRS 1099 or 1042-S form for the actual value of the prize for the year in which actual prize value was received. 8. ODDS: The odds of winning depend on the total number of eligible entries received during the Promotion Period. 9. DRAWING: On or about August 1, 2017, at 3:00 pm ET in Rochester, NY, one (1) prize winner will be selected from among all valid and eligible entries received during the Promotion Period in a random electronic drawing conducted by the Promotion Administrator. Promotion Administrator and Sponsor s decisions are based upon their sole discretion and interpretation of these Official Rules and are final and binding in all respects. 10. SKILL-TESTING QUESTION: Potential Canadian prize winner must correctly answer a mathematical skilltesting question, unaided (by electronic or mechanical or otherwise) prior to being awarded the prize. 11. PRIZE NOTIFICATION: The prize winner will be notified via phone, or any other available contact sources that the prize winner has provided on their Entry Card or Entry Form. Promotion Administrator will make three (3) attempts to contact prize winner either via phone, or mail within five (5) business days from the first attempt. If the prize winner is unable to be contacted within three (3) attempts, prize winner will be disqualified and an alternate prize winner will be selected through a random electronic drawing from the remaining non-winning valid and eligible entries. Except where prohibited, prize winner will be required to sign and return to Promotion Administrator, within seven (7) days of the date of notification to teri.pierce@nationalsweeps.com or via fax at , the following documents which will be provided to the prize winner at the time of the prize notification: for US residents: an Eligibility and Release of Liability and Public Release form, a Travel Companion form, and a W-9 from; and for Canada residents: a Declaration and Release form, a Travel Companion form, the skill-testing question, and the W8-BEN; (collectively the

4 Paperwork ) in order to claim the prize. If a prize winner fails to return the Paperwork within that time frame, or fails to correctly answer the skill-testing question, or is found to be ineligible, or if he/she does not comply with the Official Rules, then the prize winner will be disqualified and an alternate prize winner will be selected through an electronic random drawing from the remaining non-winning valid and eligible entries. If the notification is returned as undeliverable, this will result in disqualification and an alternate prize winner will be selected in accordance with the same process. The value associated with the prize is taxable as income and the prize winner is solely responsible for any taxes, including, but not limited to all applicable federal, state, municipal and local taxes that become due with respect to the value of the prize. The Sponsor (or a third party acting on its behalf) must report the value of the prize to the Internal Revenue Service in the year the prize is received by the prize winner and will be reported to the prize winner and the Internal Revenue Service in the form of a Form 1099 or 1042-S (depending on the country of residency). ANY VIOLATION OF THESE OFFICIAL RULES BY ANY PRIZE WINNER (AT SPONSOR'S SOLE DISCRETION) WILL RESULT IN SUCH PRIZE WINNER'S DISQUALIFICATION AS PRIZE WINNER OF THE PROMOTION AND ALL PRIVILEGES AS PRIZE WINNER WILL BE IMMEDIATELY TERMINATED. 12. RIGHTS GRANTED BY YOU: By entering this Promotion, Entrant understands that the Sponsor, or anyone acting on its behalf, or its respective licensees, successors and assigns will have the right, where permitted by law, without any further notice, to review or consent to print, publish, broadcast, distribute, and use, worldwide in any media now known or hereafter in perpetuity, including, without limitation, the entry and prize winner's name, portrait, picture, voice, likeness, image or statements about the Promotion, and biographical information as news, publicity or information and for trade, advertising, public relations and promotional purposes without any further compensation. 13. TERMS: By participating, Entrants agree for Entrant and for Entrant s heirs, executors and administrators to abide by and be bound by these Official Rules and to waive any right to claim any ambiguity or error therein or in the Promotion itself, and to be bound by all decisions of Sponsor. Entrants hereby acknowledge that Sponsor and Promotion Entities have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to a prize, including express warranties provided exclusively by prize supplier that are sent along with prize (if applicable). Failures to comply with these Official Rules may result in disqualification from the Promotion at Sponsor s sole discretion. Entries which contain false information, are incomplete, inaccurate or are otherwise forged, defective, or made outside authorized channels, shall be void. Sponsor reserves the right, in its sole discretion to cancel, terminate, modify or suspend the Promotion should (in its sole discretion) a virus, computer bugs, non-authorized human intervention, fraud or other causes beyond its control corrupt or affect the administration, security, fairness or proper conduct of the Promotion. In such case, Sponsor may electronically at random select the prize winner from among all valid and eligible entries received prior to and/or after (if appropriate) the action taken by Sponsor. Sponsor reserves the right at its sole discretion to disqualify any person who tampers or attempts to tamper with the entry process or the operation of the Promotion or website or violates these Official Rules. Sponsor has the right, in its sole discretion, to maintain the integrity of the Promotion, to void entries for any valid reason, including, but not limited to: violation of these Official Rules; multiple entries from the same Entrant from different IP addresses; multiple entries from the same computer in excess of that allowed by the Official Rules; or the use of bots, macros or scripts or other technical means for entering. Any attempt by any person to deliberately damage any web site or undermine the legitimate operation of the Promotion may be a violation of criminal and civil laws and should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. 14. LIMITATION OF LIABILITY: By entering or participating, Entrant agrees to release and hold harmless Sponsor, Promotion Entities and their partners, representatives, agents, successors, assigns, employees, officers and directors from any liability, illness, injury, death, loss, litigation, claim or damage that may occur, directly or indirectly, whether caused by negligence or not, from (i) such Entrant's participation in the Promotion and/or his/her acceptance, possession, use, or misuse of any prize or any portion thereof, except where caused by the act, omission or negligence of Sponsor (ii) technical failures of any kind, including but not limited to the malfunctioning of any computer, cable, network, hardware or software; (iii) the unavailability or inaccessibility of any transmissions or telephone or Internet service; (iv) unauthorized human intervention in any part of the entry process or the Promotion; (v) electronic or human error which may occur in the administration of the Promotion

5 or the processing of entries. This Promotion is governed by the laws of the United States and New York and for Canadian Entrants, shall be construed in accordance of the applicable laws of Canada (excluding the province of Quebec). By participating, Canadian Entrants consent to the jurisdiction of the courts of Toronto, Ontario, as well as legal proceedings in those courts. 15. DISPUTES: As a condition of participating in this Promotion, Entrant agrees that any and all disputes which cannot be resolved between the parties, and causes of action arising out of or connected with this Promotion, shall be resolved individually, without resort to any form of class action, exclusively before a court located in New York State having jurisdiction. Further, in any such dispute, under no circumstances will Entrant be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental, or consequential damages, including reasonable attorneys' fees, other than participant's actual out-of-pocket expenses (i.e. costs associated with entering this Promotion), and Entrant further waives all rights to have damages multiplied or increased. 16.
