1 LEGAL NOTICE ANNOUNCEMENT REQUEST FOR PROPOSALS (RFP) July 10, 2018 SOUTH PARK GREEN PARKING SOLUTION Allegheny County Parks Foundation The Capital Projects Manager of the Allegheny County Parks Foundation, Allegheny County, Pennsylvania, is accepting proposals for a one-time contract to perform certain professional consultant services to design and engineer a green parking lot in a highly visible location at the intersection of Corrigan Drive and Brownsville Road in South Park. The new green parking solution project will replace an existing 144 space asphalt parking lot in need of improvement. The new design needs to consider site preparation, paving options, parking layout, site lighting with electric service and/or solar power, ADA access, grading, green STWM BMPs, landscape improvements, project sign and other related site improvements through completion of construction documents. Attached is information relating to submitting a proposal including specific requirements, the organization of the proposal, proposal evaluation criteria, and the proposed contract. Three (3) hard copies and one (1) digital pdf of the proposal in a sealed envelope clearly labeled SOUTH PARK GREEN PARKING SOLUTION PROPOSAL, must be received by the Allegheny County Parks Foundation, attn: Ron Schipani at 675 Old Frankstown Road, Pittsburgh, PA 15239, no later than Friday, July 27, 2018, at 2 PM EST. Proposal deliveries must be made directly to the Parks Foundation office to qualify (office hours are 9:00 AM - 4:00 PM, M-F). There will not be a pre-proposal meeting but proposers are encouraged to visit the site to better understand the project. 3 SECTION 1 - BACKGROUND Allegheny County has an extensive parks system consisting of nine distinct parks located throughout the County totaling over 12,000 acres. The system includes North Park, South Park, Boyce Park, Settlers Cabin Park, Hartwood Acres, White Oak Park, Round Hill Park, Deer Lakes Park and Harrison Hills Park serving communities throughout the County. There are over 2 million people using the parks with more than 20 million visitations each year. South Park was created in 1927, along with North Park, as the beginning of the Allegheny County regional park system. South Park covers approximately 2,013 acres in Southern Allegheny County and provides a wide variety of recreation facilities and attractions including a wave pool, ice rink, Buffalo Nature Preserve, 18-hole golf course, ballfields, Dek hockey, picnic shelters, playgrounds, tennis courts, dog park, biking and walking trails, BMX track, amphitheater, Oliver Miller Homestead, and Fairgrounds Oval. The Fairgrounds were identified for improvement in the 2002 Allegheny County Parks Comprehensive Master Plan which addressed general needs in each of the nine county parks. The Fairgrounds area was originally designed in 1931 as a horse racetrack and venue for major agricultural exhibition events which were part of the annual Allegheny County Fair until The Comprehensive Master Plan recommended a more park specific master plan be prepared for South Park with public participation to guide future improvements. In 2010, the County completed a Fairgrounds Site Master Plan which gathered current user needs and developed recommendations to improve the Fairgrounds. The Fairgrounds parking lot located at the highly visible intersection of Corrigan Drive and Brownsville Road, see ATTACHMENT D SITE LOCATION MAP was recommended to be converted to green parking to reduce the negative effects of stormwater runoff. The Fairground Oval path and recreation fields are located about 40 feet below the elevation of the parking area. A topographic survey of the Oval path and recreation fields was prepared by Monaloh Basin Engineers in 2013 for use in a 2015 DCNR development project; survey data included the slope up to the edge of the parking area. The lower Oval area is located adjacent to and within the 100-year floodplain of Catfish Run but the parking area is not in the floodplain. The parking area consists of 144 spaces in poor to marginal condition with numerous concrete slabs and foundations from past structures. The existing asphalt pavement is deteriorated. A concrete block concessions building and drop off shelter exist on the site but are not required to remain. Although there appears to be a traditional stormwater drainage system (inlets and pipes) under the parking lot, it is not clear how well it functions. It is obvious that surface runoff from the parking area drains directly to Catfish Run. In addition to experiencing water quality problems from urban runoff and storm sewers, the section of Catfish Run adjacent to and downstream from the Fairgrounds Oval is subject to periodic flooding. Replacing two acres of parking surface in a watershed impacted by both non-point source pollution and by flooding from urban runoff with a green design new BMP solution will have a beneficial impact on both water quality and quantity. In 2015 with funding support from 3 Rivers Wet Weather (3RWW), Lennon, Smith, Souleret Engineering (LSSE) prepared several conceptual plan options that were used to secure the DEP grant for this RFP. This past plan is posted at under the projects, South Park Green Parking Solution. The intent of this project is to further explore additional options for green design stormwater BMP solutions to replace the existing parking area. The initial construction, short-term maintenance and longterm maintenance costs will be taken into account. An objective is to identify the most cost-effective approach to improving water quality and reducing water quantity related to stormwater runoff from this site. In the future the Parks Foundation plans to coordinate pre- and post-construction monitoring of stormwater runoff from the site to quantify stormwater and water quality impacts of the new green parking solution. This project is expected to be an inspirational example for future green infrastructure solutions all over the county. 3

4 The purpose of this RFP is to seek the professional consultant(s) services needed to provide a creative design development work phase through the preparation and completion of construction documents. Bidding and construction administration services are not part of this RFP. The RFP scope of work will result in a fully-designed, engineered and permitted green design solution ready for implementation when additional funding becomes available. This project is funded by an Environmental Stewardship and Watershed Protection (Growing Green) grant from the Department of Environmental Protection (DEP) and funds from Allegheny County. DEP and Allegheny County have certain requirements and standards that must be met by the consultant. DEP and Allegheny County will be advising on the project. Certain documents and drafts of documents will be subject to review and approval by DEP and Allegheny County. The Allegheny County Parks Foundation is a 501(c) (3) non-profit, nonpartisan, independent public charity based in Pittsburgh, Pennsylvania. The Parks Foundation assists and works with the County in the improvement, preservation and restoration of the park system by assembling resources, improving assets, and mobilizing public and private stakeholders to advance strategies and aspirations to make the parks signature assets in Southwestern Pennsylvania. The Parks Foundation s overall mission is to help improve, conserve, maintain, protect, preserve and restore park facilities and open spaces, and also to support educational, recreational, natural and cultural activities. These efforts all work to enhance the quality of life for county residents, promote healthy lifestyles, improve the environment, and stimulate economic growth and vibrancy for our region. In partnership with Allegheny County, we strive to enhance the park experience for all users. SECTION 2 - GENERAL TERMS A. The Parks Foundation reserves the right to: 1. Reject any or all proposals and to select the proposal that it determines to be in the best interest of the Parks Foundation. 2. Supplement, amend, substitute or otherwise modify this RFP at any time prior to selection of one or more respondents for negotiation and to cancel this RFP with or without issuing another RFP. 3. Accept or reject any or all of the items in any proposal and award the contract in whole or in part if it is deemed to be in the best interest of the Parks Foundation. 4. Waive any informality, defect, non-responsiveness and/or deviation from this RFP that is not, in the Park Foundation s sole judgment, material to the proposal. B. Proposers are bound by the deadline and location requirements for submittals in response to this RFP as stated herein. Late submissions will be disqualified. C. RFP questions must be submitted in writing to Ron Schipani no later than one (1) week before proposal due date. D. Addendums, if needed, will be posted on the Parks Foundation website for any revisions to this RFP. Proposers are responsible for checking and obtaining addendums from the Parks Foundation website during the advertisement period. 4

5 E. Addendums must be acknowledged by issue number and date in the proposal Letter of Transmittal. The Selection Committee will disqualify a proposal if posted Addendums are not acknowledged. F. Proposals will remain effective for the Parks Foundation review and approval for 90 days from the deadline for submitting proposals. G. The contract is subject to Parks Foundation, Allegheny County, and DEP authorizations; and is only effective after all parties agree to proceed. H. If only one proposal is received by the Parks Foundation, it may negotiate with the proposer or seek additional proposals on an informal or formal basis during the 90-day period that proposals are effective. I. See ATTACHMENT A RFP TENTATIVE SCHEDULE. J. Proposers are required to submit a STATEMENT OF AFFILIATIONS (see ATTACHMENT B). 1. A description of any contractual or other business relationship with the County or any of its departments, agencies, boards, commissions or authorities, including the value of any contract or business relationship entered into during the three (3) calendar years previous to the issue of this RFP. 2. The firm s qualifications and experience for the performance of services to be rendered under the past contract. 3. An identification of the firm s principals, including the names and addresses of all owners or partners or shareholders and officers, or, if the firm is a public corporation, the officers, the members of the board of directors, and shareholders holding more than three (3) percent of the corporate stock. K. Proposers are required to submit a MBE, W/DBE PREVIOUS HISTORY (see ATTACHMENT C). 1. The Parks Foundation and County has established goals to ensure that MBEs (minority business enterprises), WBEs (women business enterprises) and DBEs (disadvantaged business enterprises) are given the maximum opportunity to obtain and perform on contracts. The goals for this project are 13% MBE and 2% W/DBE. These goals remain in effect throughout the life of the contract. 2. The Parks Foundation expects all proposers to demonstrate a good faith effort to include M/W/DBE participation. A good faith effort is defined in the Allegheny County Code of Ordinances Chapter A M/W/DBE participation waiver request is necessary if the M/W/DBE goals are not completely met for this RFP. A M/W/DBE participation waiver request must include the following: a. A detailed account of good faith efforts made. b. A detailed explanation of the bidder s/proposer s normal business practice. c. An operation and/or inventory profile. d. An active company subcontractor/supplier diversity plan/policy. 5

6 4. Allegheny County is a certifying participant in the Pennsylvania Unified Certification Program (PA UCP). PA UCP-certified M/W/DBEs can be found through the PA UCP website: Other certifications, such as through the State of Pennsylvania Department of General Services, may be accepted on a case by case basis. DGS-certified firms can be found through the DGS website: 5. The Allegheny County Department of M/W/DBE provides certification as a Minority, Women and Disadvantaged Business Enterprise, to qualifying firms. All prospective M/W/DBE firms wishing to participate in the Allegheny County M/W/DBE Program must be certified with Allegheny County. L. Debarment: The proposer warrants that it is not prohibited from entering into contract with the Parks Foundation by reason of disqualification. M. Conflict of Interest: By submission of a proposal to this RFP, the proposer agrees that it presently has no interest and shall not have any interest, direct or indirect, which would conflict in any manner with the performance of the services required under this RFP. N. No proposal shall be accepted from, or contract awarded to, any individual or firm in which any Park Foundation or County employee, director or official has a direct or indirect financial interest in violation of applicable County and State ethics rules. Entities that are legally related to each other or to a common entity which seek to submit separate and competing proposals must disclose the nature of their relatedness. O. Consultant shall maintain the highest professional standards of honesty and integrity during the performance of the work and shall take no action in violation of any laws or regulations. P. Consultant certifies by submitting a proposal that to the best of its knowledge and belief that within the last five (5) years that the consultant, its related entities, or subconsultants have not: 1. been indicted or convicted of a crime involving moral turpitude or business honesty or integrity in any jurisdiction; 2. been suspended, debarred or otherwise disqualified from entering into any contract involving government funding; 3. had any business license or professional license suspended or revoked; 4. had any sanction or finding of fact imposed as a result of judicial or administrative proceeding related to fraud, extortion, bribery, bid rigging, embezzlement, misrepresentation or anti-trust; and 5. been, and is not currently, the subject of a criminal investigation by any federal, state, or local prosecuting or investigating agency and/or civil anti-trust investigation by any federal, state, or local prosecuting or investigating agency. 6

7 6. If consultant cannot certify to the above, then it must submit along with its proposal a written explanation of why such certification cannot be made and the Commonwealth/DEP will determine whether a contract may be entered into with the consultant. The consultant s obligation pursuant to this certification in ongoing from and after the effective date of the contract agreement through the termination date thereof. Accordingly the consultant shall have an obligation to immediately notify the Commonwealth and Parks Foundation in writing if at any time during the term of the contract if it becomes aware of any event which would cause the consultant s certification or explanation to change. The Commonwealth may, in its sole discretion, require termination of the contract for cause if it learns that any of the certifications made herein are currently false due to intervening factual circumstances or were false or should have been known to be false when entering into contract. Q. The Parks Foundation is not liable for any cost associated with the development, transmittal, or presentation of any proposal or material submitted in response to this RFP. It shall be the proposer s responsibility to review and verify the completeness of this proposal. R. The proposer is encouraged to add to, modify or clarify any scope of work items it deems appropriate to develop a high quality design solution at the most economical cost. All changes must be clearly listed and explained. However, the scope of work proposed must accomplish the goals and work stated below. SECTION 3 - SCOPE OF WORK A. Overview 1. The project scope includes the design and engineering needed for a green parking solution. The new green parking solution project will replace an existing 144 space asphalt parking lot in need of improvement. The new design needs to consider site preparation, paving options, parking layout, site lighting with electric service and/or solar power, ADA access, grading, green STWM BMPs, landscape improvements, project sign and other related site improvements through completion of construction documents. Note that the electrical engineering services for site lighting are to be separated and submitted as ADD ALT No. 1 CONTRACT. 2. Project sign to note project funders i.e. Allegheny County, DEP, Allegheny County Parks Foundation, and others as needed. 3. Consultant services needed include survey and site design from preliminary through construction documents. Areas of expertise needed include professional land surveying, civil engineering, electrical engineering, landscape architecture, stormwater management green design, and construction cost estimating. Utility and geotechnical services will be needed only to understand the site and prepare an assessment for consideration in design. 4. The consultant is required to work with a project Design Advisory Committee comprised of approximately 9 to 12 members, the Parks Foundation, Allegheny County, DEP, South Park Township, Allegheny County Conservation District, and others as needed to accomplish this project. 5. Minor site grading is anticipated to convert the existing parking lot into a green design solution with drainage improvements as related to green stormwater best management practices (BMPs) that could include permeable surfaces, rain gardens, bio-swales, and/or others. 7

8 B. Survey 6. Final project deliverables shall contain a statement indicating the following: This project was financed in part or in whole by a Growing Greener Grant provided by the Pennsylvania Department of Environmental Protection. The views expressed herein are those of the author(s) and do not necessarily reflect views of the Department of Environmental Protection. 1. Provide an existing conditions/topographical survey plan in AutoCAD and pdf format of the project site as indicated on the ATTACHMENT E PROJECT AREA MAP. Approximate limit of survey area: a. The entire area of the existing parking lot (approx. 2 acres) at the intersection of Corrigan Drive and Brownsville Road. b. An additional 10 feet beyond top of slope down toward the Fairgrounds Oval to the west. c. Include at least 10 feet beyond the edge of shoulder line into Corrigan Drive and Brownsville Road. 2. Determine the location at ground level, both horizontal and vertical, of existing visible surface features, such as structures, paving, fences, railings, natural water features, visible utilities, curbs, parking areas, walls, posts, poles, lights, furnishings, signs, etc. The survey plan is required to include: a. Spot elevations, expressed to the nearest hundredth of a foot (0.01 ) with vertical datum based on local, NGVD 1988 (if available), or other defined datum. 1) Spot elevations throughout the site at changes in surface materials and at site features (i.e. corners of foundations, walks, pavement, drainage systems, guide rails, fence lines, etc.) 2) Spot elevations at utility structures, signs, posts, poles, buildings, trees, shrub beds, etc. b. Topography at one foot contours intervals. c. Graphic scale and north arrow. d. Right-of-way (ROW) lines along Corrigan Drive and Brownsville Road. A full boundary survey is not needed since the project site is contained within the large County-owned park property. e. Two (2) permanent site benchmarks on the site in a location likely not to be affect by proposed improvements. The benchmarks are to be indicated on the survey plan and include the description and elevation (to the nearest hundredth of a foot). f. Location and elevations of sanitary sewers, combination sewer, storm drains and culverts (to include invert elevations) on the property, including catch basins and manholes as visible, available, and accessible. 8

9 g. Depict utility information on the survey plan based on existing historic records gathered from the County, utility companies, and as surveyed on site. This work is not intended to be a high assurance subsurface utility investigation. If a high assurance subsurface utility investigation is determined to be needed for some reason then it may be considered for approval as an additional service. h. Names of utility operating authorities for each utility. Make PA One Call. i. Easements, right-of-ways and other encumbrances; survey work is expected to include inherent tasks i.e. property line tie in etc. j. Property monuments (set and found). The surveyor is expected to do the work necessary to prepare a survey as described herein. If reference is needed to a property line for data tie in then that is an inherent task and to be included. k. Graphic location of 100 year flood plain (FEMA), if applicable. l. Trees 6 or greater with common name identification. m. Perimeter of thickly wooded or landscape areas. C. Utility and Geotechnical Assessment 1. Assess utility and geotechnical based on existing records gathered from the County, utility companies, and surveyor to understand the site conditions to considered in the green design. 2. Prepare a letter that documents the assessment. D. Preliminary Design 1. Attend a kick-off meeting with County staff and the Parks Foundation to review and confirm the design goals. Prepare and distribute meeting minutes of the general discussion. 2. Visit, assess, and understand existing site conditions for consideration during design. Identify the needed site preparation and removals. The removal of the tall steel light towers and concrete block concession building will be by others and not part of this scope. 3. Prepare a minimum of three (3) or more design options for review at a meeting with the Parks Foundation and the County to determine the preferred Preliminary Design solution. The anticipated main variables in the options will be the paving design, STW BMPs including quantity and quality performance, site lighting with electric service and/or solar power, construction costs, short and long term maintenance costs, and number of parking spaces. 4. Prepare an itemized Opinion of Probable Construction and Maintenance Costs for each of the Preliminary Design options. 5. Submit a pdf of the Preliminary Design drawings and Opinion of Probable Construction and Maintenance Costs to the Parks Foundation, Allegheny County, and DEP for review and approval. Provide three (3) hard copy sets of deliverables to the Parks Foundation. Provide related digital MS Word and Excel files as applicable. 9

10 E. Final Design 1. Based on the approved Preliminary Design, make the appropriate refinements to site preparation, layout, grading, site lighting with electric service and/or solar power, and landscape plans. 2. Develop site details and drawings. 3. Update the Opinion of Probable Construction and Maintenance Costs for the Final Design. 4. Attend a meeting with the Design Advisory Committee to discuss the site design and obtain approval from the committee to proceed. 5. Prepare construction drawings and specifications, see below. F. Stormwater Management and Erosion & Sediment Control Plans 1. As required by law, codes, and regulations. 2. Stormwater Management requirements can be verified with the Code Enforcement Officer at South Park Township, Requirements will depend on design approach. 3. Prepare an erosion and sediment pollution control (E&SPC) plan; submit to approving agency in format as required. The Project area is approximately 2 acres. Grading is anticipated to be minor and only as needed to construct green design stormwater BMPs. Contact the Allegheny County Conservation District at (412) for E&SPC plan requirements. Permit fee to be paid by consultant as a reimbursable expense. 4. Include infiltration testing as needed to properly design stormwater BMPs. G. Land Development Plans 1. As required by law, codes, and regulations. Contact Glenn Propokovitch, Code Enforcement Officer, South Park Township, Neither a formal land development plan nor a grading permit is anticipated to be required. The consultant will keep the Township informally updated on schedule progress and copied with preliminary and final design plans. Prepare the application for required ADA parking spaces and submit in format as required to the Township for review. H. Maintenance Plan 1. Prepare an annual maintenance plan that provides short-term and long-term maintenance cost guidelines. Include maintenance schedules for the BMPs, pavement(s), snow & ice removal, landscape plant care, signage, and other site features as needed. 2. Include the Opinion of Probable Maintenance Costs for the Final Design 3. Provide in an 8 ½ x 11 formatted pdf manual. Submit all related documents in Word and Excel as applicable. 10

11 I. Construction Drawings 1. Construction drawings shall be prepared with the primary objective of clearly and concisely describing the work to be done in order to achieve the proposed design. Legally, these drawings, along with the specifications, stipulate the specific materials and services to be supplied for the contract price. Thus, these documents should accurately define the scope of the project and all standards of construction in terminology which laypersons (who approve projects) and contractors or craftsmen (who bid and build them) can readily understand. Consistent terminology should be used in relating work on drawings to specifications and cost estimates, as well as in other bid documents such as agreements and advertisements. a. Basic Site and Design Data Must be provided, including land surveys or verifications thereof; topographic information; soil tests; sub-surface water and drainage conditions; test boring and pits; laboratory tests of materials; or any other information or investigation determined to be relevant to the project design and construction for the protection of the health and safety of the users. b. Drawings Must provide sufficient data for contractor to: locate layout of work to be accomplished; establish existing grades and construct finished grades; identify and protect areas not included in contract work; and other information necessary to coordinate plans with work to be constructed and/or other accompanying documents and information necessary to comply with other agency reviews. 1) Drawings must incorporate sufficient data in plan views, elevations, sections, and construction details for clarity to bidders and/or constructors, and should present as completely as possible a graphic description of the project, including details, dimensions, materials, and methods of construction, in as legible a manner as possible. Information on drawings must be clearly coordinated with the specifications. 2) Drawings must show existing and proposed utilities and services, such as water, sewage, stormwater, electric, gas, communications, etc., including locations, sizes, depths, material, condition, rights-of-way or easements with conditions of same, and utility company names, addresses and contact phone number. Coordinate with local municipality as needed. 2. Professional Registration Seal of the appropriate professional (landscape architect, architect, engineer and/or surveyor) as it applies shall appear on each drawing sheet for all work on the project. 12 J. Technical Specifications 1. Technical Specifications shall be prepared to establish detailed qualitative requirements for materials and workmanship. Specifications set requirements for strength, size, and other physical qualifications, establishes standards and methods of workmanship for construction or manufacture of products used, and guarantees of components and materials. Nomenclature in specifications should be consistent with the drawings and the cost estimate. 2. In case of conflicting information, written specifications normally take precedence over information indicated on the drawings; state this point clearly in all construction contracts and the specifications. 3. Professional Registration Seal of the appropriate design professional (landscape architect, architect, and/or engineer) shall appear on the cover page of each specification document. 4. Prepare and submit the technical specifications in accordance with the County Guidelines for Consultant Services, current edition available online by searching: or direct link to pdf Works/Consultant%20Services%20Guidelines.pdf K. Bidding Documents 1. The consultant will prepare the bidding documents in coordination with the Parks Foundation and County for use in a competitive public bidding process at some point in the future when construction funding in secured. Bidding and construction administration services are not part of this RFP. 2. Bidding documents will include at a minimum: a. Advertisement or Invitation to Bid b. Instructions to Bidders c. Qualifications of Bidder s Statement d. Summary of Work to be Performed e. Bid Proposal Form: All alternate and/or unit price bid items must be clearly stated and delineated on the Bid Proposal Form. f. Bonds 1) Bid Bond: A Bid Bond (or Certified Check, Bank Cashier s Check, or Treasurer s Check) is required with the bid proposal to secure the bidder s financial responsibility. 12

13 2) Performance and Labor and Material Payment Bond: The Public Works Contractors Bond Law of 1967 requires that all construction contracts in excess of $10,000 be accompanied by a Performance Bond and a Labor and Material Payment Bond, unless current municipal codes are more restrictive. Each bond must be in the amount of 100% of the contract award price. These bonds must be secured from an agency or firm approved by the Commonwealth s Department of Insurance to do business in Pennsylvania. 3) Maintenance Bond: A Maintenance Bond is required to protect the owner from faulty or defective work by the contractor. This bond shall cover a period of one year following completion of the project and be in an amount of at least 10% of the contract price. g. General Conditions as needed in consultation with the Parks Foundation and the County. h. Supplemental Conditions as needed in consultation with the Parks Foundation and the County. 1) Include a condition that requires the contractor to provide a site address of where excess debris and material will be legally disposed. Require confirmation at time of actual work. i. Review comments are to be incorporated into the bid documents. Final layout, design, completeness, and accuracy of the construction documents are the responsibility of the consultant. 3. REVIEW AND APPROVAL: Review and acceptance of the construction drawings and specifications (bid documents) by the Parks Foundation, County, and DEP is required prior to close out of design contract. a. Review comments are to be incorporated into the bid documents. Final layout, design, completeness, and accuracy of the construction documents are the responsibility of the consultant. 4. Bidding and construction administration services are not part of this RFP. L. Other Applicable Laws and Regulations 1. All applicable laws, ordinances, resolutions, and regulations shall be complied with related to this project. 2. The following Federal and State Laws and regulations impact on the preparation of the bid documents and govern the advertising and awarding of contracts, and construction of the project. Compliance with these laws and regulations is mandatory. a. Professional Registration Laws: Registration seals of the appropriate design professional (landscape architect, architect, or engineer) are required to appear on all drawings prepared for a project. The appropriate design professional is required to design the project to safeguard life, health, or property and to promote the general welfare of the public. 13

14 b. Wage Rates: Pennsylvania prevailing wage rates are required for construction and must be incorporated into the bidding documents prior to advertising. c. Nondiscrimination/Sexual Harassment Clause: The project must provide for compliance and adherence to applicable Contract Compliance Regulations for Nondiscrimination/Sexual Harassment. See attached Nondiscrimination/Sexual Harassment Clause attached with this RFP as APPENDIX A. This Clause shall be incorporated into the specifications for each contract and/or subcontract to be awarded. d. Federal Occupational Safety and Health Act of 1970 (O.S.H.A.): This Act includes regulations to assure safe and healthy work conditions. Compliance includes recording and reporting. The consultant shall incorporate in contract specifications the contractor s specific responsibility to comply with regulations of the Act and to perform recording and reporting requirements. O.S.H.A. applies to all construction projects, however funded, and super cedes any local or state regulations. e. Pennsylvania Act 287, as amended: This act requires, among other things, that: 1) The Pennsylvania One Call System is utilized. 2) Each Designer preparing a drawing requiring excavation or demolition in a site within a political subdivision shall show upon the drawing the approximate location and type of each underground utility line or pipe. 3) Each Contractor intending to perform excavation or demolition work on a site within a political subdivision shall ascertain the location and type of utility lines and pipes at each site and notify the utility companies three working days in advance of performing the excavation or demolition. f. Pennsylvania Construction Code Act: Construction must comply with the Act of November 10, 1999 (P.L. 491, No. 45), known as the Pennsylvania Construction Code Act (35 P.S. Sections et seq.), as implemented by Department of Labor and Industry regulations, 34 Pa. Code Chapters 401, 403, and 405. Please note that, as of December 2006, Pennsylvania's statewide building code will be referred to as the Uniform Construction Code (UCC). The codes currently in use under the UCC are the 2009 International Codes issued by the International Code Council. Please refer to the UCC regulations and statues in relation to the design and development of public buildings, indoor facilities, and park facilities. g. Architectural Barriers Act of 1968 and Section 504 of the Rehabilitation Act of 1973; PA Act 235 of 1965, as amended, Universal Accessibility Act, and the Americans with Disabilities Act (ADA) of 1990, as amended: Design must comply with these regulations. The 2010 ADA Standards for Accessible Design (2010 Standards) are available at the US Department of Justice website at: Technical assistance can be provided by the United States Access Board at: 1) Submit to South Park Township for review; requires a small fee to be paid by consultant as a reimbursable expense. 14

Other State/County/Local/Agency Reviews 2) Consultant shall be responsible for and agrees to indemnify the and hold harmless the Commonwealth of Pennsylvania, Allegheny County Parks Foundation, and/or Allegheny County from all losses, damages, expenses, claims, demands, suits, and actions brought against the Commonwealth of Pennsylvania, Allegheny County Parks Foundation, and/or Allegheny County as a result of the consultants failure to comply with ADA law. 1. Other state/county/local/agency reviews are required. The construction drawings and specifications will have to be submitted as needed by the consultant to other agencies of government for their review and approval prior to starting work. Review may be required and approvals or permits from, but not limited to the following: a. Department of Environmental Protection. b. Department of Labor and Industry. c. Department of Transportation. d. PA Historical and Museum Commission. e. County Conservation District. f. Local Township. 2. Based on the Pennsylvania Natural Diversity Inventory (PNDI) Survey results, further review may be required by, but not limited to the following: a. Department of Conservation and Natural Resources. b. Fish and Boat Commission. c. Game Commission. d. US Fish and Wildlife Service. SECTION 4 - CONSULTANT QUALIFICATIONS A. Qualifications 1. Consultant areas of expertise needed include professional land surveying, civil engineering, electrical engineering, landscape architecture, and construction cost estimating. 2. The consultant(s) who prepare the construction drawings and specifications must be experienced in the area(s) necessary and be of the appropriate design discipline required for the proposed development project. All construction drawings and specifications must be under the seal of a licensed professional who is authorized by Pennsylvania law to apply the seal. Depending on the nature of the project, the professional(s) could be a landscape architect, an architect, and/or an engineer. 15

16 SECTION 5 - REQUIRED PROPOSAL SUBMITTALS A. Format 1. 8 ½ x 11 page size font size or larger. 3. Content specifically relevant to this project. Do not submit excessive marketing information. B. Letter of Transmittal This letter must include the following: 1. A statement demonstrating your understanding of the work to be performed. 2. A statement confirming that the consultant meets the Consultant Qualifications defined in SECTION 4 above. 3. The consultant's contact person, , and telephone number. 4. Acknowledgement of addendums, identifying them by issued addendum number and date. C. Profile of Consultant This consists of the following: 1. A statement of the consultant's experience in conducting work of the nature sought by this RFP; advertising brochures may be included in support of this statement. 2. The location of the consultant s office that will perform the work. 3. A description of the firm's accounting system and its suitability for aggregation of direct and indirect costs 4. An organizational chart indicating the key individuals assigned to the project. 5. Resumes of individuals (consultants, employees) proposed to conduct the work and the specific duties of each individual in relation to the work. NOTE: the project consulting team needs to have the qualifications listed in SECTION 4 - CONSULTANT QUALIFICATIONS, see above. 6. A reference list of other similar project related clients of the consultant with contact information. 7. Examples of similar projects in one page cut sheet format with descriptive text and pictures. 8. Any other information relating to the capabilities and expertise of the consultant in doing comparable work. 16

17 D. Explanation of Work to be Performed 1. The proposal must include a detailed description of the methods and procedures the consultant will use to perform the SCOPE OF WORK herein, item by item. 2. Describe the consultant s Quality Assurance/Quality Control (QAQC) plan for the work to be performed. E. Work Schedule F. Costs 1. The schedule must include time frames for each major work element, milestone target dates, and dates for completion of preliminary and final documents; consider the scope of work and provide a realistic schedule. 1. For each major work element, the costs must be itemized showing: a. For each person assigned to the work: the title/rank (organizational level) of the person in the organization, the hourly rate, and the number of hours to be worked. b. Itemized hours totaled to indicate a total of hours for the BASE CONTRACT (all work except for electrical engineering related to site lighting). c. Itemized hours totaled to indicate a total of hours for the ADD ALT No. 1 CONTRACT (electrical engineering related to site lighting). d. The reimbursable expenses to be claimed including permit fees. The purchases of food and/or beverages are not allowed as reimbursable expenses. 2. Proposed Hourly Rates a. Consultant rates are expected to be competitive. Consultants are not required to submit detailed supportive financial data with the proposal. Consultants may be requested by the Selection Committee to provide detailed supportive financial data for consideration in evaluating the cost elements of the proposal: i. (For evaluation of direct salary costs) an explanation of the estimating technique used for project loading, current base rates (actual rates prior to deductions or additions for any charges whatsoever) for personnel; and a schedule of personnel that may be assigned to the project: name, title, classification, current base salary; ii. (For evaluation of non-salary direct costs) an explanation of the basis for or source of proposed non-salary direct costs; iii. (For evaluation of indirect costs) a detailed and certified schedule of overhead accounts and rate calculation (as a percentage of direct salary costs) i.e. for DEP state funded projects, covering the current year. 17

18 G. Contract 3. The itemized costs for the BASE CONTRACT (all work except for electrical engineering related to site lighting) must be totaled to produce a Not to Exceed (NTE) contract price. The maximum secured amount available for this design BASE CONTRACT including reimbursable expenses is $125,640. If awarded a contract, the consultant will be bound by this price in performing the work and will only be paid for work completed. The BASE CONTRACT price may not be changed unless the contract is amended by a change order approved by the Parks Foundation, Allegheny County, and DEP. 4. The itemized costs for the ADD ALT No. 1 CONTRACT (electrical engineering related to site lighting) must be totaled to produce a NTE contract price. If awarded a contract, the consultant will be bound by this price in performing the work and will only be paid for work completed. The ADD ALT No. 1 CONTRACT price may not be changed unless the contract is amended by a change order approved by the Parks Foundation, Allegheny County, and DEP. 5. Indicate the percent of MBE and percent of W/DBE participation based on respective costs to total contract price. 6. If awarded a contract, the consultant may not change the staffing assigned to the project without approval by the Parks Foundation. However, approval will not be denied if the staff replacement is determined by the Parks Foundation to be of equal ability or experience to the predecessor. 7. Your method of billing must be stated. The preferred practice of the Parks Foundation is to pay monthly based on actual work completed and invoiced. Regardless of the billing method used, 10% of the funds available under the contract will be withheld until completion of the project deliverables are accepted by the Parks Foundation, County, and DEP. 1. Signed contract form and APPENDIX A document entitled, Nondiscrimination/Sexual Harassment Clause that the state requires to be attached to and incorporated with the contract, see SECTION 7 below. H. Selection While not anticipated as needed, any or all consultants submitting proposals may be invited to give an oral presentation of their proposal. 1. A Selection Committee will evaluate the responses to this RFP. The Selection Committee will include Parks Foundation staff, Parks Foundation Board Members, and County staff. 2. Parks Foundation, Allegheny County; and DEP authorizations will be required prior to notification of final selection and entering into a contract. SECTION 7 - CONTRACT FOR PROFESSIONAL SERVICES The following will be required of the successful firm in order to enter into contract with the Parks Foundation. Additional terms may apply and will be presented at contract negotiations. A. Minority and Women Business Enterprise Participation and Final Payment 1. It will be a term of the contract that final payment shall be conditioned on receipt by the Parks Foundation of a report from the consultant detailing: a. The dollar amount of the contract paid to MBEs along with the names and addresses of those MBEs. b. The dollar amount of the contract paid to W/DBEs along with the names and addresses of those W/DBEs. c. An explanation of any failure to achieve goals represented prior to award of the contract. 19

20 B. Insurance 1. Prior to the beginning of any work, the firm is to provide to the Parks Foundation certificates of insurance, duly executed by the officers or authorized representatives of a responsible and nonassessable insurance company, evidencing the following minimum coverages for the benefit of the Parks Foundation. The said insurance policy shall be non-cancelable, except upon thirty (30)- day prior written notice to the Parks Foundation. The Allegheny County Parks Foundation and Allegheny County and its Chief Executive shall be named as additional insured as pertains to the Comprehensive General Liability policy. Minimum coverage is as follows: Individual Occurrence Aggregate Comprehensive General Liability: $1,000,000 $1,000,000 Bodily injury, including death and property damage combined Automobile Liability: $1,000,000 $1,000,000 Bodily injury, including death and property damage combined Each Claim Aggregate Professional Liability: $1,000,000 $1,000,000 Worker s Compensation: Statutory 2. All premiums shall be at the expense of the firm. The General Liability and Automobile Liability certificates must state that the policy is an Occurrence policy and include the Parks Foundation as an additional insured. Claims Made policies are not acceptable. In the event that the term of said insurance shall expire prior to the expiration of the term of the contract or the completion of all services required hereunder, whichever shall occur later, the firm shall renew said insurance in a timely manner and shall promptly cause a certificate of insurance evidencing such renewal, also with the Allegheny County Parks Foundation and Allegheny County named as additional insured. 3. The Parks Foundation shall be exempt from, and in no way liable for any sums of money, which may represent a deductible in any insurance policy. Payment of such deductibles is the sole responsibility of the firm and/or subconsultant(s) providing such insurance. C. Worker s Compensation 1. The firm will have to certify that it has accepted the provisions of the Pennsylvania Worker s Compensation and Occupational Disease Acts, as amended and supplemented, insofar as work covered by the contract is concerned, and that it has insured its liability there under in accordance with the terms of said acts, or has duly filed a proper certificate of exemption from insurance with the Pennsylvania Department of Labor and Industry. $100,000 per accident limit, $500,000 disease per policy limit, $100,000 disease each employee limit. 20

21 D. The firm is required to comply with the Nondiscrimination/Sexual Harassment Clause, APPENDIX A. E. A proposed contract is included (beginning on next page) for the consultant s review. If it is satisfactory to you, it should be completed, executed, and submitted with the proposal. If you prefer an alternative contract, you may submit it as a part of your proposal. However, the Parks Foundation reserves the right to enter into the enclosed contract with the successful firm or to negotiate the terms of a professional (consulting) services contract. 21

22 CONTRACT FOR PROFESSIONAL SERVICES This Contract is made and entered into this day of, 20, by and between the Allegheny County Parks Foundation, Allegheny County, Pennsylvania ( Parks Foundation ), and ("Consultant"). WHEREAS, the Parks Foundation desires to have certain one-time professional consulting work performed involving to certain professional Consultant services to design and engineer a green parking lot in a highly visible location at the intersection of Corrigan Drive and Brownsville Road in South Park. The new green parking solution project will replace an existing 144 space asphalt parking lot in need of improvement. The new design needs to consider site preparation, paving options, parking layout, site lighting with electric service and/or solar power, ADA access, grading, green STWM BMPs, landscape improvements, project sign and other related site improvements through completion of construction documents; WHEREAS, the Parks Foundation is authorized by separate agreement with to manage this work for Allegheny County ( Owner ) to manage this work with input from the Owner; WHEREAS, the Parks Foundation desires to enter into a contract for this work pursuant to a Request for Proposals ( RFP") issued by Parks Foundation; WHEREAS, the Consulting Firm desires to perform the work in accordance with the proposal it submitted in response to the RFP; WHEREAS, the Consulting Firm is equipped and staffed to perform the work; NOW, THEREFORE, the parties, intending to be legally bound, agree as follows: THE CONSULTING FIRM WILL: 1. Provide professional consulting services in accordance with the RFP and its proposal in response to the RFP, and as a Consultant the Nondiscrimination/Sexual Harassment Clause, which is attached hereto and incorporated herein as APPENDIX A. 2. Obtain approval from the Parks Foundation of any changes to the staffing stated in its proposal. However, approval will not be denied if the staff replacement is determined by the Parks Foundation to be of equal ability or experience to the predecessor. 3. Obtain approval from the Parks Foundation and County for any change orders that affect the scope of work. 4. Agree to indemnify the and hold harmless the Commonwealth of Pennsylvania, Allegheny County Parks Foundation, and Allegheny County, its County Executive, officers, agents, and employees and/or agencies of the State from all losses, liability, and damage of whatever nature for damages, injuries and losses of every kind and nature to persons or property including but not limited to death of any person and loss of the use of any property arising out of any negligent act or omission of Consultant or any agent or employee, contractor/consultant, or subcontractor/ sub-consultant of Consultant for which Consultant is legally liable in performing services under this Agreement. 22

Agree to defend, indemnify and hold harmless the Commonwealth of Pennsylvania, Allegheny County Parks Foundation, and Allegheny County and its Chief Executive, officers, agents and employees from and against any and all claims and liability for compensation under any Worker s Compensation law arising out of injuries sustained or claimed to have been sustained by any employees of Consultant, or of any agent, contractor/consultant or subcontractor/ subconsultant of Consultant. 6. Make available all work products prepared by the Consultant pursuant to this Agreement including but not limited to design programming, studies, reports, structural analyses and other analyses or designs, calculation, tracings, working drawings, specifications, estimates, photographs, and models to the Commonwealth of Pennsylvania DEP, Allegheny County Parks Foundation, and Allegheny County. All work products will be delivered upon request of the Allegheny County Parks Foundation and in any event upon the cessation of this Agreement, whether the same be by expiration, termination or otherwise; provided, however, that Consultant may retain copies of such work products as part of Consultant s record of professional activity. Such work products are not intended or represented for reuse by the on any extension to the Project or any other project. Any reuse will be at the Parks Foundation s and Allegheny County s sole risk. 7. Maintain all books, documents, papers, records, supporting cost proposals, accounting records, employees time cards, payroll records and other evidence pertaining to costs incurred and shown on any invoice for work done pursuant to this Agreement. Consultant shall make such materials, as well as the work as it progresses, available at all reasonable times during the contract period (and, in the case of records, for three (3) years from the date of final payment for work done pursuant to this Agreement) for inspection and/or audit by the County, or any other authorized representatives of the State or Federal Government. Copies of records shall be furnished if requested at cost to the requesting agency. Time records for personnel performing any work shall account for direct labor performed on the Project, as well as the time of any personnel included in the computation of overhead costs. THE Parks Foundation WILL: 1. Serve as the Owner s representative to the Consultant while managing work performed under this contract. 2. Compensate the Consultant based on the actual hours worked and actual reimbursable expenses for a BASE CONTRACT (all work except for electrical engineering related to site lighting) total amount not to exceed $. 3. Compensate the Consultant based on the actual hours worked and actual reimbursable expenses for an ADD ALT No. 1 CONTRACT (electrical engineering related to site lighting) total amount not to exceed $. 4. Provide the Consultant with reasonable access to park personnel, facilities, and information necessary to properly perform the work required under this Contract with confirmation from the Owner. 5. Except as provided below, make payment to the Consultant within 90 days after receipt of a properly prepared invoice for work satisfactorily performed. 6. Make final payment of 10% of the funds available and due to the Consultant under this Contract within 30 days after final product approval by the DEP. 23

24 IT IS FURTHER AGREED THAT: 1. All copyright interests in work created under this Contract are solely and exclusively the property of the Parks Foundation. The work shall be considered work made for hire under copyright law; alternatively, if the work cannot be considered work made for hire, the Consultant agrees to assign and, upon the creation of the work, expressly and automatically assigns, all copyright interests in the work to the Parks Foundation. 2. In the performance of services under this Contract, there shall be no violation of the right of privacy or infringement upon the copyright or any other proprietary right of any person or entity. THIS AGREEMENT INCLUDES: 1. APPENDIX A, Nondiscrimination/Sexual Harassment Clause 2. APPENDIX B, Proposal submitted by Consultant in response to the RFP 3. 25 APPENDIX A Nondiscrimination/Sexual Harassment Clause During the term of this GRANT AGREEMENT, the Allegheny County Parks Foundation (GRANTEE) and consultant (subcontractor) agrees: 1. In the hiring of any employee(s) for the manufacture of supplies, performance of work, or any other activity required under the GRANT AGREEMENT or any subgrant agreement, contract, or subcontract, the GRANTEE, a subgrantee, a contractor, a subcontractor, or any person acting on behalf of the GRANTEE shall not discriminate in violation of the Pennsylvania Human Relations Act (PHRA) and applicable federal laws against any citizen of this COMMONWEALTH who is qualified and available to perform the work to which the employment relates. 2. The GRANTEE, any subgrantee, contractor or any subcontractor or any person on their behalf shall not in any manner discriminate in violation of the PHRA and applicable federal laws against or intimidate any of its employees. 3. The GRANTEE, any subgrantee, contractor or any subcontractor shall establish and maintain a written nondiscrimination and sexual harassment policy and shall inform their employees of the policy. The policy must contain a provision that sexual harassment will not be tolerated and employees who practice it will be disciplined. Posting this Nondiscrimination/Sexual Harassment Clause conspicuously in easy-accessible and well lighted places customarily frequented by employees and at or near where the grant services are performed shall satisfy this requirement. 4. The GRANTEE, any subgrantee, contractor or any subcontractor shall not discriminate in violation of the PHRA and applicable federal laws against any subgrantee, contractor, subcontractor or supplier who is qualified to perform the work to which the grant relates. 5. The GRANTEE and each subgrantee, contractor and subcontractor represents that it is presently in compliance with and will maintain compliance with all applicable federal, state, and local laws and regulations relating to nondiscrimination and sexual harassment. The GRANTEE and each subgrantee, contractor or any subcontractor further represents that it has filed a Standard Form 100 Employer Information Report ( EEO-1 ) with the U.S. Equal Employment Opportunity Commission ( EEOC ) and shall file an annual EEO-1 report with the EEOC as required for employers subject to Title VII of the Civil Rights Act of 1964, as amended, that have 100 or more employees and employers that have federal government contracts or first-tier subcontracts and have 50 or more employees. The GRANTEE, any subgrantee, any contractor or any subcontractor shall, upon request or within the time periods requested by the Commonwealth, furnish all necessary employment documents and records, including EEO-1 reports, and permit access to their books, records, and accounts by granting agency and the Bureau of Small Business Opportunities (BSBO), for the purpose of ascertaining compliance with the provisions of this Nondiscrimination/Sexual Harassment Clause. 6. The GRANTEE, any subgrantee, contractor or any subcontractor shall include the provisions of this Nondiscrimination/Sexual Harassment Clause in every subgrant agreement, contract or subcontract so that those provisions applicable to subgrantees, contractors or subcontractors will be binding upon each subgrantee, contractor or subcontractor. 7. The GRANTEE s and each subgrantee s, contractor s and subcontractor s obligations pursuant to these provisions are ongoing from and after the effective date of the grant agreement through the termination date thereof. Accordingly, the Grantee and each subgrantee, contractor or any subcontractor shall have an obligation to inform the Commonwealth if, at any time during the term of the grant agreement, it becomes aware of any actions or occurrences that would result in violation of these provisions. 8. The Commonwealth may cancel or terminate the GRANT AGREEMENT and all money due or to become due under the GRANT AGREEMENT may be forfeited for a violation of the terms and conditions of this Nondiscrimination/Sexual Harassment Clause. In addition, the granting agency may proceed with debarment or suspension and may place the GRANTEE, subgrantee, contractor, or subcontractor in the Contractor Responsibility File. 25
