Sheldon Rd., Plymouth, Michigan (734) ; FAX (734) KEY DEPOSIT AGGREEMENT Lessee Name Mailing Address In consideration for providing a key or keys to the above named organization ( Lessee ), Lessee agrees: 1. Lessee will promptly provide Plymouth Community Arts Council (PCAC) $50 Key deposit. 2. Lessee will promptly provide PCAC proof of liability insurance. A current copy of your organization s liability insurance declaration page is sufficient. 3. Lessee and its members will not use the key(s) to enter the building unless it is during the times of Lessee s contracted rental. 4. The key(s) are not to be duplicated at any time. If additional keys are needed, PCAC will provide additional copies. 5. If access to the building is needed during a different time, advance written permission must be provided by a PCAC staff member or the PCAC Board President. 6. Lessee is permitted to use the facility, bathrooms and rooms rented and no more. Use of the copy machine and art or other supplies in the art and other rooms is forbidden. 7. Lessee will promptly report any damage, no matter how minor, to PCAC staff. 8. 5 Premises: Joanne Winkleman Hulce Center for the Arts, 774 N. Sheldon Rd, Plymouth MI or Artsco House, 724 N. Sheldon Rd, Plymouth MI. Rental Fee: The total rental fee and related documents are due at the time of the signing of the Agreement. Security Deposit: The Security Deposit is a non-refundable payment. Key Agreement: Keys are not to be duplicated at any time. If circumstances require that Lessee be provided with key(s) to the Premises, Lessor will distribute the key(s) to Lessee no sooner than twentyfour (24) hours before the event. Lessee shall return the key(s) to Lessor by the Key Return Date. Lessor will return Lessee s Key Security Deposit at the time of the key return, except under the conditions stated in paragraph 3 or if Lessee does not return the keys by the Key Return Date. In that event, it shall be necessary for Lessor to replace all Building locks and Lessee shall be held responsible for all costs associated with this replacement. Parking: Parking is available on the north side of the building and east side. Parking on Junction may also be used. Use of Kitchen: Use of the kitchen, its appliances, and its kitchenware, will be included in the rental and use of the Main Auditorium. If Lessee has not paid for the Set-up/Clean-up Fee, at the conclusion of the rental, Lessee shall remove all trash from the tables and the floor and shall clean any areas of the kitchen that were used. Kitchenware used during the rental must be cleared from tables, rinsed of food and washed thoroughly. All trash should be disposed of in the brown receptacles located behind the building. Advertising Requirements: In order to avoid confusion as to the sponsorship of programs, Lessor requires that Lessee advertise the location of its event as follows: The Joanne Winkleman Hulce Center for the Arts or JWH Center for the Arts, 774 N. Sheldon Road, Plymouth, MI and with the words Plymouth Community Arts Council or PCAC to identify the place of its event. Failure to adhere to this request may result in Lessor s request that Lessee re-advertise the event using the correct verbiage. Damage to Premises: Lessee shall be responsible for all repairs or replacements to the Premises occasioned by the negligence or willful acts of Lessee, its agents, invitees or licensees. To avoid damage, the doors, walls and ceilings of the Premises are not to be used to hang or mount any kind of material. Signs, decorations, or any other kind of objects or materials should be free standing and not be attached by any method to the structure of the Premises. Liability Insurance: Lessee shall obtain and provide Lessor with customary insurance certifications acceptable to Lessor of Lessee s general liability insurance. All insurance policies or riders shall name Lessor as an additional insured Party. Any insurance maintained by Lessee pursuant to this paragraph shall contain a clause or endorsement under which the insurer waives all rights of subrogation against Lessor and its agents or employees with respect to losses payable under the policy. Any personal property brought by Lessee onto the Premises shall be there at Lessee s sole risk. Page 5

6 Alcoholic Beverage Policy: If Lessee plans to serve alcoholic beverages on Premises: Insurance: Lessor requires proof from Lessee of a social host liability insurance rider (Rider) as evidence of a person s liability insurance, usually available through a homeowner s insurance policy. Alternatively, Lessor may request a certificate of insurance (Certificate) as evidence of an organization s commercial general liability insurance. The Rider or Certificate shall name Lessor as an additional insured. Prohibitions: Lessor, in compliance with MCL of the Michigan Liquor Control Code, prohibits the Lessee from serving or allowing the consumption of alcoholic beverages in exchange for consideration. The prohibited consideration includes any fee, cover charge, ticket purchase, the storage of alcoholic liquor, the sale of food, ice, mixers, or other liquids used with alcoholic liquor drinks, or the purchasing of any service or item, or combination of service and item; or includes the furnishing of glassware or other containers for use in the consumption of alcoholic liquor in conjunction with the sale of food. MCL Lessor: in compliance with MCL of the Michigan Liquor Control Code, prohibits samples or tastings of any alcoholic liquor for commercial purposes, which is defined as a purpose for which monetary gain or other remuneration could reasonably be expected. MCL (4). This prohibition shall include, but is not limited to, receiving orders for alcohol purchases as a result of the sampling or tasting and increased business as a result of advertising free alcoholic beverage samples. Alcoholic Beverage Consumption Plan: If alcoholic beverages are to be consumed on the Premises, Lessee shall provide Lessor with an Alcoholic Beverage Consumption Plan (Plan). The Plan shall address the following matters: Time set for last call. Procedure to check age identification of guest. Plan to reduce possibility that people might drink too much. Procedure for dealing with intoxicated persons. Plan to provide transportation for those guests who should not drive. Acknowledgement: The Parties acknowledge that Lessor has reviewed this Alcoholic Beverage Policy with Lessee and that Lessee has provided Lessor with its Plan and the required insurance documents. 7 Prohibition of the Use of Tobacco Products: Lessor prohibits smoking in and out on the PCAC premises. Access to Premises: Lessor shall have the right to enter the Premises during Lessee s occupation of the Premises, provided that the entry does not interfere with this occupation. Notices: All notices required under this Agreement shall be in writing and shall be deemed to be given if either delivered personally or mailed by certified or registered mail to Lessor or to Lessee at their respective addresses set forth in this Agreement. Captions and Headings: The captions and headings used in this Agreement are intended only for convenience and are not to be used in construing this Agreement. Applicable Law: This Agreement shall be construed under the laws of the State of Michigan. If any provision of this Agreement or portions of this Agreement or their application to any person or circumstances shall, to any extent, be invalid or unenforceable, the remainder of this Agreement shall not be affected and each provision of this Agreement shall be valid and enforceable to the fullest extent permitted by law. Whole Agreement: This Agreement and its attachments, if any, constitute the entire agreement between the Parties and shall be deemed to supersede and cancel any other agreement between the Parties relating to the transactions contemplated in this Agreement. None of the previous and contemporaneous negotiations, preliminary drafts, or previous versions of this Agreement leading up to its execution and not set forth in this Agreement shall be used by any of the Parties to construe or affect the validity of this agreement. Each Party acknowledges that no representation, inducement, or condition not set forth in this Agreement has been made or relied on by either Party.
