2 Minutes MINUTES OF THE BOARD OF DIRECTORS OF SALIDA NATURAL RESOURCE CENTER DEVELOPMENT CORPORATION A COLORADO NON-PROFIT CORPORATION A meeting of the Corporation was held August 19, 2014, at 448 E. 1 st Street, Salida, Colorado beginning at 11:00 a.m. Directors present were Walt Harder, Ron Mazzeo, Jim Miller, Susan Dempsey Hughes, Keith Baker, and Tom Yerkey. Dara MacDonald was also in attendance. Tim Glenn and Ray Kitson were absent. Public Comment: PJ Bergin commented on the importance of affordable housing and market rate housing. Also noted importance of creating connections to Salida as Vandaveer develops. There was discussion among the board about the vacation rental market in Salida and there was discussion about workforce housing. Nancy Dominick asked about the letter she submitted regarding Jim Miller. Discussion followed. The Board will plan to discuss the letter at a future meeting. Vern Davis commented on vacation rentals. Approval of Minutes: Minutes of August 5, 2014 were approved with Miller abstaining as he was absent from the meeting. Treasurer s Report: Miller distributed the current balance sheet and profit & loss. Treasurer's report was approved. Scheduled Items: 1. Update on potential property sales: a. CO Parks & Wildlife Yerkey updated the board on the meeting with Parks & Wildlife on August 16th. CPW is working on developing a proposal to move forward. b. Workforce Housing MacDonald updated that she is working on an RFQ for tax-credit developers. Belmont Group has been notified and we have offered that the successful developer reimburse them for due diligence. c. Light Industrial No update Status Update MacDonald informed the board that the Council did direct the City Attorney to inquire with tax counsel about implications with moving away from 6320 designation. She has been advised to expect an opinion the week of September 8 th. 3. Resolution , License Agreement for solar installation at the USFS site MacDonald explained the license agreement for installation of solar power generating equi[ment at the US Forest Service site. Although the power purchase agreement is with the City, as owners of the property, the NRCDC is a party to the site specific license agreement. The resolution was unanimously approved. Unscheduled Items: 1. RV Dump Station - Miller asked about the timing of the construction of the RV Dump station. MacDonald provided an update on construction progress and the potable water station component. 2. September 2 nd meeting with no pending business the regular board meeting scheduled for September 2 nd was cancelled. 1

10 Request for Qualifications for Vandaveer Ranch Workforce Housing and the Sa lida Natural Resource Center Development Corporation REQUEST FOR QUALIFICATIONS AND INTEREST: VANDAVEER RANCH WORKF ORCE AND MARKET RATE AFFORDABLE HOUSIN NG DEVELOPMENT Invitation and Intent The Salidaa Natural Resource Center Development Corporation and the City of Salida, Colorado, ( Owners ) request qualifications from those interested in providing for the development of an affordable housing neighborhood within the Vandaveer Ranch Planned Development District in Salida, Colorado. Overview The Owners are requesting a Statement of Qualifications andd Interest from experienced developers or development teams who have the capacity and expertise to develop workforce housing in Salida. The City of Salida Strategic Housing Plan (May 2008) was designed to inform policy makers about opportunities for realizing the full spectrum of housing solutions available to the City. Based on the goals and policies developedd in this document, the Owners are targeting new ownership and rental housing for households earning between 40 and 120 percent of the AMI. There are immediate gaps in housing availability throughout this income spectrum. With this in mind, the Owners anticipate that qualified developers will provide a mix of tax credit and market rate affordable options. The qualified development team will provide a formal market study to support the final number of units proposed. The Vandaveer Ranch includes acres of land on the southern side off town, of which acres would be available for development. The Owners have determined that this property is desirable and suitable to create a workforce housing neighborhood. It is the intent of the Owners to partner with a private developer to design and build a high quality workforce housing neighborhood on the Vandaveer Ranch parcel that has a memorable character and sense of place compatible with the City of Salida, and provides quality and sustainable affordable housing. Statements of Qualification will be accepted until 4:00pm on Friday, October XX, Statements received after this date and time will not be considered. 11 Request for Qualifications for Vandaveer Ranch Workforce Housing 448 East 1 st Street, Suite 112 Salida, CO All submittals must be labeled Workforce Housing RFQ with the firm s name on the outside of a sealed envelope. Questions concerning the proposals should be directed to Dan Osborn at the above address or dan.osborn@cityofsalida.com. Purpose The intent of this Request for Qualifications is to identify a development team comprised of planning, housing, and development finance professionals interested in developing workforce housing within the Vandaveer Ranch Planned Development District. The Owners envision a four step process: 1. The Owners will select the best qualified development team. 2. The NRCDC Board, City Council, Planning Commission, and City Staff will work with the selected development team to define the specific workforce housing/community development objectives for the Vandaveer Ranch parcel(s). 3. The Owners and the selected developer will mutually agree upon and create the public/private partnership for property transfer to implement the development objectives. 4. Following a public involvement and final scoping process, the development team will obtain planning approvals, and will coordinate the construction of the project. The Owners goal is to begin construction of the project in the Summer of 2015(???). Ultimately, the Owners will select a developer partner(s) who will have the ability to create a development plan/program that meets multiple community housing needs, and ensures the housing in built and operated within the shortest reasonable timeframe. If you are interested in this project, please submit your Statement of Qualification to the City by Friday, October XX, Background The City of Salida, locally known as the Heart of the Rockies, is situated in the Upper Arkansas River Valley in the central Rocky Mountains approximately 2.5 hours southwest of Denver. Although the City is surrounded by 14,000 foot peaks and situated at an elevation of 7,200 feet, Salida enjoys a comfortably mild climate compared to other regional mountain towns. Salida residents enjoy a thriving historic downtown with dining and nightlife, shopping and services, in addition to a hot springs pool, rafting, skiing, fishing, biking, and cultural events. Like many mountain towns, economic activity within the City centers on service industries and tourism. Tourist are attracted to the community by the nearby Monarch Mountain ski area, the historic downtown, summer activities on the Arkansas River and the many outdoor recreation opportunities associated with the Pike San Isabel National Forest and other public lands surrounding the city.

12 Request for Qualifications for Vandaveer Ranch Workforce Housing Located in Chaffee County, Colorado, which has a year round population of approximately 18,000 residents, Salida is the shopping and services hub for nearby residents in the region. The City of Salida is the county seat of Chaffee County and its largest city. The 2010 Census shows a decline in population for the City from 5,504 in 2000 to 5,236 in In the same period the number of housing units in the city increased from 2,748 to 2,894. The decrease in population of 268 people at the same time as an increase of 146 housing units may stem from an influx of second homeowners within the city. There has been a steady flow of building permits applications over the past ten years, with an uptick in the past year. The City of Salida s vibrant tourist economy affords the community many benefits, it also provides unique challenges. A particular concern is the high cost of housing which makes it difficult for local families and local employees to live in Salida. Providing housing for the workforce and retaining quality employees is a high priority for the City of Salida. The following documents are available on the City s website to provide prospective developers a deeper insight into the City s demographics and housing challenges: Salida Comprehensive Plan 2013 Vandaveer Ranch Planned Development District Overall Development Plan 2011 Salida Community Priorities Survey 2010 Strategic Housing Plan 2008 Housing Needs Assessment 2007 The Owners The Natural Resource Center Development Corporation ( NRC Board ) is a Colorado not for profit corporation formed by the Salida City Council. The advantages of using a nonprofit sponsor to undertake a private/public partnership include, among other things: facilitating the transfer to the private sector significant project risk while preserving the ability to finance the project through the issuance of tax exempt debt if necessary; and combining the relative strength of the public sector with the private sector s value added efficiency and innovation in ideas. The Vandaveer Ranch property was transferred to the NRC Board in 2011 to facilitate the development of the recently completed U.S. Forest Service district ranger facilities on the property. The seven members and one alternate of the NRC Board are appointed by the City Council. The NRC Board may pursue opportunities for development of the property on behalf of the City provided that the NRC Board may not enter into any agreement which would commit, encumber or dispose of all or any portion of the Vandaveer Ranch property without specific written authority from the City Council.

13 Request for Qualifications for Vandaveer Ranch Workforce Housing Vandaveer Ranch Planned Development District Parcel Description The development parcel under consideration for this proposal comprises acres of land centrally located within the Vandaveer Ranch. The site generally slopes south to north, comprised of undeveloped former agricultural lands covered with grass. It is accessed via County Road 104 from Highway 50 on the east entry into Salida (see maps below). The parcel is zoned Planned Development within the City of Salida. Development within the Vandaveer Ranch Planned Development District is subject to the Overall Development Plan. As part of the Development Plan, the Entitlement Map (see below) delineates the nine [9] Planning Areas within the Property (each, a "Planning Area" and, collectively, the "Planning Areas"). The purpose of the Planning Areas is to identify the maximum number of residential units and square footage of non residential space allowed within each portion of the Property designated as a Planning Area. 15 Request for Qualifications for Vandaveer Ranch Workforce Housing Primary access to this portion of the site is anticipated to be via County Road 104 with appropriate realignment taking place at the time of development. Circulation throughout the site will proceed in phases as development occurs. County Road 104 Utilities to the site are located in Highway 50 to the north andd east. No direct utility connections are available at this time. It is anticipated that utility extension too the immediate area in question may occur as early as the spring of As part of the Development Plan planning process, the City estimates thatt up to 950 total units could be developedd on the property. The specific number of workforcee and markett rate affordable units is yet to be determined for the acre site considered by this proposal. Public/ /Private Partnersh hip The City may be willing to contribute some types of subsidies, if necessary, to ensure a high quality development that meets the goals of the community. The City believes that the property could be developedd and would look to the developer to: 1) Create a reasonable schedule and a mutually acceptable business plan, 2) Develop a site plan and housing program and products that addressess the City s housing needs, and 3) Develop and market the project. Proposals will be evaluated under criteria which include, but

16 Request for Qualifications for Vandaveer Ranch Workforce Housing are not limited to, experience, financial capability, project aesthetics, income targets, unit type and size, level of additional subsidy, schedule, quality of construction, energy efficiency, etc. The intent of this Request for Qualifications is to identify potential partners that have the experience and qualifications to execute this project in a creative and economically sound manner, and that are interested in partnering with the City in this effort. Evaluation Criteria In reviewing the Statement of Qualification and Interest, the City will look for development teams with demonstrated experience in, but not limited to, the following areas: Project Development and Financing Successful public private partnerships in development finance, as well as housing project completion, marketing, and sales and/or property management. Architecture Residential designs that are aesthetically sophisticated, appropriate for a small mountain town setting, comply with requirements on the Planned Development District, incorporate principles of resource efficiency, and maximize value to the City. Planning Focus on master planning neighborhood and mixed use areas within the framework of the Planned Development District through the use creative site planning, public nodes and amenties, and park and trail connections. Ability to manage projects through the development review and entitlement process. Public Engagement Utilization of various formats for public engagement and participation, and incorporating public comment in project design as appropriate. Housing Knowledge of current housing trends, challenges, and opportunities with an emphasis on workforce housing tax credit and market rate affordable housing development and programs. Engineering Innovative civil, environmental, sustainable, and transportation engineering and designs that incorporate complete street concepts and enhance neighborhood walkability. The City encourages local Chaffee County developers and teams to submit a Statement of Qualification and Interest. Submittal Requirements The Statement of Qualification and Interest should include, but is not limited to, the following: 1. Cover letter. 2. Applicant Contact Information include name, address, phone number, and address of primary contact(s) for the team. 3. Qualifications provide a general description on the firms comprising the team. In addition, provide a list of those individuals with the expertise listed above that would be working on the project, with description of their backgrounds, relevant certifications, and experience; and details regarding the specific role proposed for the project.

Project Examples Please include project examples and/or designs for each member of the proposed development team, including photos, videos, websites, architectural renderings, etc that would be instructive of the potential of the development team. 5. Description of the Proposed Development Concept include a general vision for the project, identifying site constraints and opportunities, the best approach for creating a desirable residential neighborhood, and its development timeline. In no way is this development concept binding on eventual proposal submittals.
