2 Partnership for Action The New Jersey Partnership for Action to serve e as the one-stop shop for all economic development activity in New Jersey. The three elements of the Partnership include: 1. Choose New Jersey an independent, privately funded and managed notfor-profit corporation created to promote New Jersey as a place to invest and do business. 2. Business Action Center- reporting directly to Lt. Governor Kim Guadagno, this team brings a customer service approach to coordination and navigation across State and local government agencies for businesses looking to remain, expand or locate in New Jersey. 3. EDA serving as New Jersey s bank for business to stimulate economic development and job creation. 2

4 Banking Partnerships Over the years, the EDA has developed partnerships p and relationships with commercial banks across the State to assist businesses through buying subordinated participations in bank loans or providing guarantees to bank loans. EDA accomplishes this through various programs that provide strong incentives for borrowers while reducing the lender s risk. 4
5 Main Street Assistance Program This program provides financial support to commercial banks in New Jersey to provide financial assistance to small and mid-sized businesses and not-for-profit organizations with projects in the State. IF YOU ARE: A small or mid-sized business or not-for-profit organization in operation in New Jersey for at least two years and need financing. i AVAILABLE ASSISTANCE: Direct loans/loan participations up to 25% of the total financing (not to exceed $1 million for fixed assets and $750,000 for working capital). Loan guarantees up to 50% of a bank loan (not to exceed $2 million for fixed assets and $1.5 million for working capital). Line of credit guarantees up to 50% of the line of credit amount (not to exceed $250,000). TO BE USED FOR: Fixed assets, refinancing, i working capital *Total EDA exposure under the Main Street program not to exceed 50% up to a maximum of $2 million. 5
6 Program Details: Main Street Assistance Program Minimal credit score of 680 for at least one of the guarantors. Interest rate on EDA loan participation is 5% fixed with a maximum term of 5 years. 1.1X debt service coverage ratio. Loan-to-value not to exceed 100%. Collateral required for participations and guarantees. The EDA s collateral position is subordinate to the bank kfor participations, i i and equivalent to the bank kfor guarantees. Originating bank must be an approved lender with the EDA for loan participations. Direct loans available to supplement bank financing. i Lines of credit guarantees are available through EDA Preferred Lenders only. Company must be in good standing with EDA, Federal/State agencies, and requesting bank. Company must have no criminal history for owners, business, or guarantors. 6
7 Abruzzi s Italian Market Christopher Charles Abruzzi s Italian Market in Mount Laurel improved its cash flow by 25% and created three new jobs with the help of a $1.54 million Cornerstone Bank loan that included a $211,000 EDA participation. In downtown Haddon, a retail jewelry store that had leased space for over seven years was able to acquire a new building with the help of a $185,000 Roma Bank loan backed by a 50% EDA guarantee. Christopher Charles Fine Jewelry also expects to create two new jobs. 7
8 Statewide Loan Pool IF YOU ARE: A New Jersey-based business that creates or maintains jobs, located in a financially targeted municipality, or representing an industry which the EDA has targeted for assistance, including manufacturing, industrial, high-tech and more. AVAILABLE ASSISTANCE: Your financial i institution can request a participation i and/or guarantee through the EDA. TO BE USED FOR: Fixed assets and permanent working capital. MAXIMUM AMOUNTS: EDA can participate in or guarantee up to 50% of a bank loan. The maximum EDA exposure is: Fixed Assets Loan: $1.25 million Guarantee: $1.5 million Total Exposure: $2.75 million Working Capital Loan: $750,000 Working Capital Guarantee: $1.5 million Total Exposure: $2.25 million 8
9 Program Details: Statewide Loan Pool EDA participation provides terms of up to 5 years. Amortization can be up to 5 years for working capital, 7 years for equipment transactions, and 15 years for real estate transactions. To be eligible for the program, borrowers should meet the following criteria: - Create one new job for every $50,000 of EDA assistance, and, - Be located in a targeted or urban aid municipality or operate within an industry targeted for financing, such as manufacturing, industrial or technology. The base rate is the 5-Year United States Treasury plus 100 basis points (for fixed rate loans) and Prime minus 150 basis points (for variable rate loans). The base rate will be adjusted using criteria which includes the applicant's creditworthiness, public policy and amortization. The interest rate floor for the program is 3%. 9
10 Levoy Theatre Envision Consultants A $1.6 million Sun National Bank loan backed by a 50% EDA guarantee helped to support the renovation of Millville s historic Levoy Theatre, generating g over 200 construction jobs and reviving the City as a vibrant arts community. Harrison-based construction management firm Envision Consultants received a $590,000 Susquehanna a Bank loan that included a $177,000 EDA participation pat to purchase and renovate an adjacent property in Gloucester County. Envision plans to add 11 new jobs to its existing staff of
11 New Jersey Business Growth Fund IF YOU ARE: A credit-worthy small or mid-sized company operating in New Jersey that is creating or retaining jobs in New Jersey. YOU CAN APPLY FOR: Financing through the New Jersey Business Growth Fund, a joint program of the EDA and PNC Bank--the only one of its kind in the state. IN THE AMOUNT OF: Up to $2 million. TO BE USED FOR: Machinery, equipment and owner-occupied real estate. PROGRAM DETAILS: Businesses that borrow under this program must meet specific eligibility requirements: Create one full-time job in NJ for every $50,000 of guarantee provided, with the exception of manufacturers, which must commit to maintaining existing jobs in NJ. Demonstrate creditworthiness that meets existing standards for business loans. Primary business checking account must be maintained at PNC Bank. 1.1:1 Debt Service Coverage Ratio. 100% loan-to-value for real estate and 90% for equipment. 11
12 Established in 1948, ACB Receivables Management, Inc. is a full service receivables management company serving the healthcare industry. The Asbury Park-based company provides a host of services, including self-pay assistance programs, special projects, medical collections, thirdparty collections, early-out programs, and legal processes. The company s customer base includes over 1,000 medical and dental doctors, group practices, billing companies and hospitals. A $447,300 PNC Bank term loan with a 25% EDA guarantee helped the company refinance existing debt and hire an additional ten employees. 12
13 Small Business Fund An expedited approval process helps the Small Business Fund program provide below-market rate financing to applicable businesses through direct loans or guarantees, with the choice of a variable or fixed interest rate. IF YOU ARE: A creditworthy small, minority-owned owned or women-owned owned business in New Jersey in operation for at least one year or not-for-profit corporation in operation for at least three full years, YOU MAY QUALIFY FOR: Small Businesses - Up to $300,000 for credit scores greater than or equal to 700; Up to $125,000 for credit scores greater than or equal to 650. Not-for-Profits - Up to $300,000 with 1.10 debt service coverage ratio. TO BE USED FOR: Fixed assets and working capital 13
14 Hailey s Harp & Pub New Metuchen-based pub offering American and Irish cuisine A $200,000 loan through the Small Business Fund helped a husband and wife team convert an existing Thai restaurant on Main Street in Metuchen into a pub featuring American and Irish cuisine. The owners expect to hire a staff of ten as Hailey s Harp & Pub continues to establish its presence in Metuchen. 14
15 Bond Financing EDA issues bonds to provide long-term loans with a lower cost of financing, and either a fixed or variable interest t rate. Bond Financing i gives eligible ibl companies/organizations i access to capital they are otherwise unable to obtain on their own. IF YOU ARE: A creditworthy manufacturing company, a 501(c)(3) not-for- profit organization, or an exempt facility in New Jersey, YOU CAN APPLY FOR: Long-term financing under the Bond Financing Program. IN THE AMOUNT OF: $500,000 to $10 million in tax-exempt bonds for for-profit companies, with either a fixed or variable interest rate, and terms up to 20 years for real estate and 10 years for equipment; $500,000 with no dollar limit in tax-exempt bonds for qualified not-for-profit organizations. 15
16 Program Details: Bond Financing Taxable bonds are also available for a wide variety of businesses, such as manufacturing, warehouse and distribution, etc. Taxable bonds offer similar flexibility in structuring rates and terms but are not subject to the restrictions placed on tax-exempt financing under the IRC. Bonds are sold via direct purchase or public offering. A financial intermediary, typically a bank, will directly purchase bonds from the EDA once it has performed a credit review on the applicant s project. The bank sets the interest rate, terms and other financial details. In a public offering, bonds are purchased by an underwriter riter and sold to private investors in the public marketplace and may be structured with a bank s commitment to provide a letter of credit (LOC) or a municipal bond insurance policy. Market conditions will determine the interest rate, while the bond s terms and other financial details are set by the LOC provider. 16
17 Eligible Uses: Bond Financing Tax-exempt bonds for eligible for-profit companies can be used to finance capital improvements and expansions, including real estate acquisitions, new equipment, machinery, building construction, and renovations. Tax-exempt bonds for not-for-profit organizations seeking capital to expand community services can be used to finance land and building acquisitions, new construction and renovations, equipment purchases, debt refinancing and working capital. Government tax-exempt bonds can be used for projects that are owned and operated for the benefit of local, l county and state t government bodies. Taxable bonds may be used for working capital and debt refinancing, and are permitted only under certain circumstances for tax-exempt financing for not-for-profit borrowers. 17
18 Surflight Theatre Tribeca Oven Surflight Theater in Beach Haven received $10 million in tax-exempt bond financing over the years to help acquire the theatre and purchase equipment and machinery. Carlstadt-based Tribeca Oven has benefited from several forms of State assistance. Most recently, the artisan bread bakery and manufacturer finalized a $4 million tax-exempt tbond dto purchase a modern thermal oil oven that is expected to reduce the company s energy bill by 25%. 18
19 Small Business Services UCEDC and SBDC partnerships help to stimulate t economic growth for small businesses in New Jersey and expand the array of training and technical assistance services available. UCEDC offers training workshops, business mentoring and government procurement counseling. The not-for-profit economic development corporation also administers a microloan program and a business growth fund to address business needs at every stage of growth. New Jersey s s Small Business Development Centers network helps small business owners and entrepreneurs to develop business plans and marketing strategies; learn accounting and financial analysis; find capital financing; identify new markets; and, expand their operations. 19
20 Dulce Candy Boutique Ocean City Seafood With the help of a $35,000 microloan and business mentoring from UCEDC, sisters Diana DiMonda and Melissa Tripoli opened nostalgic candy shop - Dulce Candy Boutique - in downtown Montclair. Ocean City Seafood received a $27,000 microloan from UCEDC to acquire equipment critical to the Ocean City restaurant s ability to meet the demands of its growing customer base. 20
