In this guide, you ll find information on the conversion, including important dates and details about our deposit accounts, loans, and online and mobile banking offerings. A special Preview Period will be available for Business Online Banking users starting September 24. Please note the following important dates and deadlines. SEPTEMBER 24 AT 8 A.M. Preview Period begins. Log in to the new Business Online Banking to verify access, establish entitlements, and validate any ACH or wire templates, as applicable, before October 5 to avoid any disruptions. OCTOBER 4 Deadline to submit ACH transactions prior to conversion. OCTOBER 5 AT 3 P.M. Last day to schedule bill payments prior to conversion. Deadline to submit Wire Transfers and Online Banking account transfers. Former The Bank of River Oaks Online Banking is retired and no longer accessible. Begin using your new PlainsCapital Bank Debit Mastercard. Your The Bank of River Oaks card will be deactivated on this date. OCTOBER 8 AT 8 A.M. Your new PlainsCapital Bank accounts are live! You may access your new Online Banking and sign up for Bill Pay, Mobile Banking, and Voice Banking services. Branches will be closed for the Columbus Day holiday, but Customer Service will be available from 7 a.m. to 7 p.m. at 866.762.8392. WHAT YOU CAN EXPECT Please see below for a quick summary of what s changing and what s not during conversion weekend. WHAT'S NEW OR CHANGING WHAT'S NOT CHANGING The features of your deposit accounts. You ll enjoy brand new deposit account types with PlainsCapital. See pages 9-11 The PlainsCapital Routing Number. PlainsCapital Bank s Routing and Transit number is 111322994, but the The Bank of River Oaks routing number will continue to be accepted. See page 15 Your new PlainsCapital Debit Mastercard. The Bank of River Oaks debit cards will be deactivated at 3 p.m. on October 5. New PlainsCapital Bank Debit Mastercards will be mailed starting Sept 19. See page 13 Your Online Banking login location. Starting October 8, visit PlainsCapital.com to log in to Online Banking. See pages 5-6 Your Online Banking password. You will receive a letter with temporary password as well as a unique Online Banking Company ID that you will need to use each time you login. See pages 5-6 Your Online Banking Account Transfers. Fund transfers you established in Online Banking will need to be re-established in PlainsCapital Online Banking. See page 6 Your wire transfer PIN If you currently place or verify wire transfers using a PIN number, you will be issued a new PIN after conversion. Between October 5 and when you receive your new PIN, please contact your banker directly for wire requests. New Mobile Banking App. You ll have access to PlainsCapital s Mobile Banking App. See page 8 Your Current Debit Card. Continue to use your current The Bank of River Oaks debit card through October 5 at 3 p.m. Your deposit account numbers. Your account numbers won t change (unless we ve informed you otherwise). Your loan account numbers. Your account numbers won t change (unless we ve informed you otherwise). Your accounts remain FDIC insured. All PlainsCapital deposit accounts remain insured by the FDIC up to the maximum amount allowable by law. Your Online Banking login ID. Your login ID won t change (unless we ve informed you otherwise), but you will need your new Company ID that will be included in a letter to be mailed on September 21. See pages 5-6 Your Bill Pay payees. Your established payees will be moved over to the PlainsCapital Bill Pay system; however, electronic person-to-person or account-to-account recipients will not move over. See page 7 Same great customer service. You ll continue to get the same great service you ve come to expect from your bank. The Voice Banking phone number. Update your contacts to reflect the PlainsCapital Voice Banking number: 866.762.7782. See page 16 Your statement delivery. You ll initially receive your monthly account statements in the mail as paper statements. To receive estatements, log in to Online Banking to sign up. See page 15 3

CONVERSION CHECKLIST BEFORE CONVERSION BEGINS Look for your new Online Banking Company ID in the mail starting Friday, September 21. If you believe you have not received your Company ID by September 28, please call us at 866.762.8392. You will use your Company ID each time you login. Log in to verify access, establish user entitlements, and confirm your payment templates on or after September 24 during our Preview Period. IMPORTANT NOTE: transfers, balances, transaction history, Bill Pay, ACH payments, wire payments, and account statements will not be active until the conversion is complete on October 8. Loan and CD history will be available on October 10. Carefully read the cover letter included with this booklet and review your recommended account types in the comparison charts on pages 9-11. If you would like to select a different account type for any of your services with us, just visit any former The Bank of River Oaks branch. Ensure that your email address and phone number on file with the Bank of River Oaks are correct. A valid phone number is required for authentication purposes when logging in to PlainsCapital Online Banking for the first time. You can verify/update your contact information by calling 713.275.4949. All Online Banking transactions must be completed by 3 p.m. on October 5. At that time former The Bank of River Oaks Online Banking will be retired and no longer accessible. Any recurring or future-dated online banking account transfers will not be converted. Print or download your electronic person-to-person or account-to-account payees and payment history for your records as this information will not be transferred to PlainsCapital Bill Pay. You will be receiving a new PlainsCapital Bank Debit Mastercard in the mail prior to conversion weekend. Please activate your new card, but continue to use your The Bank of River Oaks debit card until October 5. DURING CONVERSION WEEKEND If you have any questions, please contact Customer Service at 866.762.8392. We will be available to assist you with extended hours of operation from 9 a.m. to 3 p.m. on Saturday, October 6. AFTER CONVERSION Try out your new account types for 30 days. If you re unhappy with the features of your new account, just choose a different account from the options listed on pages 9-11 and call customer service at 866.762.8392 or visit any PlainsCapital Bank branch. If you have any questions, please call Customer Service at 866.762.8392 during normal business hours, Monday thru Friday from 7 a.m. to 7 p.m. and Saturday from 9 a.m. to 1 p.m. Update your Voice Banking contact number to 866.762.7782. See page 16 for details. If you are an Online Banking user, update your Online Banking web bookmark to www.plainscapital.com. Log in to your new PlainsCapital Online Banking on or after Monday, October 8 and take a moment to verify your balances and sign up for electronic statements. See pages 5-6 for details on how to log in and where to find help. If you did not re-establish your account to account transfers during the Preview period, log in to PlainsCapital Bank Online Banking and re-enter your account transfers. Begin using your new PlainsCapital Debit Mastercard. All The Bank of River Oaks debit cards will be deactivated at 3 p.m. on October 5. If you did not receive a new PlainsCapital Debit Mastercard by October 3, call us immediately at 866.762.8392. Be sure to move any recurring payments to your new card and update your card information that may be stored on websites (i.e. office supplies, Amazon, memberships). See Page 13 for details. 4

ONLINE BANKING WHAT S NEW? After the conversion, you ll have a brand new Online Banking experience called Business Online Services (BOS). You'll notice: Real-time account alerts to keep you informed about balances, transactions, and much more Convenient access to all your online account services in a few easy clicks For security purposes, you ll be assigned a unique Company ID that you ll need to enter along with your Username each time you log in. You ll receive your Company ID in a separate letter from us on or after September 21. Remember to log in starting September 24 during our Preview Period to ensure your credentials, accounts, templates, and services have been converted correctly. BEFORE THE CONVERSION The deadline to submit a funds transfer before the conversion will be Friday, October 5 at 3 p.m. At 3 p.m. on October 5, Business Online Banking will be retired and become unavailable. LOGGING IN FOR THE FIRST TIME The first time you login, you ll need to authenticate yourself for security purposes. Primary User and Admins: Your business has been assigned one Primary User which will be indicated on your Company ID letter sent on September 21. During our Preview Period or after the conversion, the Primary User is responsible for setting the initial entitlements of other users including establishing Administrator (Admin) entitlements. Once the Admin entitlement has been given to a user, he or she may assist in setting entitlements for all other users. Login: To log in during the Preview Period, please visit our The Bank of River Oaks Conversion webpage at PlainsCapital.com/Conversion/Treasury. To log in on or after October 8, use the Online Banking login box at PlainsCapital.com. Company ID: Enter your new Company ID, which will be mailed to you in a separate letter on September 21. If you do not receive your Company ID letter by September 28, please call us at 866.762.8392. Username: Use your current username. Authenticate: To verify your identity, you ll need to authenticate with a phone call or text message for your safety. Just follow the instructions to complete authentication. If you have problems with authentication, call 713.275.4949 prior to October 8. After conversion call 866.762.8392. Temporary Password: You will enter your temporary password. We will communicate your temporary password in your Company ID letter that will be sent on September 21. HELP WITH BUSINESS ONLINE BANKING Starting October 8, we will have dedicated Online Banking customer support available to assist you Monday through Friday from 7 a.m. to 7 p.m. Just call us at 866.762.8392 for assistance. 5

ONLINE BANKING FEATURES PlainsCapital Online Banking provides secure online access to your account information anytime 24/7 at PlainsCapital.com. With Online Banking, you can: Check account balances Verify transactions, deposits, and withdrawals View current and past account statements View processed check images for the current statement cycle Transfer funds between accounts Request stop payments Download transaction history into Quicken or Quickbooks Online If you have any questions or would like to enroll in Online Banking, please visit PlainsCapital.com, stop by any branch location, or call us at 866.762.8392 on or after October 8. ONLINE ACCOUNT TRANSFERS Any recurring or future-dated account transfers will not be converted. On or after September 24, please take a moment to log in to your new PlainsCapital Online Banking and re-establish your account transfers. IMPORTANT NOTE: transfers, balances, transaction history, Bill Pay, ACH payments, wire payments, and statements will not be active until October 8. Loan and CD history will be available October 10. 6

BILL PAY DEADLINE TO SCHEDULE PAYMENTS The deadline to submit a bill payment prior to the conversion will be Friday, October 5 at 3 p.m. Payments submitted prior to this deadline will be processed the same day. PAYEES AND SCHEDULED PAYMENTS During the conversion, most payees and scheduled payments will be migrated to PlainsCapital Bank; however, future scheduled electronic payments such as person-to-person (P2P) and account-to-account (A2A) will not carry over to PlainsCapital s Bill Pay system. On October 8, please log in to PlainsCapital Online Banking and verify that all your payees and scheduled payments look correct. BILL PAY HISTORY After the conversion, you will have access to 12 months of Bill Pay history (except for person-to-person and accountto-account payments). If you have any questions about an older payment, just give us a call at 866.762.8392. HELP WITH BILL PAY If you need assistance after the conversion with Bill Pay, please contact us at 866.762.8392. READY TO TRY BILL PAY? If you re not a Bill Pay user, now is a great time to enroll in PlainsCapital Online Banking and Bill Pay. PREVIEW PERIOD To avoid any disruption to your business processes, you ll be able to log in to PlainsCapital Online Banking beginning on September 24 for our Preview Period. We highly encourage all users to log in and get acquainted with the PlainsCapital system during this time. PRIMARY USER AND ADMINS Your business has been assigned one Primary User who will be indicated in your Company ID letter which will be sent on or around September 21. During our Preview Period, the Primary User is responsible for setting the initial entitlements of other users including establishing Administrator (Admin) entitlements. Once the Admin entitlement has been given to a user, he or she may assist in setting entitlements for all other users. If you have chosen dual control for payments and administration as part of our standard security, a second administrator will be required to approve all user roles and user settings. AVAILABILITY OF SERVICES Transfers, balances, transaction history, bill pay, ACH/wire payments, and statements will not be available on PlainsCapital Online Banking until 8 a.m. on October 8. These features will not be active during Preview Period. Loans and CD history will be available October 10. The deadline to submit ACH transactions on The Bank of River Oaks Online Banking is October 4. The last day to submit wire transfers and Online Banking transfers is October 5 at 3 p.m. TREASURY MANAGEMENT CHECKLIST During Preview Period: For Primary User and Admin Users: Primary User should log in and entitle other users by clicking on Administration -> Manage Users. Granting admin rights to a user will allow them to assist in setting entitlements for all other users. For Transaction Token Users: Due to the conversion, new tokens are required. We will contact you by September 24 to establish your new token. PINs can be established and tokens can be tested during Preview Period, however please remember that payments are not active in the PlainsCapital system until the conversion is complete on October 8. Verify your Wire and ACH Templates. We have made our best efforts to copy your ACH and Wire Transfer templates along with the account you customarily use with them. If you have used multiple accounts with a template, your default account may have changed. Please verify all template details including the account associated with each template to ensure your payments affect the correct accounts after the conversion. Validate your Positive Pay File Formats. Positive Pay issue files must be mapped after the conversion is complete on October 8. However, it is recommended to validate your format during Preview Period to avoid any undue delays. Please validate your format by clicking on Account Services -> Import Issues -> Add a File Definition. After the Conversion: PlainsCapital Online Banking is Live. Log in and verify account balances and transaction details. History and check images will be available from October 2017; however, it may take several days for the complete history to load. Review Reporting Tools. With transaction activity now available, please navigate our reporting tools to get familiar with searching and reporting on the information you need. Review Statements. Navigate to Reports -> Statements & Documents to ensure statements are available. Certain statements may not be available online immediately. We will be working to include up to 7 years of previous statements. You may now elect to turn off paper statements in Business Online Banking. 12

Please activate your new PlainsCapital Bank Debit Mastercard upon receipt, by calling 866.392.9952, but continue to use your The Bank of River Oaks card until October 5. Your PlainsCapital Bank Debit Mastercard will not work until that date. On or after October 5, be sure to move any recurring payments to your new debit card. Also update your card information that may be stored on websites (i.e., office supplies, Amazon, memberships). BUSINESS LOANS AND CREDIT If you have business loans or lines of credit with The Bank of River Oaks, you may receive a letter outlining any changes to the terms and conditions of your account soon. LOAN NUMBERS Unless you ve heard otherwise from us, your loan number will remain the same. LOAN PAYMENTS After conversion, you'll begin to receive billing statements from PlainsCapital Bank for your loan or line of credit. Please make your loan payments per the billing statements. If you established automatic payments for your loan, those will be automatically transferred to PlainsCapital. CREDIT CARDS Please continue to use your The Bank of River Oaks credit card as usual. You may continue to make credit card payments as usual. You will be issued a PlainsCapital Bank credit card when your current card expires. 13

ACCOUNT TRANSFERS If a branch representative established scheduled funds transfers between your accounts for overdraft protection, safe deposit box payments, IRA payments, or interest payment transfers, your transfers will be seamlessly transitioned to your new PlainsCapital account. If you established funds transfers through Online Banking, the deadline for transfers is 3 p.m. on October 5. You will need to re-establish any future or reoccurring transfers in your new PlainsCapital Bank Online Banking on October 8. WHAT YOU NEED TO KNOW ABOUT OVERDRAFTS WHAT IS AN OVERDRAFT? An overdraft occurs when you do not have enough money in your account to cover a transaction. Overdrafts can result from check, ACH, draft, ATM, point-of-sale (POS), or other electronic means authorized by the customer. PlainsCapital Bank has no obligation to pay any item or honor a withdrawal from your account unless your account contains sufficient available funds. If PlainsCapital does pay the item or honor the withdrawal, a $35 fee will be charged for each transaction resulting in an overdraft. OVERDRAFT PROTECTION TRANSFERS Overdraft Protection Transfers allow you to link your checking account to another checking account, savings account and/or line of credit for overdraft coverage. If your checking account is overdrawn, funds will be transferred from the linked account to cover the overdraft. There is no charge to sign up for overdraft protection transfers, and you ll only pay for it if you use it. Requires a secondary account or line of credit with PlainsCapital Bank There is a $5 fee for each day in which a transfer is made to cover the overdrawn balance Benefits of Overdraft Protection Transfers No enrollment fees Customers are only charged if they use the service Fees are significantly less than our NSF/OD fees as well as fees from collection agencies for returned checks Limitations of Overdraft Protection Transfers Customers are only covered up to the balance of their linked account or the available balance on their line of credit. Interest will be charged on a line of credit until balance is repaid. Transfers made from a Money Market account will count towards one of the six withdrawals/transfers free per month. Money Market accounts must also maintain the $2,500 minimum balance to avoid the monthly fee. Transfers made from a Savings account will count towards one of the six withdrawals/transfers free per quarter. Savings accounts must also maintain the $100 minimum balance to avoid the monthly fee. POSTING ORDER Our posting order for debits may be different than what you have experienced in the past. Please refer to the Consumer Deposit Account Agreement and Services Disclosure under the section heading Order of Payment to review how your items will post to your account beginning October 8, 2018. For items such as ACH debits, drafts, bill payments and checks, we have chosen to present these items for payment against your account in an order that prioritizes important payments such as your mortgage/rent, automobile, or insurance payments before other smaller items. 14

SAFE DEPOSIT BOXES If you have a safe deposit box at a The Bank of River Oaks branch location, rest assured there will be no changes to your box. What will happen to my Bill Payments? The Bank of River Oaks bill payment system will be retired effective 3 p.m. on October 5. As of October 8, you will be able to enroll in PlainsCapital's Bill Pay system. During the conversion, most payees and scheduled payments will be migrated to the PlainsCapital system. However, future scheduled electronic payments such as person-toperson and account-to-account will not carry over to PlainsCapital Bank's Bill Pay system.
