How it works YOU decide how much you would like to save each month, between 5 and 500 and whether you would like to save for 3 or 5 years. Then sit back and watch your savings grow. WE grant you the option to buy shares in UBM plc with the savings at an exclusive discounted price (the Option Price ) 20% below the market price at the beginning of the scheme, which you can exercise at the end of the 3 or 5 years. WE deduct your savings from your net salary each month. EQUINITI hold your savings in a savings account for you and will send you a statement each year showing you how much you ve saved so far. YOU choose at the end of the 3 or 5 years whether to buy UBM plc shares at the Option Price or simply have your savings back. You Can t Lose What happens if the share price goes down? Well, you have a 20% discount so it would have to fall below this to stop your options making you a profit. If that did happen, you could simply have your savings back. So you can t lose. It s a simple and great way to share in our success and save for something special.

If you had been in the 2011 scheme that matured in 2014 and were saving 100 per month, look how your savings would ve grown: Total savings over 3 years 3,600 20% discounted share price 4.6854p Number of shares this will buy 768 Share price on maturity 6.67 Value of shares on maturity 5,123 (a gain of 1,523)
How do I apply? To be eligible to take part you must have been employed by UBM plc or a UK participating subsidiary company on or before 9 January 2015 Decide how much you can afford to save between 5-500* each month Choose the length of savings contract 3 or 5 years Go to (www.shareview.co.uk/clients/ubm) and choose ESP Portal. You will need your account number (shown on your invitation email) and National Insurance number. * If you are already saving under existing Sharesave contracts your total savings across all contracts cannot exceed 500 per month.
What is ESP Portal? ESP Portal is provided by Equiniti Limited ( Equiniti ), our Share Plan Administrator. It offers a fast and convenient way for you to manage your UBM Sharesave scheme in one user-friendly place and also access a wide range of information. The ESP Portal will allow you to: Apply for Sharesave (during the invitation period) View any existing Sharesave Plan detail Cancel a Sharesave savings contract and receive a repayment of your savings Exercise any matured Sharesave Plans. What s next Existing ESP Portal User? If you already have a Portal account, you just need to log in with your details and password. Apply by following the Manage your SAYE applications link and follow the simple on screen steps. If you ve forgotten how, look on the Apply for Sharesave page. First time ESP Portal User? If you are using ESP Portal for the first time, you ll need to register first and then apply more details on the next two pages.
ESP Portal First time user Click on First time users on the right hand side, this will take you to a set of 5 Registration pages where you will need to enter your information. The whole process should take no longer than 5 minutes to complete. Page 1 of 5 Tell us who you are here you will need to enter your Surname, account number (as shown on your invitation email) and National Insurance number. If all 3 match the information held by Equiniti you will be taken to page 2. Page 2 of 5 Register for Portal here you will need to enter your email address this can either be a business or personal email account. Equiniti will use the details to send you email confirmations of your ESP Portal transactions. You will also need to create a password which must be between 8 and 14 characters long and must include a number and upper case letter for example Pa55word. Page 3 of 5 Memorable Information here you will need to provide answers to 3 memorable questions. There are six questions in total and you can choose which 3 best suit you. If in the future you forget your password you will need to be able to give the answers to your memorable questions to reset your password. Page 4 of 5 Your profile here you can provide your telephone contact details in case Equiniti need to contact you. Page 5 of 5 Confirmation Page Your security details are now set-up. Your activation code will be sent to you in the post. You will need to enter the activation code when you receive it to ensure you can use all the features of the site. But you don t need to wait for this before you apply for Sharesave. Simply click on Manage your SAYE applications under I want to section of the site. Click here
ESP Portal Apply for Sharesave Click on the Manage Your SAYE Applications link Check your details on the left hand side of the screen. if you have just registered, these details should be correct! if you have had a Portal account for some time, please check and update as necessary. (Your account will need to have been activated in order to do this with activation code supplied when you first registered.) Click on Next and you will reach the Apply for Sharesave screen. On this screen you can have a look at the terms and conditions, brochure and Plan Prospectus if you wish, You can also use the calculator function to help you work out how much you want to save. Choose a 3 year or 5 year plan, check the apply box on the right hand side and put in the amount you want to save per month. Click on Continue and you will reach the Sharesave application summary screen. Check the details and click on submit application if they are correct. You can go back at this stage if you have changed your mind or got it wrong. Congratulations, your 2015 SAYE application is now complete.

Questions & Answers Can I stop saving or change my monthly amount? You are not locked into Sharesave and can stop saving at any time and get all your money back. However, if you do this you will not be able to buy the shares at the Option Price. Once you join, you cannot change the amount you save each month. Can I join a new scheme each year? You can join each year as long as you do not save more than 500 per month in total. If you are participating in a scheme which ends in 2015 and have missed any payments into this scheme, this will count towards your overall limit. What happens if I miss payments? You can miss up to 6 payments. Each one missed will result in your savings scheme being extended by one month. For example, if you miss one month s payment from this year s 3 year scheme, your last monthly payment will be June 2018 rather than May 2018. You will still be able to buy the shares at the Option Price from July 2018. If you miss 7 payments, your savings scheme will be cancelled and your savings to date will be returned to you (but we will write to you and remind you if you have missed any payments). What happens if I leave UBM? If you leave before the end of the 3 years through resignation then you will get all of your money back. However, you will not be able to buy shares at the Option Price. If you leave at any time during the 3 years due to redundancy, injury, normal retirement or within circumstances covered by TUPE, you will be able to buy a reduced number of shares at the Option Price within 6 months of leaving, or you can have all your money back. But don t worry if you leave UBM you will receive a letter explaining the choices available. What happens if I go on special leave? If you go on special leave, for example, maternity leave, deductions from your pay will stop. You can arrange to make your monthly payments direct from your bank account whilst you are on leave by calling the Sharesave Helpline*.
Questions & Answers continued... What happens at the end of 3 or 5 years? You can choose to: 1. Use your savings to buy UBM plc shares at the Option Price 2. Have all your savings back If you decide to buy UBM plc shares you can then either hold on to them as an investment or you can sell them straight away and benefit from any share price increase! Remember though, the decision is yours. Whatever you decide to do in 3 or 5 years, we will take care of it. The only thing you have to do is tell us what you want to do. Will I receive any interest on my savings? The amount of interest and bonus is set by the Government (HMRC). Currently no bonus is payable on either of the plans. However, remember that if the share price goes up over the 3 or 5 years, you will see an increase in your savings. I m moving, who do I need to tell? You must notify Equiniti by contacting the Sharesave Helpline*. * Equiniti Sharesave Helpline number is 0871 384 2240 (or +44 121 415 7152 if you are calling from outside the United Kingdom. Calls cost 8p per minute plus network extra s. Lines are open 8.30am to 5.30pm Monday to Friday (excluding bank holidays).
