Schedule / Annexe Description of Classes of Shares / Description des categories d'actions An unlimited number of common shares and an unlimited number of preferred shares issuable in series. The rights, privileges, restrictions and conditions attaching to the preferred shares (the "Preferred Shares") and the common shares (the "Common Shares") of the corporation are as follows: ARTICLE ONE Definitions 1. In these provisions, unless there is something in the subject matter or context inconsistent therewith: 1.1 "Act" means the Canada Business Corporations Act as now enacted or as the same may from time to time be amended or re-enacted. 1.2 "articles" has the meaning ascribed thereto in subsection 2(1) of the Act. 1.3 "Corporation means the corporation being incorporated pursuant to the Act by articles of incorporation of which these provisions form a part. 1.4 "Director" means the Director appointed under section 260 of the Act. 1.5 "directors" means the directors of the Corporation and reference to any action by the directors means action taken by them by resolution as a board. 1.6 "financial year'' means the financial year adopted from time to time by the Corporation. 1.7 "holder", in respect of shares held by joint holders, means all such joint holders. 1.8 "these provisions" means the provisions of these articles of incorporation of the Corporation as amended or supplemented from time to time. 1.9 The expression "section" followed by a number means and refers to the specified section of these provisions. ARTICLE TWO Preferred Shares 2.1 Directors' Right to Issue in One or More Series - Preferred Shares may at any time or from time to time be issued in one or more series. Prior to the issue of the shares of any subsequent series, the directors may, subject to the limitations set out in the articles, fix the number of shares in, and shall determine the designation, rights, privileges, restrictions and conditions attaching to, the shares of such series which may include, without limitation:
(a) the rate, amount or method of calculation of dividends and whether they are cumulative, partly cumulative or non-cumulative; (b) the dates, manner and currency of payments of dividends and the dates from which they accrue or become payable; (c) if redeemable, retractable or purchasable, the redemption, retraction or purchase prices and terms and conditions of redemption, retraction or purchase, with or without provision for purchase or similar funds; (d) (e) (f) the voting rights, if any; any conversion, exchange or reclassification rights; and any other terms not inconsistent with these provisions; the whole subject to the receipt by the Director of articles of amendment in prescribed form designating such series of Preferred Shares and the issue by him of a certificate of amendment with respect thereto. 2.2 Ranking of Preferred Shares on Dividends - The Preferred Shares of each series shall, with respect to the payment of dividends, rank on a parity with the Preferred Shares of every other series and be entitled to a preference over the Common Shares and the shares of any other class ranking junior to the Preferred Shares. If any amount of cumulative dividends, whether or not declared, or declared noncumulative dividends in respect of shares of a series of Preferred Shares is not paid in full, the shares of such series of Preferred Shares shall participate rateably with the shares of all other series of Preferred Shares in respect of all accumulated cumulative dividends whether or not declared, and all declared noncumulative dividends. 2.3 Ranking of Preferred Shares on Return of Capital - The Preferred Shares of each series shall, with respect to the distribution of assets in the event of the liquidation, dissolution or winding up of the Corporation, whether voluntary or involuntary, or any other return of capital or distribution of the assets of the Corporation among its shareholders for the purpose of winding up its affairs, rank on a parity with the Preferred Shares of every other series and be entitled to a preference over the Common Shares and the shares of any other class ranking junior to the Preferred Shares. If any amount payable on return of capital in respect of shares of a series of Preferred Shares is not paid in full, the shares of such series of Preferred Shares shall participate rateably with the shares of all other series of Preferred Shares in respect of all amounts payable on return of capital. The Preferred Shares of any series shall also be entitled to such other preferences, not inconsistent with these provisions and the provisions of the Act, over the Common Shares and the shares of any other class ranking junior to the Preferred Shares as may be fixed in accordance with section 2.1. ARTICLE THREE Common Shares 3.1 Ranking of Common Shares on Dividends - Subject to the prior rights of the holders of the Preferred Shares, the holders of the Common Shares shall be entitled to receive non cumulative dividends (if any) as and when declared by the directors from time to time in their sole discretion out of
the moneys of the Corporation properly applicable to the payment of dividends and the amount per share of each such dividend shall be determined by the directors at the time of declaration in their sole discretion. 3.2 Ranking of Common Shares on Return of Capital - Subject to the prior rights of the holders of the Preferred Shares, the holders of the Common Shares shall have the right in the event of the liquidation, dissolution or winding up of the Corporation, whether voluntary or involuntary, or any other return of capital or distribution of the assets of the Corporation among its shareholders for the purpose of winding up its affairs, to receive the remaining assets of the Corporation. 3.3 Voting Rights - The holders of the Common Shares shall be entitled to receive notice of and to attend all meetings of shareholders of the Corporation, other than separate meetings of the holders of another class or series of shares, and to vote at any such meeting on the basis of one vote for each Common Share held.
