Rights, privileges, restrictions and conditions (if any) attaching to each class of shares and directors authority with respect to any class of shares which may be issued in series: Droits, privilèges, restrictions et conditions, s'il y a lieu, rattachés à chaque catégorie d'actions et pouvoirs des administrateurs relatifs à chaque catégorie d'actions qui peut être émise en série : a) The special shares may be issued in one or more series; b) The directors are authorized to fix the number of shares in and to determine the designation, rights, privileges, restrictions and conditions attaching to the shares, of each series except for the first and second series of special shares, in respect of which the number, designation, rights, privileges, restrictions and conditions are set out in paragraphs (e) and (f) below; c) The special shares of each series shall, with respect to priority in payment of dividends and in the return of capital in the event of liquidation, dissolution or winding up of the Corporation be entitled to a preference over the common shares of the Corporation and over any other shares ranking junior to the special shares; d) The holders of special shares shall not have the right to vote at meetings of shareholders. e) The first series of special shares shall consist of 10,000,000 shares designated as Series "A" special shares and in addition to the preferences attaching to the special shares as a class set out in paragraph (c) above shall have attached thereto the following rights, privileges, restrictions and conditions: i) The holder of each Series "A" special share shall be entitled to receive as and when declared by the directors out of the monies properly applicable to the payment of dividends preferential non-cumulative cash dividends at the rate to be fixed by the directors; ii) In the event of liquidation, dissolution or winding up of the Corporation, the holder of each Series "A" special share shall be entitled to receive the amount paid to the Corporation for such share, together with all unpaid dividends declared thereon. f) The second series of special shares shall consist of 10,000,000 shares designated as Series "B" special shares and in addition to the preferences attaching to the special shares as a class set out in paragraph (c) above shall have attached thereto the following rights, privileges, restrictions and conditions: i) The holder of each Series "B" special share shall be entitled to receive as and when declared by the directors out of the monies properly applicable to the payment of dividends preferential cumulative cash dividends at the rate to be fixed by the directors;

Rights, privileges, restrictions and conditions (if any) attaching to each class of shares and directors authority with respect to any class of shares which may be issued in series: Droits, privilèges, restrictions et conditions, s'il y a lieu, rattachés à chaque catégorie d'actions et pouvoirs des administrateurs relatifs à chaque catégorie d'actions qui peut être émise en série : ii) In the event of liquidation, dissolution or winding up of the Corporation, the holder of each Series "B" special share shall be entitled to receive the amount paid to the Corporation for such share, together with all unpaid dividends declared thereon. g) The holder of each common share has the right to one vote for such common share at all meetings of the shareholders and to receive the remaining property of this Corporation upon dissolution.

5 Page: 5 8. The issue, transfer or ownership of shares is/is not restricted and the restrictions (if any) are as follows: L'émission, le transfert ou la propriété d'actions est/n'est pas restreint. Les restrictions, s'il y a lieu, sont les suivantes : The right to transfer shares of the Corporation shall be restricted in that no shares shall be transferred without either: a) the previous sanction of the directors of the Corporation expressed by a resolution passed by a majority of the directors of the Corporation entitled to vote at a meeting of the board of directors or by an instrument or instruments in writing signed by all of the directors; or, b) the previous sanction of the holders of more than 50 per cent of the issued shares of the Corporation for the time being outstanding who are entitled to vote such shares expressed by a resolution passed at a meeting of the shareholders or by an instrument or instruments in writing signed by the holders of all of such shares.

Other provisions if any: Autres dispositions, s'il y a lieu : a) The right to transfer shares of the Corporation is restricted. b) The number of shareholders of the Corporation, exclusive of persons who are in its employment and exclusive of persons who, having been formerly in the employment of the Corporation, were, while in that employment, and have continued after termination of that employment to be, shareholders of the Corporation, is limited to not more than fifty, two or more persons who are the joint registered owners of one or more shares being counted as one shareholder. c) Any invitation to the public to subscribe for shares is prohibited. d) Subject to the provisions of the Business Corporations Act, the Corporation shall have a lien on the shares registered in the name of a shareholder who is indebted to the Corporation to the extent of such debt. e) Subject to the provisions of the Business Corporations Act, the Corporation may purchase any of its issued shares.
