Sharesave maturity The 2014 3 year option price is 17.61 Your Diageo plc 2009 Irish Sharesave Scheme contract that commenced on 1 February 2015 will mature on 1 February 2018*. In this guide you ll find everything you need to know about your maturing Sharesave account, the choices available to you and how to provide your instructions to YBS Share Plans. On the maturity date you will receive a tax free bonus equal to 0.5 times your monthly saving. All you now need to decide is what you d like to do with the savings and tax free bonus. Your choices, are as follows:- Buy shares at the option price and receive a share certificate. Buy shares at the option price and transfer all of these to another person(s). Withdraw your savings and bonus as cash. You don t have to make your choice straight away, you ll have six months from the Maturity Date, after which time your option to buy shares at the fixed Option Price will lapse. Your choices in detail BUY YOUR SHARES AT THE OPTION PRICE AND RECEIVE A SHARE CERTIFICATE You may use your savings to purchase shares at the option price. This can be done immediately on maturity or at any time up to 31 July 2018, after which time your option to purchase shares will lapse. To choose this option, please tick box 1 on the Maturity Instruction Form, and return it to YBS Share Plans, in the envelope provided. The Company s Registrars will send a Share Certificate to your home address within 10 days from the date of exercise. This should be retained in a safe place and will be required should you decide to sell or transfer your shares at a later date. You can sell your shares at any time once you receive your share certificate please refer to www.mydiageoshares.com for information and relevant forms. BUY YOUR SHARES AT THE OPTION PRICE AND TRANSFER ALL OF THESE TO ANOTHER PERSON(S) 1 2 3 You may use your savings to purchase shares at the option price and then transfer them to another person. To choose this option, please tick box 2 on the Maturity Instruction Form. You will also need to complete a Diageo Stock Transfer form(roi) and send this with your Maturity Instruction Form to YBS Share Plans in the envelope provided. The transfer form is available to download on the Diageo website at www.mydiageoshares.com. The Company s Registrars will send a Share Certificate in the name of the nominated person to your home address. The Share Certificate will be issued within 10 days from the date of exercise. WITHDRAW YOUR SAVINGS AND BONUS AS CASH You do not have to exercise your option to buy shares. You may close your account and withdraw your savings and bonus. To close your Sharesave account, tick box 3 on the Maturity Instruction Form. YBS Share Plans will close your account and arrange to transfer proceeds to your nominated bank account.
Your questions answered WHEN WILL MY INSTRUCTION BE PROCESSED? If your instruction is received by (5.00pm GMT) on 26 January 2018 we will aim to exercise your instruction on 1 February 2018. Thereafter, processing will be carried out on a weekly basis and provided we have received your valid instruction by 5.00pm (GMT) on the Friday (the Weekly Cut-Off Point ) YBS Share Plans will aim to exercise your instruction on the following Wednesday. If you wish to transfer the shares to another person(s), please complete a Diageo Stock Transfer Form (ROI) which can be found under the Irish Plans section on our website www.mydiageoshares.com. A share certificate in the name of the nominated person(s) will be sent to you at your home address. WHAT HAPPENS IF I HAVE MISSED ANY PAYMENTS? For every payment missed, the maturity date of your plan will be deferred by one month (and you will continue to have deductions from your pay) until you have completed your savings plan, for a maximum of 6 payments. WHEN WILL I RECEIVE MY SHARE CERTIFICATE? You should normally receive a share certificate within 10 days of the exercise date. YBS Share Plans and Diageo cannot be held responsible for any adverse movements in the share price during this period. WHAT HAPPENS TO THE SMALL AMOUNT OF CASH LEFT OVER AFTER I PURCHASE THE SHARES (RESIDUAL)? If you decide to exercise your option there may be a small residual sum left over which cannot purchase a whole share, you have 2 choices: Donate the amount to charity. The charity this year is Capuchin Day Centre, www.capuchindaycentre.ie, registered charity number CHY 3765 Have this amount transferred to the bank account your salary is paid into.
Your questions answered CONTINUED... HOW DO I SELL MY SHARES IN THE FUTURE IF I HAVE CHOSEN TO RECEIVE A SHARE CERTIFICATE? Please refer to www.mydiageoshares.com for information and relevant forms. WHAT HAPPENS IF I LEAVE DIAGEO? WHAT TAX WILL I PAY? Under current legislation all interest and bonuses paid into the Sharesave account are tax-free. On the exercise of your option, you will be liable to Universal Social Charge and employee s Pay Related Social Insurance on the difference between the value of the shares you acquire and the price you pay for them. If you subsequently sell the shares, you may become liable to Capital Gains Tax (currently at 33%) if the gains (profit from the sale of your shares) you make along with other gains in the tax year are more than a certain amount ( 1,270 for the tax year). Remember, tax legislation can be changed by the Government and the rules that apply today may be different when you come to sell your shares. Only in exceptional circumstances will income tax be payable on the exercise of an option. This occurs for example if your employing company leaves the Group within three years of the date of grant. WHAT HAPPENS IF I DO NOTHING? Your choice to buy the shares at the option price will lapse 6 months after your maturity date. You will be entitled to a full refund of your savings and bonus. Important information In the event that YBS Share Plans receive my instructions to purchase shares and the Diageo share price is lower than the option price of 17.61 at the time of closure, then YBS Share Plans reserve the right to cancel my instruction, close my Sharesave account and return my savings to me. In these circumstances my option remains exercisable for a period of six months following my Maturity Date.
