EMD of un-successful bidders shall be returned/ refunded within 30 days or after finalization of contract. 2. EMD of successful bidders may be adjusted in their Security Deposit, at the bidder s request or returned after submission of security deposit of the required value. 3. Signing of Service Agreement and Security Deposit (SD): The Successful Agency will have to enter into a Service Agreement (Annexure-III) with SOFTWARE TECHNOLOGY PARKS OF INDIA, KOLKATA and have to submit the Security Deposit @5% upon the total work order value in a year in the form of Bank Guarantee/ DD in favour of Software Technology Parks of India within 15 days of receipt of the work order, failing which their EMD may be forfeited. The SD shall be kept during the contract period and the same shall be refunded after the expiry of contract within a month without interest after receiving the request from the agency/ farm. 4. EMD of a bidder will be forfeited, if the bidder withdraws or amends its tender or impairs or derogates from the tender in any respect within the period of validity of its tender. Further, if the successful bidder fails to furnish the required performance security within the specified period, its EMD will be forfeited. 5. The contractor shall comply with the Minimum Wages Act or any other rule/s in this regard as may be announced by govt./ authority from time to time. 6. The contractor shall ensure that all personnel deployed will observe Six (06) Day in a week at STPI- Kolkata & its Sub centers. 7. The agency shall be solely responsible for compliance to the provisions of various Labour and Industrial Laws, such as, wages, allowances, compensations, EPF, Gratuity, ESI etc. relating to personnel deployed by it at STPI Kolkata and its sub centers or for any accident caused to them and the STPI shall not be liable to bear any expenses in this regard. The agency/ firm shall make payment of wages to workers engaged by it by the stipulated date irrespective of any delay in settlement of its bill by the Officer in-charge, STPI, Kolkata for whatever reason. The agency shall also be responsible for the insurance of its personnel. The agency shall specifically ensure compliances of various Laws/ Acts with their re-enactments/amendments/modifications:- a) The Payment of Wages Act 1936 b) The Employees Provident Fund Act, 1962 c) Factory Act, 1948 d) The Contract Labour (Regulation) Act, 1970 e) The Payment of Bonus Act, 1965 f) The Payment of Gratuity Act, 1972 g) The Employees State Insurance Act, 1948 h) The Employment of Children Act, 1938 i) The Motor Vehicle Act, 1988 j) The Minimum Wages Act, 1948 8. The persons engaged by the contractor for performance of the contract shall be the employees of the contractor/ agency/ farm during the currency for the contract and under no circumstances shall be entitled to claim regular employment in STPI-Kolkata & its sub centers. 9. STPI will not be liable for any type of uncertain hazard/ illness/ loss of life/ any type of mishappening occurred to the employee during the service time, agency/ vendor will be fully responsible for this. The agency shall provide adequate manpower at each location to carry out the work as per the requirement of STPI time to time. 11. The agency shall be completely responsible for its workers attendance and shall ensure that the works are carried out regularly. 12. CONDITIONAL/ INCOMPLETE BID WILL NOT BE ACCEPTED AND WILL BE REJECTED OUTRIGHT. 13. All required materials, consumables, tools etc. shall be provided by STPI. 14. The agency may visit the sites to see and assess the quantum of work before quoting the price (Annexure-II). 15. Rate quoted by the vendor shall be valid for one year and no increase in rate shall be allowed during the period of contract. 16. Renewal of contract agreement may be extended further for a period of Two years i.e. one year at a time, subject to satisfaction on performance and approval from competent authority. 17. Payment shall be made against monthly invoice after verification of work done. Deduction of taxes on payment as per applicability. This agreement shall have an initial validity of one year from the effective date given in the Work Order. e. The validity of the agreement may be extended further for a period of Two years i.e. one year at a time, subject to there is no change in commercial rate except for revision of minimum wages and subject to satisfaction on performance and approval from competent authority. f. The agency shall liable to penalty as per the Contractual Terms and Conditions for breach of contract or delay / discontinue of services. g. The agency shall deposit taxes (if any) received from STPI in due time and fulfill all statutory obligations for providing such services to STPI. h. The agency shall maintain full secrecy regarding the infrastructural setup of STPI. i. The agency and any of its manpower shall not involve themselves in any other activities while inside STPI premises except doing works related for the purpose and requirement of contract. Any misconduct/misbehavior of engaged manpower will lead to disqualify the respective manpower/agency and any loss suffer by the organization due to this shall be penalize as may deem fit and security deposit may also be forfeited accordingly. j. Any of the personnel engaged by the agency to provide service at STPI shall not claim permanent employment in or benefits from STPI except that arising out of his/her service to STPI. k. STPI will not be liable for any type of uncertain hazard/ illness/ loss of life/ any type of mishappening occurred to the employee during the service time, agency/ vendor will be fully responsible for this. l. The agency shall agree to all Terms and Conditions given in the Tender document and the Work order. There being no other issues between the 1 st Party and the 2 nd Party, both the parties have given their signature as mutual acceptance, in front of the witnesses. Witness 1.
