Rev. 4/17 THE ELECTRONIC BANKING SERVICES AGREEMENT I. ACCEPTING THE ELECTRONIC BANKING SERVICE AGREEMENT This Electronic Banking Services Agreement (the Agreement ) regulates the services provided through the website www.myonlinecreditcard.com (the Service ) provided by Banco Popular de Puerto Rico (the Bank ). The Service allows you to perform a number of transactions related to your credit card account linked to the Service through the use of a personal computer or mobile device. You understand that you are under no obligation to accept this Agreement or register for this Service. You are required to have a credit card account to have access to this Service. You agree that the terms and conditions of this Agreement are being provided electronically and you accept this Agreement once you register for the Service. You agree that any notice related to the Service will be provided electronically. You are responsible for notifying the Bank of any change to the email address provided by you, to ensure you continue to have access to the Service. You will be able to notify the Bank of any changes to the e-mail address at any time following the instructions indicated in this Agreement (see section II. D Change Notifications). Transactions related to the credit card account are governed by several Federal laws, including but not limited to, the Electronic Funds Transfers Act, Fair Credit Billing Act, and Truth in Lending Act. In addition, every transaction related to your credit card account will be subject to the Credit Card Agreement, as may be amended from time to time. II. E-SIGN DISCLOSURE The Electronic Signatures in Global and National Commerce ACT (E-Sign) allows the Bank, after obtaining your consent, to provide by electronic means all notices and disclosures related to the Service and your credit card account, including your account statements that are required by regulation to be provided in writing. If you agree to enroll in electronic account statements, you accept to receive your account statements only by electronic means. A. Consent 1. You understand that the terms and conditions of this Agreement are being provided electronically and any acceptance by you of such terms constitutes your consent to them. 2. You accept having received the disclosures applicable to this Agreement. 3. You agree that all account statements will be provided electronically through the Service, and an email notification will be sent to the email address provided by you to alert on the availability of the account statement.

B. Right to withdraw your consent You can withdraw your consent to receive electronic account statements at any time. If you want to withdraw your consent online, you must log in to www.myonlinecreditcard.com to modify that option, or contact Popular Credit Services at the phone number presented on the back of Your card. Specific contact information will also be presented once you log in to the Service. To withdraw your consent online, follow these instructions: 1. Log in to www.myonlinecreditcard.com; 2. Click on the Statements tab on the left menu; 3. Scroll down the page and click on the Cancel Electronic Statements link; and 4. Mark the check box that reads I agree to the terms and conditions, and click the Submit button. When you withdraw your consent to electronic account statements: 1. The Bank will send you paper account statements. 2. You will start receiving the paper account statements on the next billing cycle. The statements will be delivered to the mailing address registered in your account. If you need to confirm your registered mailing address, please contact Popular Credit Services at the phone number presented on the back of Your card. Specific contact information will also be presented once you log in to the Service. 3. You will continue to have access through the Service to your previous electronic account statements for a period of 180 days from when the consent was withdrawn. Please make sure to download and save these account statements for your records before this period expires. After this period expires, you can consent again to receive your account statements electronically if you so choose to. C. Right to receive documents You have the right to receive a copy of this Agreement in paper form. To obtain a copy of the Agreement, please contact Popular Credit Services at the phone number presented on the back of Your card. Specific contact information will also be presented once you log in to the Service. D. Change Notifications You are responsible for notifying the Bank of any email address changes. You can update your email address at any time by following these instructions:

1. Log in to www.myonlinecreditcard.com; 2. Click on the Services tab on the left menu; 3. Click on the Update Email Address link; and 4. Enter the new email address and click the Submit button. Once you complete these steps, you will receive an email notification confirming this change to both your previous and current email addresses. You can also contact Popular Credit Services at the phone number presented on the back of Your card. Specific contact information will also be presented once you log in to the Service. E. Necessary Equipment To gain access to the Service you must use a personal computer or mobile device with internet access and a browser with Secure Sockets Layer (SSL) and 256-bit encryption. The supported browsers and operating systems are: - Internet Explorer version 9, 10, and 11 - Google Chrome version 43 - Mozilla Firefox version 39 - Safari version 7 and 8 - Windows 7 and 8 - Acrobat Reader is needed to view electronic statements. Users may be able to access the Service using other versions of listed browsers and operating systems, as well as unlisted browsers and operating systems; but the Bank will not be responsible for issues related to non-supported browsers and operating systems. The Bank recommends that cardholders upgrade their browsers and operating systems to the versions described within the list above in order to experience increased security and optimal performance when using the Service, and avoid user experience issues. III. GENERAL PROVISIONS The terms and conditions of this Agreement govern the Service. However, use of each credit card account added to the Service (the Designated Account ) will continue to be governed by the terms and conditions of the Credit Card Agreement of the Designated Account, as applicable (from now on referred as Designated Account Agreement ). The terms and conditions of the Designated Account Agreement can be incorporated in this contract for reference. In case of a conflict between the terms and conditions of this Agreement and those of the Designated Account Agreement, the Designated Account Agreement will prevail, and thus the terms and conditions of this Agreement will be interpreted as complimentary to those of the Designated Account Agreement.

A. Description and Enrollment to the Service The Service allows you to view your balance and transactions, view electronic account statements if you are enrolled, make online payments to your Designated Account, and maintain certain information on your account. To enroll in the Service, you can do so online through www.myonlinecreditcard.com, click on the Set up your account now link, and follow the instructions listed. If you need assistance in the registration process you may contact Popular Credit Services at the phone number presented on the back of Your card, and a service agent will gladly assist you. Specific contact information will also be presented once you log in to the Service. Once all the required information you have submitted is duly verified and authenticated, the Bank will begin to provide the Service. The Service will automatically provide access to your Designated Account for which you figure as the primary holder, provided it is the account with which you have enrolled to the Service. If you are the primary holder of more than one credit card account, you may add an additional credit card account to your Username by following the instructions detailed below: 1. Log in to www.myonlinecreditcard.com; 2. Click on your name of the top right corner of the screen; 3. Click on Manage Accounts from the drop down menu; 4. Select the Add Another Account button; 5. Enter the information requested on the Register Account screen, you will need your credit card and personal information to complete this step, and select the Verify Account button; and 6. Select your Preferred Language and click the submit button. Once you have successfully registered the account, it will be added to your list of Designated Accounts in the Manage Accounts screen. You can switch between your registered accounts by clicking on the Switch link for the account that you wish to view. If your account is closed by you or the Bank, or it is not renewed, you will have limited access to your account. You will still be able to view your balance, past transactions, view electronic account statements if you are enrolled, and make online payments to your Designated Account. B. Children s Online Privacy Protection Popular s websites and online services are not directed to children under the age of thirteen (13) and do not encourage these children to provide their personal information. Consequently, our policy is that we will not knowingly collect personal information provided by children under the age of thirteen (13). If we obtain actual knowledge that we have collected such information, we will comply with the requirements of the Children s Online Privacy Protection Act (COPPA),

including the deletion of such personal information from our systems. For additional information about COPPA, please visit the Federal Trade Commission s website at: www.ftc.gov. IV. OFFERED SERVICES This Agreement describes the basic electronic banking services provided under the Service. The Bank can also include additional electronic banking services in the future. All present and future electronic banking services will be governed by the terms and conditions of this Agreement and the Designated Account Agreement. A. Payments made to your Designated Accounts through the Service When you give the Bank instructions to make payments to your Designated Accounts, the Bank can debit the Checking and/or Savings account that you selected from your registered payment accounts (Designated Payment Account) and credit your Designated Account. B. Payment types that can be made through the Service 1. Recurring Payments These payments allow you to preauthorize the Bank to make periodic payments without having to give additional instructions each time you want the Bank to make a payment. Recurring payments require that you set the day of the month on which you want the Bank to debit the Designated Payment Account. These payments will continue indefinitely until the account balance owed has been paid off, or you can select the month and year when the Recurring Payments will stop. You can also stop the Recurring payments at any time by following these instructions: i. Log in to www.myonlinecreditcard.com; ii. Click on the Payments tab on the left menu; iii. Click on the Recurring Payments button on the top right section of the screen; iv. Click on the Stop Payment Plan link on the bottom of the screen; and v. Confirm by marking the check box that reads I understand that I am responsible for making any necessary payments to keep my account in good standing, and click the Confirm button. Recurring Payment Amount can be: a. Fixed: You can authorize the Bank to debit from the Designated Payment Account a fixed payment amount. For example, you can instruct the Bank to pay the set amount of $20.00 to your Designated Account every month. Please be aware that the fixed payment amount that you selected may not cover your account minimum payment due, which varies for each account statement. You can make additional payments as necessary to cover the account minimum payment amount or the desired amount.

b. Variable: You can authorize the Bank to debit from the Designated Payment Account a dollar amount that can vary in each account statement. The variable payment options are: 1. Statement Minimum Amount Due: By selecting this option you authorize the Bank to debit the Designated Payment Account for the account minimum payment amount due shown on the account statement. 2. Last Statement Balance: By selecting this option, you authorize the Bank to debit the Designated Payment Account for the total amount charged to your Designated Account in the previous billing cycle, as reflected on your most recent account statement. This amount does not include any new credits or disputes posted to your account since your last statement closing date. If you choose to register recurring payments for your Designated Account, the Bank will provide you with a notice on your account statement notifying you of the amount and date of the payment that will be made by the Bank per your instructions. As we are required to notify you at least ten (10) days prior to the payment date, you will not be able to select a payment day which falls within 10 days after your statement date. 2. One-Time Payments You can give the Bank instructions regarding the exact amount and date the payment is to be made each time you access the Service. You can only make one payment to your Designated Account per day. Payments may be cancelled up to 5:00pm Eastern Standard Time (EST) on the payment date by selecting the Payments tab on the left-hand menu and then clicking on the View Online Payments link to access the payment. Click on the View/Edit link on the corresponding payment to edit or cancel your scheduled payment. C. Electronic account statements Every month you will receive an account statement from the Bank, showing all transactions processed by the Bank and the dates said transactions were processed. The Service provides you the option of enrolling to receive electronic account statements. You will be presented this option during the registration process. Once you register, you will be able to access your electronic account statements online. To access your electronic account statements, log in to www.myonlinecreditcard.com and then click on the Statements tab on the left-hand menu. We will provide you with up to 12 months of electronic account statements online. Please make sure to download and save these account statements for your records. If you wish to request a copy of a previous account statement, you may contact Popular Credit Services at the phone number presented on the back of Your card. Specific contact information will also be presented once you log in to the Service. If you request a copy of your account statement, we may add a Statement

Reprint fee of $2.50 to your purchase balance for each account statement requested, in accordance with your Designated Account Agreement. D. View basic account information The Service provides the user the ability to view basic account information such as, but not limited to: current balance, minimum payment, payment due date, available credit, transaction history, and payment history. E. Link to your rewards website If your account is eligible to participate in the Popular Points Rewards program, a link to your Popular Points rewards website will be provided on the Dashboard screen once you log in to www.myonlinecreditcard.com. When you click on this link, you will be re-directed to the rewards website, where you can view and redeem your rewards points. While you are active in the rewards website your session in the Service (www.myonlinecreditcard.com) will remain active. After 8 minutes of inactivity, the user will be prompted to keep the session alive. If the user clicks continue, the session will be kept alive. If the user does not select continue within the next 2 minutes, the user will be logged out and presented the logged out webpage. The user will be re-directed to www.myonlinecreditcard.com to log in again upon any action in the logged out webpage that requires the user to be authenticated. F. Account maintenance requests The Service provides the user the ability to request account maintenances in real time, such as, but not limited to: add an authorized user, update address, telephone numbers, or email address. G. Accounts, Passwords and Security The Service offered through the website requires you to create a username and password. You are entirely responsible for maintaining the confidentiality of your username and password. You agree to notify Popular Credit Services immediately of any unauthorized use of your username and/or password, or any other breach of security, including suspected or actual Account phishing incidents. However, you may be held liable for losses incurred by the Bank or any other user of or visitor to the website due to someone else using your username, password or Account. You may not use anyone else s username, password or Account at any time without the express permission and consent of the holder of that username, password or Account. The Bank cannot and will not be liable for any loss or damage arising from your failure to comply with these obligations. H. Privacy Popular, Inc. s Privacy Policy applies to use of this website, and its terms are made a part of these terms of use. To view Popular, Inc.'s Privacy Policy, click here. Additionally, by using the website, you acknowledge and agree that Internet transmissions are never completely private or

secure. You understand that any information you send to the website may be read or intercepted by others, even if the transmissions are encrypted. V. USE OF THE DESIGNATED PAYMENT ACCOUNT A. Sufficient Funds You must maintain sufficient funds at all times to cover the payments to be debited from the Designated Payment Account under the Service. IF THERE ARE INSUFFICIENT FUNDS IN THE DESIGNATED PAYMENT ACCOUNT, THE BANK WILL NOT HAVE ANY OBLIGATION WHATSOEVER TO COVER THE PAYMENTS. The Bank may charge a fee for each payment returned for insufficient funds, unavailable funds or for any other reason according to the terms and conditions established in the Designated Account Agreement. Any modification to this fee will be notified to you, according to the terms of the Designated Account Agreement. You will also be responsible of any other fee imposed by third parties regarding transactions made against insufficient funds or not available funds. B. Designated Account Statement All payments processed by the Bank will be reflected in your account statement corresponding to the Designated Account. VI. INSTRUCTIONS TO THE BANK A. Cut-off Time The Bank will process payments Monday through Friday, excluding holidays (referred to herein as Business Days ). Any payment instruction required or permitted according to the provisions of this Agreement that is received before 5:00 p.m. EST on any Business Day will be processed on the same day it is received. If your instructions are received after that time or during any Non- Business Day, they will be processed on the next Business Day. B. Honoring Instructions The Bank will honor your instructions for payments only when you have complied with the terms and conditions of this Agreement. The Bank will be under no obligation to honor, either in whole or in part, any instruction that: a) exceeds your available funds in the Designated Payment Account; b) is not in accordance with any condition indicated by you and agreed to by the Bank; c) the Bank understands or has reason to believe it was not authorized by you; d) involves funds subject to a hold, dispute or legal process preventing their withdrawal from the Designated Payment Account; e) would violate any law, rule, or regulation applicable to the Service, you or to the Bank; f) is not in compliance with any other requirement stated in the terms and conditions of this Agreement or any of the Bank s policies, procedures, or practices; or g) for your protection or the protection of the Bank, the Bank has reasonable cause not to honor.

C. Erroneous Instructions If the Bank receives an instruction authorized by you and the instruction is erroneous, the Bank will have no obligation or liability for such error. VII. ERRORS OR QUESTIONS ABOUT THE ACCOUNT STATEMENT FOR YOUR DESIGNATED ACCOUNT If you think there is an error on your account statement, you can contact Popular Credit Services by calling the phone number presented on the back of Your card, or write to us at the mailing address presented on Your statement backer. Specific contact information will also be presented once you log in to the Service. VIII. LIMITATION OF LIABILITY You are responsible for reviewing regularly your account statements corresponding to the Designated Account and for the safekeeping of your Access Parameters. For more information regarding your liability, please refer to your Designated Account Agreement. The Bank will make all reasonable efforts to ensure full compliance of its obligations under the Service and to resolve problems that could arise with the payments. However, the Bank will not be liable for damages or inconveniences of any kind whatsoever that you could be subject to, if the Bank proceeds in accordance with the instructions given by you. If the Bank is negligent in complying with its obligations of processing payments in accordance with this Agreement, the Bank s liability will be limited to the reimbursement of late charges imposed against you on the Designated Account. You agree that neither the Bank nor any party involved in creating or delivering the Service is liable for any direct, indirect, incidental, consequential, or punitive damages arising out of your access to or use of the Service. The Bank assumes no responsibility for and will not be liable for any damages to or any virus that could affect your computer equipment or any other property as a result of your access to, use of or downloading from the web page of the Service through www.myonlinecreditcard.com. IX. TERMINATION The provisions of this Agreement will be in full force and in effect until any of the parties notifies the other of the intention to terminate the Service. You can terminate this Agreement by giving written notice to the Bank by mail to the mailing address presented on Your statement backer, or by simply calling Popular Credit Services at the phone number presented on the back of Your card. Specific contact information will also be presented once you log in to the Service. The Bank reserves the right to terminate this Agreement or suspend your participation in the Service at any time. The Bank could immediately terminate the Service if: a) you breach any agreement with the Bank; b) the Bank has reason to believe there has been or could be an unauthorized use of the Access Parameters, the Designated Account, or the Service; c) if any

party associated with the Designated Account requests that the Bank do so; or d) if there are conflicting claims to the funds in the Designated Account. If you or another party asks the Bank to terminate the Service, or if the Designated Account is closed for any reason, you will remain liable for transactions previously authorized. X. COPYRIGHT/TRADEMARKS The trademarks, logos and service marks ( Marks ) displayed on the website are the property of their respective owners. Banco Popular de Puerto Rico and Popular Credit Services Marks are property of Popular, Inc. Users are prohibited from using any Marks for any purpose including, but not limited to use as metatags on other pages or sites on the World Wide Web without the written permission of Popular, Inc. or any such third party which may own the Marks. XI. AMENDMENTS The Bank reserves the right to amend the terms of this Agreement at any time and will notify you of such changes by email. By making any transaction through the Service after the effective date of the change, you indicate your agreement to the changes. A. Disclosure of Credit Card Account Information to Third Parties The Bank will only disclose information about your credit card accounts: (1) to verify the existence and condition of your account to third parties, such as credit reporting agencies; (2) to comply with orders issued by a legal court or government agencies; or (3) if you give us your written authorization.
