Annexure-A Important instructions for E-procurement This is an e-procurement event of LIC. The e-procurement service provider is MSTC Ltd., 225C, A.J.C. Bose Road, Kolkata-700 020. You are requested to read the terms & conditions (Annexure- II) of this tender before submitting your online tender. Tenderers who do not comply with the conditions with documentary proof (wherever required) will not qualify in the Tender for opening of Commercial bid. Process of E-tender : A) Registration: The process involves vendor s registration with MSTC e-procurement portal which is free of cost. Only after registration, the vendor(s) can submit his/their bids electronically. Electronic Bidding for submission of Technical Bid as well as Commercial Bid will be done over the internet. The Vendor should possess Class III signing type digital certificate. Vendors are to make their own arrangement for bidding from a P.C. connected with Internet. MSTC is not responsible for making such arrangement. (Bids will not be recorded without Digital Signature). (C) Once Commercial Bid is opened a Reverse auction will be conducted by inviting all the Technically qualified Bidders. The start Commercial of the Reverse auction will be the L-1 total Commercial of the tender. All entries in the tender should be entered in online Technical & Commercial Formats without any ambiguity. Then the page appears where the vendors are required to fill up the transaction details, namely the UTR No, Date Of Transaction, and the Remitting Bank in the given fields and then click on the Confirm Button. NOTE : The bidders should submit the transaction fee well in advance before the last date of submission of tender as they will be activated for bid submission only after receipt of transaction fee by MSTC. In case of failure to submit the payment towards cost of tender document & EMD for any reason, the vendor, in term, will not have the access to on line e-tender and no correspondence in this respect will be entertained and LIC will not be responsible for any such lapses on this account. Bidder(s) are advised to make remittance of tender fee and EMD through separate DD well in advance and verify completion of transaction in respect of tender fee and EMD. All notices. /corrigendum and correspondence to the bidder(s) shall be sent by email only during the process till finalization of tender by LIC. Hence the bidders are required to ensure that their corporate email I.D. provided is valid and updated at the stage of registration of vendor with MSTC (i.e. Service Provider). Bidders are also requested to ensure validity of their DSC (Digital Signature Certificate). E-tender cannot be accessed after the due date and time mentioned in NIT. Bidding in e-tender & Reverse auction: a. Bidder(s) need to submit necessary EMD, Tender fees and Transaction fees (If ANY) to be eligible to bid online in the e-tender. Tender fees and Transaction fees are non refundable. No interest will be paid on EMD. EMD of the unsuccessful bidder(s) will be refunded by LIC. b. The process involves Electronic Bidding for submission of Technical and Commercial Bid c. The bidder(s) who have submitted the above fees can only submit their Technical Bid and Commercial Bid through internet in MSTC website www.mstcecommerce.com e-procurement Psu/Govt depts Login under MSTC My menu Auction Floor Manager live event Selection of the live event d. The bidder should allow to run an application namely enapple by accepting the risk and clicking on run. This exercise has to be done twice immediately after opening of Bid floor. Then they have to fill up Common terms/commercial specification and save the same. After that clicking on the Technical bid. If this application is not run then the bidder will not be able to save/submit his Technical bid. e. After filling the Technical Bid, bidder should click save for recording their Technical bid. Once the same is done, the Commercial Bid link becomes active and the same has to filled up and then bidder should click on save to record their Commercial bid. Then once both the Technical bid & Commercial bid has been saved, the bidder can click on the Final submission button to register their bid f. Vendors are instructed to use Upload Documents link in My menu to upload documents in document library. Multiple documents can be uploaded. Maximum size of single document for upload is 5 MB. Once documents are uploaded in the library, vendors can attach documents through Attach Document link against the particular tender. For further assistance please follow instructions of vendor guide. g. -Reverse Auction: Page 5 of 26

Vendors are to submit Technical and Commercial Bid on line. Bidders who qualify for bidding prices of offered products (on the basis of evaluation of their Technical offers) shall be required to participate in an electronic reverse auction process to submit their price quotation once again against the items covered by this tender within a limited time period on a date as announced by LIC. Such bidders shall be allowed to participate in the reverse auction using their secured user ID, password and DSC to place their best bids during the auction period. During reverse auction process the bidders can respond on the spot to the price trends and can offer their competitive bids. The start price of the reverse auction will be the L-1 price of the tender. The logged in bidders will know the prevailing lowest bid at any given point of time but not the identity of the other bidders. The bidders can place their bids from any place for which all they need is a computer with a browser interface and good internet connectivity. Bidders shall be required to get themselves familiarized with the detailed step by step method of participation in the reverse auction and submission of on-line bid, by suitably getting in touch with MSTC. Failure to do so by any bidder shall be at their own risk and responsibility and LIC /MSTC shall not entertain any request to re-conduct the auction process on the plea of lack of understanding of the auction process by a particular bidder. a) METHOD OF SUBMISSION OF ON-LINE BID IN THE E-REVERSE AUCTION: I. During the entire reverse auction process, the bidders will remain completely anonymous to all other bidders. II. During the reverse auction process prospective bidders shall not be allowed to increase their bid price after a bid is submitted by them. For example, if bidder, A has already submitted a bid of Rs.100/-, any subsequent bid by the bidder, A has to be lower than Rs.100/-. III. Another bidder B shall have the option to quote only lower price than Rs.100/- at that point of time but not Rs 100/-. Even if he attempts to quote Rs 100/-, the system will reject the bid with a suitable message on the screen. IV. The bid price for the item can be reduced by a bidder by a minimum pre decided amount. V. Only the chronologically last bid submitted by the bidder till the end of the auction, will be considered as the valid price bid of that bidder. Any bid submitted earlier by the bidder prior to submission of his last bid and before close of the auction will not be considered as the valid price bid. VI. The bid history shall display the last bids received from different bidders in the auction in descending order of bid time. VII. On expiry of the announced closing time of the auction, the bid history showing all the last valid bids offered along with name of the bidders will be published. All bidders shall have the facility to see and get a print of the same for their record. VIII. The auction floor for Reverse Auction shall remain open on a pre-announced date and time, which shall be intimated to techno commercially-, qualified bidders in advance. There would be an option for auto extension of the bidding time by 5 minutes every time, if a bid lower than the lowest bid till that time is received within the last 5 minutes of the initial time slot. IX. continue till such time when there will be no bid for continuous five minutes. All electronic bids submitted during the reverse auction process shall be legally binding on the bidder. The chronologically last bid submitted by the bidder till the end of the auction as mentioned in clause above will be considered as the valid price bid offered by that bidder (and acceptance of the same by LIC will form a binding contract between LIC and the bidders). h. In all cases, bidder should use their own ID and Password along with Digital Signature at the time of submission of their bid. i. During the entire e-tender process, the bidders will remain completely anonymous to one another and also to everybody else. j. The e-tender floor shall remain open from the pre-announced date & time and for as much duration as mentioned above. k. All electronic bids submitted during the e-tender process shall be legally binding on the bidder. Annexure-C COMMERCIAL TERMS AND CONDITIONS a) It shall be Bidders responsibility to ensure that the printing and supply of Address Book- 2015 are executed as per our specifications in the tender. Any failure on your part in adhering to our specifications and time schedule leading to inferior quality and / or delayed supplies shall attract compensation for damages caused to the image and goodwill of the Corporation in the market. Further, in that event, LIC may decide to delete/debar/blacklist the concerned printer and the decision will be final and binding on all concerned printers, as per the terms and conditions enclosed as per Annexure B b) Interested Printers will have to submit an amount of Rs 15,000/- (Rupees Fifteen Thousand Only ) towards Earnest Money Deposit (EMD) at the time of submission of Tender document by way of Demand Draft / Banker s Cheque in favour of L.I.C. of India payable at Mumbai. Quotations received without EMD will be considered technically disqualified. Interested Printers will be required to submit Tender Fees of ` 500/- in the form of Demand Draft payable in favour of Life Insurance Corporation of India, Mumbai, along with the EMD. Bidding received without Tender Fees will be disqualified b1) if your firm is registered with District Industries Centre or registered with National Small Industries Corporation, you are required to submit necessary valid document to claim the applicable exemption from payment of Tender fee and Earnest Money Deposit. c) Successful Printer will have to submit a Bank Guarantee of a Scheduled Bank of an amount to the extent of 10% of total order value within 15 days from the date of placing order. The Bank Guarantee must be of a Scheduled Bank and should be valid upto 31.12.2015. The Bank Guarantee will be released after settlement of the bill. d) Earnest Money Deposit of the successful printer will be refunded without any interest on submission of Bank Guarantee of the requisite amount. The EMD of unsuccessful Printer will be refunded without any interest within 30 days from the date of finalizing the Order. e) Submission of Quotation will be construed as acceptance of all terms and conditions mentioned in our enquiry. Once the quotation is submitted, no Printer will be allowed to withdraw for whatsoever may be the reason. If any Printer withdraws after responding to our printing enquiry, EMD of that Printer will be forfeited. If after placing the Order with the successful Printer and receipt of Bank Guarantee from the successful Printer, the Printer withdraws from doing the allotted job, in such case Corporation reserves the right to invoke the Bank Guarantee and deduct necessary amount, as may be required to replenish the loss to the Corporation due to allotment of job to other Printer. In such case, LIC of India may also blacklist the printer as per the tender condition No. 12. of Annexure-E. f) The printing job has to be done in close co-ordination with Corporate Communication Department. Instructions given by Corporate Communication Department, Central Office, Mumbai in the matter of proofs, printing time schedule etc. will have to be strictly adhered to and any deviation in this regard will be viewed seriously and will result in invoking penalty clause as per our terms and conditions. g) During the period of the contract, no additional payment of whatsoever nature, over and above the rate quoted by you, will be made except in case of any additional levy made either by the Union Government or the Maharashtra State Government or a local body on account of revision in excise duty, Sales Tax, General Tax and Octroi etc. Page 11 of 26

ANNEXURE -D Pre-qualification criteria (Necessary supporting documents to be signed, stamped scanned, uploaded and attached along with online bid) Conditions for printers desirous to submit quotes for Printing of Address Book - 2015 1) The Printer should be reputed and experienced firm/company having their Printing Press in Maharashtra. 2) The company should have a valid factory License. (copy of License must be uploaded) 3) The printer should be in profession of printing for minimum 3 years. (Copy of Registration Certificate/proof of incorporation/deed of partnership, as the case may be, must be uploaded). 4) Printers / Firms situated in Maharashtra may apply. Applications received from printers located beyond this jurisdiction will not be considered. 5) Tenders for printing of Address Book - 2015 are invited from the Printers having Annual Turnover of minimum Rs 25,00,000 lacs in any one of the 3 preceding financial years, (Attach copies of P&L Account and Balance sheets for last 3 financial years) 6) The printer should have worked for at least 1 Public Sector or Govt. Undertakings or both during last 3 years (upload order copies). 7) The printer should have at least two 4-colour offset machine or One 4 colour and 2 Two colour offset machines. 8) The printer desirous to apply should have capacity to do all types of related jobs in-house, i.e. Stitching, Pinning Unit 9) The printer should have registration with State/ local Authorities for undertaking the profession. (Copies of the local registration to be uploaded). 10) The printer should have 5000 sq ft minimum area of operation for printing, storage, etc. either owned and/or rented. (Proof to be submitted either Municipal Certificate in case of owned property or lease agreement for the rented property). 11) The printer desirous to apply for the above job should submit the copies of their I.T. Returns for last 3 years. 12) The Printer should comply with the provisions of Child Labour Act. The printer will be required to upload an Affidavit in compliance with this Act. 13) Further, the printers who have been blacklisted by any office of LIC of India need not apply for the same. 14) Successful printer will be decided on the basis of results of Reverse Auction to be conducted after opening of the Commercial bid. 15) If the bidder is found technically successful and after opening of the Commercial Bid if invited for participation in the Reverse Auction event, it is mandatory to participate in the Reverse Auction Event failing which the bidder will be black listed. 16) Printers should submit full details as required in the Technical and Commercial Bid Annexure. Incomplete Annexure or not answering the same as per the specification will be summarily rejected. 17) Interested Printers will be required to submit Tender Fees of ` 500/- in the form of Demand Draft payable in favour of Life Insurance Corporation of India, Mumbai. ANNEXURE E GENERAL TERMS AND CONDITIONS OF THE TENDER 1. Please note that your offer should be valid for minimum 90 days from the due date. 2. Please note, the description and specification of printing carefully and your offer should be in accordance with the same. 3. Wherever detailed specifications are not given for the printing, it will be presumed that the material of highest quality is offered. 4. All samples of paper should bear clearly the specifications like quality, size, weight, etc. on the sample itself and should be certified by the tenderer by his signature and affixing his office seal. 5. Offers subject to conditions, like subject to prior sale, subject to availability of stores or with similar conditional offer, will be subject to rejection on technical ground. Please note that any conditional offer will be termed as technically disqualified. 6. All deliveries must be made as per our instructions. 7. No alterations either in quantity or quality of the items indented or in the period of execution or enhancement in the rate shall be allowed, unless previously ratified by the Corporation in writing. 8. If after the delivery of books, it is observed that the books supplied do not conform to the specifications, such supply may be rejected at the printers cost who will have to supply the same exactly according to specifications and in the event of non-compliance with this condition, the Corporation shall be at liberty to take such action as it may decide to be warranted, in addition to reimbursing the Corporation of such additional cost as may be incurred by it in getting printed it from other printers. Further, in that event Corporation reserves the right to blacklist the printer. 9. In case of failure to deliver the quantity on or before the specified date/s, the printer at default shall be liable to make good any loss or damage that the Corporation may suffer due to such default as shall be called upon to pay to the Corporation, liquidated damages as provided under Clause 14, hereinunder. In addition, the Corporation also reserves the right to blacklist the printer for not executing the allotted job and for causing damage to the image and goodwill of the Corporation. 10. In case of printing work, if it is found that the Press is unable to complete the job after submission of two consecutive proofs or if it is found that the Press is unable to carry out the instructions given, the order may be withdrawn by the Corporation, in which case the Corporation shall not be liable for payment of damages or compensation but the Press shall in such an event be liable to make good any extra charge that the Corporation may incur in getting the job done by another Press as per Clause No. 11 above. In addition, the Corporation also reserves the right to blacklist the printer for not executing the allotted job. Page 15 of 26

11. If the Press/Supplier fails to comply with the provisions of Clause regarding the delivery on or before the specified date or within such extended time as the Corporation may grant at its discretion or in case the Press/Supplier fails to comply with the provisions of any other Clause, it shall pay to the Corporation, liquidated damages at the rate of ½% of the outstanding order value for a particular issue for every week or part thereof of delay (subject to a maximum of 7½ % of the outstanding order value for a particular issue). Such sum will be construed as and taken as liquidated damages and not as penalty, and the Corporation shall be at liberty to deduct such sums from any monies due to the Printer/Suppliers under these presents or may otherwise recover the same separately. 12. The Corporation also reserves the right to blacklist the printer / supplier in case of failure to undertake the job, after placing the order at the quoted rate. 13. No advance payment will be made till the order is fully executed except that the Corporation may, in a particular case stipulate that payments will be against partial deliveries, in which case such partial payments will be made. 14. The technically successful bidders will be invited for Reverser Auction, where by rate bid will be invited. Bidders invited for Reverse Auction will have to adhere to the terms and conditions and business rules prescribed for participation in the Reverse Action proceedings and will be required to send us the signed copy of the terms and conditions of Reverse Auction event, as a token of their acceptance, within the stipulated time. Participation in the Reverse Auction will be subject to receipt of signed copy of terms and conditions from the technically successful bidders. The technically successful bidders will be required to execute all the required documents for the reverse auction, if any, as per the stipulation, as and when necessary. Reverse Auction based on L1 rate shall be mandatory process in which all technically qualified bidders, who are invited for Reverse Auction shall participate, failing which the bidder may be black listed. 15. Any dispute arising out of or relating to this tender shall be deemed to have arisen at the headquarters of the Corporation s Office placing the order and shall be subject to adjudication by a Court in that City. 16.
