In the last year the JavaLand had more than 1200 visitors already. Our special components? Education and fun. General Terms and Conditions of Business These General Terms and Conditions of Business and the specifications within this document apply as a basis for the relationship between Exhibitors and/or Sponsors (hereinafter referred to as Exhibitor(s)) and JavaLand GmbH. Under the following T&Cs, you hereby agree to be bound by the terms and conditions and procedures regarding your presence as an Exhibitor with Javaland GmbH as the organizer. Please read the document carefully and follow the instructions, which are in the interest of both parties. By taking out an Exhibitor or Sponsor package, you agree to all terms and conditions. If you have any questions, do not hesitate to contact our event organizers. In addition to this guide and T&Cs for Exhibitors, the specifications, announcements, and event T&Cs apply to the relevant event. 1. Organizer and Contractual Partner JavaLand is organized by JavaLand GmbH, which is the contractual partner of the Exhibitors for the reservation of all services. Some of these services are performed by S.K. Messebau GmbH, with which JavaLand GmbH has concluded a contract, under which the Exhibitors may derive rights. 2. Object of the Contract and Prices 2.1 The object of the contract between JavaLand and the Exhibitor is the rental of an exhibition booth area with basic equipment, the optional rental of booth equipment and an entry in the JavaLand exhibitor directory. 2.2 The rental times for the area and equipment designated in the confirmation are as follows: - Set-up: the times are to be determined by JavaLand GmbH and announced in good time - March 28, 2017: Open to the public from 9am to 6pm, with an option to extend until the end of the evening event at 12am - March 29, 2017: Open to the public from 9am to 6pm, dismantling from 6pm to 9pm. The organizer reserves the right to modify the opening hours when operational circumstances so require. With regard to the booth equipment, the rental time begins upon handover of the constructed booth at the earliest. 2.3 The services, exhibition offers and prices are described on page 6 onwards of the exhibition guide. 2.4 So long as a service depends on the cooperation of the Exhibitor, JavaLand GmbH is released from its duty to provide the service after a grace period if no fixed deadline is agreed. 2.5 The house rules and user regulations for Phantasialand, which can be downloaded from the JavaLand website, also apply to JavaLand GmbH and Exhibitors. 2.6 Exhibitors may only conduct business activities concerning their own products. During the event, Exhibitors may not violate the industrial property rights of JavaLand GmbH, in particular the brand of JavaLand or third parties, or competition regulations when conducting their business activities. 3. Acceptance and Contract Conclusion 3.1 This guide sets out the call to submit an application to take part in JavaLand as an Exhibitor. An Exhibitor may submit an application to JavaLand GmbH by expressing its interest. 3.2 JavaLand GmbH shall inform Exhibitors whose application is successful, within one month of receipt at the latest. Upon acceptance of the application, JavaLand GmbH shall inform the Exhibitor of the acceptance or rejection of any sub-exhibitors proposed. 3.3 There is no right to conclusion of a contract or a specific location of the booth area. JavaLand GmbH may reject an application from an Exhibitor for objectively justifiable reasons, especially if the area available is inadequate or if it is necessary to restrict the event to specific groups of exhibitors or applicants in order to fulfill the purpose of the event. Prior to concluding the contract, JavaLand GmbH is entitled to present Exhibitor applicants with a proposal to change the exhibits or the areas previously indicated. 3.4 Any subsidiary agreements must be drawn up in writing. 4. Payment Conditions 4.1 The amount billed by JavaLand GmbH must be paid without deduction within 14 days of receipt of the invoice. For reservations made after March 13, 2017, payment must be made by March 27, 2017. 4.2 Overdue payments will be subject to interest on arrears applied at 8% pa above the base rate. 5. Changes to the Object of the Contract 5.1 If area conditions, administrative orders or other compelling reasons require the Exhibitor to move from the area allocated or to change or reduce the area dimensions, JavaLand is entitled to change the performance content of the contract accordingly, even after the contract has been concluded; in this case, the Exhibitor has no right to damages or right to cancel. 5.2 In the event of force majeure, JavaLand GmbH reserves the right to rescind the contract so long as the event must be canceled, postponed or moved location as a result. 5.3 If the Exhibitor uses an area greater than that defined under the services in point 2.3, the additional use shall be billed for, excluding additional use of areas purely for the purpose of visitor movements. JavaLand GmbH is entitled to verify that the booth area rented does not exceed the defined area at any time. If the Exhibitor does not immediately cease using any additional area of the exhibition when requested to do so, JavaLand GmbH is entitled to bill the Exhibitor for the additional use. The additional use fee will be billed for each additional m² used; the additionally-used area will be determined cumulatively in cm². The area is calculated to be the square formed by the width of the area defined, plus any lateral overlap of the outermost part 13

of the exhibition area, and the depth between the front of the area defined and the outermost part of the exhibition area. Each m² is billed at 300 net for the entire duration of JavaLand, regardless of the period of actual use. JavaLand GmbH shall provide photos to accompany the documentation. This option does not apply if additional use is not permitted for reasons of safety and public order. If, in such a case, the area is not vacated immediately, a contractual penalty of 500 will apply for each violation. 6. Termination of the Contract and Contractual Penalties 6.1 The contract may not be terminated, except for exceptional reasons. 6.2 If JavaLand GmbH terminates the contract for exceptional reasons for which the Exhibitor is responsible, the Exhibitor shall be liable for 50% of the agreed price for damages. If the rented area is successfully rented out again under the terms of the terminated contract, the fee for damages is reduced to 25% of the agreed price. The Exhibitor remains free to provide evidence of lesser damages. 6.3 JavaLand GmbH is entitled to rescind the contract if: - payment is not made on time - payment is not made on time following a grace period - the booth is not clearly occupied by 5pm on March 27, 2017. If the Exhibitor is responsible for the contract rescission, it shall be liable towards JavaLand GmbH for damages pursuant to point 6.2. 6.4 JavaLand GmbH may demand that the Exhibitor pays a contractual penalty of 50% of the agreed price, except in the cases under points 6.2 and 6.3, if: - the booth area is partially or entirely cleared by 5pm on March 29, 2017 - the booth is not clearly open to the public from 9am until 6pm - the booth area is not partially or entirely cleared by 9pm on March 29, 2017. In the latter case, the Exhibitor shall also bear the costs for clearing the booth. 6.5 Terms of Cancellation of Exhibitor/JavaLand passes: Any exhibitor passes reserved in addition to those allocated as part of the complete package or self-assembly booth area are subject to the following cancellation fees: - Cancellation by February 6, 2017 - no fee; - Cancellation between February 7 and March 19, 2017 50% fee; - Cancellation by March 20, 2017 100% fee. 6.6 The organizer seeks to attract at least 1,800 visitors (target visitor number) to the event. If the actual visitor number is far below the target and fewer than 800 visitors register for the event, the Exhibitor will receive a refund of 35% of the fee it paid. The Exhibitor may not rescind the contract if the target visitor number is not reached. If it is expected that the actual visitor number will fall far short of the target, the organizer is entitled to modify the location and set-up of the relevant aspects, with consideration of the Exhibitor's interests, in order to ensure the event runs as smoothly as possible in the common interest of the organizer and Exhibitors. The Exhibitor may not rescind the contract on these grounds. 7. Exhibitor's Liability, Indemnity and Insurance 7.1 The Exhibitor is liable for any damage caused by itself, its staff, its contracted service providers or any equipment under its operation. This also includes a duty to maintain public safety at its booth and the paths leading up to its booth. 7.2 The Exhibitor shall indemnify JavaLand GmbH against any third-party claims on the grounds of any violations or failures pursuant to point 2.7 or 7.1. 7.3 The Exhibitor must maintain adequate insurance cover and produce evidence of this at the request of JavaLand GmbH. 8. Warranty and Liability of JavaLand GmbH 8.1 The booth area and equipment shall be handed over to the Exhibitor on March 28, 2017. If the Exhibitor observes any defects, either before or after handover, which considerably reduce the booth's usability, these must be reported within an hour to an official designated by JavaLand GmbH. If the Exhibitor fails to do so, it will have no claim to rectification of the defects. 8.2 JavaLand GmbH is liable towards the Exhibitor for any damage caused as a result of injury to life, limb or health due to an intentional or negligent breach of duty by JavaLand GmbH, its legal representative or JavaLand GmbH's staff; JavaLand GmbH is also liable for any other damage caused due to intentional or grossly negligent breach of duty by JavaLand GmbH, its legal representative or JavaLand GmbH's staff; in all other cases, JavaLand GmbH's liability is excluded, to the extent permitted by law, or limited to the damage typically foreseeable at the time the contract was concluded, to the extent permitted by the contract. The right to claim joint liability remains reserved. 8.3 JavaLand GmbH, its legal representatives or the staff of its services providers are not liable for any omissions, incorrect details or typing/printing errors for which JavaLand GmbH is not at fault. 9. Photographic, Film, Television and Sound Recordings Clause 9.1 For reasons of intellectual property protection, it is not generally permitted to make or publish photographic, film, television or sound recordings at JavaLand GmbH events. 9.2 However, Exhibitors may request a permit from JavaLand GmbH by email under the following conditions. Permits are not typically issued for presentations. The request must specify the type and scope of the recording, number of people on the filming team, purpose, and means and scope of publication. 9.3 The permit issued must be carried and produced on request. The permit does not include any rights for third parties; the necessary consent must be obtained by the exhibition partner itself. If the exhibition partner does not intend for the recordings produced to be for internal use only, but rather plans for them to be used outside of its company, JavaLand GmbH must be notified by suitable means and sent the permit for publication in advance. 9.4 Notwithstanding the permit requirement, photographs and film recordings are permitted for personal use only, insofar as these are not published and only cover a very brief portion of the event. Media which have been accredited are exempt from this. 10. Place of Performance and Court of Jurisdiction 10.1 The agreed place of performance for all obligations is Brühl (Germany), except for payment obligations, for which the place of performance is Berlin (Germany). 10.2 The agreed court of jurisdiction, insofar as permissible, is Berlin (Germany). 10.3 Should any provision of the contract be unfeasible or ineffective, the remaining provisions remain applicable. 14
