Page 2 TERMS & CONDITIONS: 1. Period of Contract: Rate Contract will be established for one year. This may be extended on the same terms and conditions of the agreement upto a maximum of five years on yearly basis. 2. Technical Specification: a) Detailed technical specification of various Immunoassay Test Kits for Mini Vidas Immunoassay Analyser is given at Annexure-I. b) Mini Vidas is a close system so Kits should match with the equipment. c) Validity of the kits should be at least one year from the date of opening of the kits. 3. Rates: Rates quoted should be on F.O.R., IIT Guwahati, on Door Delivery basis. 4. Brand: Brand / Make is to be clearly stated against all quoted items. 5. Validity: a) Quotation submitted by the bidder must be valid for a minimum period of one year from the date of award of the Contract. (b) No price variation or enhancement will be accepted during contract period. (c) IIT Guwahati shall be entitled to the benefit of any decrease in price during the Rate Contract period. 6. Tender Fee: Non refundable Tender fee for Rs. 500.00 (Rupees five hundred only) in the form of an Account payee Cheque or Demand Draft in favor of the Registrar, IIT Guwahati, is to be submitted. Quotation submitted without Tender Fee will be summarily rejected. 7. Earnest Money: Refundable earnest money deposit of ` 45,000.00 through Account payee Demand Draft drawn in favour of Registrar, Indian Institute of Technology, Guwahati, payable at Guwahati, will have to accompany the quotation. Quotation submitted without appropriate amount of earnest money will be summarily rejected. The EMD of unsuccessful bidders shall be returned after award of contract. EMD of the successful bidder will be released on submission of the Performance Bank Guarantee (PBG). Bidders who have successfully executed a minimum of two Purchase Orders in the last three Financial Years in IIT Guwahati may be exempted from submission of Earnest Money. If bidders sought for exemption, copies of the POs must be enclosed along with the quotation. 8. Performance Bank Guarantee (PBG): The successful bidder shall furnish an unconditional PBG from a scheduled Bank of India, for ` 60,000.00 (Rupees sixty thousand only) valid till 14 months, within 21 days of establishment of the Contract. (i) By submitting the PBG, the firm is understood to have guaranteed that, (a) Purchase Orders (POs) shall be executed as per terms and conditions mentioned in the Contract Award and the PO. (b) The firm shall at his own cost rectify / replace the defects or damages, if any, within 10 days of intimation by IITG. (ii) Condition for invoking PBG: In case of failure to comply with the guarantees above, IITG may terminate the contract / purchase order in whole or in part and forfeit the PBG. In addition, IITG may, at its discretion, procure upon such terms and in such manner as it deems appropriate, goods similar to the undelivered items/products and the defaulting firm shall be liable to compensate IITG for any extra expenditure involved. Format of the PBG will be provided to the successful vendors at the time of award of the contract. 9. Delivery: Unless otherwise stated delivery of goods at IIT Guwahati, will have to be maximum within 15 days from the date of issue of the Purchase Order. The firm failing to deliver goods as per schedule may be debarred from further dealing with the Institute 10. Tax: a) Copy of GST registration certificate of the firm will have to accompany the quotation to be submitted. b) Up-to-date Sales Tax clearance certificate will have to accompany the quotation to be submitted. 11. Permanent Account Number (PAN): Copy of PAN of the firm will have to accompany the quotation to be submitted. Cont.. to Pg/3

Manufacturer, Distributorship or Dealership Certificate: Manufacturer, Distributorship or Dealership certificate, as applicable, on the offered products and Standard Technical literature on each of the items offered will have to be enclosed along with the quotation. Bidder must have its office in Guwahati. 13. The quotation documents are not transferable and the seal and signature of the authorized official of firms must appear on all the papers and envelopes submitted. 14. Printed conditions of the firm, if any, will not be binding on us. 15. Hard copy Catalogue of the items quoted will have to accompany the quotation. 16. Late and delayed quotation will not be considered. 17. The quotation should be complete in all respects and duly signed wherever required. Incomplete and unsigned offer will not be accepted. 18. The quotations are liable to be rejected if the fore going conditions are not complied with. 19. Risk Purchase Clause: If successful firm fail to deliver the ordered goods within the maximum delivery period specified in the purchase order, we may procure such item/s in such a manner as it deemed appropriate. In the process of procuring similar goods if our institute happens to incur any excess cost, the firm is liable to pay the said excess cost. 20. Selection: (a) Selection shall be on lowest quoted basis from technically qualified single firm. (b) Although selection as per procedure is on lowest quoted basis from the technically qualified firms, firm(s) not qualified for all the items will not be accepted for the award, instead attempt will be made to get the said item(s) supplied by the qualified firm, starting from the next lowest quoted firm willing to supply the said items as per the rate quoted by the LQ firm or as per the brand and price of the lowest quoted firm. 21. Payment: Payment will be made within 30 days from the date of successful delivery and acceptance of goods at IIT Guwahati through NEFT / RTGS. Part payment for part delivery will not be allowed. 22. Default: Default is said to have occurred if the supplier fails to perform any obligation (s) mentioned above and such default may result into forfeiture of EMD submitted by the firm. 23. All disputes are subject to exclusive jurisdiction of Competent Court and Forum in Guwahati, India only. 24. Institute reserves the right to reject any quotation without assigning any reason. (T. T.
