PRODUCT DISCLOSURE SHEET Please read this Product Disclosure Sheet before you decide to take up the product. The final terms and conditions will be documented in the form of Letter of Offer and/or Facility Agreements. AmBank Islamic Berhad Export Credit Refinancing-i (Pre- Shipment) Date: 1. What is this product about? Export Credit Refinancing-i ( ECR-i ) (Pre-Shipment) is a facility ( Product or Facility ) for the purpose to facilitate manufacturer / agricultural products producer in the production of eligible goods and to facilitate trading company for purchase/order of domestic intermediate / final products, for export prior to shipment. It is also used to finance import / local purchases against the bank s Letter(s) of Credit, Inwards Bills under Document against Payment ( D / P ) or Document against Acceptance ( D / A ) and Local Inwards Bills / Direct Invoice. 2. What is the Shariah concept applicable? Murabahah, which refers to a sale and purchase of an asset where the acquisition cost and the mark-up are disclosed to the purchaser. In Murabahah transactions, you (customer) will be appointed as an agent by the Bank to acquire the required asset. The criteria of the assets under Murabahah transactions are as follows: (a) The asset must exist and identifiable in terms of its location, quantity, quality and complete in its physical form. Assets under construction or to be constructed must not be sold through Murabahah transaction before the construction / commissioning is completed. (b) The asset must be permissible under Shariah, valuable and beneficial to the purchasers. (c) The asset must be transferable (i.e. something that can be delivered). Note: Access to the Facility is subject to the products which are not listed under the First Schedule of Custom Duties Order (list of goods of which is prohibited to be exported) 3. What do I get from this product? (a) Total facility applied: RM (b) Tenure: Max 4 months (c) Acquisition cost: Based on invoice value. (d) Profit Rate structure (Mark-up profit): Fixed (benchmarked against the Bank s prevailing Cost of Fund) 4. What are my roles and obligations? (a) To purchase the asset as an agent to the Bank. (b) As an agent to the Bank, you are authorized to sign / execute all documents and observe / perform all obligations in connection with the agency herein. (c) You are also required to adequately cover the asset against all risks, including fire, flood, theft and other risk common in your trade during the delivery of the asset from the Seller and when the asset is stored in your warehouse. (d) As an agent, you are also required to adhere to the Terms and Conditions of the product which can be found at www.ambankgroup.com (e) Total asset purchased shall not exceed the total facility amount applied. 5. What are the fees and charges I have to pay? Stamp Duty As per Stamp Duty Act 1949 (Revised 1989) Takaful Contribution Against all risks, including fire, flood, theft and other risk common in your Commission As per latest EXIM Bank s guidelines on Facility The fees and charges are exclusive of any taxes, including but not limited to, goods and services tax, value added tax, consumption tax, consumer tax, indirect tax, service tax, sales tax, duties, levies or any other taxes ("Taxes") which may now be or hereafter imposed by the Government of Malaysia. 6. What if I fail to fulfill my obligations? (a) In the event you refuse or fail to effect the purchase and take delivery of the asset, you shall be held liable for the breach of the covenant and shall compensate the Bank for all the actual costs incurred in the purchase of the asset, its disposal to a third party and the shortfall between the disposal price and the purchase price (if any). (b) In the event that you refuse or fail to perform your financial obligations to pay or such other obligations under the facility, the Bank shall be entitled to declare an event of default whereupon the facility will be terminated and you shall pay the Bank all outstanding amount under the facility. (c) In addition to the above, in the event that you refuse or fail to pay any amount on its due dates, you shall pay the Bank late payment charges on such amount due and unpaid at the following rates:- No. Applicable Period Late Payment Charges Rate On the Amount 1. Prior to maturity date 1% per annum calculated on daily basis. On the outstanding balance, to be calculated from the date of cancellation until full settlement of the outstanding balance. 2. After maturity date. Islamic Interbank Money Market Rate ( IIMM ) per annum calculated on daily basis. On the outstanding balance, to be calculated from the date of maturity until full settlement. 3. After the Bank had obtained court judgment against the Customer. At IIMM per annum calculated on daily basis from the date of court judgment to the settlement date. On the outstanding balance (excluding legal costs and late payment charges as stated in the judgment), to be calculated from the date of judgment until full settlement of the judgment sum.

Note: i. The late payment charges shall not be compounded. ii. Total late payment charges shall not be more than the outstanding principal. iii. The late payment charges and the method of calculation thereof are subject to change as may be prescribed by Bank Negara Malaysia. iv. Outstanding balance refers to outstanding principal and earned profit. v. The late payment charges are cumulative subject to the applicable period. (d) Right to Set-off: The Bank has the right to set-off any credit balance in your account(s) maintained with the Bank to settle any payment in arrears under the Facility subject to notice to you. (e) The Bank has the right to commence legal action against you and Guarantor (if any) and/or liquidate / foreclose the collateral provided (if any) to recover any amount due but unpaid under the Facility. 7. What if I fully settle the facility before its maturity? The Bank will grant ibra (rebate), if any, on such amount of the balance payment remaining unpaid by you based on the following situations: (a) Upon full settlement of the Facility by you in the following scenarios: i. Redemption or prepayment of the Facility. ii. Due to restructuring exercise. iii. In the case of default by the Customer. iv. In the event of termination or cancellation of the Facility before the expiry date. Ibra (rebate) will be calculated based on the following formula or any other calculation method or formula as may be prescribed by Bank Negara Malaysia: Ibra (rebate) = deferred profit early settlement charges 8. Do I need any takaful coverage? Yes, Takaful coverage is required to adequately protect the asset. You may choose to take the Takaful coverage with any Takaful companies deemed acceptable by the Bank. The available Takaful that is applicable for this facility: Open Cover Takaful, which covers loss of, or damage to goods during shipment. It compensates the owner of merchandise for losses in excess of those which can be legally recovered from the carrier. Losses in this coverage may include fire, shipwreck, piracy, inclement weather and various other clauses. 9. What are the major risks? The Bank may take legal action if you do not keep up with your payment. 10. Do I need a guarantor or collateral? (a) A guarantor(s) is to be provided if required. (b) Collateral is to be provided if required and be acceptable to Shariah. Note: The above requirements are depending on your creditworthiness. 11. What do I need to do if there is change(s) to my contact details? It is important that you inform us of any change in your contact details to ensure all correspondences reach you in a timely manner. Terma dan syarat muktamad akan didokumenkan dalam bentuk Surat Tawaran dan/atau Perjanjian Kemudahan. AmBank Islamic Berhad Pembiayaan Kredit Eksport-i (Pra Penghantaran) 1. Apakah yang perlu saya ketahui mengenai produk ini? Pembiayaan Kredit Eksport-i ( ECR-i ) (Pra-Penghantaran) ialah satu kemudahan ( Produk/Fasiliti ) untuk tujuan memudahkan pengilang / pengeluar produk pertanian dalam pengeluaran barangan yang layak dan memudahkan syarikat perdagangan untuk membuat pesanan belian bagi barang perantaraan / siap untuk dieksport sebelum penghantaran. Ia juga digunakan untuk tujuan pembiayaan import / pembelian tempatan terhadap Surat Kredit-i, Bil Masuk di bawah Dokumen atas Pembayaran ( D/P ) atau Dokumen atas Penerimaan ( D/A ) dan Bil Masuk Tempatan / Invois Langsung. 2. Apakah konsep Syariah yang digunakan? Murabahah, yang merujuk kepada jual beli aset di mana kos perolehan dan margin keuntungan dimaklumkan kepada pembeli. Dalam transaksi Murabahah, anda (pelanggan) akan dilantik sebagai ejen oleh Bank untuk membeli aset yang diperlukan. Tarikh: Kriteria aset-aset dalam transaksi Murabahah adalah seperti berikut: (a) Aset mestilah wujud dan dikenal pasti dari segi lokasi, kuantiti, kualiti dan lengkap dalam bentuk fizikalnya. Aset dalam pembinaan atau akan dibina tidak boleh dijual melalui transaksi Murabahah sebelum pembinaan / tempahan selesai. (b) Aset mestilah dibenarkan di bawah Syariah, mempunyai nilai dan bermanfaat kepada pembeli. (c) Aset hendaklah boleh dipindah milik (iaitu sesuatu yang boleh diserahkan). Nota: Akses kepada kemudahan ini adalah tertakluk kepada produk yang tidak disenaraikan di bawah Jadual Pertama Perintah Duti Kastam (senarai barangan yang dilarang untuk dieksport). 3. Apakah yang saya akan dapat dari produk ini? (a) Jumlah yang dipohon: RM (b) Tempoh pembiayaan: Max 4 bulan (c) Kos perolehan: Berdasarkan nilai invois (d) Struktur Kadar Keuntungan (Margin keuntungan): Tetap (Diukur rujuk kepada Kos Dana semasa pihak Bank) 4. Apakah peranan dan tanggungjawab saya? (a) Untuk membeli aset sebagai ejen kepada Bank. (b) Sebagai ejen kepada Bank, anda diberi kuasa untuk menandatangani semua dokumen dan mematuhi / menjalankan segala kewajipan berkaitan dengan agensi di dalam lembaran ini. (c) Anda juga dikehendaki untuk melindungi aset terhadap semua risiko, termasuk kebakaran, banjir, kecurian dan risiko lain yang biasa dalam perdagangan anda semasa penghantaran aset tersebut daripada Penjual dan apabila aset tersebut disimpan di dalam gudang anda. (d) Sebagai ejen, anda juga dikehendaki untuk mematuhi Terma dan Syarat produk yang boleh didapati di www.ambankgroup.com (e) Jumlah nilai aset yang dibeli tidak boleh melebihi jumlah kemudahan yang diluluskan. (f) Struktur Pembayaran: Pembayaran Sekaligus (prinsipal + keuntungan pada tarikh matang) 5. Apakah yuran dan caj yang dikenakan? Duti Setem Seperti terkandung dalam Akta Duti Setem 1949 (Semakan 1989) Sumbangan Takaful Terhadap semua risiko, termasuk kebakaran, banjir, kecurian dan risiko lain yang biasa dalam Komisen Seperti yang dinyatakan dalam garis panduan EXIM Bank yang terkini mengenai kemudahan Sebut harga fi dan caj yang dinyatakan adalah tidak termasuk apa-apa cukai, termasuk tetapi tidak terhad kepada, cukai barang dan perkhidmatan, cukai tambah nilai, cukai penggunaan, cukai pengguna, cukai tidak langsung, cukai perkhidmatan, cukai jualan, duti, levi atau apaapa cukai lain ("Cukai") yang mungkin sekarang atau selepas ini dikenakan Kerajaan Malaysia.

6. Bagaimana sekiranya saya gagal melaksanakan tanggungjawab saya? (a) Sekiranya anda enggan atau gagal untuk membuat pembelian dan mengambil penyerahan aset, anda perlu bertanggungjawab bagi pelanggaran perjanjian itu dan hendaklah memberi pampasan kepada Bank untuk semua kos yang terlibat dalam pembelian aset, pelupusan aset kepada pihak ketiga dan perbezaan antara harga pelupusan dan harga pembelian (jika ada). (b) Sekiranya anda enggan atau gagal melaksanakan kewajipan kewangan atau apa-apa kewajipan lain di bawah kemudahan anda, Bank berhak untuk mengisytiharkan kes ingkar di mana kemudahan itu akan ditamatkan dan anda hendaklah membayar kepada Bank semua jumlah tertunggak di bawah kemudahan ini. (c) Sebagai tambahan kepada perkara di atas, sekiranya anda enggan atau gagal membayar apa-apa jumlah pembayaran pada tarikh matang, anda hendaklah membayar caj pembayaran lewat ke atas jumlah yang terhutang dan tidak dibayar pada kadar berikut: No. Tempoh Berkenaan Kadar Caj Lewat Bayar Ke atas Amaun 1. Sebelum tarikh matang. 1% setahun dikira atas baki harian. Baki tertunggak yang dikira dari tarikh pembatalan sehingga penyelesaian penuh baki tertunggak. 2. Selepas tarikh matang. Kadar Semasa Pasaran Wang Antara Bank Secara Islam ("IIMM") setahun dikira atas dasar baki harian. 3. Apabila Bank telah mendapat penghakiman terhadap Pelanggan. Pada kadar IIMM setahun yang dikira atas dasar baki harian daripada tarikh penghakiman mahkamah Baki tertunggak yang dikira dari tarikh matang sehingga penyelesaian penuh. Baki tertunggak (tidak termasuk kos guaman dancaj lewat bayar seperti yang dinyatakan di dalam penghakiman) yang dikira dari tarikh penghakiman sehingga penyelesaian penuh jumlah penghakiman. Nota: i. Caj lewat bayar tidak boleh dikompaun. ii. Jumlah caj lewat bayar tidak boleh lebih daripada amaun prinsipal tertunggak. iii. Caj lewat bayar dan kaedah pengiraan adalah tertakluk kepada perubahan sebagaimana yang ditetapkan oleh Bank Negara Malaysia. iv. Baki tertunggak merujuk kepada baki prinsipal dan keuntungan diperoleh. v. Caj lewat bayar adalah kumulatif dan tertakluk kepada tempoh berkenaan. (d) Hak untuk tolak-selesai: Bank berhak untuk menolak-selesai mana-mana baki kredit dalam akaun anda yang dikendalikan dengan Bank untuk menyelesaikan apa-apa pembayaran tunggakan di bawah kemudahan yang memberi notis kepada anda. (e) Pihak Bank mempunyai hak untuk memulakan tindakan undang-undang terhadap anda dan penjamin (jika ada) dan/atau mencairkan / menghalang / tebus cagaran yang diberi (jika ada) untuk mendapatkan apa-apa amaun terhutang yang tidak dibayar di bawah Kemudahan. 7. Bagaimana sekiranya saya melangsaikan pembiayaan sebelum tempoh matang? Bank akan memberi ibra (rebat), sekiranya ada, ke atas baki amaun Harga Jualan Aset yang masih belum dijelaskan oleh anda berdasarkan situasi berikut: (a) Bagi pembiayaan kadar boleh ubah, sekiranya jumlah keuntungan dikira berdasarkan kadar keuntungan efektif adalah lebih rendah daripada jumlah keuntungan yang dikira berdasarkan kadar keuntungan siling / dipersetujui. (b) Berdasarkan kepada penyelesaian penuh Kemudahan oleh anda dalam situasi berikut: i. Penebusan atau prabayaran Kemudahan. ii. Disebabkan penstrukturan semula Kemudahan. iii. Di dalam kes ingkar oleh Pelanggan. iv. Di dalam situasi penamatan atau pembatalan Kemudahan sebelum tarikh luput. Ibra (rebat) akan dikira berdasarkan formula di bawah atau pengiraan formula sebagaimana yang ditetapkan oleh Bank Negara Malaysia:- Ibra (rebat) = keuntungan tertunda caj penyelesaian awal 8. Adakah saya memerlukan perlindungan Takaful? Ya, perlindungan Takaful diperlukan dengan secukupnya untuk melindungi aset. Anda bebas memilih perlindungan Takaful dari mana-mana syarikat Takaful yang diterima oleh Bank.Takaful yang terpakai untuk kemudahan ini: - Takaful Perlindungan Terbuka, yang meliputi kehilangan atau kerosakan kepada barangan semasa penghantaran. Ia menggantikan pemilik barang dagangan untuk kerugian melebihi apa yang boleh diperolehi semula secara sah daripada pengangkut. Kerugian dalam liputan ini boleh termasuk kebakaran, kemalangan kapal, lanun, cuaca buruk dan pelbagai klausa lain. 9. Apakah risiko yang perlu saya tanggung? Bank boleh mengambil tindakan undang-undang jika anda tidak melunaskan bayaran anda. 10. Adakah saya memerlukan penjamin atau cagaran?
