This statement is the responsibility of the Company's Management and has been approved by the Board of Directors. Our Responsibility is to issue a report on the statement based on our review. We conducted our review in accordance with the Standard on Review Engagement (SRE) 40, Review of Interim Financial Information Performed by the Independent Auditor of the Entity" specified under section 43(0) of the companies Act, 03.This standard requires that we plan and perform the review to obtain moderate assurance as to whether the financial resultsare free of material misstatement. A review is limited of Company personnel and analytical procedures applied to

2 financialdata and thus provide less assurance than an audit. We have not performed an audit and accordingly, we do not express an audit opinion. Based on our review conducted as above,nothing has come to our attention that causes us to believe that the accompanying statement of standalone unaudited financial result prepared in accordance with applicable accounting standard i.e. Ind AS prescribed under section 33 of the Companies Act,03 and other recognized accounting practices and policies has not disclosed the information required to be disclosed in terms of Regulation 33 of the Listing Regulations including the manner in which it is to be disclosed,or that it contains any material misstatement. 4 CIN: L0407MH988PLC The above Standlalone Un-audited Financial Results and Segment Results for the quarter and nine months ended December 3, 08 have been reviewed by the Audit Committee and approved by the Board of Directors at its meeting held on February 4, 09. The above results are prepared in accordance with the IND AS as prsecribed under Section 33 of the Companies Act, 03. The Limited Review for the quarter and nine months ended on December 3, 08, as required under Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 05 has been carried out by the Statutory Auditors. The compnay adopted [ND AS(Indian Accounting Standard) with effect from st April, 07 and accordingly these financial statements have been prepared in accordance with the recognition and measurement principles laid down in the [ND AS 34 " Interim Financial Reporting" prescribed under section 33 of the Companies Act, 03 read with relevant rules issued thereunder and other accounting principles generally accepted in India. The Company has four reportable business segments i.e. Multimedia,Trading Division,Financial & Other Consultancy and Dealing in shares & Securities and the Segment reporting of the Company has been prepared in accordance with IND As 08 on "Segment Reporting ". Previous period figures have been regrouped/rearranged and re-classified wherever necessary to confirm to current period's classification. Provision for Deferred Tax Liablity, if any will be made at the end of the year.
