ROAD Ist FLOOR Kolkata PH : /6914 Auditor s Report on Quarterly Financial Results and Year to Date Financial Results of HANUMAN AGRO INDUSTRIES LIMITED pursuant to the Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 To The Board of Directors Hanuman Agro Industries Limited Nicco House, 6th Floor 2 Hare Street Kolkata West Bengal (1) We have audited the accompanying Financial Results of HANUMAN AGRO INDUSTRIES LIMITED ( the Company ) for the quarter ended March 31, 2017 and the year to date results for the period from 1 st April, 2016 to 31 st March, 2017 ( the Statement ) attached herewith, being submitted by the Company pursuant to the requirement of the Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, Attention is drawn to the fact that the figures for the quarter ended 31 st March, 2017 and corresponding quarter ended in the previous year as reported as these financial Results are the balancing figures between audited figures in respect of the full financial year and published year to date figures up to the end of the third quarter of the current and previous financial year respectively. Also, the figures up to the end of the third quarter of the respective financial year had only been reviewed and not subject to an audit. (2) These quarterly financial results as well as the year to date financial results have been prepared on the basis of reviewed financial results up to the end of the third quarter and audited annual financial statements respectively, which are the responsibility of the Company s management. Our responsibility is to express an opinion on these financial results based on our audit of such financial statements, which has been prepared in accordance with the recognition and measurement principles laid down in Indian Accounting Standards (Ind As), prescribed under Section 133 of the Companies Act, 2013 read with relevant rules issued thereunder; or by the Institute of Chartered Accountants of India, and other accounting principles generally accepted in India.

2 (3) We conducted our audit in accordance with the auditing Standards generally accepted in India. Those standards require that we plan and perform the audit to obtain reasonable assurance about whether the financial results are free of material misstatements. An audit includes examining, on a test basis, evidence supporting the amounts disclosed as financial results. An audit also includes assessing the accounting principles used and significant estimates made by the management, as well as evaluating the overall presentation of the financial results. We believe that our audit provides a reasonable basis of our opinion. (4) Based on our audit conducted as above, in our opinion and to the best of our information and accordingly to the explanations given to us, these quarterly financial results as well as the year to date results: a. Are presented in accordance with the requirements of Regulation 33 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and SEBI Circular dated 5 th July 2016 in this regard; and b. Give a true and fair view of the financial performance and other financial information for the quarter ended 31 st March, 2017 as well as the year to date results for the period 1 st April, 2016 to 31 st March, Date: 4 th September, 2017
