EDRO / DRO REGULAR AGENDA Death Benefit Total Amount: $0 Investment Consultant s Report Amy Cole and Timothy Brice A. 3Q18 Investment Performance Mr. Brice presented the On the Markets article discussing over weight and underweight stocks. He discussed trade and international stocks, and explained that the trade war will ultimately hurt trade. International stocks are less risky investments, and mid-term elections will be important dates for tariff talks. Mr. Brice discussed the Asset Class Index Performance. Cash is at 1.3% year to date, and the market has been selective and characterized as a rolling bear market. Worry is centered on interest rates and inflation. Earnings are good but may peak out. Large, Mid, and Small Cap are doing well in the market. Consumer discretionary is up over 20%. The energy sector is positive. Fixed Income Performance is above 3%, and interest rates have not moved much. But there is worry that interest rates will rise. Global fixed incomes are mainly underweight. This year has been difficult for global markets with the rise in interest rates and inflation. B. September 2018 Performance Review Ms. Cole discussed the portfolio s Total Fund Performance, and how it is up 6 basis points. The policy index is down 16 basis points. The quarter overall was positive. September saw change in value and growth. October saw a shift in performance. Ms. Cole described how the S&P 500 sectors are going through 5 to 10% corrections, which characterizes a rolling bear market. Ms. Cole discussed Manager Performance and Small and Mid Cap growth. The Manning and Napier portfolio is more aggressive in Small and Mid Cap, but was a little off in this quarter. Overall it had an outperformance for the year. In International Equity the index is off 1.3%, and the index is off 8.7% in Emerging Markets, which have been impacted by trade and currency. Real estate has been steady with a year to date 5.3% for the Strategic Property Fund and 7% for the Special Situation Property Fund. McMorgan infrastructure has two properties with one coming into the portfolio. They have until April of 2020 for dollars to be called. The 8% cash flow will not fluctuate in the portfolio they are going into. Ms. Cole had no recommendations for changes in the portfolio. From a cash standpoint, everything is good. They do not want to pull any items at this time, with the market that we are currently in. Mr. Brice suggested discussing the Managers that were previously interviewed when more Board members are present. C. Investment Policy Statement Ms. Cole discussed the revised Asset Allocation Policy. The Board discussed private real estate, public real estate, and asset allocation. They discussed Fixed Income and the range. Mr. Brice suggested a possible tightening of the range. The Board then discussed cash holdings and the policy.

4 C. Smith seconded by C. Bacon to adopt the amended Investment policy statement. All in favor, motion carried. Legal Advisor s Report A. P.A. 202 of September 2018 Update Mr. Michaud updated the board on the State Treasurer s office governance for retirement funds and the actuarial assumptions to be used by local municipalities that were released. The guidelines for this legislation could change with the election, but as of today the assumptions are for reporting purposes only. The rate of return is not above 7%. The Board will have to work with the actuary to run additional calculations for reporting. The Board discussed the new legislation, and the actuary that will be making the assumptions. Mr. Michaud discussed the reporting and how the reporting piece will probably not go away if the legislation changes. He discussed making sure that the actuary understands the reporting requirements. Other Advisor s Comments Unfinished Business New Business Retirement Administrator s Report A. Disability Retirement Application: O Donnell, A. B. Disability Retirement Application: Sheng, M. C. NCPERS Membership Renewal M. Boote discussed the NCPERS membership and the cost of associated with renewing the membership. C. Mason seconded by C. Smith to renew NCPERS Membership for All in favor, motion carried. M. Boote discussed WCERS union trustee election and how it is the last day for self-nominations. She also discussed the demonstration meeting for the new retirement platform, and updating the Board on the retirement platform at the next meeting. C. Smith and M. Boote discussed the WCERS election. They talked about trial court services and trial court, and the departments that are allowed to participate in the election. M. Boote discussed the disability retirement for Alexandra O Donnell and for Mei-Fu Sheng. The Board discussed the options for reviewing and discussing the disability retirements, and how they should proceed. C. Smith seconded by C. Bacon to go into a closed session to discuss the disability retirements. All in favor, motion carried. M. Boote called the roll. WCERS Members Present: Carmel Bacon, Corey Mason, Scott Miller, Conan Smith The Board entered closed session 9:52am The Board returned to public session 10:54 am. C. Mason seconded by C. Smith for Medical Director to re-examine Ms. O Donnell with all the information provided to the doctor. All in favor, motion carried. C. Mason seconded by C. Bacon to request a supplemental medical director s report subsequent to the Human Resource Director providing job description information pertinent to her qualifications as defined. Motion failed (3 Yea C. Bacon, C. Mason, S. Miller, 1 Nay C. Smith).

5 M. Boote discussed speaking with Ms. Sheng about a revised date for her retirement for the next meeting. T. Michaud discussed delaying the decision until more Board members are present. C. Mason seconded by C. Bacon to defer action on Ms. Sheng s disability application until next regular meeting. All in favor, motion carried. Report of the Chair Issues, Concerns and Trustee Comments C. Mason asked about the request for proposal for the actuary. M. Boote explained that the actuary request for the proposal was on hold until after the demonstration for the retirement platform was complete. Adjournment C. Mason seconded by C.
