Dar Group is a privately owned global professional services firm with 18, staff. WOR has 23,2 staff. It now has a 13% stake in WOR which gives it the option of creeping higher overtime. WOR confirmed it received a highly conditional, indicative proposal on 14 Nov 216 from Dar Group to acquire WOR for a cash consideration of $11.8/sh. WOR s Board concluded that it materially undervalued the company given low point in the cycle and benefit of cost reductions yet to be fully reflected in WOR s earnings. Dar Group s offer was also highly conditional in relation to financing, due diligence, process, regulatory and other conditions. According to ENR, Dar Group is one of the world's Top 15 design firms. From its Middle Eastern heritage it has grown both organically and via acquisitions to build a global position including working on a number of high profile projects. A Bloomberg article quotes term sheet that "acquirer is decided to focus on acquiring a strategic stake for long-term investment purposes... and has no present intention of initiating discussions with WOR regarding a change of control transaction". We note that WOR Chairman John Grill and associated companies own 1.19% of WOR. Impact It would appear that this is a step-out play from Dar Group given WOR s broad spread of operations. Dar Group has four strategic growth pillars including Architecture, Infrastructure, Project Management and Energy (link to website). The latter two have some overlap with WOR albeit it would appear direct synergies are relatively small. We also note that Middle East now represents 17% of WOR's revenue. We see a relatively low probability of competing bid from WOR s larger listed peers. WOR's closest global peers include WoodGroup (WG), AMFW and Jacobs. We see WG as an unlikely acquirer, given too much commonality of business (cost out potential but revenue dis-synergy) and more recent focus on US on-shore and automation. AMEC is still integrating FW and has relatively high gearing. Both Jacobs and SNC have net cash. Jacobs acquired SKM in Australia in 213 for $1.25bn which has proven relatively problematic. SNC Lavalin is Canada-based and has been acquisitive in recent years via the 214 acquisition of Kentz. At $1.65, WOR is trading on 18x FY17E PE, 1.2x EBITDA (FY17E) and 13.2x EV/EBIT (FY17E). SNC acquired Kentz in 214 for 13.6x trailing EBITDA and 8.7x forecast EBITDA and FW acquired AMEC in 214 for 11.7x trailing EBITDA and 9.6x forecast (source: Cardno target statement). Hence WOR's multiples are now above this on a forward basis but below on a trailing basis. Hence it could be argued that the WOR multiples are cheaper than prior relevant transactions if this is indeed bottom of the cycle. Earnings and target price revision No change. Price catalyst 12-month price target: A$1.5 based on a Other/Corporate transaction multiple methodology. Catalyst: Potential further corporate activity. 2H cash collection Action and recommendation Upgrade to Neutral with $1.5 TP (up from $8.28). An unexpected corporate move has shifted the investment case and is likely to put a floor under the share price around $1.ps (similar to our DCF). We think fundamentals are likely to be less relevant in the short term including our prior concerns re weak 1H cash flow and higher-than-expected net debt although these will remain focus areas in 2H. We also note that while oil & gas capex is bottoming (broadly flat in CY17) the increase is unlikely to be sharp with 5% O&G capex lift referenced in CY18. WOR s portfolio continues to have a mix of high cost and low cost exposures including high cost exposures to Canadian oil sands (Canada 21% of revenue) and offshore/deepwater and lower cost via Middle East (17%). 28 February 217 2

WOR s closest peers are Jacobs Engineering Group (JEC US, US$57.5, Underperform, TP: US$44.5, Sameer Rathod), Wood Group (WG/ LN, 7.48, Neutral, TP: 7., David Farrell) and Amec Foster Wheeler (AMFW LN, 4.36, Neutral, TP: 4., David Farrell) as these are service/consulting companies similar to WOR as well as having a comparable risk profile. WOR has less US exposure than the likes of Fluor (FLR US, US$56.16, Neutral, TP: US$54., Sameer Rathod) and Jacobs. WOR has traded at an average forward PE of 17.6x since listing in 23 compared to an average forward PE for its peers of 14.7x. This represents a 2% premium. We note that WOR as well as its peers traded at forward PEs of around 25-3x during 27-8 reflecting the last share market and oil price peak. This also coincided with very strong backlog growth for the sector. Regression analysis by our US E&C team has shown a clear link between PE multiples and backlog growth. WOR is now trading broadly in line with its global peers on a FY17 PER basis. WOR is also trading at a 5-1% premium on EV/EBITDA and on an EV/EBIT basis, respectively. It s worth noting that WOR has a higher level of debt and generally lower risk profile. 28 February 217 3

For WOR's MMC and E&I divisions, we have applied 8-9x EBITA. This results in a $ /sh valuation range. Our DCF-based target price is $1.1 (6.7% WACC, 1.19x beta, 3.25% market risk premium, 1.5% LT growth rate). WOR recently reported a soft set of results featuring worse-than-expected net debt, cashflow and earnings. ND/EBITDA of 2.6x (as defined by covenant calcs) was up from 2.4x at FY16 but is within covenants; latter not disclosed but we estimate sits around 3.25x. As we pointed out in our result note, WOR s outlook comments were reasonably positive in terms of improved customer sentiment, activity unlikely to deteriorate from here and actually increasing in some areas. Backlog was also up from $4.2bn to $4.7bn. However, this is more relevant for FY18 than the next 6 months (we forecast 4% inc in FY18 aggregated revenues). 28 February 217 4
5 WOR reported 1H underlying NPAT of $57m, shy of our $62m estimate and well below the pcp ($74m). Headline result of -$2.4m loss was well below our $31m. WOR has taken a number of items below the line (difference b/w reported and underlying). The result includes $56m of redundancy and restructuring costs, which were taken below the line. No interim dividend was declared, as we expected. Aggregated revenue of $2.2bn (-3% on pcp) was much weaker than our $2.6bn. EBIT of $118m (-22% on pcp) was lower than our $136m forecast. EBIT margins of 5.4% were better than last year's 4.8%. 1H operating cash flow of -$85m was worse than last year's $44m and misses our $57m. Statutory Net debt of $1.15bn vs our $839m and up from $866m in FY16 and negative impact from $23m in outstanding receivables from four state-owned customers. ND/EBITDA of 2.6x (as defined by covenant calcs) was up from 2.4x at FY16. Gearing (ND:ND+E) was at 33%, up from 29.2% as of FY16, which is at the high end of target (25-35%). WOR comments that employee numbers have stabilised. Divisionally, Hydrocarbons and MMC missed our expectations while Infrastructure did better than our projections. Hydrocarbons EBITA of $138m was softer than our $145m forecast but stronger than last year's $171m. 1H margins were 9.3% vs our 7.9% and vs pcp of 7.7%. Aggregated revenue was down -33% (vs our -18%). Minerals & Metals EBITA of $3.2m was much below our $19m and pcp of $19m. Margins of 1.4% well down on pcp of 5.1%. Infrastructure EBITA of $36m was better than our estimate of $26.5m. Margin 7.9% was a noticeable improvement from pcp 5.9%. Unallocated / global support costs at -$49m (in line with our estimate and an improvement from -$61m pcp). Outlook - stabilisation. Outlook comments are positive in terms of activity levels not expected to deteriorate further and in some areas activity beginning to increase. WOR expects similar benefits from cost-out initiatives to flow through in 2H.
