1 EMPLOYMENT AGREEMENT BY AND BETWEEN HILLSBOROUGH TOWNSHIP BOARD OF EDUCATION, whose principal offices are located at 379 South Branch Road in the Township of Hillsborough, Somerset County, New Jersey (hereinafter referred to as the BOARD ). AND AIMAN MAHMOUD, (hereinafter referred to as MAHMOUD or "Business Administrator/Board Secretary"). WHEREAS, the BOARD desires that MAHMOUD serve as an Business Administrator/Board Secretary effective July 1, 2014; and WHEREAS, MAHMOUD, desires to serve as Business Administrator/Board Secretary; and NOW THEREFORE, in consideration of the mutual covenants, undertakings and terms set forth herein, the parties agree as follow: TERM The term of the Employment Agreement shall be for one year (1) commencing on July 1, 2014 and ending June 30, PROFESSIONAL CERTIFICATION The Business Administrator/Board Secretary shall at all times during the term of this Employment Agreement hold a valid certificate appropriate to the position issued by the New Jersey State Department of Education. The parties hereto agree that in the event MAHMOUD's certification is permanently revoked, all provisions of this Employment Agreement shall automatically terminate and if MAHMOUD is lawfully precluded from performing his duties by any judgment, order or direction of any court of competent jurisdiction or the Commissioner of Education, all provisions of this Employment Agreement shall terminate and the MAHMOUD's employment shall cease. COMPENSATORY PACKAGE 1.0. SALARY 1.1. Base Salary: MAHMOUD shall be paid the following salary for the period of employment indicated: MAHMOUD shall be paid a salary of $172,000 for the period July 1, 2014 through June 30, EMPLOYMENT BENEFITS MAHMOUD shall receive the following employment benefits while serving as Business Administrator/Board Secretary:
2 2.0. TRANSPORTATION EXPENSES The BOARD shall pay or reimburse MAHMOUD at the State rate, pursuant to OMB Travel Regulations, for all travel which requires the Business Administrator/Board Secretary to use his automobile in the performance of his duties under this Employment Agreement, exclusive of commutation costs PROFESSIONAL DEVELOPMENT The BOARD encourages the Business Administrator/Board Secretary continued professional development, which shall include membership in professional and/or service organizations and attendance at local, state, regional and national conferences that relate to the duties of the Business Administrator/Board Secretary, as approved by the Superintendent. All professional development approved by the Superintendent is to be fully paid by the BOARD. Reimbursement or payment for such expenses shall be made in accordance with Board policies, N.J.S.A. 18A:11-12 and the State's regulations regarding travel covered under Circular Letter OMB, and any subsequent circular letters which may be issued by the State Office of Management and Budget LEAVES OF ABSENCE 4.1. VACATIONS The Business Administrator/Board Secretary shall be entitled to twenty-two (22) days of vacation prorated annually, exclusive of local and school holidays. The schedule of vacation days shall be approved by the Superintendent. Unused vacation days may be carried over to the next school year where required by business demands with the prior approval of the Board. Where such accrued days have been approved by the Board, they shall be used only during the next succeeding school year. Unused vacation days shall be used on or before August 31 of the year following their accrual. Any unused vacation days shall be forfeited and shall have no cash value. Vacation days shall be scheduled by the Business Administrator/Board Secretary so as not to disrupt the School District's activities. The Board, through the human resources office, shall be responsible for maintaining written documentation of the Business Administrator/Board Secretary's earned, used and accrued vacation days HOLIDAYS Holidays shall be all legal holidays included in the Central Office calendar developed by the Superintendent SICK DAYS MAHMOUD shall receive fourteen (14) prorated sick days annually. Sick days shall be accumulative in accordance with N.J.S.A. 18A:30-3. The Business Administrator/Board Secretary shall be entitled to payment for onefifth (1/5) of his unused accumulated sick leave days at his then current salary up to a maximum lump sum of $10,000 only upon his retirement under the 2
3 provisions of the Teachers' Pension and Annuity Fund. A day s pay shall be defined as 1/260 th of the Business Administrator/Board Secretary s annual salary PERSONAL DAYS The Business Administrator/Board Secretary shall be entitled to paid absences in the event of the death, serious injury or serious illness of a family member, and for personal business, serious household or family matters which require absence during business hours, as approved by the Superintendent MEDICAL/DENTAL BENEFITS/INSURANCE 5.1. HEALTH INSURANCE From July 1, 2014 until December 31, 2014, the Board shall provide coverage for the Business Administrator/Board Secretary through School Employees Health Benefits Plan. During that time, the Business Administrator/Board Secretary shall contribute towards the cost of health insurance either one and one-half percent (1.5%) of his annual base salary, or the percentage of premium established in accordance with Chapter 78, P.L. 2011, whichever is greater. Such limitations shall in no way link this Employment Agreement with any agreement collectively negotiated with district employees. The Business Administrator/Board Secretary's contribution toward the cost of his health insurance shall be paid through appropriate payroll deductions Effective January 1, 2015, the Board shall pay a portion of the premium cost for health benefits in accordance with the NJ Direct 15 plan offered by the School Employees Health Benefits Program ( SEHBP ). The Business Administrator/Board Secretary shall be able to enroll in any of the plans offered by the SEHBP, provided that the Board shall be required to pay their share of the premium cost for health benefits in accordance with the NJ Direct 15 plan, with the Business Administrator/Board Secretary paying one hundred percent (100%) of any premium cost that exceeds the cost of the NJ Direct 15 plan. The Business Administrator/Board Secretary shall contribute towards the cost of health insurance either one and one-half percent (1.5%) of his annual base salary or the percentage of premium established in accordance with Chapter 78, P.L. 2011, whichever is greater. Such limitations shall in no way link this Employment Agreement with any agreement collectively negotiated with any district employees. The premium cost shall be paid by the Business Administrator/Board Secretary through payroll deduction DENTAL Of the costs of coverage for family dental treatment, the BOARD shall pay one hundred (100%) percent of the premium, consistent with the District s insurance plan for its employees. 3

VISION - Of the costs of coverage for a vision plan, the BOARD shall pay one hundred (100%) percent of the premium, consistent with the district s insurance plan for its employees TERMINATION OF AGREEMENT (a) Notice This Agreement may be terminated by either party for any reason whatsoever by furnishing the other party with written notice ninety (90) days in advance of any intended severance of this Agreement. (b) Discharge for Cause MAHMOUD may be dismissed without the Board having to invoke the ninety (90) days of the Agreement if there exists cause for his discharge. Discharge for cause shall constitute conduct which is seriously prejudicial to the school district, including but not limited to neglect of duty, inefficiency, incompetency, conduct unbecoming or other just cause. Notice of discharge for cause without notice shall be given in writing and MAHMOUD shall be entitled to appear before the Board to discuss such causes. If MAHMOUD chooses to be accompanied by legal counsel at such meeting, she shall bear any costs incurred for his representation. Such meeting shall be conducted in Executive Session. MAHMOUD shall be provided a written decision describing the results of the meeting SAVINGS CLAUSE If, during the term of this Employment Agreement, it is found that a specific clause of the contract is illegal in federal or State law, the remainder of this Employment Agreement not affected by such a ruling shall remain in force REPRESENTATIONS The parties hereto represent to each other that they have read this Agreement, that they have had the benefit of independent legal counsel, that they fully understand the terms and conditions of this Agreement and agree to be bound by this Agreement. Any changes/modifications must have prior approval of the Executive County Superintendent and follow all requirements of N.J.A.C. 6A:23A-3.1 and N.J.S.A. 18A:
