5 GENERAL CONDITIONS The following conditions apply for exhibition and participation at the SPRINT Robotics 1st World Conference for Inspection & Maintenance Robotics held at the The San Luis Resort, Spa & Conference Center (hereafter Convention Center ) in Galveston, Texas, USA on November 13th and 14th 2018: I Liability Exhibitor is responsible for all damages caused by Exhibitor. The Exhibitor must report all damages to SPRINT Robotics and the Convention Center. In no event shall SPRINT Robotics, or its directors, officers, employees, or agents, be liable for any consequential, incidental, special, punitive, exemplary or indirect damages, including but not limited to any damages for lost profits, loss of anticipated savings, loss of business opportunity, loss or damage resulting from third party claims or for the consequences of defects. In no event shall the total liability of SPRINT Robotics exceed the amounts paid by the Exhibitor or the guest, if any, for the services. Exhibitors, personnel or third parties engaged by or on behalf of Exhibitor, and any other users of the hired premises, as well as their property, are in the hired premises at their own risk, or, as the case may be, at the risk of these parties. the Convention Center and/or SPRINT Robotics are not required to insure these risks. The Exhibitor shall take out adequate insurance against third-party liability, fire and theft and may be asked by the Convention Center and/or SPRINT Robotics to provide proof of this. Exhibitors and guests will hold harmless the Convention Center and/or SPRINT Robotics against any claim or damages that may occur during the conference or associated events. The Exhibitor is required to provide - at the first request of The Convention Center and/or SPRINT Robotics - proof that he has taken out an insurance policy covering his civil liability vis-a vis third parties in addition to a fully comprehensive insurance policy covering the goods belonging to him or conferred upon him. The insurances taken out should include a waiver of recourse against the the Convention Center and/or SPRINT Robotics and its insurers. The Convention Center and/or SPRINT Robotics are not liable for damages suffered by Exhibitors as a consequence of the activities of other Exhibitors or of obstacles to the use of the hired premises which are caused by third parties. The Exhibitor shall fully indemnify the Convention Center and/or SPRINT Robotics against all claims which third parties may be able to enforce against the Convention Center and/or SPRINT Robotics in connection with acts and omissions on the part of Exhibitors and/or persons for whom Exhibitor is liable or who are present in the premises on account of the event. II Cancellation Cancellation by the exhibitor The Exhibitor may cancel with immediate effect without the obligation for Exhibitor to pay any compensation to SPRINT Robotics: in the event of SPRINT Robotics bankruptcy, suspension of payments or other inability to perform its obligations; if SPRINT Robotics fails to perform its material obligations after being given written notice of default (in so far as this is reasonably feasible in relation to the event). In the event of cancellation by the Exhibitor of one or more exhibition places: the Exhibitor shall be obliged to pay SPRINT Robotics all the costs for the conference including the costs for using the premises plus VAT. Cancellation by SPRINT Robotics SPRINT Robotics may cancel with immediate effect without the obligation for SPRINT Robotics to pay any compensation to the Exhibitor: in the event of the Exhibitors bankruptcy, suspension of payments or other inability to fulfil its obligations (financial and otherwise); if material property of the Exhibitor is seized or attached or becomes subject to similar measures ordered by a court; in case of a change of control over the Exhibitor or the event; on the instructions of the authorities, for example where there is a breach or threat of a breach to public order, or, e.g., in case of force majeure, all with immediate effect if so required; if the Exhibitor fails to perform its material obligations after being given written notice of default (in so far as this is reasonably feasible in relation to the event). Cancellation by SPRINT Robotics on one of the grounds set out above, is deemed a cancellation at the expense and risk of the Exhibitor. In all cases, the Exhibitor shall be obliged to pay SPRINT Robotics all the costs for the conference including the costs for using the premises plus VAT.

6 III Convention Center Rules & Regulations In agreement with the Convention Center, the Exhibitor is obliged to behave as a reasonable, good Exhibitor and comply with the following: facilities. Any unloading or loading will be performed at permanent docks or from parking lots designated by the Convention Center. There will be no move-in or move-out through the glass doors. The Exhibition a. The Exhibitor shall not cause or permit any Hazardous Material to be used, stored, or generated on, or transported to and from the Convention Center. Hazardous Material shall mean, without limitation, those substances included within the definitions of hazardous substances, hazardous materials, toxic substances, or solid waste in any applicable state or federal environmental law. b. The Exhibitor shall not operate any equipment or materials belonging to the Convention Center, without the prior written approval of the Convention Center. c. No portion of any passageway or exit shall be blocked or obstructed in any manner whatsoever, and no exit door or any exit shall be locked, blocked, or bolted while the Convention Center is in use. Moreover, all designated exit-ways shall be maintained in such manner as to be visible at all times. d. Objects and materials for display may only be placed within the Exhibitor s allocated booth space. e. The Exhibitor shall ensure that the products and services exhibited and present in the used premises during the conference are clean and of sound quality and at all times meet the all relevant requirements and regulations and do not infringe the rights of third parties. f. A rigging plot must be submitted to the Convention Center for approval prior to rigging any objects from the facility s ceiling. Be aware that all rigging or hanging requests should be approved in advance by the Convention Center, with actual placement of an exclusive service of the Convention Center at published rates at the time the service is requested. g. No helium balloons, stickers or stick-ons of any type are allowed in Convention Center facilities. h. Exhibitor items found in facilities that are not removed by owner will be removed by the Convention Center or its designated contractor at the expense of the Exhibitor. i. The Exhibitor is responsible for removing tape and tape residue remaining on the exhibit floor after the event. The Convention Center will bill for cleaning services to remove tape or tape residue. The driving of nails, tent spikes, tacks or screws into floors, walls, columns, ceilings, trim or the parking garage is not permitted. j. All vehicles used by Exhibitor and/or their agents, employees, contractors, etc., will use paved streets for access to and from Convention Center Utilities a. The Convention Center or its designees are the exclusive provider of all utility services (electrical, plumbing, gas and compressed air) required by Exhibitor or Exhibitors contractors and subcontractors. The use of generators, other than those provided by the Convention Center or its designees, are not allowed. b. The Convention Center provides all electrical connections to the facility s power sources. Only Convention Center personnel or electrical contractor may plug directly into floor boxes, wall or column receptacles, etc. c. Established fees for all services are available from the Exhibitor Services Department of the Convention Center. d. The Convention Center and/or SPRINT Robotics is not responsible for any malfunction of exhibit equipment. Freight a. The Convention Center does not accept, store, or ship freight or packages for Exhibitors, delegates before, during or after the event. All freight must be shipped to the official service contractor before the event. b. Handling charges by the Convention Center are assessed and may apply for incoming and outgoing packages by weight, which will be on account of the Exhibitor c. Only Convention Center employees are authorized to operate freight doors. Exhibitor must coordinate with Event Manager the dates and times the doors will be utilized. Security and Safety a. The Exhibitor shall comply with the Convention Center s instructions regarding safety and security. The Convention Center retains the right take charge of the security of an event in the interest of public order. b. Smoking is not permitted in the Convention Center. Any fines for infringements of the legislation and regulations in respect hereof will be borne by the Exhibitor. c. Firearms or weapons are prohibited on the Convention Center property, without prior written approval from the Convention Center. d. Liquid and gas fueled vehicles and equipment within the facility during show hours must adhere to the following:

7 i. Batteries shall be disconnected. ii. Fuel in the fuel tank shall not exceed one quarter of the tank capacity or 5 gallons, whichever is less. iii. Fuel tank openings shall be locked and sealed to prevent the escape of vapors. e. Drapes, hangings, curtains, drops and other decorative material, including Christmas trees, that would tend to increase the fire and panic hazard, shall be made from material which is not flammable or shall be treated and maintained in a flame retardant condition by means of flame-retardant solution or a process approved by the Fire Chief, exit doors, exit lights, manual fire alarms boxes, wet standpipe hose cabinets and fire extinguisher locations shall not be concealed or obstructed by decorative material. f. No person is permitted on the roof or catwalk without signing a release provided by the Convention Center. g. Exhibitor is responsible for any damages resulting from the removal of dock safety rails. If safety rails are removed, Exhibitor is responsible for returning safety rails to their proper position prior to vacating premises. h. The Convention Center reserves the right to remove any disorderly or disruptive person(s) from the property and/or leased premises. Parking a. Any vehicles parked on streets or in designated fire lanes will be towed to a location designated by the Convention Center at owner s expense. b. The Convention Center and SPRINT Robotics are not responsible for theft of or damage to vehicles in the parking area. Other Requirements a. With respect to any Event at the Convention Center, the Exhibitor shall comply fully with any and all federal, state, foreign, local, and municipal intellectual property statutes, laws, regulations, ordinances, rules, constitutional provisions, common laws, and rights of others in any copyrights or other intellectual property rights applicable to Exhibitor s activities at the Convention Center, including, without limitation, compliance with any Exhibitor for the use of musical works and other matters protected by intellectual property rights of others. Specified rent does not include copyright, royalty or intellectual property fees payable to third parties. Exhibitor specifically takes responsibility for reporting and remittance of such fees to appropriate licensing agencies, including but not limited to ASCAP, BMI, or SESAC. b. Dutch law is applicable for all possible disputes and/or claims between SPRINT Robotics and the Exhibitor. The judge in Amsterdam, the Netherlands is competent.
