1 MEMORANDUM OF AGREEMENT FOR ACCREDITATION OF PRIOR LEARNING BETWEEN <ORGANISATION NAME>, <COUNTRY> AND UNIVERSITY OF NEWCASTLE UPON TYNE, UNITED KINGDOM PREAMBLE By this MEMORANDUM OF AGREEMENT (MOA) <ORGANISATION NAME>, <organisation full address> (hereinafter known as <ORGANISATION SHORTHAND> and the University of Newcastle upon Tyne, 6 Kensington Terrace, Newcastle upon Tyne NE1 7RU, United Kingdom (hereinafter known as UNuT) agree to establish an arrangement by which students from <ORGANISATION SHORTHAND> may be admitted to degree programmes at UNuT with accreditation of prior learning from their studies at <ORGANISATION SHORTHAND> under the following conditions. 1. ACCREDITATION OF PRIOR LEARNING 1.1 The amount of credit that may be awarded to suitably qualified applicants applying for UNuT degree programmes is set out in Schedule A. 1.2 UNuT reserves the right to review and amend the amount and level of credit awarded at any time during the period of this MOA. <ORGANISATION SHORTHAND> will be given six months advance notice of any changes in the amount of credit to be awarded. 2. SELECTION OF STUDENTS 2.1 <ORGANISATION SHORTHAND> students, who have completed a course of study, defined in Schedule A, will be required to meet the minimum academic entry standards as set out in Schedule A in order to be considered for admission into UNuT degree programmes. UNuT reserves the right to review these entry standards. Any changes will be immediately communicated to <ORGANISATION SHORTHAND> prior to the next student intake into <ORGANISATION SHORTHAND>. Any students who are already on a course at <ORGANISATION SHORTHAND> will be considered for acceptance by UNuT under the existing terms and conditions as set out in Schedule A. 2.2 <ORGANISATION SHORTHAND> shall provide UNuT with statements of the academic results of applicants and any other appropriate formal or informal reports on their performance. 2.4 In addition to the academic requirements defined in Schedule A, candidates are required to demonstrate their English Language proficiency by achieving a minimum IELTS score of <normally 6.5 with 6.0 in Writing but varies according to subject to be agreed with the University Language Centre, according to prevailing Policy on English G:\Uni Policies & Procedures\AP(E)L_Policy\International APL\MoA for APL - TEMPLATE.doc Page 1 of 7
2 Language Standards) prior to entering the degree programme at UNuT. Other equivalent demonstrations of English Language proficiency may be considered. 2.5 Candidates will be required to submit applications in the normal way via UCAS, the Universities Central Admissions Service. Each candidate will be considered individually on the basis of his or her UCAS application. UNuT reserves the right to refuse the admission of applicants. 2.6 The number of candidates admitted by UNuT each year will not exceed that stated in Schedule A. 3. CURRICULUM 3.1 UNuT s agreement to accreditation of prior learning is based on the latest curriculum document and assessment information, dated as detailed in Schedule A. <ORGANISATION SHORTHAND> undertakes to advise UNuT immediately of any proposed changes in curriculum to the courses set out in Schedule A. 4 PROMOTION 4.1 UNuT and <ORGANISATION SHORTHAND> agree that any publicity and marketing materials for the scheme must be approved in writing prior to publication. Initial contact to obtain such approval will be made via the points of liaison referred to in (7) and detailed in Schedule C. 4.2 Neither party will use the other s name or logo in any advertising without first receiving written permission. Should this agreement be terminated under the terms and conditions set out in Clauses , both parties will cease the use of the other s name or logo with immediate effect. 5 FEES 5.1 Students accepted into degree programmes at UNuT shall pay fees direct to UNuT in accordance with UNuT s University Regulations and Fees Schedule for the years of admission to the course. UNuT shall notify <ORGANISATION SHORTHAND> on an annual basis of the relevant tuition fee rates. 6 TRANSFER OF DATA 6.1 The parties recognise that the performance of the agreement may require the parties to exchange certain personal information ( Data ) relating to students ( Students ) and that there is applicable legislation which protects how that information is processed. Each party therefore agrees to comply with the terms and conditions of Schedule B. 7 LIAISON 7.1 Both parties will appoint points of contact for liaison. The names of the points of contact are set out in Schedule C. Each institution may change its points of contact provided it provides notification in writing of any such changes. 7.2 Both parties agree to co-operate in relevant publicity activities such as open day events. 8 RENEWAL, TERMINATION AND AMENDMENT G:\Uni Policies & Procedures\AP(E)L_Policy\International APL\MoA for APL - TEMPLATE.doc Page 2 of 7
3 8.1 This agreement shall be effective for a period of three years subject, from time-to-time, to revision or modification. Any revision or modification shall be in writing and once approved by both organisations will become part of this Memorandum of Agreement. 8.2 This Agreement may be renewed by mutual written agreement between the parties. The parties shall discuss any possible renewal of the Agreement no less than six months before the expiry date of the agreement. 8.3 The operation of the agreement will be reviewed on an annual basis. 8.4 UNuT may terminate this Agreement by written notice with immediate effect in the event that its continuance is not consistent with any regulatory regime to which UNuT is subject, including (but not limited to) those of the Higher Education Funding Council for England and / or the Quality Assurance Agency or any successor bodies. 8.5 Either party may terminate this Agreement for any reason by giving the other party not less than six months written notice. 8.6 This Agreement shall terminate if either party shall be in breach of the terms of this Agreement and, if the breach is capable of remedy, the party fails to remedy such breach within fourteen days of written notice from the other specifying the breach and requiring it to be remedied. 8.7 This Agreement shall terminate if either party engages in any conduct reasonably considered by the other to be prejudicial to its reputation or its marketing generally. 9 CONTRACTS (RIGHTS OF THIRD PARTIES) ACT The parties to this agreement do not intend that any of its terms will be enforceable by virtue of the Contracts (Rights of Third Parties) Act GENERAL 10.1 If this Memorandum of Agreement is modified, or terminated as set out in Clause 8, both parties agree that any students who, at the date of modification or termination, had been accepted into the <ORGANISATION SHORTHAND> programme and had commenced studies with the intention to apply for consideration by Newcastle, will still be eligible for such consideration under the terms of this memorandum This memorandum of understanding shall commence on the date of signature and shall continue for three (3) years subject, from time-to-time, to revision or modification. 6 SCHEDULE B 1. The parties may transfer Data for the following purposes (the Purposes ). 1.1 To facilitate the administration of, and to provide advice and support to, Students; 1.2 The maintenance of Students records ( including both personal and academic details) and management of academic progress ( e.g assessment, examination boards, degree classifications); 1.3 Academic audit and internal research, including monitoring quality and performance; 1.4 The management of the residencies occupied by Students and non-academic activities carried out by Students. 2. The parties agree that they will only use Data solely for the Purposes and in accordance with this Schedule save to the extent otherwise required or permitted by applicable law. 3. Each party will use all reasonable endeavours to maintain the accuracy of all Data that it processes under the Agreement. 4. The receiving party will not in any circumstances disclose or transfer the Data (in whole or part) to any third party or outside the European Economic Area without the express written consent of the other party. 5. The receiving party will treat the Data as they would treat their own confidential information and will comply with any specific security requirements agreed in writing with the other party from time to time (such agreement not to be unreasonably withheld). 6. The receiving party will promptly co-operate so far as is reasonable with the other party with regard to destruction, return or disclosure of the Data ( on whole or part).
