1 Pro Pedelec España (PPE) Promotion Program s Registration Form Vehiculos Verdes in Cooperation with Extra Energy Baeza, Jaen, Spain In cooperation with ExtraEnergy, Vehiculos Verdes, a publication about sustainable mobility written in Spanish, offers the industry a promotion program of 4 and a half months of duration, which pretend to be a link between end users, distributors and manufacturers. It has the following facilities: 1.- a permanent exhibition hall of 90 m² 2.- a temporary exhibition hall of 500 m² To have good visibility is important, therefore, apart from continuous informative articles on there is an agreement with the company Pópulo Servicios Turísticos who will publish information in their touristic guides and on its website about the program that will take place. Likewise, Pópulo Servicios Turísticos will offer the use of its guided tours in the towns of Ubeda and Baeza. This will make pedelecs available to the general public in two cities that are World Heritage Sites and have over 45,000 people together, in a province that has a great potential from the point of view of its large, rich and varied heritage. Monumental wealth, quality of living environment, the Mediterranean forest trees, a land of great beauty and interiors where a total of 670,000 inhabitants live. Register before May 30, 2009 To register for this program to promote the use of pedelecs in the Spanish market, the registration must be confirmed by faxing the enclosed registration form to the offices of ExtraEnergy before June 10th, Payment must be made by June 15, National promotion at low cost Companies involved in this program will receive promotional visibility at local, national and international Spanish language markets. Not only Spain but all of South America will be a major area of work. Pedelecs insurance policy An extra charge of 150 per pedelec is offered as an option to each participant which will be valid for 4 months and means of promotion. Banners / Flexsun A good promotion requires a good visibility. Banners: Material: Fabric with fire resistant certificate DIN 4102 B-1 Size: 90cm wide x 190cm high Anchorage form: Please include 1 reinforced hole in each corner. Participants will be responsible for printing and delivering these banners. In Germany ExtraEnergy recommends to produce banners at Sachsenfahnen and is happy to pass on the contact. There are no contacts in this sense for the manufacturers in Spain.

2 Flexsun option. The company Flexsun located in Murcia, Spain, manufactures umbrellas specifically designed for the use on bicycles. The price of a unit is 150. It seems a good solution against the sun of Andalusia also a very effective advertising tool. Please tell us how you want to print your logo and information. Vehículos Verdes provides the first 24 for printing. Translations The translation services provided within the payment of the promotion program are: Text of presentation A4 page for each company. Performance sheet of each pedelec sent. Optionally translating of the user s manual and/or catalog will be at the rate of 0.07 per word. Prices All prices are published in Euros. Prices do not include 16% VAT (only for Spanish manufacturers). The price is for the duration of the program in 2009, ie, from June 20 until October 30. 4 Contractual terms of the Promotion Program ProPedelecs Spain PPE 1. Registration and confirmation Their participation will be confirmed to the sending fax completed and signed. The participation contract is valid from the date on which payment for services is made. Definition: ExtraEnergy e.v. Vehicles and Green (in the person of Andres Moreno) are the organizers of the program to promote PPE (Pro Pedelecs España), and also manufacturers pedelecs, electric bikes, bicycle accessories, clothing, bicycles, etc... will be known from now on as Exhibitors 2. General Terms of Contract The Participant Information for the PPE program enclosed in the application documents and the EXHIBITOR information, which have been sent to you together with the confirmation, are part of the promotional contract. By his/her signature the EXHIBITOR acknowledges agreement to the general trading conditions related to promotional program PPE. The ORGANIZER is responsible for the arrangement, conception and design of the program. The EXHIBITOR has no authority regarding method of presentation. The ORGANIZER will take the wishes of the EXHIBITORS into consideration as they are made known to him and do not negatively affect the overall concept of the exhibition. 3. On how products are used in the PPE The Organizer will be responsible for presenting products to people, whether they are REPRESENTATIVES of companies or individuals during the 4 months and half duration of the program. It is committed to providing the staff necessary for implementing the various phases of the promotion. Exhibitors must remain in close collaboration with the Organizer and shall provide parts, batteries and other accessories needed for use in case some are defective. Exhibitors will provide an extra battery since the beggining of the program. 4. Terms of billing and payment Following receipt of your application by fax, you will receive by way of confirmation of your application, an invoice for the total cost of your participation, which is due for immediate payment. Should the payment fail to reach Extra Energy by the registration deadline, or should the exhibitor not be able to provide, at the event, sufficient documentation to show the payment has been made, then an immediate payment must be made in cash. 5. Products as a temporary loan to ExtraEnergy ev and Vehiculos Verdes for Promotion / Exhibition / Riding Test / Guided Tours. By submitting a signed registration form, the Exhibitor agrees to provide the Organizer at the agreed address for the duration of the program, 1 or 2 models of their products for use in Promotion / Exhibition / Riding Tests / Guided Rental Tours. Both parties will agree what products to use in a later conversation. Exhibitors must send them early enough to be mounted properly, declared and entered in the database of green vehiclesvehiculos Verdes and ExtraEnergy before June 5th, The products will be returned to the organizer immediately after completion of the PPE program unless that both parties agree to extend the contract if a new promotion program is drafted and signed by both parties. 6. Cancellation of the contract and compensation In the following cases, the organizer may cancel the contract with the Exhibitor: a) If there are not enough exhibitors to participate in the program. In this case the Exhibitor will be refunded the full payment. b) If the Exhibitor does not make the payment within the specified time. In this case, Vehiculos Verdes and ExtraEnergy may cancel the contract immediately. c) If the Exhibitor fails to comply with any part described in this contract. In this case, the Exhibitor shall not make any demand for payment. The ORGANIZER carries out the special exhibition for idealistic reasons. Therefore any claims concerning indemnification by the EXHIBITOR towards the ORGANIZER for unsatisfying realization during the exhibition or for damages of exhibited articles are impossible. Claims of indemnification are possible in case of intentional or wreckless actions only. The EXHIBITOR can withdraw from the contract if the ORGANIZER will give his agreement, and if an appropriate replacement can be found. 7. Miscellaneous Any alterations or abrigdements of the contract must, for legal reasons, be submitted in written form. All actions connected with production of the promotional program PPE will take place at the location of the event. All other activities will be at the main office of the ORGANIZER. Any alteration of the contract, for legal reasons, must be submitted in written form. All actions related the implementation of this promotional program named PPE will be conducted on-site. The organizer will provide an office with the necessary communication devices on-site. If you are engaged in a legal claim, the original contract will have priority in German (on request).
