4 TRITEC ENERGY LTD INSTALLER PARTNERSHIP PROGRAMME TERMS & CONDITIONS Introduction The aim of the Tritec Energy Installer Partnership Programme is to form a nationwide network of skilled and qualified Solar Photovoltaic technicians who can specify, install and maintain our quality systems providing the competence criteria below can be met and maintained. There is an introductory annual fee of 500 to join the scheme, for which the Installer Partner will receive a multitude of exclusive benefits, ranging from the distribution of sales and project leads in their area to technical on-site support. Competence Criteria Basic acceptance requirements are the minimum technical competence and insurance levels as set out in the Terms and Conditions below: Employers and Public liability insurance with minimum 2 million cover.

6 1. Minimum Technical Competence and Certification - PV Microgeneration Certification Scheme accredited. Part P qualified NICEIC SOLAR PV or ECOCERT PV qualification It is up to each member and their installing employees to hold valid competence certifications for any work they carry out; it is also your responsibility to update Tritec Energy with any changes in your competency status. Photovoltaic equipment must be installed in accordance with MCS and the manufacturer s instructions, local planning and building regulations. D.N.O. approval should also be considered. 2. Insurance Requirements Employers and Public liability insurance with minimum 2 million cover. It is up to each member to hold valid insurance for the work they carry out. It is also your responsibility to continually maintain insurance cover whilst being part of the Tritec Energy Installer Partnership Programme. 2.0 Any damage incurred, or loss of, leased or rented Tritec products, devices, systems or services will be claimed against the members insurance. 3. Customer Service Standards 3.0 Members will demonstrate confidence in their workmanship by guaranteeing their work for a minimum period of 12 months from installation date. 3.1 Members must have a customer complaints procedure which will be made available to Tritec Energy upon audit. 3.3 Members must conduct themselves in a professional manner at all times with their customers. 4. Health and Safety 4.0 Health and safety is the sole responsibility of the installer onsite and in respect of his business practices. 4.1 Please consider the environment you are working in and also consideration should be taken with regards to the health and safety of your customers.

7 4.2 Prior to any work being carried out, risk assessments should be carried out to identify any potential hazards which are likely to be encountered. All risk assessments details should be documented. 4.3 Personal protective clothing and relevant safety apparatus should be worn at all times, especially when working at heights. Avoid installing in adverse weather conditions. 5. Products and Sales Leads 5.0 Tritec is a premium brand and offers unique and innovative products to its members. We would consider that our products, systems and services would meet all likely demands. Due to the nature of the Installer Partnership Programme it is advantageous for both parties to work exclusively, where possible, and promote each other s business. 5.1 Members will receive four project and/ or sales leads per year. Additional leads may be purchased for a nominal fee. 5.2 All Tritec Energy sales leads and installation specifications will be forwarded to all members in their geographical area. 5.3 All sales leads given to installer members must be specified exclusively with Tritec Energy products. 5.4 The member will install a minimum of four Tritec Energy solar PV systems per year to remain a member of the scheme. 5.5 All members of the Installer Partnership Programme will be given access to the UK Tritec Energy intranet for additional PR and marketing materials. 6. Leasing and Rental 6.0 Tri-Ka and Tri-Cell products, including any leased tooling, remains the property of Tritec Energy Ltd. 6.1 It is the members obligation to return any leased or rented items on time and in proper, clean and functioning condition. 6.2 The member shall accept full liability for any damage due to improper use, or theft, vandalism, accidents or the like, of any Tritec property.

8 6.3 If any items are lost which are necessary for the functioning of the leased or rented article, the member will be invoiced for the cost of any replacement parts. 6.4 Insurance must be taken out, by the member, to cover the leased or rented article. 7. Branding 7.0 All branding, official logos and marketing materials are available on disc format. The marketing welcome pack supplied must not be altered in any way. 7.1 Tritec Energy logos, associated branding and references to the Installer Partnership Programme must be used on any company stationery, advertisements and promotional materials. Where appropriate the Installer Partnership Programme logo may also be used on work clothing. 7.2 Members website contents will be updated within 1 month of membership acceptance with marketing materials and logos supplied in the marketing welcome pack. 7.3 Tritec Energy Installer Partnership Programme logo vehicle signage graphics are given to members to be displayed on all company vehicles. The graphics must be applied following the instructions provided. Replacements may be purchased at an additional cost. 7.4 Promotional items such as pop up stands and banners are available on loan to all members to support marketing and show events. 7.5 No Tritec Energy branding is to be used in the promotion of any other brand. 7.6 The member will commit to at least one joint roadshow event per year, covering 50% of the venue costs. 8. Prices and Payment Terms 8.0 A minimum order charge of 200 applies. Orders below 200 will incur a charge of Tritec shall principally deliver against prepayment. If no prepayment is requested, the payment claim shall become due and payable at the latest with the provision of the delivery for the customer. Partial deliveries shall be paid within the scope of the individual delivery. Payment dates shall be complied with even if the delivery or acceptance of goods is delayed for reasons which Tritec is not responsible for. Payments may not be reduced or refused due to complaints or unaccepted claims. Any discount deduction shall require a special written agreement.

9 8.2 Unless otherwise agreed upon in the order confirmation, prices shall be valid ex manufacturer or Tritec warehouse, plus costs for packaging, insurance and shipping. 8.3 Tritec shall be entitled to change prices correspondingly if cost reductions or costs increases result, after contract conclusion, especially due to wage settlements or material price changes. This shall be substantiated to the customer upon request. 8.4 Statutory regulations shall apply regarding the consequences of any default in payment. Without prior notice of default, a penalty interest of 7% effective as of the payment due date shall be invoiced for receivables which are not paid as agreed. 9. Free Delivery 9.0 Free delivery is applicable to orders over 1000 to England and Wales only. 9.1 Free delivery excludes chartered truckloads and/ or module orders. 10. Company Audit 10.0 Insurance certificates and competence certifications of installing employees will be requested on an annual basis and must be provided within 7 working days of any request Members will allow a designated Tritec Energy representative, from time to time, to inspect any on-site installation After any company audit, if any non-compliance of the Installer Partnership Programme Terms and Conditions is found, the member will be notified of the noncompliance and asked to rectify. 11. Customer Complaints Procedure 11.0 Ultimately, members are responsible for installations they carry out and any issue post-installation should try to be settled between the member and the client directly. If however the situation cannot be resolved the member or the members client can contact Tritec Energy to assist in resolving the matter. We reserve the right not to get involved with the complaint if we see necessary.

10 11.1 If Tritec Energy engage in resolving the matter at Tritec Energy own cost, members will allow Tritec to appoint a third party technical representative who is independent from both parties to technically survey the installation. A technical report will be sent to the installer highlighting any defects and recommendations With regard to 11.1 and the recommendations submitted, a timeframe for remedial work to be carried out will be established. The installer is required to conform to these requirements Technical representation by Tritec Energy may be carried out by fellow members of the Tritec Energy Installer Partnership Programme. Members will also agree to carry out technical representation if required by Tritec Energy to assist in dealing with The Customer Complaints Procedure or any required site visits where technical assistance is needed. Payment for this service will be a nominal fee agreed prior to the technical survey being carried out, issued in the form of a credit note against the purchase of goods or other whichever is the more appropriate Tritec Energy will not mediate between member and client due to disputes over non-payment All members should document any complaints with the action taken to resolve the complaint. Upon receipt of the complaint members will respond to their client as per their company complaint procedure. 12. Termination of Membership 12.0 Termination of a member from the Tritec Energy Installer Partnership Programme will result from the following: Non-compliance with any of the Tritec Energy Installer Partnership Programme Terms and Conditions Tritec Energy will inform any member in writing of their intention to cancel the members association with Tritec Energy. There will be an allowance of 28 days for the appeal process as set out in the Members Appeal Process section. The reasons for the termination of the membership will be outlined in the written confirmation The member may terminate his own membership to the Tritec Energy Installer Partnership Programme giving 28 days notice in writing Following termination by any party, members must remove within 28 days from the official letter of membership discontinuation all references and branding associating the member with the Tritec Energy Installer Partnership Programme. If an appeal is lodged this will be postponed until the outcome of the appeal has been heard.

11 12.4 Should a membership be terminated by either party, any remaining fees for the remainder of the year will be not be reimbursed or refunded. 13. Appeal Process 13.0 On termination of a member by Tritec Energy due to non-compliance with any of the Tritec Energy Installer Partnership Programme Terms and Conditions, the member can appeal The member can lodge an appeal against termination of their membership stating the reasons of their disagreement and stating an explanation of their noncompliance. Supporting evidence of their claim can also be presented A written appeal must be lodged, including the supporting evidence, with Tritec within 7 days of confirmation of Tritec Energy written letter of intention to cancel membership All evidence submitted by the member to support their appeal will be reconsidered by Tritec Energy and a verdict will be given in writing within 7 days A member may request the appeal to be heard by a panel of independent experts appointed by Tritec Energy at our own cost, the technical representation and the appeal process may be carried out by fellow members of the Tritec Energy Installer Partnership Programme The decision of the panel of independent experts stated in 10.4 will be final Following judgement by the independent experts, members must remove (within 28 days from the official letter of membership discontinuation) all references and branding associating the member with the Tritec Energy Installer Partnership Programme. All photo identification cards are to be returned to Tritec Energy within the 28 day period.

Declaration and Signing of Agreement I, the undersigned, have read the Tritec Energy Installer Partnership Programme Terms and Conditions and agree that the below signed company will be bound by the terms of the agreement.
