PURPOSE The 477 Youth Employment program is seeking contract services for a Motivational speaker within the United States. The speaker needs to help staff educate youth on the importance of working hard to overcome life s obstacles and stress the importance of youth needing to seek employment opportunities, education and trainings that will lead to their future career choices.to establish a contract on behalf of the 477 Youth Employment Program for a Motivational speech to youth employed at: Spokane Tribe Youth Building at 6208 Ford/Wellpinit Road in Wellpinit, WA. INTRODUCTION The SPOKANE TRIBE OF INDIANS (Spokane Tribe, STOI, and Tribe) is requesting bids from reasonable, responsive, responsible, vendors for a Motivational Speaker to present to 477 Youth Employees according to the below specifications. All contract provisions in Appendix II to 200 within, 2 CFR chapters 1 & 2, part 200 rules and regulations are incorporated by reference. All General Conditions will be made part of the final contract between the and the final awarded vendor. Vendors are strongly encouraged to carefully read the entire request for bid. The Spokane Tribe of Indians is a federally recognized Indian Tribe and is eligible for GSA and/or government pricing. There are no expressed or implied obligations for the SPOKANE TRIBE OF INDIANS to reimburse responding firms for any expenses incurred in preparing bids in response to this request. QUESTIONS & SUBMISSION To be considered responsive, responsible, reliable, qualified, bids must be received by Brittney Stearns, Purchasing/Property Clerk,, P.O. Box 100, Wellpinit, WA on or before the above closing date and time. The SPOKANE TRIBE OF INDIANS reserves the right to reject bids and/or sealed bids that have been opened for reasons according to 48 CFR Bids may be delivered by postal services, hand delivered, faxed, or electronically sent. All pricing must be guaranteed for at least 90-days; however, obligation of purchase can take place earlier. Any bids received after the closing date and time or submitted to another department will be considered non-responsive. The bid award will be made to the lower bidder who is considered responsive, responsible, reliable, qualified, and can provide all specifications listed. The Spokane Tribe may or may not, elect to award this bid for the listed items from the best-

3 qualified vendor for all specifications listed below and according to the RFB. The Tribe may waive any informalities or minor defects or reject any and all bids. After bids have been submitted, the bidder shall not assert that there was a misunderstanding concerning the quantities of work or of the nature of the work to be done. Bids that have been opened may be rejected according to 48 CFR The Spokane Tribe assumes no responsibility for any understanding or representations concerning conditions made by any of its officers, agents, or employees prior to the execution of a signed contract, unless such understanding or representations are expressly stated in the bidding document. Box 100 Wellpinit, WA PO Box 100, Wellpinit WA SCOPE OF WORK Interested vendors will be responsible for providing the below presentation topic to current 477 Youth Employment employees. The 477/TANF program does not want to limit the speaker in anyway on performance agenda. Vendors may develop curriculum according to their process but each of the below topics must be included/incorporated in some form. The awarded vendor will be required to complete all of the below in a one-day session at the above address. 1) Service to be rendered on July 5 th, ) Speaker must be willing to share personal experiences and may not subcontract the speech out to another speaker. 3) Speaker s introduction must outline his/her background, struggles as a teen while growing up and problems experienced in school and how he/she overcame hardships. GIVE POINTERS ON HOW TO TURN PERSONAL PAIN INTO POWER, AND FIND THE GIFT IN ANY DISAPPOINTMENT. 4) Speaker must be willing to teach principles in positive psychology and visualization that can help create new patterns of thinking. 5) Speaker must help students understand that finding their passion and power in any life/employment situation in important. He/she also needs to explain why bringing ones A- game to work/school every day is vital for a fulfilling/exciting life. 6) Humor type deliveries, I am funny yet I understand when being serious needs to apply, friendly, trustworthy, and approachable. The youth need to be challenged AND inspired to engage and connect with speaker! 7) 2 hours presentation Motivational speech to youth employed under the 477 Youth Employment Program. 1.5hrs speaking and ½ Questions and Answers. 8) Speaker must have enthusiastic personality, previous experience speaking to youth and ability to connect with youth using humor and professional speaking abilities.

4 9) Motivational speech will be performed in front of youth ranging from the age of 14 to 18 years of age. 10) Vendor must provide a valid business license and proof of insurance. 11) Presentation will be performed at the Spokane Tribe Youth Building at 6208 Ford/Wellpinit Road in Wellpinit, WA. 12) Time presentation needs to be conducted 10:00a.m. 12:00pm. 13) All fees to be included with bid for airfare, lodging, meals, ground transportation, agent/management fees, speakers performance. 14) (3) Letters of recommendations from past school/reps or companies that speakers provided services for. Letters must be attached to bid when submitted. If reference letters are not obtainable (3) references with full name, name of business, address and telephone number must be provided. The purpose of requesting a motivational speaker is to teach youth how to channel their energy, their success/happiness and transcend all limits. RELIABLE, RESPONSIVE, RESPONSIBLE BIDDERS The Purchasing/Property Director, TANF Program Director, Executive Director, or Tribal Council reserves the right to determine whether or not a bidder is responsive, responsible, reliable, qualified, and possesses the ability to complete the entire project. Those determinations will be based on: a. The skill and experience demonstrated by the bidder in performing agreements of a similar nature. b. The bidder s record for honesty and integrity. c. The bidder s capacity to perform in terms of facilities, personnel and financing. d. The bidders past performance with the. Proprietary Information There should not be any restrictions on the use of data contained in any submission. Proprietary information submitted in response will not be accepted by the Spokane Tribe and will be considered non-responsive. Data contained in the bid, all documentation provided therein, and innovations developed as a result of these contractual services cannot be copyrighted or patented by vendors. All data, documentation, and innovations become the property of the Tribe. GENERAL INFORMATION All applicable laws, ordinances, and the rules and regulations of all authorities having jurisdiction over completion of the project shall apply to the contract throughout. Awarded vendor will be required to use provide their own equipment for the duration of the training. No liability will attach to the for the premature opening of, or the failure to open, any received bid. It shall be required that the Contractor and all subcontractors comply with the Buy American requirements. Preference in the award shall be given to Indian and Alaskan Native organizations in the amount of ten percent (10%) of the total bid price. Any contractor claiming Indian Preference must meet and show evidence of the preference according 2 CFR, chapter I, part 200, sec SUPPLIER DIVERSITY Supplier Diversity Is your company at least 51% owned by a Native American, Minority or Woman (NA, M/WBE)? (Minority group members are United States citizens who are African-American, Asian- Indian American, Asian-Pacific American or Hispanic-American). Ownership means the business is at

Any bid may be withdrawn prior to the above closing date and time. Any bids received after the time and date specified shall not be considered. No vendor may withdraw a submitted bid after the closing date and time listed above. Should there be reasons why the contract cannot be awarded within the specified period; the time may be extended by mutual agreement between the Tribe and the vendor. Vendor shall at all times conduct itself in a manner consistent with the Tribe s Code of Conduct. Vendor shall disclose information relating to conflicts or potential conflicts of interest. DISPUTES: Authority: 48 CFR, Chapter 1, Subchapter E, prt 33(2) protests, disputes, and appeals. The tribe s policy is to quickly resolve any issues or mistakes, regarding postings of bids, proposals, or quotes, and/or contracts. To resolve any issues the contractor can and/or shall: 1. Submit in writing, to the purchasing/property director; within 5-business days from bid opening, a written complaint detailing the claim and requested action. 2. The purchasing/property director will issue a written response to the contractor of their decision on the claim within 10 working Tribal business days of claim/dispute receipt. 3. If a contractor is un-satisfied with the written response received from the purchasing/property director they shall submit in writing, to the Spokane Tribal CFO their response, within 5- business days of purchasing/property director decision. 4. The CFO shall issue a written response to the contractor of their decision on the claim within 10 working Tribal business days. 5. If a contractor is un-satisfied with the written response received from the CFO they shall submit in writing, to the Spokane Tribal Executive Director their response, within 5-business days of CFO decision. 6. The Executive Director shall issue a written response to the contractor to any claims under $500, The Executive Directors decision is final at this limit; and he/she will respond to the contractor their written decision within 30 working Tribal business days of claim/dispute receipt. 7. If a contractor is un-satisfied with the written response from the Executive Director (for claims above $500,000.00) they shall submit in writing, to the Spokane Tribal Business Council their response, within 5-business days. 8. The Spokane Tribal Business Council shall review and issue a written response to any claims to the contractor, within 45 working Tribal business days. All Spokane Tribal Business Council decisions are final. FOREIGN SUPPLIES: This contract is subject to the Buy American Act (4 U.S.C, 10 (a d)) as implemented by Executive Order of December 17, 1954 and any restrictions in appropriation acts on the procurement of foreign supplies.

6 CONVICT LABOR In connection with the performance of work under this contract, the Contractor agrees not to employ any person undergoing sentence of imprisonment except as provided by Public Law , September 10,1965 (18 U.S.C, 4082 (0)(2)) and Executive Order 11755, December29, OFFICIALS NOT TO BENEFIT: No member of or Delegate to the Spokane Tribal Business Council or tribal employee shall be admitted to any share or pan of this contract, or to any benefit that may arise therefrom; but this provision shall not be construed to extend to this contract if made with a corporation for its general benefit. COVENANT AGAINST CONTINGENT FEES: The Contractor warrants that no person or selling agency has been employed or retained to solicit or secure this contract upon any agreement or understanding for a commission, percentage, brokerage or contingent fees, excepting bona fide employees or bona fide established commercial or selling agencies maintained by the Contractor for the purpose of securing business. For breach or violation of this warranty, the Government shall have!he right to annul this contract without liability, or in its discretion to deduct from the contract price or consideration, or otherwise recover, the full amount of such commission, percentage, brokerage or contingent fee. DISQUALIFIED/CANCELLED BIDS: Any bids improperly submitted or received late will be considered non-response but will not be returned or a notification mailed. INVOICING: Inquiries and/or questions regarding payment after invoices have been submitted are to be directed to the Spokane Tribal Accounts Payable Department, not the Purchasing/Property Department. INSURANCE REQUIREMENTS Proof of Business Liability Insurance is required Indemnification The Contractor shall indemnify, defend and hold harmless the its officers, employees, and agents, against all liability for damages occasioned in completing the scope of work in this bid. COVENANTS AGAINST KICKBACKS All conditions regarding covenants against kickbacks under 48 CFR Ch apply. Failure to abide by the provisions of this section may, without further notice, result in the immediate termination of any contract awarded. RESERVATIONS The Reserves: 1. The right to reject any or all bids, to serve in the best interest of the Spokane Tribe. 2. STOI may cancel this RFB at any time for any reason. STOI may reject any and/or all bids for any reason as determined by STOI. 3. The right to negotiate with all or one respondent when such action is deemed to be in the best interest of the Spokane Tribe. 4. The right to cancel any agreement, if in its opinion there is a failure at any time to perform adequately the stipulations of the request for bid, or if there is any attempt to willfully impose upon the Spokane Tribe services which are in the opinion of the Spokane Tribe of an unacceptable quality. 5. The right to require the awarded vendor to obtain and/or have in place General Liability Insurance in an amount no-less than the limits of the General Liability Coverage.

7 Contractor Certification Regarding Debarment, Suspension, and Other Responsibility Matters The prospective contractor certifies to the best of its knowledge and belief, that it and its principals: (a) Are not presently debarred, suspended, proposed for debarment, declared ineligible, or voluntarily excluded by any Federal, State, Local or Tribal department or agency; (b) Have not within a five-year period preceding this bid been convicted of or had a civil judgment rendered against them for commission of fraud or a criminal offense in connection with obtaining, attempting to obtain, or performing a public (Federal, State, Local or Tribal ) transaction or contract under a public transaction; violation of Federal or State antitrust statutes or commission of embezzlement, theft, forgery, bribery, falsification or destruction of records, making false statements, or receiving stolen property; (c) Are not presently indicted for or otherwise criminally or civilly charged by a governmental entity (Federal, State, Local or Tribal ) with commission of any of the offenses enumerated in paragraph (1)(b) of this certification; and (d) Have not within a three-year period preceding this application/bid had one or more public transactions (Federal, State, Local or Tribal) terminated for cause or default. I understand that a false statement on this certification may be grounds for rejection of this bid or termination of the award. In addition, under 13 USC Sec. 1601, a false statement may result in a fine of up to $10,000 or imprisonment for up to 5 years or both.
