1 REQUEST FOR PROPOSALS The Windham Board of Education ( Windham Public Schools ) is accepting proposals for Band & Orchestra Equipment and Related Services for the Windham School District until 12:00 noon on Tuesday, November 19, At this time proposals will be opened in the Director of Finance and Operations Office located at 322 Prospect Street, Willimantic, Connecticut. Proposals should be labeled: BAND & ORCHESTRA EQUIPMENT AND RELATED SERVICES CONTRACT, and sent to: Christian Johnson Finance and Operations Office Windham Public Schools 322 Prospect Street Willimantic, CT General Instructions: Proposals are to be: o Submitted in four (4) sets. o Submitted in a sealed envelope with the proposer s name and address in the upper left corner, and the proposal name, number and the proposal opening date prominently visible on the front of the envelope. o Made out and signed in the corporate, or other, name of the proposer. In addition, an authorized person must fully and properly execute the proposal. Proposals shall be opened at the time specified and read aloud. Proposals received later than the time and date specified for the proposal opening will not be considered. Faxed Proposals will not be accepted. Amendments to or withdrawal of proposals received later than the time and date set for the opening will not be considered. Proposers or their representatives may be present at the proposal opening. Windham Public Schools may require further information and references on any individual or company placing a proposal prior to the awarding of a proposal. The Finance and Operations Office reserves the right to amend and/or cancel this Request for Proposals prior to the time and date of the proposal opening.
2 The Finance and Operations Office reserves the right to correct an award erroneously made as a result of a clerical error on the part of the Windham Public Schools. A contract shall not be awarded to any corporation, firm or individual who has an unpaid and overdue debt to Windham Public Schools or Town of Windham (the Town ) by nonpayment of taxes, by debt or contract, or who is in default as surety or otherwise by any obligation to Windham Public Schools or the Town. All communications between the Windham Public Schools contact and proposers (or prospective proposers) shall be in writing only. Information requests are to be made in writing to the Windham Public Schools contact at the address listed above prior to the end of business on Friday, November 15, Any responses or modifications to this Request for Proposals will be made by addendum to each proposer that has provided contact information to the Windham Public Schools. Each proposer should confirm prior to submitting its proposal that it received any addendum. The Windham Public Schools is seeking a vendor to provide all of the Equipment, to provide a warranty (including potential loss of Equipment) on the Equipment and to provide annual maintenance on and cleaning of the Equipment (to occur when school is not in session) and periodic service (to occur during school year), as described in more detail in this Request for Proposals
3 I. SPECIFICATIONS Windham Public Schools strive for excellence in all academic areas. In order for the Windham High School ( WHS ) music program to grow into the twenty-first century, it is imperative to re-equip the band and orchestra. This will include a complete instrument and equipment replacement for the band, and an equipment enhancement for the orchestra. The music technology and guitar classes will also receive equipment upgrades. As the WHS music department continues to grow, WHS will be starting a marching band. In order to effectively start and teach a marching band, marching brass, drum line, and mallet instruments must be obtained. Proposers must submit Proposals for all of the Equipment. II. PRICING Each proposer shall submit its proposal for each of the following: (a) Band & Orchestra Equipment, total cost and lease proposal (as described below); (b) warranty on Equipment and (c) the monthly price for annual maintenance on and cleaning of the Equipment (to occur when school is not in session) and periodic service (to occur during school year), in the form of Exhibit A attached to this Request for Proposals. The cost shall be all-inclusive and shall include all costs, fees and expenses for the Band & Orchestra Equipment and the annual maintenance on and cleaning of the Equipment (to occur when school is not in session) and periodic service (to occur during school year), respectively. Windham Public Schools will finance the purchase of the Equipment (and Equipment only) through a three (3) year lease-to-own, finance lease or installment sales contract. The final payment at the end of the three year period will be $1 or $0. The vendor shall provide a lessor for such arrangement. The Windham Public Schools understands that most music vendors currently use BGE financial as their lease to own vendor. If a contractor does not currently have a lease to own vendor, please contact and supply your full bid to them, which then should be submitted to the Windham Public School Finance office by the Proposer. The form of lease must be submitted with the Proposer s Proposal. III. PROPOSAL REQUIREMENTS The Proposal shall be submitted with all of the information described in this Article III. All Proposers must read and fill out the reference check form attached as Exhibit B ( Reference Check ). The Proposer, by submitting a Proposal, hereby authorizes the Windham Public Schools or its authorized agent to contact such references listed on the Reference Check without obtaining any other consent from the Proposer. Such Reference Check is incorporated into and made a part of this Proposal. Each Proposer must provide a non-collusion statement, in the form attached as Exhibit C, attached hereto and made a part hereof.
7 Each Proposer must fill out the "Proposal Form" in the form of Exhibit A. Each Proposer shall provide along with its proposal for the price on the warranty for the Equipment, the specifics on the warranty. Each Proposer shall provide along with its proposal for the price on the annual maintenance on and cleaning of the Equipment (to occur when school is not in session) and periodic service (to occur during school year), the specifics on what maintenance, cleaning and service will entail. Each Proposal must include description of maintenance, cleaning and service (i.e., number of personnel available, qualifications, etc.), location of maintenance personnel and estimated turnaround time for service. Each Proposer should provide information describing the lease arrangement it is proposing. Each Proposer shall submit the form of lease. Each Proposer shall list the estimated time for all Equipment to be delivered to the Windham Public Schools. The Windham Public Schools would prefer that all Equipment be delivered by Wednesday, December 11, All Equipment must be delivered no later than Wednesday, December 18, 2013 (unless the Board agrees in writing to a different date). The Contractor must coordinate delivery with the Windham Public Schools. The Contractor is responsible for all costs associated with delivery of Equipment. IV. VENDOR QUALIFICATIONS The successful Proposer must execute a Contract for annual maintenance on and cleaning of the Equipment (to occur when school is not in session) and periodic service (to occur during school year) in the form approved by the Windham Public Schools. Such Contract shall include, at a minimum, the terms, conditions and provisions in this Request for Proposal for maintenance, cleaning and service. The period of the Contract with the Contractor shall be for a three (3) year period. The period of any lease with a leasing company related to the Equipment shall also be for a three (3) year period. Each contract shall include a "non-appropriation" clause that does not obligate the Windham Public Schools to pay any net contract balance remaining beyond any ending fiscal period wherein funds have not been appropriated for that expense. The successful Proposer shall, prior to the execution of the Contract, provide the name of the contact person required in the Contract and the names of supervisors who will manage the operations for the Windham Public Schools, including regular and emergency phone numbers to contact the Contractor. The Contractor is required to offer one single point of contact for all purposes, i.e., maintenance, service, repairs, supplies, equipment modification and/or exchange, etc. This contact will be the same for all under the Contract. The vendor must be a financially sound, established business. The Contractor is prohibited from assigning, transferring, conveying, subcontracting, or
8 otherwise avoiding its responsibility for the agreement or its rights, title or interest therein, or its power to execute such agreement to any other person, company or entity, without the prior consent and approval in writing by Windham Public Schools. Windham Public Schools reserves the right to waive technical defects, procedural irregularities, any informality in proposals or to reject any or all proposals, in part or whole, or to make such awards, in part or in whole, including accepting a proposal or part of a proposal, although not the low proposal, that in its judgment will be in the best interest of the Windham Public Schools. All Contractors located or owning property in the Town of Windham shall assure that all real and personal property taxes are paid. The Town will verify payment of all real and personal property taxes by the Contractor prior to the award of any contract or renewal. The Proposer must not discriminate, nor permit discrimination against any person on the grounds of race, color, national origin, sexual orientation, religion, sex, disability, or veteran status, in their employment practices, in any of their contractual arrangements, in all services and accommodations they offer the public, and in any of their other business operations. Windham Public Schools may make such investigation as it deems necessary to determine the ability of the Proposer to perform the work, and the Proposer shall furnish to Windham Public Schools all such information. No Proposers may withdraw their Proposals within a period of 60 days after the actual date of the opening thereof. V. GENERAL TERMS AND CONDITIONS All proposals are subject to the general terms, conditions, and Proposal specifications, as provided below. Price: Proposal prices will include delivery, F.O.B. destination, without extra compensation. Taxes: Windham Public Schools is exempt from the payment of the Excise Taxes imposed by the Federal Government, and the Sales and Use Tax of the State of Connecticut. Such taxes should not be included in the Proposal price. Award: The Finance and Operations Office reserves the right to make an award which, in its judgment, best meets the specifications and is deemed in the best interest of Windham Public Schools. It reserves the right to increase or decrease all quantities indicated in this Request for Proposals. The Finance and Operations Office further reserves the right to reject any or all Proposals, in
9 whole or in part; to award any item, group of items or total proposed unless otherwise specified by the Proposer; and to waive informality or technical defects; if, in its judgment, the best interests of Windham Public Schools will be so served. Laws All services rendered shall comply in every respect with all applicable laws of the Federal Government and/or the State of Connecticut. Permits (if applicable) It is the responsibility of the Contractor to obtain all Federal, State and local permits when needed. Hold Harmless and Indemnification Agreement The Contractor shall assume full responsibility for its acts, errors, or omissions, and agrees to hold harmless and indemnify Windham Public Schools, its officials, agents and employees, from and against any and all claims, suits, damages, costs, losses and expenses (including attorneys fees) resulting from or arising out of Contractor s failure to comply with laws, Contractor s breach of the contract, Contractor s intentional acts, Contractor s negligent acts, errors or omissions while performing services under the contract. Non-Collusive Proposal Statement Each proposer must provide an Affidavit with its proposal, on the form provided, to certify non-collusion with any other proposer. Non Discrimination Clause The Contractor hereby agrees that neither it nor its subcontractors will refuse to hire or employ or to bar or to discharge from employment an individual or to discriminate against him/her in compensation or in terms, conditions or privilege of employment because of race, color, religious creed age, sex, national origin or ancestry, except in the case of bona fide occupational qualification or need. The Contractor further agrees that neither it nor its subcontractors will discharge, expel or otherwise discriminate against any person because he/she has opposed any unfair employment practice or because he/she has filed a complaint or testified or assisted in any proceeding under Section of the Connecticut General Statutes. The advertisement of employment opportunities will be carried out in such a matter as not to restrict or discriminate against individuals because of their race, color, religious creed, age, sex, national origin or ancestry, except in the case of a bona fide occupational qualification or need. Safety Standards All contractors and their employees, agents and subcontractors are required to comply with all EPA, NFPA, and OSHA safety standards at all times while working on site.
10 Debarment The Purchasing office reviews any Proposal being considered to assure that neither the Contractor nor any subcontractor being utilized is subject to state or federal debarment based on published debarment lists. Persons or firms currently debarred under the Federal Davis Bacon Act that are included on the State Debarment List pursuant to Connecticut General Statutes, Section 31-53a, as amended, shall not be awarded a contract. No contract shall be awarded to any firm, corporation, partnership or association in which such persons or firms have an interest until the expiration date listed has passed. Insurance The Contractor shall maintain in force at all times during the contract the following minimum coverages and shall name the Town of Windham and Windham Board of Education as an Additional Insured on a primary and non-contributory basis to all policies except Workers Compensation. Insurance shall be written with Carriers approved in the State of Connecticut and with a minimum AM Best s Rating of A- VIII. In addition, all Carriers are subject to approval by the Town of Windham and Windham Board of Education. If the policy is replaced and/or the retroactive date is changed, then the expiring policy must be endorsed to extend the reporting period for claims for the policy in effect during the contract for two (2) years from the completion date. Workers Compensation and WC Statutory Limits Employers Liability EL Each Accident $500,000 EL Disease Each Employee $500,000 EL Disease Policy Limit $500,000 Original, completed Certificates of Insurance must be presented to the Town of Windham and Windham Board of Education prior to contract issuance. The Contractor agrees to provide replacement/renewal certificates at least 60 days prior to the expiration date of the policies.
11 The Contractor and its insurer shall waive all rights of subrogation against the Windham Public Schools on its general liability and workers compensation coverages. Stipulations A contract issued as the result of a request for proposals shall not be considered exclusive. Windham Public Schools reserves the right to contract with other vendors for equipment and services when deemed appropriate. Windham Public Schools reserves the right to cancel the contract at any time with no cost to the Town or Board of Education. If the cancellation is for inadequate performance, then the cancellation shall be immediate. If cancellation is for budgetary considerations or is based upon the discretionary right of Windham Public Schools, then the cancellation shall be upon thirty (30) days written notice. Windham Public Schools reserves the right not to award the continuation of a multiple year request for proposals. The award of each year's contract is contingent upon adoption and approval of budgetary funds for this purpose. Payment Terms Payment terms will be considered in an award under the following conditions: Preferred Payment Terms: Any discount effective either for 30 days or based on "10/EOM" (10 days after the end of the month, i.e. 2%/30 days or 2/10 EOM). The minimum payment time is 20 days from receipt of invoice. Secondary Payment Terms: Any discount effective for 20 days, i.e., 2%/20 days. If Proposals are tied, the longer payment period will be considered the lower Proposal. For example, thirty-day terms are better than twenty-day terms, providing the same percentages apply (such as 1% or 2%). Payment terms of less than 20 days, even with a discount, are not considered comparable to longer period payment terms due to the special handling of the payment required in such short check-processing period. Such terms will not be considered in an award. It shall be understood that the cash discount period will be from receipt of invoice and not from the date of the invoice.

I, as an officer of, further understand that any information that is found to be incomplete or false or, any attempt to mislead the Windham Public Schools is discovered, either during the evaluation or subsequent to any award may result in the disqualification of the Proposal or the immediate termination of the Contract.
