(Currently from November 1,2011 through October 31,2016, with an option to extend an additional five year period at the Comlty's sole discretion.) First year dispatch contract cost is $2,093,075. SUMMARY/DISCUSSION: On June 29, 2010, the Board of Supervisors approved the County's Ambulance Transport Provider Agreement with Paramedic Plus, LLC. ACFD requested and was authorized by the Board of Directors to submit a contract to provide dispatch services to Paramedics Plus by the Alameda County Regional Emergency Communication Center (ACRECC) for the same length of time as the DEDICATED TO SUPERIOR SERVICE
2 County's Ambulance Transport Provider Agreement, including any extensions. The ambulance dispatch contract commences on November 1,2011. Paramedics Plus Ambulances shall be dispatched by the County Fire Dispatch Center which is operated by Alameda County Regiona~ Emergency Communications Center (ltacrecc"). Dispatch services shall include: a) EMS call intake functions, b) call prioritization and c) pre-arrival instructions according to Medical Priority Dispatch System ("MPDS") protocols developed in collaboration with the County EMS Director. ACRECC is staffed and managed by the Alameda County Fire Department. The dispatch center currently provides dispatch and communication center services for the ACFD, the Alameda County Emergency Medical Services Agency, Camp Parks RFTA, and the Cities of Alameda and Fremont. The ACFD and Paramedic Plus leaders successfully negotiated the ambulance dispatch agreement. We are seeking the Board to approve and execute the agreement with Paramedic Plus. This agreement will provide, for the first time in County history, a public safety fire dispatch center providing dispatch services to a private ambulance transport vendor. Both County Counsel and Risk Management have reviewed and approved the Agreement. FINANCIAL: There is no impact on the County General Fund. All appropriate expenditures are included in the contract funding and along with expected revenues are included in the FY budget requests for the Alameda County Fire Department (Fund 21651, Organization ). 3 AGREEMENT BETWEEN PARAMEDICS PLUS AND THE ALAMEDA COUNTY FIRE DISTRICT ON BEHALF OF THE ALAMEDA COUNTY REGIONAL EMERGENCY COMMUNICATIONS CENTER REGARDING EMERGENCY MEDICAL SERVICES DISPATCH AGREEMENT THIS AGREEMENT is made and entered into by and between the Alameda County Fire Distric4 a dependent fire district fanned under the Fire Protection District Law of 1961 (Health and Safety Code Sections et seq.) and governed by the Board of Directors, hereinafter referred to variously as ALAMEDA COUNTY FIRE DEPARTMENT ("ACFD"), and ALAMEDA COUNTY REGIONAL EMERGENCY COMMUNICATIONS CENTER ("ACRECC"), and PARAMEDICS PLUS, LLC, ("Contractor"). ACFD, ACRECC and Contractor are collectively referred to as "Parties". AGREEMENT In consideration of the mutual promises contained herein, the parties hereto agree as follows: Section 1. Definitions. As used in this Agreement: a. "ACFD" means the Alameda County Fire District (also known as the Alameda County Fire Department), or any successor organization or successor governmental entity. b. "ACRECC" means Alameda County Regional Emergency Communications Center. c. "ACRECC Advisory Board" means the representatives of the following agencies: ACFD, City of Alameda, Camp Parks RFTA, City of Fremont, Alameda County EMS and Paramedics Plus. d. "Board of Directors" means the Board of Directors of the ACFD and governing body of the ACFD. e. "Case Reports" means those reports required to be filled out by EMS Dispatchers and EMS Field Crews when a response to a call for service does not meet the contracted response time standard. f. "Contractor" means Paramedics Plus, LLC. g. "County" means the County of Alamed~ California. h. Dispatch specific tenninology used in this agreement shall be used in a manner Pa e lofls
4 consistent with the definitions published by the National Fire Protection Agency (NFPA) as it may exist from time to time. 1. "EMD" means the Emergency Medical Dispatch program/system ofemergency call triage established by Medical Priority Dispatch System based in Salt Lake City, DT. J. "EMS Agreement" means the EMS Ambulance Transport Provider Agreement between Alameda County, California and Contractor. k. "Fire Chief' means the chief executive officer ofthe ACFD. 1. "Fiscal Year" means the annual period commencing on July 1 and ending June 30. m. "OMO" means Onboard Mobile Gateway. n. "SSM" means Status System Management. o. "SSP" means System Status Plan. p. "County EMS" means the Alameda County Emergency Medical Services, administrator ofthe EMS Agreement. Section 2. Scope of Services. Within the boundaries of the County, ACRECC shall provide and be fully responsible for the following services. 1. Dispatch General Service Criteria. A. Response Area. ACFDIACRECC shall provide all dispatch services identified below to all areas of Alameda County. Contractor's Ambulances shall be dispatched by ACRECC. Contractor ambulances will be dispatched on a separate talk-group within the Alameda County 800 MHz radio system and via alphanumeric pagers or SMS messaging to mobile communication devices, Mobile Data Computers (MDCs) and Location Station Alerting System (for fixed ambulance posts) through the ACRECC Computer-Aided Dispatch (CAD) system. For emergency medical responses outside of the ACRECC consortium, ambulances will be dispatched on a separate talk-group within the Alameda County 800 MHz radio system and via Contractor provided
5 alphanumeric pagers or SMS messaging to mobile communication devices, (MDCs) and Location Station Alerting System (for fixed ambulance posts) through the ACRECC CAD system.. ACRECC will utilize the MARVUS Suite (or equivalent) software products as provided by Contractor to coordinate SSM of Contractor's ambulances, in accordance with performance standards set forth in the EMS Agreement. B. ACRECC Location/Staffing. ACRECC will staff the appropriate number of persormel as may be required to meet the terms and perfonnance criteria ofthis Agreement and, where appropriate, the EMS Agreement commencing November 1, 201l. Any updating of the current System Status Management (SSM) plan is the responsibility ofcontractor. ACRECC shall prov:ide emergency dispatchers that are EMD certified to provide Medical Priority Dispatching. C. Operating Guidelines ACFO's dispatch center shall be operated in accordance with applicable laws, nationally recognized standards of good practice from professional associations (APCO, NENA, AAA, and NAED), and the EMS Agreement. ACFD's dispatch center shall receive all emergency medical calls for Contractor in Contractor's Service Area for Alameda County as defined in the EMS Agreement, inclusive ofany Mutual Aid Agreement areas. ACFD's dispatch center shall monitor and reply to all emergency radio traffic from Contractor's field units. This includes making notifications to Command Staff, calling for mutual aid assistance, notifying other Public Safety Organizations. The services provided by ACFD/ACRECC shall include the following. 1. Call intake, prioritization and processing including EMD, 2. Dispatching ofems resources, 3. Resource management adhering to SSM and SSP, and, 4. Notifications as required by regulation or policy. ACFD's dispatch center shall monitor and reply to all non-emergency radio traffic from Contractor's field units.
6 ACFD's dispatch center will transfer incident data to Contractor's record management system ("RMS") at the time ofthe incident in real time, with an update when the call is closed. D. Call Processing. ACRECC will maintain telephone equipment in accordance with the State ofcalifomia Office standards. Data on response times will be provided to Contractor in real time on all calls through the utilization offirstwatch or similar online systems. ACRECC will complete Case Reports for each late call within one (1) hour of the dispatch time. E. Computer Aided Dispatch and Technology ACRECC will maintain a Computer-Aided Dispatch (CAD) system that is capable of: Tracking the status ofall agency resources. Entering locations of incidents by street address, intersection, common place name, or latitudellongitude coordinates. Alerting fire stations and ambulances of new incidents by voice, printed message, page, and radio announcement. Entering in pertinent information related to active incidents. Ensure that all systems and electronic interfaces are maintained and working. Dispatching of units to respond to incidents, postings, and PCR information will be done through the computer-aided dispatch (CAD) system utilizing "Locution" for fixed station dispatching, the Alameda County 800 MHz radio system (including new P25 System currently in the planning phase), mobile data computers (MDC's) utilizing the MARVLIS mobile data solution, and commercial alphanumeric pagers (Contractor provided) or acceptable SMS messaging devices for ambulances "on the air". ACRECC will utilize the following radio systems for unit-to-dispatch communications: Alameda County 800 MHz Trunked Radio System (including new P25 System currently in the planning phase). VHF Mutual Aid frequencies. ACRECC Radio traffic for all jurisdictions served by ACRECC
7 will be on the designated fire response talk groups. For the Cities of Hayward, Oakland, Albany, Piedmont and Emeryville, ACRECC may designate a channel. However, ACRECC will not be responsible for providing equipment or services for the channel, other than merely provide the designated channel. F. Emergency Medical Dispatch (EMD) ACRECC shall adhere to the following: All persons calling for medical assistance will receive EMD services. All dispatchers will be certified in EMD before they complete their initial training program and will maintain their certification for the duration oftheir employment. Potentially life-saving, pre-arrival instructions will be given to the caller when necessary based on the outcome of the EMD protocol used. For agencies within the ACRECC consortium, patient updates will be given to the responding units while they are en-route to the scene. Adopt all relevant ACRECC approved policies to ensure consistent dispatch operations. Shall maintain accreditation as an "Accredited Center of Excellence" thru the National Academy ofemergency Dispatch. Shall comply with all current Commission on Accreditation of Ambulance Standards (CAAS) as they relate to the dispatch and call processing processes. Shall provide all CAAS required documentation to contractor which will allow contractor to comply with County EMS Contractual requirement to become CAAS accredited. G. Contractor will be responsible for: Supplying ACRECC with periodic updated SSP. Paying for reasonable modifications to the ACRECC Computer Aided Dispatch ("CAD") system necessary to effectively monitor, deploy, redeploy its AmbularIces, and provide EMS Dispatch Services, excluding CAD to CAD Interfaces. 8 Equipping each Contractor Ambulance and Supervisor Vehicle with an Onboard Mobile Gateway ("OMO") which shall provide wireless access to CAD and billing system data. Equipping and maintaining each Ambulance and Supervisor Vehicle with communications equipment that will allow for communications with ACRECC. Providing as needed additional computer servers, workstations and employee training to ACRECC staff for the management and deployment of Contractor's ambulances. Complying with County and Federal Communications Commission ("FCC") standards and laws to enable Contractor to effectively receive communications as directed by ACRECC. Complying with County and FCC standards and laws to enable Contractor to effectively utilize the County's radio infrastructure to communicate with ACRECC and First Responder Agencies. Providing ACRECC with current Commission on Accreditation of Ambulance Standards (CAAS). 2. ACRECC will be responsible for the following perfonnance Standards. A. Compliance to all perfonnance standards will be monitored on a rolling thirty (30) day time frame and reported montwy. Failure to maintain the following performance standards may result in financial penalties being assessed as per Section 3. I. The Initial ambulance dispatched/assigned will be accurate/correct 95% of the time. 11. Appropriate Ambulances will be dispatched to accurate post locations in accordance with the SSP within 60 seconds of System Status changes 95% ofthe time. lll. Notify Contractor's Field Supervisors when EMS Units fail to respond to post assignments or other requests by ACRECC Dispatcher in a timely marmer. IV. ACE Accreditation 3. ACFD/ACRECC shall not be held accountable for response time compliance and/or subject to fines, sanctions or any other penalties due to errors, omissions, or failures attributable to Contractor. A. Penalties Agreement Regarding EMS Dispatch Services Page 6 of 15
9 1. ACFD shall pay, if not waived by County EMS, any fine levied by County EMS to Contractor, as per the EMS Contract, on all calls found not to be within Dispatch performance standards, thereby resulting in a non compliant response time by the Contractor. Said fines shall not be paid by ACRECC if the fine is the result of an error, omission, or failure attributable to Contractor. 11. Failure to complete the necessary Case Reports will result in a $500 penalty for each Case Report not filed by the end of the dispatchers shift who dispatched the call. Ill. Loss of ACE status will be considered a material breach. Section 3. Administration. A. Contract Administration. ACFD designates the Fire Chief, or his or her designated representative, to represent ACFD in all matters pertaining to the administration of this Agreement. The Chief Operating Officer or his or her designated representative shall represent Contractor in all matters pertaining to the administration of this Agreement. The parties desire to work cooperatively to ensure that Contractor receives the highest level of service possible at the least-cost to both parties. Accordingly, the parties desire to set forth a process for reaching agreement on mutually acceptable alterations to this Agreement with regard to service delivery standards and material changes to the budget. In the event Contractor and ACFD/ACRECC cannot reach an agreement regarding material changes to the budget, the Fire Chief or his or her designee shall meet with the Chief Operating Officer of Contractor. The Fire Chief and the Chief Operating Officer shah attempt to resolve the dispute. Disputes not resolved at the Fire Chief/Chief Operating Officer level may be escalated by giving written notice to the other party of the need to proceed with mediation. It is the Parties' intention to avoid the cost of litigation and to resolve any issues that may arise amicably if possible. Within fourteen (14) days from the date of notice, the parties shall mutually select one person who shall mediate the dispute. The parties should select a qualified professional with expertise in the subject matter of the dispute. If the parties are unable to mutually agree upon a
10 mediator within fourteen (14) days, the parties shall each designate one person as a mediator by the fifteenth (15) day following notice. These two designated mediators shall mutually select a third mediator (also a qualified professional wlth expertise in the subject of the dispute) within twenty-one (21) days of the notice. The one selected mediator shall mediate the dispute. The mediation shall be completed within thirty (30) days of the appointment of the mediator. The mediation shall be conducted in accordance with the discretion of the mediator. However, if the mediator is unable to resolve the dispute within thirty (30) days, the mediator shall submit specific and written recommendations for full resolution of the dispute within ten (10) days thereafter. The written recommendations by the mediator shall be taken seriously by the parties. In addition, these written recommendations shall be reviewed by the governing bodies of both parties. Within forty-five (45) days of receipt of the written recommendations from the mediator, the governing bodies shall give the respective parties input for resolution of the dispute. After input from the governing bodies, the parties may continue to negotiate a resolution of the dispute. The fees and expenses of the one selected mediator shall be divided equally between the Parties. The above deadlines shall be enforced unless extensions are mutually agreed upon or granted to either party by the mediator for good cause shown. Contractor and ACFD must mutually agree to any service delivery change and/or budget modification(s). B. Liaison from ACRECC to Contractor. ACFD designates the Fire Chief or designee (at no time below the rank of Deputy Chief or appropriately ranked Chief Officer) as the direct liaison to Contractor. Liaison responsibilities shall include but are not limited to: (i) (ii) Upon reasonable notice, attendance by the Fire Chief or his designee at Contractor staff meetings when requested by Contractor to discuss ACRECC related items; and Upon reasonable notice, meetings with Contractor as requested by either party to discuss dispatch center budget, operational or other issues which may arise. C. Reports and Records. ACFD will maintain and make available to Contractor, sufficient records to enable Contractor to meet its reporting obligations and needs as they
11 relate to the provision ofservices as provided for in this Agreement and as such services relate to perfonnance obligations which are provided for in other agreements which Contractor has or may enter into (e.g., EMS Agreement). ACFD will submit on Contractor's behalf, all information required by requesting authorities to comply with the EMS Agreement or otherwise as reasonably requested. D. Dispatch Complaints and Requests for Service. ACFD shall inform Contractor of any and all complaints regarding the provision ofservices to Contractor by ACRECC. ACFD shall reasonably accommodate requests for service from Contractor. Requests for service which are not included within the scope of this Agreement shall be provided by ACRECC subject to mutual agreement by Fire Chief and Contractor. ACRECC will provide a high level of customer service to Contractor and Callers in accordance with the ACE Accreditation Standards and the customer service requirements of the EMS Agreement. This will be validated through Contractor's Customer Service Survey process. E. ACRECC Advisory Board. Contractor shall be entitled to have one Voting Member representative on the ACRECC Advisory Board. Section 4. Material Breach Willful failure of ACFD or Contractor to provide Services under this Agreement in substantial compliance with the requirements of the applicable Federal, State, and County of Alameda laws, rules, and regulations shall constitute a material breach by ACFD or Contractor. Minor infractions of such requirements shall not constitute a material breach unless such infractions are repeated several times over two quarters of each fiscal year. Acts or omissions that shall constitute a material breach by ACFD include the following: 1. Failure to meet timed perfonnance standards as set forth in Section 2 of this Agreement for three (3) consecutive months or five (5) months in a rolling twelve (12) month window; 11. Failure to maintain Accredited Center of Excellence status; or Fire Dispatch Services - Paramedics Plus / Alameda County 2011 Page 9 of IS
12 Ill. Failure to timely obtain and maintain the necessary licensing and/or certification required by law to provide Services. Notice and Cure ofmaterial Breach 1. Contractor shall give ACFD written notice, setting forth with reasonable specificity the nature ofa material breach. 11. ACFD shall have the right to cure the material breach within ten (10) calendar days ofreceipt of notice. Within two (2) business days of receipt ofa material breach notice, ACFD shall deliver to Contractor, in writing, a plan ofaction to cure the material breach. lll. If the material breach, by its nature, cannot reasonably be cured within ten (10) calendar days, ACFD may request additional time to complete cure of the breach. If ACFD requests additional time, Contractor shall not unreasonably deny request. The non-breaching party may tenninate this Agreement by giving the other party written notice of its intent to terminate the Agreement. Upon notice of termination, the parties shall continue to abide by the terms of this Agreement and work to provide for a smooth transition without any inteffilption ofservice. Section 5. Payment for Services. A. Contractor Payment. Annual contract cost is based upon the fiscal year. Contractor will pay ACFD $2,093, in the first year for services provided under this Agreement (as per the EMS Agreement), then in year two (2) Contractor shall pay ACFD $1,893, Beginning in year three through five, contractor will pay for services in accordance with the finn fixed price projections in fixed pricing Appendix (A) "Paramedics Plus Contract Cost" Line Item. Any future adjustments not reflected in the Paramedics Plus Contract Cost on Appendix "A" shall be subject to adjustment of the Contractor's User Fees established in the Alameda County EMS Ambulance Transport Provider Agreement. If User Fees cannot be adjusted, Contractor and ACFD shall collaborate on how to address cost increases or cost decreases. In the event Contractor and ACFD/ACRECC cannot reach an agreement regarding adjustment to User Fees, the Fire Chief or his or her designee shall meet with the Chief Operating Officer of Contractor. The Fire Chief
13 and the Chief Operating Officer shall attempt to resolve the dispute. Contractor and ACFD must mutually agree to any adjustment to the User Fees. A new five year fixed pricing projection will be submitted to Paramedics Plus for consideration and negotiations during the beginning of the fifth year of the current projections, and such negotiations should be completed no later than the sixth month ofthe fifth contract year. B. Method ofbilling and Payment. Contractor shall pay for the services provided by ACFDIACRECC no later than 90 days in advance of the provision ofservices.
14 Section 6. Personnel. A. All employees of ACRECC are employees of ACFD. Contractor is not liable for compensating ACFD Employees. Contractor shah not be liable for the payment of any salary, wages, compensation or benefits to ACFD personnel performing services hereunder for Contractor, or any liability other than that provided in this Agreement. Section 7. Indemnification. A. Mutual Indemnification. ACFD and ACRECC, shall defend, indemnify, and hold hannless Contractor, its officers, employees, agents and its representatives, from any and all claims for damage or injury to persons or property whatsoever kind or nature, including consequential damages and attorney's fees, based or asserted upon any act or omission of or purported act of omission of ACFD and/or ACRECC, their elected or appointed officials, officers, employees, agents or other representatives arising from the relationship established by this Agreement. Contractor shall defend, indemnify, and hold harmless the County, ACFD and/or ACRECC, their elected and appointed officials, officers, employees, agents and representatives, from any and all claims for damage or injury to persons or property whatsoever kind of nature, including consequential damages and attorney's fees, based or asserted upon any act or omission of or purported act or omission of Contractor, its officers or employees, agents or representatives arising from the relationship established by this Agreement. B. Mutual Indemnification Obligations Survive Termination. The obligations created by Section 7 shall survive the expiration or tennination of this Agreement as to activities occurring or being carried out during the tenn of this Agreement in the performance of this Agreement. Section 8. Insurance. A. General Liability. Contractor shall be named as an additional insured and the policy shall contain cross liability endorsements. ACFD shall maintain general fa e 12 oils
15 Section 9. A. liability insurance policy reasonably acceptable to Contractor with minimum limits of $1,500, per occurrence and $10,000, in the aggregate. An endorsement shall be provided which states that the ACFD coverage is the primary insurance and that no other insurance affected by Contractor will be called upon to contribute to a loss under this coverage. ACFD, on its own or through the County, may self-insure to these limits of coverage. ACFD shall furnish Contractor with original certificates and amendatory endorsements effecting coverage required by this clause. The endorsements should be on forms provided by ACFD. All certificates and endorsements are to be received and approved by Contractor. Contractor reserves the right to require complete certified copies of all required insurance policies, including endorsements affecting the coverage required by these specifications at any time. This Agreement commences on November 1, 2011 and shall continue for as long as the EMS Agreement remains in force and effect. However, Contractor may terminate this Agreement in the event that Contractor is considered to have committed a material breach under the EMS Agreement due to dispatch ettors by ACFDIACRECC. Contractor shall give written notice to ACFDIACRECC of termination after following the procedures set forth in Section 4 above, and ACFD/ACRECC shall continue to provide dispatch services under this Agreement for up to 120 days after notice of tennination. ACFD/ACRECC shall reimburse Contractor for the cost of transitioning dispatch services to another location not to exceed $500, ACFD/ACRECC may terminate this Agreement in the event that Contractor is considered to have committed a material breach. ACFDIACRECC shall give written notice to Contractor of tennination after following the procedures set forth in Section 4 above, and Contractor shall continue to provide services under this Agreement for up to 120 days after notice of tennination. Contractor shall reimburse ACFD/ACRECC for the reasonable cost of having to transition Paramedics Plus services out of ACFD's/ACRECC dispatch center secondary to Contractor's breach with costs not to exceed $500, All equipment in ACFD/ACRECC dispatch center at time of separation shall remain the property of the ACFD. Voluntary Termination In the event this Agreement is voluntarily terminated by ACFD prior to
16 the end of the current term, ACFD shall give Contractor 365 days notice of intent to terminate and shall pay Contractor all expenses associated with services through another provider. B. Notices.
