4 Subcontractor Agreement THIS AGREEMENT: made at 2465 West Shore Road, Warwick, RI on by between GoFixxIt/Cobalt Construction, hereinafter referred to as Contractor, and hereinafter referred to as the Subcontractor, to perform part of the work. Sub Contractor is hired by Contractor. Sub Contractor works exclusively for the Contractor (GoFixxIt/Cobalt Construction) Time is of the essence for the Contractor and Owner, and Subcontractor shall perform the Subcontractor s work, and see that the work of its subcontractors is performed, so that the entire project is completed in accordance with the Scope of Work and or Contract Documents. The Subcontractor shall prosecute Subcontractor s work in a prompt and diligent manner in accordance with the schedule work without hindering the work of the Contractor or any other subcontractor. If the subcontractor fails to maintain its part of the schedule of the work, it shall, without additional compensation, work such overtime as the Contractor may direct until the subcontractor s work is in accordance with such schedule. This subcontractor agrees to be bound to the Contractor by all terms of the plans and specifications. Including general conditions, supplementary conditions, requirements and addenda in the same manner as the Contractor is bound to the Owner. All forms of communication, proposals, invoices, pricing etc will be made directly to GoFixxIt/Cobalt Construction only. Subcontractors agree not to solicit, share information and provide additional services to the Owner without approval and consent of the Contractor (GoFixxIt/Cobalt Construction). 6 Job Site/Construction Site Policy JOB SITE/CONSTRUCTION SITE POLICY: Subcontractor is required to follow and obey all requirements while on a GoFixxIt/Cobalt Construction project site. Failure to comply will result in dismissal of the project site. Job Site Clean Up: It is the responsibility of each subcontractor, his crew and his subcontractors to remove all debris from the job site. When demolition work is being done and through-out the remainder of the project, all debris will be required to be removed on a daily basis. If subcontractors leave the site without cleaning up after their work, GoFixxIt will have the site cleaned and back-charge the subcontractor respectively. Scope Changes: When additional work is necessary and not included in the original contract or scope of work, subcontractors must submit a request for change to GoFixxIt. Upon receipt of an approved change from Owner, GoFixxIt will submit a scope change order to the subcontractor. Until then, only work referred to in the scope of work shall commence. GoFixxIt is not liable for payment of any additional work unless a corresponding scope change has been issued and signed. Construction Site Dumpsters: Dumpsters are provided for job site materials only. If unauthorized dumping is observed, the subcontractor responsible will be asked to remove said trash. If the trash is not removed when asked, subcontractor will be back-charged for full dumpster amount. Defacing Property: Defacing of any property on site (building, outhouse, etc.) is unacceptable. A fine will be issued to any person or persons responsible for this action. Job Site Attire: Shirts, pants and boots must be worn at all times. Workers will not be allowed to commence work if shorts, tank tops or shirts with cut off sleeves, sneakers or shoes other than work boots are worn. All overhead work and demolition work will require hart hats and safety goggles. GoFixxIt shirts maybe required on all job site activities.

7 Drug, Alcohol & Smoking: Drug and alcohol use on the job will not be tolerated. GoFixxIt has a no tolerance policy and if caught, the responsibly party will be asked to leave and will not be allowed to return to the job site for any reason. Smoking is prohibited in all buildings, including buildings under construction and portable office sites. Job Site Violence: GoFixxIt has a no tolerance policy for job site violence. Whether verbal or physical, it will not be tolerated. The responsible party will be asked to leave the premises immediately and, if necessary, legal action will be taken. Equipment, Ladders and Scaffolding: Subcontractors must ensure that all equipment, ladders and scaffolding is in good working condition, properly maintained and certified if required by regulations. Only those who have been properly trained and skilled the operation of this equipment can operate it. Subcontractors shall keep manufacturer s operating manual for all equipment and tools brought to the site. Contractors must lock up or take all equipment and tools with them at the end of work day. GoFixxIt is not responsible for any equipment and tools that are lost or stolen. Fire Prevention: Subcontractors must ensure that appropriate fire prevention measures are taken while working on project site. Subcontractors shall take all necessary precautions to prevent accidental activation of fire alarms and sprinklers. Combustible material shall not be placed near heaters. Welding and cutting are only permitted within easy reach of a suitably rated and charged fire extinguisher. Care shall be taken to prevent sparks from falling on combustible material, works or others near site. Safety & Evacuation: Each person working on site has the responsibility to know how to evacuate in the event of an emergency. It is the responsibility of each person to be aware of all possible obstructions to entry and exit routes, to plan and escape path and to note the location of fire extinguishers before starting work. This will save time in the event of an emergency. Subcontractors must have a current list of names his/her employees at all times to be able to account for everyone. 8 Subcontractor Payment Procedure PAYMENT PROCEDURE: GoFixxIt would like to outline for you our payment procedure in order to assist the payment process. Invoice: In order to allow for quick and easy payments we ask that all subcontractors submit an invoice for the work performed up to the date of the invoice. Invoice must state the invoice number, project name, date of work, date of deliveries; original contract amount and the amount requested that this time. GoFixxIt will not be required to provide payments without a written record or request with and invoice number issued from the requesting company. GoFixxIt requires the signing of a Waiver of Lien at the time of each payment. No other checks will be distributed until we receive the signed paperwork from the previous month or requisition for payment. Upon the completion of the project, there will be a final release to be signed to relinquish any obligations to this job. Project photos and project notes maybe required as part of the requisition of payment to ensure all work has been completed. Detail of work performed and proper warranty paperwork will be required to be submitted to GoFixxIt. Product brochures and manufacture specifications will need to be turned over to GoFixxIt at time of installation. Any rebates and or paperwork critical to equipment will be required to be provided at time of final release. All work will need to be inspected and signed-off from a GoFixxIt reprehensive to ensure proper work has been completed and the subcontractor has obeyed all building code and manufactures requirements. All invoices need to be submitted to GoFixxIt in order to be included in our requisition for payment to the owner. Payment on all work that is signed off and approved from a GoFixxIt reprehensive will be paid within business days of submission of all proper paperwork.
