1 Contest Rules AIR MILES NBA All-Star 2017 Trivia Contest (the Contest ) NO PURCHASE OR USE OF MILES IS NECESSARY The Contest is open only to Canadian resident AIR MILES Collectors who are 18 years of age or older. See Rule 2 below. 1. Contest Sponsor: LoyaltyOne, Co. doing business as AIR MILES or the AIR MILES Reward Program (the Contest Sponsor ), 438 University Ave, Suite 600, Toronto, Ontario, M5G 2L1. 2. Eligibility: The Contest is open only to Canadian resident AIR MILES Collectors (a Collector ), who are at least 18 years of age or older at the time of entry, except employees, representatives and agents of the Contest Sponsor, its affiliates and their respective advertising and marketing agencies, Contest administrators, judges and persons domiciled with any of the above, and The National Basketball Association (the NBA ), the NBA Member Teams, NBA Media Ventures, LLC, NBA TV, LLC, and NBA Properties, Inc. (collectively, the NBA Entities ). The Collector is the individual in whose name the Collector Number has been established with or, in the case of a Business Collector, the principal associated with the Business Collector Number, as determined by the Contest Sponsor. Canadian residence will be determined by the mailing address associated with the Collector Number. If you are not already an AIR MILES Collector you may become one by enrolling at Online access and an account is required to participate in this Contest. Many public libraries, retail businesses and others offer free access to computers and a number of Internet service providers and other companies offer free accounts. 3. Agreement to Contest Rules: By participating in the Contest, you fully and unconditionally agree to and accept the Contest Rules and the decisions of the Contest Sponsor and its contest administrators and judges, which are final and binding in all matters related to the Contest. 4. Contest Period: The Contest begins at 7:00p.m. on January 21, 2017 and ends at 8:00p.m. on January 21, 2017 ( Contest Period ). All times refer to Eastern Time ("ET") throughout the Contest. 5. How to Enter: An entrant will receive one (1) entry when he/she registers to play the Contest by completing the online registration available from January 10, 2017 at

2 (the Website ) and agreeing to the Contest Rules by checking the appropriate box ( Original Entry ). The address and Collector Number that the entrant provides for successful registration must be valid and active during the Contest Period and the password must be between five (5) and thirteen (13) characters. Upon successful registration, the entrant will become a registered user ( Registered User ). Limit one Registered User registration per Collector Number. On any subsequent visit to the Website, a Registered User can log in using the address and password provided upon registration. The leaderboard on the Website will display Registered Users total number of points accumulated by correctly answering the NBA trivia questions. The total number of points displayed may not be completely current due to time-delay. The total number of points accumulated and the correct responses to any trivia questions will be based solely on the records and systems of the Contest Sponsor, including in the event of any discrepancy on the leaderboard. How to Play for Trivia Question Points: A Registered User must visit the Website and quickly answer trivia questions about the NBA to earn points for a chance to win the Prize (defined below). A Registered User will be asked a total of 50 trivia questions within the Contest Period and will be given a certain amount of points based on how quickly they can get the correct answer. The faster a Registered User answers a question, the more points that Registered User will be awarded. All questions are worth the same amount of points, with time being the determining factor on how many points that Registered User gets per trivia question. Entry Limits and Odds: Entries mechanically reproduced or made in any fashion other than as set out in these Contest Rules are void and will not be entered into the Contest. Contest Sponsor is not responsible for lost, late, misdirected, not received or incomplete transmissions of answers to questions or registration details. All entries/submissions become the property of Contest Sponsor and in no case shall be returned to sender. All Registered Users are subject to verification at any time and for any reason. The Contest Sponsor reserves the right, in its sole and absolute discretion, to require proof of identity and/or eligibility (in a form acceptable to the Contest Sponsor including, without limitation, government issued photo identification) for the purposes of verifying an individual s eligibility to participate in this Contest and/or for any other reason the Contest Sponsor deems necessary, in its sole and absolute discretion, for the purposes of administering this Contest in accordance with

3 these Rules. Failure to provide such proof to the satisfaction of the Contest Sponsor in a timely manner may result in disqualification in the sole and absolute discretion of the Contest Sponsor. The sole determinant of the time for the purposes of a valid Entry in this Contest will be the Contest server machine(s). There is a limit of one (1) Original Entry per Collector Number during the entire Contest Period, regardless of the number of questions answered. The odds of winning will depend on the total number of eligible entries received during the Contest Period. The total number of points accumulated and the correct responses to any trivia questions will be based solely on the records and systems of the Contest Sponsor, including in the event of any discrepancy on the leaderboard. 6. Prize: There is one (1) prize (the Prize ) available to be won to the Registered User with the highest total number of points accumulated and the correct responses to any trivia questions based solely on the records and systems of the Contest Sponsor, including in the event of any discrepancy on the leaderboard at the end of the Contest Period. The Prize consists of the following elements: Round trip economy airfare for the confirmed winner (the Winner ) with his/her guest from the airport that is nearest to the Winner s residence in Canada, as determined by the Contest Sponsor at its sole discretion and departing on February 17, 2017 to New Orleans, Louisiana; Airport transfer from destination airport to New Orleans hotel and return for the Winner and his/her guest; Three (3) nights accommodation (based on one (1) standard room with double occupancy) for the Winner with his/her guest at a hotel in New Orleans, Louisiana to be chosen by the Contest Sponsor at its sole discretion; Two (2) ticket packages that include tickets to the 2017 NBA All-Star Game, NBA All- Star Saturday Night, NBA All-Star Celebrity Game and Fan Event for the Winner with his/her guest in New Orleans, Louisiana; and One (1) pre-loaded MasterCard with CDN $500 spending money for the Winner. The pre-paid credit card is subject to the terms and conditions of the issuer. The total approximate retail value of the Prize is CDN $20,000. The Prize is subject to certain restrictions: Winner and his/her guest must be a minimum of 18 years of age to participate in the Prize. Winner and his/her guest must agree to having their NBA All-Star weekend experience filmed and/or photographed and used for marketing purposes, as set out in

4 the Prize Acknowledgement Form and Release. Prize must be taken as offered and is neither transferable nor redeemable for cash, credit or alternative prizes, except in Contest Sponsor s sole discretion. Prize cannot be sold and in the event that it is sold, the Prize will be void. Contest Sponsor reserves the right to substitute the Prize with a prize of equal or greater value, including cash. No credit or reimbursement will be provided if Prize is not taken. Prize cannot be combined with any other promotional offer or offers provided by the flight carrier or the Contest Sponsor. All travel related to the Prize must occur in a manner that is consistent with the scheduled date of the 2017 NBA All-Star Game unless the NBA Entities substitute alternate dates (otherwise the Prize will be forfeited in its entirety). Winner and his/her traveling companion must originate at the same airport and travel on the same itinerary for both the outbound and inbound flights. Travel will originate from the major Canadian gateway closest to the Winner s residence as determined by Contest Sponsor. The Winner and his/her traveling companion are responsible for arranging and obtaining all necessary international travel documentation (e.g. passports, VISAs, etc.), as required and Contest Sponsor is not responsible if the Winner and/or traveling companion are unable to enter and/or exit the United States. No changes to travel dates or passenger names are permitted once a booking has been confirmed. Winner and his/her traveling companion are responsible for transportation to and from the gateway airport and all other expenses not stated as included herein. Prize is governed by laws, regulations, international conventions, flight carrier s tariffs and conditions of carriage. Other restrictions may apply. It is strongly recommended that travel insurance be purchased by the Winner and his/her guest at time of reservation as a measure of added protection. None of flight carrier, Contest Sponsor nor NBA Entities shall assume any responsibility of any nature whatsoever for any delay, postponement, suspension, rescheduling or cancellation of the Prize or any portion of the Prize, for any reasons whatsoever including, but not limited to, weather conditions, equipment breakdown or failure, of any flight(s), train(s), event(s), exhibit(s), concerts, attraction(s) or accommodation(s) and the Winner and his/her guest are not entitled to be compensated in the event of such delay, cancellation or other event described herein. Travel arrangements are to be made by LoyaltyOne Travel Services, CO./Voyages LoyaltyOne, Co., (Ontario license # ; Quebec license #701299; and B.C. license #3308). Winner and his/her guest are responsible for all expenses other than those included in

5 the Prize. Any costs or expenses, including other meals, insurance, airfare, train fare, transportation costs, accommodation, transfers, gas, tips, taxes, fees, merchandise, souvenirs and incidentals not specifically identified in these Contest Rules as part of the Prize are the responsibility of the Winner and his/her guest. Winner and his/her guest must be able to attend on dates indicated above to be eligible for the Prize. No compensation will be provided for failure by the Winner to claim or use any portion of the Prize within any expiry periods applicable thereto nor if the Winner fails to accept the Prize as awarded. In case of cancellation, for any given reason, the Prize will be forfeited. Other restrictions may apply. 7. Winner Selection: The Winner will be the Registered User with the highest accumulated points and the correct responses to any trivia questions on the Website leaderboard as determined in accordance with these Contest Rules. The Winner will be determined based solely on the records and systems of the Contest Sponsor, including in the event of any discrepancy on the leaderboard on or before Monday, January 23, 2017 at 2:00p.m. and if necessary, in the event of a tie, two prizes will NOT be awarded. A tie will be broken by a random drawing to be held on Monday, January 23, 2017 at 2:00p.m. in Oakville, Ontario from among the tied and qualified entries received during the Contest Period, by an independent judging organization whose decisions will be final and binding. In order to be declared the Winner, the selected entrant must be an AIR MILES Collector and must first correctly answer, unaided, a time-limited mathematical skill-testing question to be administered at a pre-arranged time by telephone and otherwise comply with the Contest Rules. The Contest Sponsor or its representatives will make reasonable attempts to contact the selected entrant at the address and/or telephone number(s) recorded in respect of his/her Collector Number and/or indicated on the entry, as the case may be. If a selected entrant cannot be contacted or has not responded within three (3) days of the date when contact was first attempted, is not eligible in accordance with these Contest Rules, does not correctly answer the mathematical skill-testing question or otherwise comply with these Contest Rules, then the selected entrant is disqualified and will not receive the Prize and another entrant may be selected. A selected entrant must sign and return to the Contest Sponsor within three (3) days of receipt a Prize Acknowledgement and Release Form, which includes a standard declaration of compliance with the Contest Rules and release form in order to be awarded the Prize and releasing the Contest Sponsor, the NA Entities, their affiliates and related third parties, advertising and promotional agencies, the Contest Sponsor, and each of their respective shareholders, directors, officers, employees, agents, dealers, representatives, successors and assigns (collectively the Released Parties ) from any liability in connection with this Contest, your participation therein and/or the awarding and use/misuse of the Prize or any portion thereof. Failure to sign and return the Prize Acknowledgement and Release Form within three (3) days of receipt will result in forfeiture of the Prize and selection of another entrant. The guest of the Winner must also sign a release to participate in the Prize. The Prize will be delivered to the Winner on the dates and times prescribed in Section 6 after the Prize drawing.

General: The Contest Sponsor reserves the right to use the Winner s name, city of residence, comments, likeness, photograph, voice and statements without further compensation, in connection with any advertising and publicity carried out by or on behalf of the Contest Sponsor in relation to the Contest or the AIR MILES Reward Program, in any media throughout the world in perpetuity. By entering the Contest, the Winner and his/her guest agree to the publication, reproduction and/or other use of each their name, city of residence, statements about the Contest, and photograph or other likeness, without further notice or compensation, in any publicity or advertisement carried out by the Contest Sponsor or its advertising and promotion agencies in any manner whatsoever, including print, broadcast or on the Internet. For Québec residents, any litigation respecting the conduct or organization of a publicity contest in Québec may be submitted to the Régie des alcools, des courses et des jeux (the "Régie") for a ruling. For Québec residents, any litigation respecting the awarding of a prize may be submitted to the Régie only for the purpose of helping the parties reach a settlement. Subject to the jurisdiction in Québec of the Régie, the Contest Sponsor reserves the right, at its sole discretion, to substitute a prize with one of equal or greater value, to cancel, terminate, amend and/or suspend the Contest without prior notice at any time and for any reason including without limitation, if viruses, bugs, unauthorized human intervention, attempts to disrupt the Contest or other causes beyond the Contest Sponsor s control corrupt or affect the administration, security, fairness or proper play or conduct of the Contest. In no event will the Contest Sponsor be liable for more prizes (in quantity or amount) than that specified in the Contest Rules. The Contest Sponsor is not responsible for any technical, hardware, software or telephone failures of any kind, or lost or unavailable network connections or garbled or deleted computer network transmissions, or failed, incomplete, garbled, misdirected or lost entries or inaccurate capture of entry information, answers to questions or registration information, even if it limits the ability to participate in the Contest. Any entry that occurs after a system failure is deemed a defective entry and is void and will not be honored. The Contest Sponsor and NBA Entities are not responsible for any injury or damage to persons (including the Winner and his/her guest) or property arising from the Contest or Prize, or which may be caused, directly or indirectly, in whole or in part, from accessing or transmitting any material from regardless of whether the material was prepared by the Contest Sponsor or a third party or is connected to the Website by hyperlink. All entries must be received during the Contest Period. All entries and prize claims are subject to verification by Contest Sponsor and will be void if not obtained through legitimate channels, or if not original, or if obtained other than in compliance

7 with these Contest Rules. The Contest Sponsor will not accept screen shots or other evidence of winning or entry in lieu of its verification process. Proof of sending is not proof of receipt. All entries become the property of the Contest Sponsor and will not be returned. Online and entries must be made only by the original, manual keystrokes of the individual entrant. Use of any automated system including robotic or form filling software to enter or participate is prohibited and will result in disqualification of all entries by anyone using such assistance. The Contest Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest or to be acting in violation of these Contest Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, the Contest Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. The Contest Sponsor s failure to enforce any term of these Contest Rules shall not constitute a waiver of that provision. By entering this Contest, you hereby release and hold harmless each of the Released Parties from any liability, claim or damage (including but not limited to personal injury, bodily injury, disability, death, property damage and loss or damage of any other kind) arising directly or indirectly, in whole or in part, from or in connection with this Contest or participation in any Contest-related activities, or any breach of your representations and warranties, or any use, collection, storage and disclosure of personal information, or, if declared the Winner, the Prize (including any use or misuse of the Prize). You will hold all of the Released Parties harmless in the event it is discovered that you have departed from or not fully complied with any of the Contest Rules. This release and indemnity shall continue in force following the termination of the Contest and/or the awarding of the Prize. The NBA Entities and each of their respective parent companies, subsidiaries, affiliates, officers, directors, employees, governors, owners, distributors, retailers, agents, assignees, advertising/promotion agencies, representatives, and agents shall have no liability and will be released and held harmless from any claim, action, liability, loss, injury or damage, including, without limitation, personal injury or death to winner or any third party or damage to personal or real property due in whole or in part, directly or indirectly, by any reason, including the acceptance, possession, use or misuse of the Prize and/or participation in this Contest. By entering this Contest, each entrant expressly consents to the Contest Sponsor, its agents and/or representatives, storing, sharing and using the personal information submitted with his/her entry only for the purpose of administering the Contest and in accordance with these Contest
