1 WHAT IS THE C SPIRE CODING CHALLENGE: The C Spire Coding Challenge ( Coding Challenge or Promotion or C3 ) is a promotion event sponsored by C Spire, which will allow area high school students to use their coding abilities to compete for scholarship prizes while learning more about coding and information technology. Students in grades 9-12 at high schools in Hinds, Madison, and Rankin Counties may register for the C Spire Coding Challenge. The event will be held from 8:00 AM-8:00 PM, on April 13, 2017, at C Spire s corporate headquarters, located at 1018 Highland Colony Parkway, Suite 340, Ridgeland, MS This Promotion is sponsored by C Spire, 1018 Highland Colony Parkway, Suite 340, Ridgeland, MS The decision of C Spire management in their interpretation of the rules set forth in this Agreement is final. By participating in the Promotion, each Participant agrees to be bound by the decisions of C Spire s management and this Agreement. ELIGIBILITY: The Promotion is open to any properly registered high school student currently enrolled in a high school located within Hinds, Madison, and Rankin Counties, within Mississippi, and who is a legal resident of the United States. Teams should be accompanied by 1-2 faculty chaperones. Students and their faculty chaperone(s) are Participant(s). All students on a team must be from the same school. No purchase, C Spire device or contract, or payment of any kind is necessary to enter or win the Promotion. All Participants must properly complete the registration process and sign this Agreement, or if under the age of 18, have a parent or guardian sign. OBJECTIVE AND ASSIGNMENT: Teams may consist of 2-4 students in grades 9-12 from a high school within Hinds, Rankin or Madison Counties. C Spire team members will serve as mentors during the Coding Challenge. On the day of the Coding Challenge, teams will be given specific instructions on the activities in which they will participate. Participants may not tamper with or interfere with servers, networks, other teams, etc., in an attempt to influence the outcome of the activities. Any violation of this rule will disqualify a team. No harassment will be tolerated. If an Participant is harassed, notices that someone else is being harassed, or has any other concerns, please contact a member of the C3 staff immediately. Any violation of this rule will disqualify a team. SCORING: The team with the most points at the end of the Coding Challenge wins. The actual point value for each round may change. Points will be awarded based on three criteria: 1.) Completion of each activity successfully within the prescribed time limit. 2.) Fastest team to complete each activity, within the time limit. 3.) Code Review, in the judges sole discretion. To be awarded points, a team must have the required data for each activity recorded on the official server and not the training servers or any other servers. In the event of a tie, a final head-to-head activity between the tied teams will be held in a winner-take-all fashion. The tied teams will have 10 minutes before the tie-breaking activity to make final modifications. Judges will choose the virtual environment for this activity. The awarding of points and selection of winners will be decided by the judges in their sole discretion, and their decisions are final and may not be challenged. GENERAL BEHAVIOR AND CONDUCT: The intent of C3 is to provide an opportunity for high schoolers in our community to learn about coding, the careers that become available to those who have skills in

2 programming and information technology, and hopefully inspire them to explore opportunities they otherwise wouldn t have. All interactions and behaviors during C3 should help facilitate this goal. All parties associated with or participating in C3 are expected to behave in a professional manner. Every Participant is required to treat each and every person with dignity and respect. Inappropriate, offensive, foul, or harassing behavior, language, or gestures will not be tolerated. Any violation or perceived violation of the C3 Code of Conduct will result in a team s disqualification and requested departure from C3. All Participants in C3 are expected to maintain general good behavior and treatment of all other Participants, Mentors, Judges, Staff Members, and vendors. Participants may not engage in inappropriate behavior or language at any time. Participants may not engage in any behavior that is illegal or perceived to be illegal. Any violation will result in an immediate disqualification and requested departure from C3. All faculty chaperones of C3 teams are required to keep general supervision over their team s Participants. Any behavior from their team, or any other team at C3, that may be in violation of C3 s Code of Conduct should be stopped immediately and reported to a C3 Mentor, Judge, or Staff Member. All Chaperones are required to behave in a professional manner at all times and may not engage in inappropriate or generally offense behavior. At a minimum, all C Spire personnel serving as a Mentor, Judge, or Staff Member should act in a professional manner that is required on a daily basis. It is the mission of these C Spire personnel to fulfill their assigned duties to the fullest extent, while also doing everything they can to foster an environment of learning and competition. PRIZE. The Prize Winners will win scholarships in the following amounts: 1st Place--$3, scholarship per student, for a team of up to four students; 2nd Place--$1, scholarship per student, for a team of up to four students; and 3rd Place--$1,000 scholarship per student, for a team of up to four students. To be eligible to win the Prize, Participants must: (1) meet the Eligibility requirements of this Agreement (2) complete an Affidavit of Eligibility and Publicity Release. TUITION WILL BE PAID DIRECTLY TO THE UNIVERSITY OR COLLEGE UPON C SPIRE S RECEIPT OF APPROPRIATE DOCUMENTATION OF THE PRIZE WINNER S FULL TIME ENROLLMENT AT A UNIVERSITY OR COLLEGE, IN C SPIRE S SOLE DISCRETION. Each Winner may claim his or her prize for up to two years after he or she graduates high school. A Winner s failure to enroll at a full-time undergraduate school within two years of his or her high school graduation results in the Winner s forfeiture of the Prize. In the event such forfeiture occurs, the Winner shall have no right whatsoever to the Prize. The Prize is not redeemable for cash; nor is it transferrable or substitutable. C Spire s decision shall be final in all matters pertaining to the Prize. C Spire reserves the right, in its sole discretion, to disqualify, refuse to award a Prize, or select an alternate Winner in the event that (a) there is an inconsistency with the information listed on the Participant s entry; (b) the Participant fails to provide C Spire with satisfactory proof of age, identity, and residency and enrollment, or other necessary documentation necessary to demonstrate full time undergraduate study at a university or college; (c) the potential Winner declines acceptance of the Prize; or (d) if in C Spire s determination, the potential Winner has not otherwise complied with these Official Rules. By participating, Participant agrees that C Spire s and their respective parent companies, affiliates, subsidiaries, service providers, and agencies, and their directors, officers, agents, employees, attorneys, and any other person or entity associated with such entities and/or promotion shall not be liable for any and all claims, damages, losses or injuries, including any third party claims, arising from or relating to, in whole or in part, this Promotion, including entry and participation in this Promotion and acceptance, possession, use or misuse of the Prize. Participant agrees that in the event of any third party claims, damages, losses or injuries, arising from or relating to this Promotion, Participant will indemnify and hold C Spire harmless from any and all such claims, damages, costs, and expenses (including the attorneys fees) related thereto. C Spire shall not be responsible for any technical malfunctions of the telephone network, computer online system, computer equipment, software, program malfunctions or other failures, delayed computer transactions or network connections that are human, mechanical or technical in nature, or any combination thereof, including any injury. LIMITATION OF LIABILITY. C SPIRE, ITS EVENT ORGANIZERS, MENTORS, JUDGES, AND OTHER EMPLOYEES OF THE ORGANIZATION, OTHER PARTICIPANTS, AND OWNERS AND RENTERS OF THE PREMISES USED TO CONDUCT THE EVENT SHALL HAVE NO LIABILITY OR OBLIGATION IN EITHER CONTRACT OR TORT, FOR SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND INCURRED BY PARTICIPANT, SUCH AS, BUT NOT LIMITED TO, CLAIMS FOR DAMAGES FOR PERSONAL INJURY, WRONGFUL DEATH, LOSS OF USE, LOSS OF ANTICIPATED PROFITS, LOST DATA OR OTHER INCIDENTAL OR CONSEQUENTIAL DAMAGES OR ECONOMIC LOSSES OF ANY KIND, ARISING OUT OF OR RELATED TO THE PROMOTION, IRRESPECTIVE OF WHETHER C SPIRE HAS BEEN NOTIFIED OF THE POSSIBILITY OF SUCH DAMAGES, WHETHER OR NOT CAUSED BY C SPIRE'S NEGLIGENCE, TO THE FULL EXTENT SAME MAY BE DISCLAIMED BY LAW.

4 PUBLICITY AND RIGHTS. By participating in the Coding Challenge, Participant represents, warrants and undertakes that the information contributed by Participant does not violate in any way the rights of any third parties, including, but not limited to, copyright, trademark and other intellectual property rights, and (iii) does not violate any applicable laws. Participant grants C Spire an everlasting, royalty-free, exclusive license to use, utilize, replicate, alter, adapt, modify, publish, broadcast, translate, produce derivative works from, distribute, present, play, sublicense and exercise all copyright and other intellectual property rights with respect to Participant s participation in this contest, or the information submitted by Participant and/or Participant s team (the Submission ), on a worldwide basis and/or include the Team Submissions in other works in any media now known or later created forever. Participant agrees and grants C Spire permission to make available and display/perform and otherwise the Submission in all media in perpetuity without compensation. Except where legally prohibited, submission of any entry into this Promotion constitutes permission for C Spire to use Participant s, Winner s and all persons appearing the Submission s name, photograph, likeness, voice, address (city and state) and testimonials, in printed, broadcast media or new media, in perpetuity, in any manner it deems appropriate in connection with promoting itself or this Promotion, without further compensation in connection with this Promotion or the Prizes awarded. Participant and Winner(s) agrees that this license includes the right for C Spire to make any such content available to other third parties for their broadcast, publication, distribution or use. Being a selected or featured Submission by C Spire on its website or social media properties does not guarantee selection as a winner. Participant understands that C Spire may create content similar or identical to the Submission and that Participant is not entitled to compensation by reason of C Spire s use of such similar or identical content. PRIVACY. Consistent with the Federal Children's Online Privacy Protection Act of 1998 (COPPA), C Spire will never knowingly request personally identifiable information from anyone under the age of 13 without requesting parental consent. C Spire will not collect or use information provided herein for any purpose except in the administration of this Promotion. MISCELLANEOUS. Liability for any applicable taxes imposed by any government, if any, on the Prize won is the sole responsibility of the winner of such Prize. C Spire shall not be responsible or liable to Participants for any losses, damages or costs incurred as a result of Participants entering the Promotion. By participating in the Promotion, each Participant agrees to release and hold harmless C Spire and the employees, officers, directors, shareholders, agents, representatives of C Spire, its parent companies, affiliates, subsidiaries, advertising, promotion, and fulfillment agencies, harmless from any and all losses, damages, rights, claims and actions of any kind in connection with the Promotion or resulting from acceptance, possession or use of the Prize, including without limitation, personal injury, death, and property damage, and claims based on publicity rights, defamation, or invasion of privacy.
