1 ALMA CertBALM Terms & Conditions REGISTRATION AND BOOKING In the following Terms and Conditions the ACT means ACT (Administration) Limited and ALMA means the Asset and Liability Management Association Limited. The Certificate in Banking and Asset Liability Management (CertBALM ) is a qualification administered by ALMA but is delivered operationally through ACT. 1. Registration with the ACT (creating an account) Before you book onto the CertBALM online and residential course or a CertBALM assessment ALMA and ACT require you to register to create an account and provide certain information about yourself to both ALMA and ACT. In doing this, you agree to: provide true, accurate, current and complete information about yourself as prompted by the relevant registration form; and maintain and promptly update the data we hold by logging into your account and updating via My profile. 2. Student membership of ALMA Anyone enrolling to study the CertBALM will be offered student membership of ALMA, the fee for which is included in the online self-study and residential course fee. Student members can attend meetings, courses and conferences organised by ALMA at member fee rates. If not already on the ALMA mailing list for the ALMA newsletter, they will be invited to join. 3. Booking the CertBALM online and residential course The CertBALM online and residential course can be booked via the booking form available on the ACT website at professional standards. You need to be registered with the ACT before you can do this as you will be required to log in or create your account to complete the form. When you submit an online and residential course booking form, your submission represents an offer to ALMA and the ACT to purchase the CertBALM online and residential course. Please note, the CertBALM residential course is compulsory so, in addition to completing the assessments, you must attend in order to achieve the qualification. On submission of the form you will receive an automated summary of your selection. ALMA and the ACT will accept your offer by entering your booking onto the ACT system and sending you an confirming that you have been booked together with information on starting your studies. Bed and breakfast for the residential course should be booked and paid for directly with the venue. You will be provided with information on how to book after your online and residential course booking has been processed. The bed and breakfast booking will be subject to the terms and conditions of the residential course venue.

2 4. Booking your assessment CertBALM assessment booking forms are available on the ACT website at professional standards. You need to be registered with the ACT before you can do this as you will be required to log in or create your account to complete the form. When you submit an assessment booking form your submission represents an offer to ALMA and the ACT to purchase the assessment you selected. On submission of the assessment form you will receive an automated summary of your selection. ALMA and the ACT will accept your offer by entering the booking onto the ACT system and sending you an confirming that you have been booked together with information on taking your assessment. Cancellation of an assessment Assessment fees are non-refundable and deferrals are only considered in exceptional circumstances. If you are unable to sit an exam or submit an assignment, you will need to rebook for the next available opportunity. Exceptional circumstances will be considered, contact the assessment team at If you are unable to sit an exam or submit an assignment based on medical reasons, a medical certificate must be supplied to the ACT Assessment team within 28 days after the assessment date. No other reasons (i.e. work related) will be accepted. These should be sent to assessment@treasurers.org. 5. Prices and sales taxes/vat Sales taxes (VAT, TVA etc) are charged at the applicable rate depending on the product and/or customer. Notice of new pricing will be given in advance, but ALMA and the ACT reserves the right to change prices listed without notice. 6. Payment An invoice for fees will be issued once your booking has been processed. ALMA payment terms are 30 days from the date of the invoice, and in any case the invoice must be paid before the start of the online and residential course/ your assessment(s), whichever the payment is for. If invoices for the course fees are not paid by the start of the course, you will not be given access to the learning materials. The course and residential fees are invoiced by ALMA whilst the E-Assessment fees are invoiced by the ACT.

3 LEARNING In the following Terms and Conditions the ACT means ACT (Administration) Limited and ALMA means the Asset and Liability Management Association Limited. ACT Learning Academy After booking onto the ALMA CertBALM online and residential course you will be given access to the ACT s Learning Academy. By using the Learning Academy you agree to these Terms and Conditions, if you do not agree to these terms, you cannot use the site. Whilst we make every effort to keep changes to the site to a minimum, ALMA and the ACT reserve the right to make any amendments to the terms and conditions at any time to reflect changes affecting our businesses, including but not limited to, changes in technology, payment methods and legal and regulatory requirements. By continuing to use this site you agree to accept any changes made to the terms and conditions. Course material will only be made available to students on the course start date and not before. 1.1 Ownership and intellectual property rights The Learning Academy site is owned by the ACT. With the exception of the CertBALM learning materials, the content provided on this site together with all materials provided for student learning including design, software, code, graphics, text documents and audio are owned by the ACT. The CertBALM learning materials are owned by ALMA. Nothing in the CertBALM learning materials, and no other content in whole or in part of the Learning Academy, may be copied, reproduced, uploaded, posted, displayed, or linked to in any way without the prior permission of ALMA and or/the ACT, as appropriate. Any such use is strictly prohibited and will constitute an infringement of ALMA and/or the ACT s (as appropriate) intellectual property rights. 1.2 Mentoring service The mentoring service is provided for private and non-commercial use and for the exchange of lawful, relevant, fair and appropriate information, feedback and comment. Any other use of the is strictly prohibited. We reserve the right not to respond to any s that: are considered likely to disrupt, provoke, attack or offend others are racist, sexist, homophobic, sexually explicit, abusive or otherwise objectionable contain swear words or other language likely to offend break the law or condone or encourage unlawful activity (which includes breach of copyright, defamation and contempt of court) advertise products or services for profit or other gain are seen to impersonate someone else are written in anything other than English The use of such comments may lead to account suspension or termination.

4 2. CertBALM residential course 2.1 Ownership and intellectual property rights The CertBALM online and residential course learning materials are owned by ALMA. All intellectual property rights in all CertBALM materials, including the design, graphics and text of all printed materials are owned by ALMA. No CertBALM content may be copied, reproduced, posted, displayed or linked to in any way, in whole or in part, without ALMA s prior permission. Any such use is strictly prohibited and will constitute an infringement of ALMA s intellectual property rights. 2.2 Special requirements at the residential course The ACT and ALMA will make every effort to accommodate special requirements that have been notified in advance on the booking form. 2.3 Health and safety at the residential course You must comply with all health and safety rules and regulations and any other reasonable security requirements that apply at the premises at which the residential course is provided. 2.4 Invitation letters Should a participant require an invitation letter from ALMA, it is able to provide this as long as full payment of the workshop fee has been received. ALMA are not able to act on behalf of the participant and shall not be responsible for any costs incurred by failure to obtain a full visa. 2.5 Technology Neither the ACT nor ALMA warrants that the provision of any content online will always be available or be uninterrupted, timely or error free, that defects will be corrected or that such content is secure or free from bugs, viruses, errors and omissions. 2.6 Behaviour ALMA reserves the right to remove any delegate from a residential course whose behaviour is deemed inappropriate by ALMA or its tutors. This would result in no refund of fees or other costs being paid. 2.7 Tutors ALMA shall provide such tutors to present as it, in its sole discretion, deems fit and ALMA shall be entitled at any time to substitute any tutor with any other person who, in the ALMA s sole discretion, it deems suitably qualified to present the relevant workshop, webinar or podcast. 3. Cancellations, transfers, deferrals and substitutions 3.1 Cancellation of the CertBALM online and residential course The CertBALM residential course is compulsory so, in addition to completing the assessments, you must attend in order to achieve the qualification. Changing your mind after purchase: You may cancel the CertBALM online and residential course 14 days from the date of your booking unless you have already accessed your online learning material through the Learning Academy.

5 Once you have started your course: If you cancel the CertBALM online and residential course programme up to 28 days before the start of the first day of the residential course you will be entitled to a 50% refund. Thereafter no refund is due. Refunds will be processed within 28 days of receiving your request via bank transfer to the original payer. If you do not attend your residential course and do not notify us no refund will be granted. We will assume you have cancelled from the course and will no longer contact you. Please note, if you do cancel your place on the CertBALM online and residential course and have already booked bed and breakfast with your residential course venue, you will need to cancel your bed and breakfast booking directly with the venue. Any refund you are due for the bed and breakfast booking will be subject to the terms and conditions of the residential course venue. 3.2 Transfers/Deferrals Transferring your place on a CertBALM residential course Transfers from the specific residential course date and location are not normally permitted. In exceptional circumstances where such a transfer is allowed, a fee for the transfer will be charged. The fee will include any cancellation charges imposed by the residential course venue plus an administration fee of 50%. The total charge will be subject to sales tax where applicable Transferring (deferring) your online course access to a future cohort before you start your studies In exceptional circumstances ALMA will consider a request to defer your online studies to a future date. You will be asked to complete a special consideration application in order to request a deferral. These are usually only granted for medical reasons and evidence will be required. 3.3 Substitutions If a student wishes to stand down from their place and put forward a replacement, ALMA will charge a substitution fee of 100 per substitution. 3.4 Cancellation of a CertBALM residential course by ALMA ALMA reserves the right to cancel a residential course up to and including the day of the residential course in extreme circumstances. If ALMA has to cancel a residential course, the following will apply: ALMA will try to reschedule the residential course and will inform you of dates and location If ALMA is unable to reschedule the residential course or you are unable to attend the new dates, it shall offer you a 100% refund of the fee. Any travel costs incurred are entirely the delegate s responsibility. Neither the ACT nor ALMA accepts any liability for the reimbursement of travel costs. Refunds will be processed within 28 days of receiving your request via bank transfer to the original payer. September 2017
