1 I. General Requirements A. This bid is to furnish and deliver Microwave Communications equipment, as well as support for initial onsite installation utilizing Installation will be done by SFPUC. Installation locations: 1. Intake Radio Site, (IRS), N, W General Scope: One indoor rack with two hot standby radios and equipment. 2. Granite Portal Valve House, (GPVH), N, W General Scope: One outdoor rack with hot standby radio and equipment. 3. Canyon Portal Valve House, (CPVH), N, W General Scope: One outdoor rack with hot standby radio and equipment. 4. Poopenaut Pass, (PPP), N, W General Scope: One indoor rack with hot standby radio and equipment 5. O'Shaughnessy Dam, (OSH), N, W General Scope: One outdoor rack with hot standby radio and equipment. 6. Burn Out Ridge, (BOR), N, W General Scope: One indoor rack with hot standby radio and equipment 7. Tower 48S, (48S), N, W General Scope: Passive antenna repeater site, BOR/SF 8. South Fork Yard, (SF), N, W General Scope: One outdoor rack with hot standby radio and equipment B. Bidders shall also refer to Bid Sheets and Attachments A through D. C. All bids prices must be bid on the City and County of San Francisco's bid document. Ail attached forms must be completed and submitted with your bid package including Bid Unit and Extended prices. If there is a discrepancy between the Bid Unit Price and the Extended Price, the Bid Unit price shall prevail. Any incomplete bid package may result in the rejection of your bid. NOTE: Attachment D will show unit price, extended prices, and total extended prices for lines 1 through 10. The Total Extended prices for those lines must be placed on the City's bid sheets, on the corresponding bid lines 001 through 010. D. Approved equals may be accepted, true hot standby radio configuration required. 2 II. Manufacturing, Material, and Design Practices A. The components and parts shall be of the same manufacturer except for the three items listed on bid line 009. B. For any bids to be considered, all specifications listed must be of standard design model and not modified for bid purposes. Unit and all components submitted on bidder's bid must meet all FCC standards regarding manufacturing rules and regulations. III. IV. Bidder's Qualifications. If Bidder is not the manufacturer, Bidder must be a manufacturer's certified authorized dealer/distributor. Upon written request, bidder shall provide a copy of certification as an authorized dealer from the manufacturer (on manufacturer's letterhead) within three (3) working days from date of written notification. Failure to provide certification within requested time may result in rejection of bidder's bid. Manufacturer's Specifications and Standard Equipment A. Ail equipment must be equipped with all manufacturer's standard equipment, attachments, and accessories. B. All components listed as standard by the manufacturer for model quoted shall be furnished whether or not such items are detailed herein. C. All Bidder must note in writing any exceptions, additions, deletions or variations from the specifications as stated in this bid. V. Technical Specifications by Location A. Waveguide, with complete radio connection hardware for the radio, to be field installed by others. G. Common to All Sites 1. Rack and enclosure layout drawings, in ACAD format, with wiring details to be submitted before factory assembly. 2. Panels, or racks, shall be completely wired as delivered to HHWP. Note that remote I/O may need additional power supply. Note that 115VAC is required for the DC system and dehydrator, breakers are required. Minimum monitoring requirements include radio(s) trouble alarm, DC system trouble alarm, temperature, humidity and enclosure door open switch. 3. Bidder shall submit an antenna elevation study, for IRS, BOR and PPP, indicating azimuth and elevation to make sure existing antennas are not impacted by the new hops. 4. Ail path calculations must show the required capacity and % reliability. 5. Bidder shall include frequency coordination including the preliminary FCC application license and final FCC approved license documentation. VI. Warranty A. Copies of the warranty policy for all equipment shall be furnished with the bid. B. After acceptance ofthe components by the City, the initial manufacturer's warranty period will begin. 9/25/13 Page 5 of 8

Any defect because of workmanship or material or any other failure to meet the requirements of the specifications, including error or omission on part of the Supplier, which is disclosed within two years after delivery shall be corrected by the Supplier. All replacement parts and/or alterations as are found necessary to meet the requirements of the Specifications shall be furnished and installed by the Supplier entirely at his/her own expense. VII. Insurance. Prior to award, the successful bidder or bidders will be required to furnish evidence of insurance as follows: A. Without in any way limiting Contractor's liability pursuant to the "Indemnification" section of this Agreement, Contractor must maintain in force, during the full term of the Agreement, insurance in the following amounts and coverage: 1. Workers' Compensation, in statutory amounts, with Employers' Liability Limits not less than $1,000,000 each accident, injury, or illness; and 2. Commercial General Liability Insurance with limits not less than $1,000,000 each occurrence, $2,000,000 aggregate for bodily injury, property damage, contractual liability, personal injury, products and completed operations. 3. Commercial Automobile Liability Insurance with limits not less than $1,000,000 each occurrence Combined Single Limit for Bodily Injury and Property Damage, including Owned, Non-Owned and Hired auto coverage, as applicable. B. Commercial General Liability and Commercial Automobile Liability Insurance policies must be endorsed to provide: 1. Name as Additional Insured the City and County of San Francisco, its Officers, Agents, and Employees. 2. That such policies are primary insurance to any other insurance available to the Additional Insureds, with respect to any claims arising out of this Agreement, and that insurance applies separately to each insured against whom claim is made or suit is brought. C. Contractor hereby agrees to waive Workers' Compensation subrogation which any insurer of Contractor may acquire from Contractor by virtue of the payment of any loss. Contractor agrees to obtain any endorsement that may be necessary to affect this waiver of subrogation. The Workers* Compensation poiicy shall be endorsed with a waiver of subrogation in favor of the City for all work performed by the Contractor, its employees, agents and subcontractors. D. All policies shail provide thirty days' advance written notice to the City of reduction or nonrenewal of coverage's or cancellation of coverage's for any reason. Contractor shall maintain such coverage continuously throughout the term of this Agreement and, without lapse, for a period of three years beyond the expiration of this Agreement, to the effect that, should occurrences during the contract term give rise to claims made after expiration of the Agreement, such claims shall be covered by such claims-made policies. F. Should any of the required insurance be provided under a form of coverage that includes a general annual aggregate limit or provides that claims investigation or legal defense costs be included in such general annual aggregate limit, such general annual aggregate limit shail be double the occurrence or claims limits specified above. G. Should any required insurance lapse during the term of this Agreement, requests for payments originating after such lapse shall not be processed until the City receives satisfactory evidence of reinstated coverage as required by this Agreement, effective as of the lapse date. If insurance is not reinstated, the City may, at its sole option, terminate this Agreement effective on the date of such lapse of insurance. H. Before commencing any operations under this Agreement, Contractor shall furnish to City certificates of insurance and additional insured policy endorsements with insurers with ratings comparable to A-, VIII or higher, that are authorized to do business in the State of California, and that are satisfactory to City, in form evidencing all coverage's set forth above. Failure to maintain insurance shall constitute a material breach of this Agreement. I. Approval of the insurance by City shall not relieve or decrease the liability of contractor hereunder. J. If a subcontractor will be used to complete any portion of this agreement, the Contractor shall ensure that the subcontractor shall provide all necessary insurance and shall name the City and County of San Francisco, its officers, agents and employees and the Contractor listed as additional insured's. VIII IX. Performance Bond The successful bidder will be required to furnish a performance bond on the form furnished by City, in a sum of not less than 100 % (percent) of the amount of the contract to guarantee the faithfui performance of this contract. The bond must be approved as to sufficiency and qualifications of the surety by the Controller. The bond must be renewed annualiy for multi-year contracts. Failure to Execute Contract. Within ten days of the receipt of a notice of award, the bidder to whom the contract is awarded shall delivery the specified insurance certificates to City. If the bidder fails or refuses to furnish the required insurance within ten days after receiving notice from, 9/25/13 Page 7 of 8

8 may, at its option, determine that this bidder has abandoned its bid. Thereupon the tentative award of said contract to this bidder should be cancelled and rejected as "non-responsive". X. Delivery A. FOB Destination. City and County of San Francisco Hetch Hetchy Water and Power Jet Hwy 49 and 120 Moccasin CA, Delivery will be between the hours of 8:00 AM and 2:00 PM B. Once awarded the successful bidder must ensure delivery before March 31, The Performance Bond requirement, shown in section VIII is being requested to ensure that timely delivery will be met. C. All equipment shall be boxed, crated, or otherwise completely enclosed and protected during shipment, handling, and storage. All equipment shall be protected from exposure to the elements, shall be kept dry at all times, and shah not be exposed to adverse ambient conditions.
