1 Dealer Requirements: 2015 Dealer Program You must provide a copy of your tax number. You must provide photos of you location both inside and out. You must provide at least 3 other manufactures or distributors that you currently purchase from. You must provide 2 credit references. The program will require an initial buy in of $10, prepaid of Speedtech manufactured product of your choice excluding the ExtReme full frames. You must maintain yearly sales of $10, in order to continue to receive Dealer status and pricing. All purchases will be prepaid via Visa, MasterCard, Discovery or wire transfer. With your commitment to Speed Tech we will in turn. Provide accurate delivery time of product. Provide sales support Provide catalogs for you to distribute Provide decals to hand out. List you as a dealer on the Speedtech web site. Ability to purchase other product lines at jobber pricing. All products are shipped FOB St. George, Utah and/or drop shipped from a vendor partner. 2 TERMS Must be pre-paid using Visa, MasterCard, Discovery, or Wire Transfer. Accounts with invoices past due will be placed on a credit hold and a finance charge of 2% per month will be applied to the outstanding balance; also no further orders will be processed or shipped until outstanding balance is paid. No reduction or credit may be taken for any reason unless a credit memo has been issued by Speed Tech. Damaged shipment / shortages Title passes to the purchaser from Speedtech at the time of shipment. Any damage or shortage must be claimed against the carrier at the time of delivery. If a shortage is found within the shipment and there is no damage to the shipment then it must be reported to Speedtech in writing (Fax or ) within 5 business days or receipt of shipment and must include invoice #, date of invoice, date of shipment, part # and Carton count. Discounts All discounts are based on the Dealer agreement and must meet the buy-in and yearly sales figures. Speedtech reserves the right to adjust your discount based on yearly sales. Drop Shipments Some products may be drop shipped from other suppliers. There may be a drop ship charge of up to per shipment. Any drop shipments that are refused will be charged a 20% restocking fee as well as any and all shipping costs. Freight All shipments are shipped prepaid. Speedtech will ship via our regular carrier, UPS Ground. Any palletized freight will need to be quoted. Returns All returns must be approved by Speed Tech and must have a RGA # assigned to it. All returns must be shipped prepaid; any collect shipments will be refused. All products must be in new and sellable condition, no credit will be issued until the product is inspected. If it is deemed that the product is not in new condition it will be returned freight collect. Page 2 of 5

3 Warranty / Disclaimer Speedtech Performance USA LLC warrants that the product will be free from defect in material and workmanship for 1 year from date of purchase. Speedtech Performance USA LLC makes no other warranties of any kind expressed or implied. Speedtech Performance USA LLC shall have no obligation under the forgoing warranty where the defect is the result of improper or abnormal use or; your negligence, vehicle accident, improper or incorrect installation or modification or lack of maintenance, when the product has been repaired or altered in any way. Speedtech Performance USA LLC liability in the case of defective products subject to the forgoing warranty shall be limited to the repair or replacement at Speed Techs option of the defective part. Consequential or incidental damages are not recoverable under this warranty. In order to be eligible for service under this warranty you must return the defective part to Speedtech along with RGA # and an explanation of the defect. After inspection Speedtech will determine if the part is eligible for repair or replacement. All warranty shipments must be prepaid. The buyer understands and recognizes that racing parts, specialized street equipment, and all products sold by Speedtech are exposed to varied conditions due to the manner in which they are installed and used. Speed Tech Performance shall bear no liability for loss, damage or injury, either to person or to property, resulting from the direct or indirect use of any Speed Tech products or inability buy the buyer to determine proper use or application of Speedtech Performance products. Speedtech Performance USA LLC shall not be liable for any claims, demands, injuries, damages, actions, or causes or action whatsoever to buyer arising out of or connected with the use of any Speedtech Product. 5 CERTIFICATE OF EXEMPTION (If exempt, please complete Tax Exemption information below) The Undersigned hereby certifies that the tangible personal property purchased from Speed Tech Performance (STP) is for the purpose of resale. The undersigned agrees to pay the applicable sales tax due in the event any or all purchases made hereunder should be determined to be taxable. Purchaser: Tax Exempt No: FINANCIAL RESPONSIBILITY I attest to my financial responsibility and ability and willingness to pay STP for all purchases made by me from STP to STP stated terms. Unless otherwise mutually agreed upon in writing. STP stated terms are: The balance due in full at the time of ordering merchandise. I agree that, in the event of legal action instituted to collect any unpaid balance due Dealer will pay all cost of collection, court cost and reasonable attorneys fee incurred by STP as a result of said legal action. I further agree that, in the event any check for payment on any/our accounts is returned unpaid for any reason, STP is authorized to assess a Returned Check Fee in the amount of $25.00 and to debit my account of said fees, in accordance with applicable provincial or state law. I further authorize STP to investigate my credit worthiness and to obtain reports from my credit reporting bureaus.
