1 REQUEST FOR QUALIFICATIONS/PROPOSAL Infrastructure Investment and Financing Strategy Community Facility District ( CFD ) Formation For the City of Menifee PROPOSAL DUE: June 14, 2013 SUBMIT QUALIFICATIONS/PROPOSAL TO: City of Menifee, Haun Road, Menifee, CA Attn: Kathy Bennett, City Clerk REQUEST FOR QUALIFICATIONS/PROPOSAL (RFQ/RFP) The City of Menifee ( City ) invites qualified consulting teams with experience in the formation and implementation of Mello-Roos Community Facilities Districts (CFD) to submit a written response to this request for Qualifications/Proposal ( RFQ/P ) for the formation of a CFD related to the Regent Properties/Town Center project. While the initial proposal will focus on the formation of a CFD for this project, the district may be expanded at a later date to encompass other projects within the City. This request may result in contracting with an experienced Financial Consultant for the exciting opportunity to work with City staff and the community in forming a Community Facilities/Financing District ( CFD ) that will establish a financing mechanism for future improvements and maintenance within the City of Menifee.

2 BACKGROUND The City of Menifee incorporated October 1, 2008 and operates under Council/Manager form of government. Five City Council Members serve as the legislative governing body. The Mayor is appointed by the City Council. The City of Menifee is located within Riverside County, and shares common boundaries with the City of Murrieta, City of Wildomar, City of Canyon Lake, City of Perris and unincorporated Riverside County. The City is approximately 56 square miles in area. The current population is approximately 80,589 residents. The Town Center Specific Plan, approved by the City in April, 2011, is designed to allow the development of a master planned community comprised of complimentary commercial, recreational, civic, residential and educational land uses. The Specific Plan envisions development at a scale, mix, intensity and design that departs from the typical suburban residential development proposed under the original Countryside Specific Plan No The central location of the project and its proximity to Countryside Marketplace provides a unique opportunity to establish a landmark place to serve as the City's future center of activity. The Specific Plan covers approximately 168 acres located at the southwest corner of Newport Road and Haun Road. The Specific Plan establishes three land use categories: Mixed Use (113 acres): allows a mix of civic, office, retail, service, restaurant, hospitality, open space/park and residential uses with densities ranging from 5 to 36 dwelling units per acre, including live/work or senior housing, to create a lively and dynamic urban center; Office/Commercial (12 acres): permits a mix of office, retail, service, restaurant and hospitality uses adjacent to the existing Countryside Marketplace; and Residential (33 acres): permits exclusively residential with densities ranging from 5 to 24 dwelling units per acre with a target density of 10 dwelling units per acre to allow a transition from the existing residential neighborhoods to the west to the more dense mixed use core. Functions of the CFD will include landscape maintenance, street sweeping, water quality basin maintenance, as well as park improvements and maintenance, street lighting and traffic signals. It is likely that future developments may be annexed into this CFD, and may require these functions as well as others. It is expected that the successful Consultant will have the necessary background to advise the City on how to handle the financing of functions related to future developments.

3 ANTICIPATED SCOPE OF WORK This activity will develop the information necessary for the formation of one of more CFD s to assist with the costs of maintenance, improvements, and related services, including supplemental information that may be required during the formation process. The successful applicant shall have the resources and experience to guide the City through the CFD formation process and will be expected to complete the following tasks. Task 1: Initial Special Tax Analysis and Cost Allocation to Land Uses Review cost assumptions for improvements and services required to facilitate the desired improvements and maintenance tasks, and develop a cost allocation methodology and analysis of the total tax burden for land uses. Task 2: Public Service Cost Analysis and Cost Allocation A comprehensive review and fiscal analysis of public service costs associated with park improvements would be performed and a cost allocation, if any assigned to the property on a per share basis. A review of special tax rates generally accepted within the regional market will be conducted. To the extent that appropriate special tax rates are not sufficient to fund all maintenance costs, an alternative special tax allocation between improvements and service provision will be provided. Task 3: Communications/Stakeholder Meeting At least two meetings with stakeholders will be needed in order to keep stakeholders apprised of the progress being made on the formation process. Additional communications are expected to be provided through memos, e-newsletters, or other means to be determined and agreed upon. Please suggest such methods in your proposal. When formation becomes imminent, informational flyers should be prepared and disseminated, including tables for City and public review regarding the recommended tax program. Task 4: Prepare Special Tax Formula Under this task, the Rate and Method of Apportionment of the Special Tax that defines the special tax program approved under Task 1 would be prepared. The recommended Special Tax Formula will be distributed to the City, Financing Team, and Public for

4 feedback. Based on input from all parties, a final version of the Special Tax Formula will be prepared. Task 5: Documentation and Reports Documentation needed for the adoption of a Resolution of Intention to form a CFD will be prepared. All documents (except for legal documents such as ordinances and resolutions) needed for formation of a CFD will be provided as well as draft staff reports for City Council action. Task 6: Attendance at All City Council Meetings Attendance at a minimum of two City Council meetings is required. For your planning purposes, regular meetings are held on the 1 st and 3 rd Tuesdays at 7pm each month. Task 8: Final Report The final written report will present the results of each task and the final recommendations/actions. The various documents prepared during the activity will be included in the Final Report. PROPOSAL REQUIREMENTS a. Cover letter expressing interest. b. Three copies of the RFQ/P and one electronic copy. c. List of the Consultant s team and their related experience. d. A timeline including a detailed list and description of costs of each task, including a breakdown of any components; hours assigned to each team member, their resumes and billing rate. e. Any duties that the City of Menifee would be expected to complete. f. The total amount of compensation, which the Consultant proposes to the City of Menifee. Fee proposal should be submitted in a separate sealed enveloped. g. A list of the most recent projects for which the Consultant has performed similar services of similar size, scope, and complexity. h. Consultant shall be able to provide certificates of insurance as described below, if selected.

5 STANDARD TERMS AND CONDITIONS a. The City of Menifee reserve the right to reject any and all proposals, to consider alternatives, to award the contract to a Consultant by sections, to waive any formalities and irregularities, and to re-solicit proposals. b. The City of Menifee reserves the right to conduct investigations of and hold discussions with those who have submitted qualifications or with other entities, as they deem necessary to assist in the evaluation of any proposal or to secure maximum clarification and completeness of proposal. c. All proposals submitted must be valid for a minimum period of sixty (60) days after the date of the proposal opening. Each Consultant must submit with the proposal a list of all subcontractors, independent contractors or sub consultants employed or proposed to be employed by the Consultant in the performance of the contract. d. The City of Menifee reserves the right to select the most responsible and responsive proposal that they find to be within the best interests of the City, or to choose to not select any of the applicants. e. The City of Menifee makes no guarantees to any Consultant until such time as the City approves the negotiated contract. f. The City of Menifee assumes no responsibility for payment of any expenses incurred by any Consultant as part of the Request for Proposal process.

6 INSURANCE DOCUMENTATION The City requires that the Consultant provide and maintain policies of insurance. All Consultants must provide original Certificate of Insurance evidencing their insurance coverage. o Consultant, at its own cost and expense, shall maintain commercial general and automobile liability insurance for the term of this Agreement in an amount not less than ONE MILLION DOLLARS ($1,000,000.00) per occurrence, combined single limit coverage, for risks associated with the work contemplated by this Agreement, TWO MILLION DOLLARS ($2,000,000.00) general aggregate, TWO MILLION DOLLARS ($2,000,000.00) products/completed operations aggregate. o Consultant shall, at its sole cost and expense, maintain Statutory Workers' Compensation Insurance and Employer's Liability Insurance for any and all persons employed directly or indirectly by Consultant. The Statutory Workers' Compensation Insurance and Employer's Liability Insurance shall be provided with limits of not less than ONE MILLION DOLLARS ($1,000,000.00) per accident, ONE MILLION DOLLARS ($1,000,000.00) disease per employee, ONE MILLION DOLLARS ($1,000,000.00) disease per policy. In the alternative, Consultant may rely on a self-insurance program to meet those requirements, but only if the program of self-insurance complies fully with the provisions of the California Labor Code. Determination of whether a self-insurance program meets the standards of the Labor Code shall be solely in the discretion of the Contract Administrator. The insurer, if insurance is provided, or the Consultant, if a program of self-insurance is provided, shall waive all rights of subrogation against the City and its officers, officials, employees, and authorized volunteers for loss arising from work performed under this Agreement. Interviews are anticipated to be held during the week of June 24-28, 2013 but may not be held if the City feels it has enough information from the submittals to make a decision. It is noted that this RFQ/P is not an offer of contract for services. The City reserves the right to select a firm and negotiate the future contract for services to form a CFD based solely on a qualifications submittal. QUESTIONS?
