A PURCHASE, PAYMENT OR FINANCIAL DISCLOSURE WILL NOT INCREASE YOUR CHANCE OF WINNING. ELIGIBILITY: The QuickBooks Online For the Win Sweepstakes (the Sweepstakes ) is open to: legal residents of the 50 United States and the District of Columbia who (i) are 18 years of age or older at time of entry and (ii) have a QuickBooks Online account (the Entrant ). Employees of Intuit Inc. (the Sponsor ), its parent company, affiliates, subsidiaries, advertising agencies, prize suppliers, mobile app solutions, Marden-Kane, Inc. and the immediate families (spouse, parents, children, siblings and their respective spouses), and individuals living in the same household as such employees are not eligible to enter or win a prize. Sweepstakes is subject to all applicable federal, state and local laws. Void in Puerto Rico and where prohibited by law. ENTRY PERIOD: The Sweepstakes (the Sweepstakes ) begins on April 2, 2018 at 12:00:00 a.m. Pacific Time ( PT ) and ends on April 30, 2018 at 11:59:59 p.m. PT (the Sweepstakes Period ). For purposes of this Sweepstakes, a day is defined as a 24-hour period, beginning at 12:00:00 AM PT and ending at 11:59:59 PM PT. The Sponsor s computer, or that of its designee, runs the official clock for the Sweepstakes and will solely determine the time by which an entry is received. HOW TO ENTER: There are two (2) ways to earn entries into the Sweepstakes: 1 - Download an application ( app ): Download one or more of the participating third-party mobile applications available in Quickbooks Online at [describe where these are available] ( App ), add it to your QuickBooks Online account, and complete the entry from on the Sweepstakes landing page. You will receive one (1) entry into the Sweepstakes for each App connected. 2 - Mail-In Entry: Hand-print your name, address, city, state, zip code, daytime phone number, and address (mandatory) on a plain 3 x5 piece of paper, place in a stamped envelope and mail to: QuickBooks For the Win Sweepstakes, P.O. Box 698, Syosset, NY Mail entries must be postmarked by April 30, 2018 and received by May 4, Limit of one entry per mailing envelope. Envelopes containing multiple entries will be disqualified. Sponsor is not responsible for lost, late, damaged, delayed, destroyed, misdirected, incomplete, illegible, mutilated, or postage due mail. Photocopies, mechanically reproduced, forged or altered mailed entries and facsimiles are void. Incomplete or illegible entries are not eligible. All entries become the property of the Sponsor and will not be returned. Limit: There is a maximum of five (5) entries per person for the entire Sweepstakes Period regardless of method of entry. Multiple addresses or phone numbers may not be used and anyone found to use multiple addresses or phone numbers to enter will be ineligible. Entrants are not permitted to share the same address or phone number. Any attempt by any entrant to obtain more than five (5) entries by using multiple/different addresses, phone numbers, or any other methods will void that entrant s entries and that entrant may be disqualified. Entries using macro, script or other forms of automatic entry will be disqualified. Incomplete or illegible entries are not eligible. All entries become the property of the Sponsor and will not be returned. No entries may be submitted on behalf of another person. PRIZES and ODDS OF WINNING: One (1) Grand prize winner: $5,000 cash and a 3 day/2-night trip for the winner to the QuickBooks Connect Conference. Winner must be available to travel on dates specified by Sponsor. Trip includes: One (1) ticket for the winner to QuickBooks Connect (November 6-7, 2018 in San Jose, CA); 3 night s single-room hotel accommodations; Round trip coach class airfare for the winner.; and Select meals provided while in attendance at the conference. Approximate Retail Value ( ARV ) of prize: $8, Winner may bring a guest with them at their own expense. Winner must be available to travel on dates specified or forfeit the prize. One (1) First prize winner: $5,000 cash and an Apple ipad. ARV of prize: $5, One (1) Second prize winner: $5,000 cash. RV of prize: $5, Total ARV of all prizes: $18, Cash portion of prize will be awarded as a check made payable to the winner.

2 Limit one (1) Prize per person. All details of prizes not specified herein shall be determined solely by Sponsor. Winners cannot assign or transfer a prize to another person. Except as provided herein, no prize substitution is allowed except at the discretion of Sponsor, who reserves the right to substitute a prize (or prize component) with one of comparable or greater value. If prize cannot be awarded due to circumstances beyond the control of Sponsor a substitute prize of equal or greater retail value will be awarded; provided, however, that if prizes are awarded but unclaimed or forfeited by recipient, prize may not be re-awarded, in Sponsor s sole discretion. By accepting prize, Winners acknowledge compliance with these Official Rules. The odds of winning a prize depend on the total number of eligible entries received. In no event will more prizes be awarded than those listed in these Official Rules. Additional conditions of Grand Prize Trip: Winner will forfeit trip portion of the prize if not available to travel on dates specified by Sponsor (currently planned for November 6-7, 2018; dates subject to change at Sponsor discretion). Winner, and guest, if winner will be travelling with one, will be required to complete a Travel Release Form, which must be returned within the time allotted. Winner, and guest if applicable, must possess and are responsible for obtaining and must have valid ID or other required documentation for travel. Winner is responsible for obtaining any travel insurance (and all other forms of insurance) that they may wish to obtain at their own expense and hereby acknowledges that the Sponsor has not and will not obtain or provide travel insurance or any other form of insurance. Grand Prize does not include any other incidentals not mentioned in these Official Rules such as, but not limited to, special seating assignments, baggage fees, alcoholic beverages, food, gratuities and tips, insurance, laundry service, merchandise, parking, room service, service charges, souvenirs and telephone calls. All other expenses not stated herein as part of the Grand Prize are the sole responsibility of the winner. Sponsor is not responsible if tickets, travel vouchers, certificates or other similar items are lost, stolen, or misplaced by Winner and will not be replaced or if booked transportations are missed, cancelled or delayed for any reason. Airline tickets issued in conjunction with the Grand Prize are not eligible for airline frequent flyer miles, and no code share flights may be used. The Grand Prize cannot be used in conjunction with any other promotion or offer. Winner must provide the hotel with a valid credit card for incidentals (including room service, mini-bar and pay-per-view television) and/or damages to the hotel room. Ground transportation to/from the Winner s home/departure airport and transportation in destination city are NOT included in the prize and are the responsibility of the Winner. Actual value of the trip depends on Winner s residence or departure city. Specifics of Grand Prize package is subject to availability and Sponsor s sole discretion. Complete terms and conditions of trip will be furnished with prize notification. Other restrictions may apply. Sponsor reserves the right to substitute ground transportation for air transportation if the Winner resides within one hundred fifty (150) miles of San Jose, CA. Winner is bound by the terms and conditions of all airlines, hotels and other third-party service providers used in connection with the Grand Prize. Winner will not receive cash or any other form of compensation if actual travel costs are less than the estimate made in these Official Rules. Reservations for the trip must be made through Sponsor or it's agent, on a carrier of Sponsor's choice and must be book by July 30, Other restrictions, conditions, and limitations may apply. RANDOM DRAWINGS: A random drawing to select the Winners will be conducted on or about May 4, 2018 from among all eligible entries received by the Sweepstakes Period end date. Drawing will be conducted by Marden-Kane, Inc., (the Administrator ), who is an independent judging organization whose decisions are final and binding in all matters relating to the Sweepstakes. WINNER NOTIFICATION AND VERIFICATION: Administrator will notify potential Winners by or phone at the address or phone number provided with the entry on or about May 4, Winners will be required to complete, sign, and return an Affidavit of Eligibility/Liability Release/Publicity Release (the Affidavit ) and an IRS Form W-9 and furnish his/her social security number that will be used only for the purpose of reporting the Winner s prize earnings to the Internal Revenue Service, as required by law. If a potential Winner is 18 or older, but a minor in his or her state of residence, the potential Winner s

3 parent or legal guardian must sign all required documents. Potential Winners must return completed form(s) within five (5) days of the date on the notification or the prize will be forfeited and awarded to an alternate potential Winner. Failure to timely return any documents requested, return of prize notification as undeliverable, or noncompliance with these Official Rules will result in such potential Winner being disqualified. Sponsor shall have no further obligation to that potential Winner, and an alternate Winner will be selected. CONDITIONS OF ENTRY: Use of any automated entry software is prohibited. Electronically reproduced, mechanically reproduced, illegible, incomplete or inaccurate entries are void. By participating, entrants agree to comply with these Official Rules including all eligibility requirements. In case of a dispute as to the owner of an online entry, online entry will be deemed to have been submitted by the authorized account holder from which the entry is made. Sponsor, American Express, Expensify, Bill.com, and/or Fundbox (collectively the Sweepstakes Partners ), mobile app solutions and their parent companies, affiliates, subsidiaries, divisions, advertising and promotion agencies, Marden-Kane, Inc., and all of their officers, directors, shareholders, employees, representatives and agents (collectively Releasees ) are not responsible for: (i) incorrect or inaccurate transcription of entry information, or for any human, typographical or printing errors, (ii) technical malfunctions, lost/delayed data transmission, omission, interruption, deletion, defect, line failures of any telephone network, computer equipment, software, inability to access any online service or web site, inability to submit the online enrollment form, or any other error or malfunction, or any injury or damage to entrant s or any other person s computer related to or resulting from participation or downloading any materials in this Sweepstakes, (iii) or for late, lost, stolen, illegible, damaged, incomplete, inaccurate, undelivered, delayed or misdirected entries for any reason including computer, telephone, paper transfer, or process any transaction thereon, or (iv) errors which may occur in connection with the administration of the Sweepstakes, the processing of entries, the announcement of the prizes or in any Sweepstakes related materials. Entry materials that have been tampered with or altered are void. If, in the Administrator s opinion, there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of this Sweepstakes, or if technical difficulties compromise the integrity of this Sweepstakes, the Administrator reserves the right to disqualify any individual (and void his/her entry and/or prevent him/her from future entry) who tampers with the entry process and/or who is acting in violation of these Official Rules and/or to modify or cancel or terminate this Sweepstakes, in whole or in part, at any time without notice and award the prizes in a random drawing from among all non-suspect eligible entries received as of the termination date. Caution: Any attempt by an entrant or any other individual to deliberately damage any online service or web site or undermine the legitimate operation of this Sweepstakes may be a violation of criminal and civil laws and should such an attempt be made, the Sponsor reserves the right to seek damages and/or other remedies from any such person to the fullest extent permitted by law. Sponsor s failure to enforce any term of these Official Rules shall not constitute a waiver of that or any other provision. Sponsor reserves the right to modify prize award procedures at their discretion. GENERAL CONDITIONS: By accepting a prize, Winners or, if a minor, their parent or legal guardian, consent to the use of his/her name, city/state of residence, photograph, visual and/or audio likeness for advertising or promotional purposes by Sponsor, and its designees, including but not limited to the posting of Winner s name on the Sponsor s or Sweepstakes Partners (American Express, Expensify, Bill.com, TSheets and/or Fundbox) websites, in a Winners List or other online announcements, without additional compensation, permission or notification except where prohibited by law. U.S. law governs this Sweepstakes. Notice to online Entrants: Internet access and usage charges applicable to an Entrant s account, including access charges and/or any usage charges applicable under Entrant s Internet pricing plan and any applicable taxes will continue to apply while an Entrant is online in connection with this Sweepstakes, and will be the sole responsibility of such Entrant. Prizes are awarded as is with no warranty or guarantee, either express or implied by the Sponsor. Prizes are not transferable, redeemable for cash or substitutable except by the Sponsor, who reserves the right to substitute a Prize (or portion thereof) for a prize of comparable or greater value, at its sole discretion. All Prize details not covered by these Rules are at the Sponsor s sole discretion. By entering the Sweepstakes and/or accepting the Prize you may win, Winners agrees that he or she has all rights, permissions and consents necessary to grant the rights to the Sponsor as expressed herein and will abide by and be bound by the Rules and the Sponsor s decisions.

4 LIMITATION OF LIABILITY AND RELEASE OF CLAIMS: BY PARTICIPATING IN THE SWEEPSTAKES, ENTRANTS AGREE TO RELEASE, INDEMNIFY AND HOLD HARMLESS ANY AND ALL RELEASEES FROM AND AGAINST ANY INJURIES, LOSSES, DAMAGES, CLAIMS, ACTIONS AND ANY LIABILITY OF ANY KIND RESULTING FROM OR ARISING FROM PARTICIPATION IN THE SWEEPSTAKES OR ACCEPTANCE, POSSESSION, USE, MISUSE OR NONUSE OF THE PRIZE (INCLUDING ANY TRAVEL OR TRAVEL-RELATED ACTIVITY THERETO) THAT MAY BE AWARDED AND/OR ACCEPTANCE, POSSESSION OR USE, MISUSE OR NONUSE OF THE MOBILE APP SOLUTIONS AVAILABLE WITH/FOR USE QUICKBOOKS ONLINE. Sponsor is not responsible for technical, computer, mechanical, printing, typographical, human or other errors relating to or in connection with the Sweepstakes, including, without limitation, errors which may occur in connection with the administration of the Sweepstakes, the processing of entries, the announcement of the prizes or in any Sweepstakes related materials; or for stolen, lost, late, misdirected, damaged, incomplete, inaccurate, undelivered, delayed or illegible entries or; for electronic, computer, or telephonic malfunction or error, fail to enter into the processing system, or are processed, reported, or transmitted late or incorrectly or are lost for any reason including computer, telephone, paper transfer, or process any transaction thereon. If in the Sponsor s opinion, for any reason this Sweepstakes is not capable of running as planned, or there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of the Sweepstakes, or if computer viruses, bugs, unauthorized intervention, fraud, or technical difficulties or failures compromise or corrupt or affect the administration, integrity, security, fairness, or proper conduct of the Sweepstakes, the Sponsors reserve the right at their sole discretion to disqualify any individual (and void his/her entry and/or prevent him/her from future participation) who tampers with the entry process and/or who is acting in violation of these Official Rules, to modify or suspend the Sweepstakes, or to terminate the Sweepstakes and at Sponsor s discretion conduct the drawing to award the prize using all eligible non suspect transactions and entries received as of the termination date. AS A CONDITION OF ENTERING THE SWEEPSTAKES, ENTRANTS AGREE THAT: A.) Requests must be received by May 15, GOVERNING LAW/JURISDICTION: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights, liability and obligations of Entrants or Releasees in connection with the Sweepstakes shall be governed by the laws of the state of California, without giving any effect to any choice of law or conflict of law rules. Any dispute shall be resolved in a court of law in Santa Clara County, California. DISPUTES: Except where prohibited, Entrants agree that: (1) any and all disputes, claims, and causes of action arising out of or connected with these Sweepstakes, or any Prize awarded, or the determination of the Winners, shall be resolved individually, without resort to any form of class, representative or collective action, and exclusively by arbitration pursuant to the rules of the American Arbitration Association, then effective. If Entrant cannot be bound to arbitration according to local laws, all disputes, claims, and causes of action shall be resolved individually, without resort to any form of class action, in an action in a State or Federal court located in San Francisco, California. All issues and questions concerning the construction, validity, interpretation and enforceability of these Rules, or the rights, liability and obligations of an Entrant and/or the Sponsor in connection with these Sweepstakes, shall be governed by, and

5 construed in accordance with, the laws of the State of California, without regard for conflicts of law doctrine of any jurisdiction. SEVERABILITY: If any provision(s) of these Official Rules are held to be invalid or unenforceable, such provision shall be severed and all remaining provisions hereof will remain in full force and effect.
