2 Capital SouthEast Connector Board of Directors Item # 1 Receive and File March 15, 2011 Executive Director s Report Issue: An Executive Director s report is filed every month on current JPA activities. Recommendation: Receive and File Discussion: The following is a brief status report on some of the more significant issues and activities currently being pursued by the Connector JPA staff. Administrative Project Fiscal Updates to the JPA website have resulted in some unexpected service disruptions. Staff apologizes for any inconvenenices this may create. Independent cost review and expressway/interchange details are currently being verified by consultants; these details will be included in the preliminary design guidelines that will be presented to the Board in April. Staff continues to work with the Sacramento Area Council of Governments (SACOG) on the necessary information required to include the Connector Project in the new 2035 Metropolitan Transportation Plan (MTP) currently under development. Additional details on this process will be provided to the Board as the draft MTP is released for comment later in the year. Staff continues to participate in the County of Sacramento sponsored Truck Management Plan (TMP) to develop and manage the distribution of trucks for the future mining operations across the eastern portion of the potential Connector corridor. Recommendations on a plan are currently in advanced stages of discussion and a plan is expected by mid April. Staff continues to work with legal counsel on the Memorandum of Agreement (MOA) between the JPA and A. Teichert & Sons ( Teichert ) regarding Teichert s fair share participation, as set forth in the development agreement between the County of Sacramento and Teichert. Staff is in the initial stages of developing a budget for FY that will reflect the completion of the Program Environmental Review process and a reduction in anticipated revenue from the Sacramento Transportation Authority (STA). An initial report will be presented to the Board in April for discussion (a month earlier than in previous years), reflecting the anticipated changes to be discussed. The JPA continues to maintain a reasonably steady available working capital cash balance of $150,000 for uses that may not be provided for under either the Measure A Bond or Pay-go programs.
3 Page 2 of 2 Miscellaneous The Executive Director will be visiting a toll facility outside of Austin, Texas on March 17 & 18 th to investigate any similairities between this successful P3 project and the Connector. Plans are under way to provide a Project presentation to selected delegates at the annual Sacramento Metro Chamber Cap 2 Cap trip in May. The Executive Director will be making a presentation to the El Dorado County Transportation Commission (EDCTC) in April regarding integration of the project with their Capital Program, and to provide them an update on the Draft PEIR. 4 Capital SouthEast Connector Board of Directors Item # 2 Receive and File March 15, 2011 Action Minutes of the February 10, 2011, Meeting The Capital SouthEast Connector Authority s Board of Directors met in regular session on February 10, 2011, in the Rancho Cordova Council Chambers, located at 2729 Prospect Park Drive, Rancho Cordova, CA, at 8:30 a.m. Call to Order: Roll Call: Chairperson Starsky called the meeting to order at 8:30 a.m. Directors Budge, Hume, Knight, Nottoli, and Starsky were present. Executive Director s Report: Mr. Tom Zlotkowski, the Executive Director of the Authority, summarized the highlights from his Executive Director s Report, including the status of the following items: the administrative draft Program Environmental Impact Report; the South Sacramento Habitat Conservation Plan; the issuance of the JPA s first newsletter; the financial contributions provided by the member jurisdictions; and the plan of finance. 6 Capital SouthEast Connector Board of Directors Item # 3 Receive and File March 15, 2011 Sacramento County Annual Investment Policy of the Pooled Investment Fund for Calendar Year 2011 Issue: Sacramento County provided a copy of its Annual Investment Policy of the Pooled Investment Fund for 2011, as an informational item for the Connector JPA. Recommendation: Receive and File Discussion: Under the Connector JPA's joint powers agreement, the Sacramento County treasurer and finance director are designated as the treasurer and auditor of the Connector JPA. In addition, the County finance director has stewardship of the Sacramento County Pooled Investment Fund. It is possible that certain Connector JPA monies held by the County as treasurer and auditor -- that are not needed for immediate cash flow needs -- will be invested in the County Pooled Investment Fund. Attached is Sacramento County's Annual Investment Policy of the Pooled Investment Fund for Calendar Year This policy establishes specific cash management and investment guidelines for the County Pooled Fund, in accordance with Government Code requirements. The Fund's overall investment objective is to prudently invest governmental funds to earn a reasonable return, while awaiting application of the funds for governmental purposes. 25 Capital SouthEast Connector Board of Directors Item # 4 Presentation March 15, 2011 Quarterly Update on the SSHCP (South Sacramento Habitat Conservation Plan) Issue: To update the Board on the process and schedule for the South Sacramento Habitat Conservation Plan (SSHCP) as required in the executed Memorandum of Agreement (MOA). Recommendation: To hear an update on the progress of the SSHCP and provide any input as desired. Discussion: The South Sacramento Habitat Conservation Plan (SSHCP) is a regional effort that will provide development and infrastructure components with streamlined, predictable federal and state permitting processes while creating a preserve system to protect sizeable habitat preserves, open space, and agricultural lands. The SSHCP is the most efficient means of complying with regulatory requirements and will greatly assist the Connector Project in obtaining many of the federal permits required for Project construction. The SSHCP is a regional project. In addition to the JPA, the joint applicants include the County of Sacramento, the Cities of Elk Grove, Galt, and Rancho Cordova, the Sacramento County Regional Sanitation District, and the Sacramento County Water Agency. In a special meeting on July 1 st, your Board approved the MOA (Memorandum of Agreement) that officially made the JPA a partner in the SSHCP. Participation was conditioned upon, amongst other things, quarterly updates to your Board on the progress and schedule of the SSHCP effort. Update Today is the second scheduled update from the SSHCP team on recent developments since your last update in November. Since that time, there have been significant discussions with both the Federal agencies as well as the affected property owners regarding the timing and details of the draft plan. Discussions continue with the intent of filing an application by the summer of this year. Today s presentation by senior Sacramento County staff will focus on the activities that are underway in preparation for that filing as well as events of significance over the past three months, which include: A joint meeting of the elected liaison group, property owners, and the Federal agencies in December; Continued discussions with the Federal agencies regarding their position on the Mather Core Recovery Area; Further definition by the technical team of the options associated with specific public improvements and their impact on mitigation outside the Urban Development Area (UDA); Adjustments to the Draft Environmental Impact Report (DEIR) that was released back in August, 2010;
26 Page 2 of 2 Modifying the consultant team to identify a new day-to-day project manager to focus attention on the strategic processing of information and communication between the various parties in anticipation of filing the plan. 27 Capital SouthEast Connector Board of Directors Item # 5 Receive and File March 15, 2011 Update on Financial Advisory Services and Financing Plan Issue: To update the Board on the process and schedule for the Plan of Finance that is being provided by the consultant, KPMG. Recommendation: Hear an overview presentation from staff on the progress of the Connector project Plan of Finance and provide comment as desired. Background: To build the Connector project in a timely manner, significant capital financing is required. Staff is preparing to present a Plan of Finance to your Board in Fall 2011 to outline mechanisms that will ultimately fund and deliver the Project. Given the current state of the economy, challenges abound in the areas of both federal and state funding that could assist in the delivery of the Project. While local sales tax and development fees are anticipated to eventually rebound and provide the originally allocated level of funding, the timing of that revenue stream remains uncertain. The JPA entered into a contract with the preferred consultant, KPMG, in November The intent of the RFQ/P process was to hire experts, knowledgeable in the area of transportation economics, federal and state transportation funding/financing tools, local government revenue programs, tolling, and corporate equity investment evaluation. The RFQ/P concentrated on developing an innovative Plan of Finance for delivery of the Capital SouthEast Connector Project. With the cooperation of KPMG, the initial Scope of Work (SOW) was divided into three logical phases with deliverables and reporting requirements at the completion of each phase. This assures that a subsequent phase of work will not commence without an evaluation of the deliverables previously developed in support of the successful Plan of Finance. The commencement of a subsequent phase of work will also require the written consent of the Board of Directors. At the end of either of the first two phases of work, the project can be terminated should the results not show promise towards a successful final plan. Update: The KPMG team met with JPA staff in December 2010 to kick off the work program. The team has been defining the Project and gaining an understanding of the nuances of the Project. The JPA team is currently gathering more data for the financial team based on the refinement of the financial model. This not only includes information on future revenues, but refinements to the projected project costs as well. It will be necessary to evaluate both of these areas in considerable detail to better develop a Plan of Finance that the Board can adopt later this year. Today, your Board will be presented with a brief overview of the data that has been presented to the financial team, how it is utilized in the model along with assumptions, and a sample of the output that will be available. The initial cash flow analysis will identify the bonding capacity and the public funding requirement, and is expected to be
28 Page 2 of 2 complete in April, This initial cash flow analysis uses the preferred project alignment studied in the Program Environmental Impact Report (PEIR) as the base case, as it is generally indicative of estimated costs and revenues across all alignments currently being studied. The use of the preferred project as the base case in the financial study does not affect the environmental review process, as it is meant only to provide an estimate of costs and revenues. A final project alignment will not be selected prior to the completion of the PEIR. The JPA Staff and financial team will also need to further identify potential funding sources to fill the funding gap calculated in the initial cash flow analysis, also to be finalized in April. The results of the cash flow analysis and funding sources will complete Phase 1 of the SOW. The findings will be presented to the Board at the May, 2011 meeting along with a discussion as to whether the second phase of work should commence. 30 Project corridor overview The SouthEast Connector corridor is approximately 35 miles and connects State Highway 50 (SH-50) with the State Highway 99 (SH-99) and Interstate 5 (I-5). The base case alignment has been selected as Alternative II (shown in the map) for this analysis. This alignment appears generally indicative of costs and revenues across all alignments. The base case includes tolling an 18 mile section between the El Dorado County line and the town of Sheldon. The corridor comprises five segments described on the next slide. Operations and maintenance for the full corridor are proposed to be the responsibility of Connector JPA. The approach to system interface and connectivity in the base case is as follows: Source: Throughout the 18 mile tolled section the base case includes several local interchanges; The non-tolled segments include several signal interchanges; Improvements to interchanges with the I-5, SH-99 and SH-50 have been included in the construction scope, however, ongoing responsibility for operations, routine maintenance and major maintenance for these elements is assumed to be that of Caltrans. 1

32 Analysis approach Three scenarios have been identified based on the project scope and segmentation Each selected scenario has been analyzed over a 50 year time period from the year of construction start, All project cash flows have been presented in Year of Expenditure dollars using a 3% inflation assumption. Cash flows have been shown in 2011 present values using a planning level discount rate of 6%, a proxy for the tax exempt cost of funds. This rate will be adjusted and refined as the cost and revenue data are developed for the project. In each scenario the potential debt raising capacity has been calculated based on: Toll revenues, less Toll collection costs, less Operating costs and routine maintenance. The estimated net upfront funding requirement is the subsidy needed after consideration of the initial toll revenue estimates. It is estimated as the difference between total construction costs, plus other construction period costs (including fees and any net operational costs), and the potential debt raising capacity based on toll revenues for the scenario. 3

34 Capital SouthEast Connector Board of Directors Item # 6 Receive and File March 15, 2011 Presentation of the Program Environmental Impact Report (PEIR) Document Issue: To update the Board on the process and schedule for the Draft PEIR Document. Recommendation: To hear an update on the progress of the PEIR and provide input on the public process. Discussion: The Program Environmental Impact Report consultant team kicked off the environmental review process in October Since then, there has been Community Working Group processes conducted in both Sheldon and El Dorado Hills, along with Public Scoping Meetings held in connection with the release of the Notice of Preparation (NOP). The Project Development Team (PDT), consisting of staff from the member jurisdictions, has been meeting monthly concerning the status of the PEIR and addressing the technical concerns of the consultant team. The Draft PEIR is available for public review and comment as of March 14, The public review period for this document will extend from March 14 to May 13, This report is intended to serve two purposes: first, to summarize and highlight some key concepts within the document and secondly, to inform the Board and the public of the noticing and public availability of the document. Update/ Presentation: Maggie Townsley, the environmental lead consultant will be presenting some highlights of the document. The purpose of the PEIR is to analyze the environmental impacts of the proposed project, to indicate ways to reduce or avoid potential environmental damage of the proposed project, and to identify and evaluate alternatives to the proposed project. CEQA requires that each public agency mitigate or avoid the significant environmental effects of projects it approves or implements, whenever feasible. Although the specific elements of the Capital SouthEast Connector Project may be further developed and implemented by the JPA or individual JPA member agencies, the JPA is responsible for the selection of the 35-mile-long corridor and as such is the CEQA lead agency for the purpose of conducting this environmental review process. Sacramento County, El Dorado County, and the Cities of Elk Grove, Rancho Cordova, and Folsom may carry out future development of specific projects that would be a part of the Connector project and therefore are responsible agencies under CEQA. An EIR is an informational document used in state, regional, and local planning and decision-making processes to meet the requirements of CEQA. It is not the purpose of the EIR to recommend either approval or denial of a project. The proposed project analyzed in the PEIR is Alternative 2/3, as selected in May Additionally, the Board of Directors chose an in-corridor multi-use pathway as a component of the preferred alternative. The PEIR further discloses environmental effects, including those that cannot be avoided; growth-inducing
35 Page 2 of 4 effects; effects found not to be significant; and significant cumulative impacts of all past, present, and reasonably anticipated future projects. As earlier stated, the draft PEIR public comment period ends on May 13, The final PEIR, incorporating the public comments received and the JPA s responses to those comments will be prepared in June/July In August 2011, the JPA Board will be asked to take the following actions: Certify Final PEIR Adopt Findings of Fact/Overriding Consideration Adopt Mitigation Monitoring and Reporting Plan Select 35-mile-long Corridor & Design Details Noticing and Public Meeting Schedule Five public workshops will be held approximately 4 weeks after the release of the Draft PEIR. The public will be able to talk to Connector JPA Staff and the consultant team. 36 Page 3 of 4 Approximately 6000 post cards announcing the release of the Draft PEIR, along with the availability and specifics of the public meetings, will be mailed directly to those on the project mailing list and will be available at locations in the vicinity of the project. The JPA s website will also be configured to provide information on the workshops as well. The meetings will also be publicized in the following publications: Sacramento Bee Elk Grove Citizen Grapevine-Independent (Rancho Cordova Area) Folsom Telegraph Village Life (El Dorado Hills area) These announcements will be noticed a minimum of one week prior to the scheduled workshop in that area. Flyers announcing the availability of the Draft PEIR and the locations/dates of the public meetings will be posted at the following locations: Elk Grove City Hall Rancho Cordova City Hall Folsom City Hall El Dorado Hills Library Sacramento County Administration Building Social media updates include the Connector Facebook page, which will be updated to include the public workshop information and the Connector Twitter feed, which will also include information about the public workshops. A public Notice of Availability (NOA) of the draft PEIR was mailed to the last known name and address of all organizations and individuals who have previously requested such notice in writing. That list consists of approximately 150 individuals or groups who have attended previous scoping meetings, requested information from the JPA, or commented on the Notice of Preparation. The NOA includes the following information: Brief description of the project Public Workshop information Where the Draft PEIR can be viewed, including addresses Start and end dates of the public comment period List of significant environmental effects anticipated as a result of the project
