5 TRADING TERMS AND CONDITIONS PRICE LISTS The Planners Services and Sundries Limited price list is intended for the Trade and issued to regular carpet dealers (to whom alone the goods are supplied) with the request that it should not fall into other hands. The list is revised regularly and all previous lists are cancelled. PLACING OF ORDER Nothing in the price list shall be deemed an offer, and we reserve the right to accept or refuse any order. Placing an order implies acceptance of these trading terms and conditions. PRICES Prices quoted in the price list are for cut lengths unless otherwise stated. They are given as a guide only, but will be maintained for as long as possible. We cannot be held responsible for printers error in price details. Goods will be charged for at the price at date of despatch, except for bona fide orders accepted by us at a fixed price when they were placed. Value Added Tax is excluded from prices in the list and will be charged at the applicable rate on date of invoicing. TERMS OF PAYMENT For accounts opened with us, payment of invoices is due by the 20 th of the month, following the invoice date. A 3% cash discount on the net value of the goods (exclusive of V.A.T.) may be taken for settlement in full within fourteen days of invoicing date. We reserve the right to charge interest at the rate of 2.5% per month on accounts remaining unpaid after 30 days from due date. WAREHOUSING Unless otherwise agreed in writing, we reserve the right to charge 1.5% per month for each month or part thereof for goods already cut or specially ordered which are not taken up within 30 days of being ready for delivery or collection. TRANSFER OF TITLE Neither the ownership of, nor property in any goods sold by us, will pass from us until such time as we have received payment in full for such goods and of any individual charges relating to such goods. Until such time we reserve the right to recover possession of the relevant goods. Nevertheless, all goods are at the risk of the customer as soon as they have been delivered or collected. SIZES AND CUT LENGTHS All goods sold and supplied by us are subject to a size tolerance of plus or minus 1.25% as specified in British Standard 3655, Clause 3. Cut lengths will not be supplied bound unless order states Ends Bounds. Binding will be charged at the manufacturers price or at our current rate. DELIVER AND CARRIAGE CHARGE Whereas every effort is made to execute orders promptly, we cannot accept liability arising from delay. Deliveries required outside our standard schedule will be subject to a carriage charge. We reserve the right to levy an extra charge to cover carriage charge for delivering goods under in net value (exclusive of V.A.T.) with our standard delivery schedule. CANCELLATIONS Cancellations cannot be accepted for cut lengths orders after the goods have been cut. Cancellations must be confirmed in writing.

6 CLAIMS AND RETURNS No complaints can be entertained by us unless a copy of the invoice issued by us can be presented in respect of goods under complaint. No claim can be accepted arising from improper installation through non-compliance with manufacturers recommended instructions of which details can be obtained by us, nor in any claim for faulty manufacture where goods have been cit. In any claim our liability (including liability for refitting) shall be limited to the extent of liability accepted by the manufacturer of the relevant goods and shall in all cases for goods to be limited to the value not exceeding the purchase of the relevant goods. Returns and cost relating to claims shall not be accepted until our prior approval has been given. We reserve the right to refuse returns of goods for credit ordered under customer error, including duplication of orders where written orders are not marked as confirmation of prior instructions. DAMAGE OR NON-DELIVERY Damages must be notified to us in writing and the carriers where relevant within 3 days or non-delivery within 14 days of invoice date. PILE PRESSURE, SHADING & MATCHING All pile carpets, especially with plain grounds, are liable to shading (including water marking and pile reversal ) i.e. to show light and dark patches arising from uneven crushing of the surface. Light and delicate carpets are liable to become noticeably soiled in wear and appear to lose colour. Carpet supplied cannot be guaranteed to match samples exactly. None of these effects are considered by the carpet industry as defects in manufacture. No responsibility nor liability whatsoever will be accepted by us on complaints arising from these defects. PATTERNS Patterns whether loose or in book form supplied by us remain our property unless sold by us and paid for. Patterns supplied by us will be serviced by our representatives. DISCOUNTED GOODS Periodically goods may be offered at discount. Where these comprise remnant stock and sub-standard goods, no claims against or returns of such goods will be accepted by us for any reason whatsoever and all liability whether statutory or otherwise is excluded. CONTROL OF SUBSTANCES HAZARDOUS TO HEALTH These regulations require us to ensure that users of certain products supplied by Planners Services and Sundries Limited have adequate information on their safe handling and usage.
