5 Certification of Monty Kehl, attached hereto as Exhibit A. In further support of this application, MFC states: JURISDICTION AND VENUE 1. The Court has jurisdiction to consider this Application pursuant to 28 U.S.C. 157 and Consideration of this Application is a core proceeding pursuant to 28 U.S.C. 157(b). Venue is proper in this district pursuant to 28 U.S.C and INTRODUCTION 2. This Application is made for monthly allowance of compensation for services rendered as financial advisors to the Committee during the Fourth Monthly Period in the amount of $82, as compensation for hours of services and $0.00 for reimbursement of actual and necessary expenses for a total of $82, for the Fourth Monthly Period. In accordance with an agreement made with the Committee, MFC has capped its blended hourly rate at $600 per hour. During this the Fourth Monthly Period, MFC has applied a voluntary reduction of $3, for compensation in this monthly bill. During this the Fourth Monthly Period, MFC has reduced its fees relating to the preparation of fee applications by $6, to reflect a voluntary 3% cap on time for this task. Attached as Exhibit B is a fee application summary sheet as required by the U.S. Trustee Guidelines. BACKGROUND 3. On June 27, 2011 (the Petition Date ), the Debtors filed with this Court voluntary petitions for relief under chapter 11 of the Bankruptcy Code. The chapter 11 cases have been consolidated for procedural purposes only and are being jointly administered pursuant to Bankruptcy Rule 1015(b). The Debtors continue to operate their businesses and manage their properties as debtors in possession pursuant to sections 1107(a) and 1108 of the Bankruptcy Code. 4. On July 11, 2011, the Office of the United States Trustee appointed the following creditors as members of the Committee:

6 Committee. U.S. Bank National Association The Bank of NY Mellon Trust Company N.A., as Trustee Pearson Education, Inc. JanSport, A Division of VF Outdoor Elsevier Inc. Pearson Education, Inc., JanSport and Elsesvier Inc. subsequently resigned from the 5. On July 11, 2011, the Committee interviewed several advisory firms and selected MFC as its financial advisors in these Chapter 11 cases. 6. By application, filed on July 28, 2011 (the MFC Retention Application ), the Committee requested authority to retain MFC as its financial advisors in connection with the Debtors bankruptcy cases, pursuant to 328, 1103(a) and 1103(b) of the Bankruptcy Code (D.I. 246). 7. The Court entered an order (D.I. 477) on August 23, 2011, approving the Committee s retention of MFC (the MFC Retention Order ) as financial advisors for the Committee nunc pro tunc to July 11, 2011, pursuant to 328, 1103(a) and 1103(b) of the Bankruptcy Code. FEES AND EXPENSES INCURRED DURING THE PERIOD FROM OCTOBER 1, 2011 THROUGH OCTOBER 31, On July 21, 2011, this Court signed the Order Establishing Procedures For Interim Compensation And Reimbursement Of Expenses For Professionals (D.I. 199) (the Fee Procedures Order ). Pursuant to the Fee Procedures Order, all professionals retained in these Cases are authorized to seek, on a monthly basis, interim compensation for professional services rendered and reimbursement of expenses incurred. In the absence of any objection to the monthly fee application, the Debtors can pay 80% of the professional fees requested and 100% of the expenses incurred. MFC submits this Application for the period of October 1, 2011 through October 31, This is MFC s fourth monthly fee application. 9. Attached as Exhibit B hereto are the names, titles, hourly rates, and a summary of hours charged for the professionals whose services are being billed in connection with this case.

7 Attached as Exhibit C hereto is a summary schedule of hours and fees charged for each category of services. Attached as Exhibit D hereto is a summary schedule of actual and necessary expenses incurred during the Fourth Monthly Period. 10. Attached as Exhibits E-1 through E-8 hereto are the detailed daily descriptions of services rendered by each professional and billed to the estate during the Fourth Monthly Period, including the hours necessarily incurred with respect to each task and the resultant fees. Pursuant to Rule 2016(d)(3) of the Bankruptcy Local Rules, fee applications must include a detailed description of each major task performed by the applicant. Accordingly, the following is a summary of certain of the significant professional services rendered by MFC during the Fourth Monthly Period: CATEGORY HOURS AMOUNT Bankruptcy Motions/Filings 4.7 $3, During the month of October, MFC reviewed the Debtors motion to request an extension of exclusivity to file a plan of reorganization. MFC also reviewed the second-lien lenders objection to said extension request. Lastly, MFC conducted a conference call with Committee Counsel to discuss the fee applications of the Debtors professionals for the third monthly fee period. Bankruptcy Schedules, SOFA, MOR 5.7 $3, During October, MFC reviewed the August 2011 monthly operating report ( MOR ) of the Debtors and prepared various analyses and summaries of information contained in the MOR. This information was presented in a periodic report to the UCC. Cash Flow Monitoring 10.6 $6, For the fourth monthly period, MFC reviewed the Debtors weekly cash flow results relative to budget as well as to determine liquidity sufficiency to meet debt and professional fee payments. This information was utilized to prepare a report to the Committee. Claims Analysis, Administration and Resolution 2.5 $1, For the monthly period, MFC reviewed various filed claims data provided by the Debtors including a summary of remaining unpaid unsecured claims and current accounts payable due. This information was shared with Committee Counsel.

8 Court Hearings and Committee Meetings/Communications 36.5 $25, During the latter part of October, MFC prepared an interim report to be presented to the UCC. Part of the report contained information related to the Debtors August 2011 MOR. Debtors Meetings and Communications 2.9 $2, For the monthly period, MFC reviewed and inventoried various information that was provided to us by the Debtors financial advisors. MFC was also in communication with the Debtors advisors to ensure the continued flow of all requested information. Fee Applications and Fee Statements 18.1 $2, MFC prepared its third monthly fee application package for September 2011, including exhibits and narratives, which were filed with the Court by the filing deadline. A $6, reduction has been applied to this time category. Financial and Company Analysis 57.3 $40, During the month of October, MFC reviewed numerous pieces of information including Fall 2011 back to school preliminary data, an analysis of that information as contained in the Crux Marketing Surveys, the employment contract and accompanying motion to hire a new CFO for the company, various valuation reports as undertaken by Rothschild and Grant Thornton, and recent financial statements as provided by the company. MFC also reviewed updated information deposited in the Debtors dataroom as well as pre-petition payment summaries provided on a weekly basis to MFC to ensure the proper payment of courtapproved pre-petition claims. Voluntary Reduction of Professional Fees ($3,932.00) For the purpose of this case only, MFC has agreed with the Committee that its average hourly rate (calculated by dividing the value of services rendered (hours times billable rates) by the number of hours of services rendered) will not exceed $600 per hour. As a result, MFC has applied a voluntary reduction of $3, to this Fourth Monthly Period. Total Hours and Fees $82, ACTUAL AND NECESSARY EXPENSES 11. Attached as Exhibit D hereto and incorporated herein by reference, is a summary schedule of actual and necessary expenses incurred by MFC in connection with its employment with the Committee during the Fourth Monthly Period. As set forth on Exhibit D, MFC incurred $0.00 in expenses during the Fourth Monthly Period.

9 SUMMARY OF SERVICES PROVIDED 12. MFC submits that the foregoing services were necessary to the administration of these Chapter 11 cases, were necessary and beneficial to the estates at the time such services were rendered, and were performed without unnecessary duplication of effort or expense. MFC s request for compensation for the foregoing services is reflective of a reasonable and appropriate amount of time expended in performing such services commensurate with the complexity, importance and nature of the problem, issue or task involved. 13. Although every effort has been made to include all fees and expenses from this, the Fourth Monthly Period in this Application, some fees and expenses from the Fourth Monthly Period might not be included in this application due to delays caused by accounting and processing procedures. MFC reserves the right to make further application to the Court for allowance of fees and expenses not included herein. 14. There is no agreement or understanding between MFC and any person other than members of the firm for the sharing of compensation to be received for services rendered in this case. CONCLUSION WHEREFORE MFC respectfully requests (a) that it be allowed (i) interim compensation in the amount of $82, as compensation for reasonable, actual and necessary services rendered by it on behalf of the Committee during the Fourth Monthly Period and (ii) interim reimbursement of $0.00 for reasonable, actual and necessary expenses incurred during the Fourth Monthly Period; and (b) that the Debtors be authorized and directed to pay MFC the amount of $66, which is equal to the sum of 80% of MFC s allowed interim compensation and 100% of MFC s allowed expense reimbursement for the Fourth Monthly Period.
